("CompuCom") and City of Carlsbad ("City" or "Client"). This Statement of Work incorporates by reference the terms and conditions of the CMAS Agreement, 3-05-70-0040 A A between Client and CompuCom dated 12/5/2005 ("Agreement"). Overview The CompuCom team will provide City of Carlsbad with the consulting services to implement a Windows Server 2008 and Active Directory (AD) environment and migrate file, print and directory services from Novell Netware Server, utilizing Microsoft's latest technologies, industry best practices for migration, and other relative solutions in an effort streamline and enhance the City's current strategy of this technology adoption. The CompuCom team will directly engage the City's technical decision maker(s) and appropriate members of their technology team to implement Windows Server based file, print and directory services, migrating users, groups and their associated data onto Windows 2008 Servers. This is a Fixed Fee engagement implementing the technologies and processes required to achieve a successful migration to Microsoft Windows Server from Novell NDS technologies. Actual migration to Active Directory and Windows 2008 Servers will be performed per the guidelines outlined in the AD Design & Exchange Report delivered to City of Carlsbad in the recently completed Assessment project phase. 2. Projected Term Start Date: On or about March 17,2008 Completion Date: Project start date plus 3 weeks 3. CompuCom Services and Deliverabies CompuCom will provide project resources in provision of the following services and deliverables defined below. The goal of the Novell NDS to AD Migration Project is to have all file and print services currently being provided by NetWare to be provided by Windows Servers. User and Group data directories, as well as printing services will be provided by Active Directory. 3.1 Project Deliverables During this engagement CompuCom's experienced architects will use elements of CompuCom's project methodology to: • Install HP Insight Manager & Windows Supplemental Tools Software. • Bring OS up to current Service Pack and Hotfix levels. • Check for, download, and apply any BIOS, Firmware, and/or operating system drivers. • Install and configure City provided Anti-Virus Software • Install and test Backup Software (Tivoli) • Install Network Services: o On DC: • DCPROMO • Place GC • Services: DNS, DHCP, WINS (transfer) • Verify Operations o On File & Print: • Setup Share Volumes (User Home & Group Directories) • Install support services (RDFS, PRINT, etc.) • Verify Operations • Research network printers - find IP Addresses, Drivers, propose mappings (queue or IP based) • Develop test plan for printer migration (some queue based, some IP printing per location) • Setup printers in AD • Install Migration System(s) - This requires a City provided XP Workstation with both NDS & AD Clients installed. • Install and configure migration accounts and software. • Document user rights and shares on legacy system. • Document existing logon scripts - develop AD logon scripts & test, including drive mappings. • Develop and test plan for mapping user and group data shares. • Perform Test user migration using support staff accounts. • User Migration - Performed during off-hoursAVeekend (Police Dispatch Sundays 4am-9am). • Provide next-day follow-up support for migration. Additional support beyond the one day after migration may be added by PCR for an additional fee. • Support - deal with exception cases, and support issues throughout the project duration. • Produce "As-Built" Server Documentation for servers deployed in this project. • Provide Novell server decommission plan. © 2008 CompuCom Systems. Responsible for developing the logistics for the deployment plan and providing input into the deployment process. b) Sr. Microsoft Consultant - responsible for all active directory deliverables, technical decisions for project and interfaces with City IT team to provide technical communications in regards to the project. Escalation point for all technical issues. c) Sr. Quest Consultant - will work with Quest Tools to create, manage, and remediate deployment schedules and manage "migration project" creation in Quest Migration Tools application. 4. City Responsibilities City will provide adequate computing resources, including without limitation such hardware and software as may be specified in this SOW or other documents related to a specific project, and the hardware and software used by City's employees, except as may be expressly provided otherwise. City will provide CompuCom access to existing environments and documentation as CompuCom may request. City is responsible for adequate participation in the migration process during the engagement. During that time, the City will be responsible for the following: • Provide all server hardware for file and print servers. New server hardware must be rack mounted at the corresponding server location room, where adequate electrical, air conditioning and network connectivity has been established. • Perform basic installation of Windows Server 2008 Operating System on new hardware. • Provide administrative accounts in NDS and AD for migration project work. • Provide consultants with building and site access, including after-hours, as required by this project. • Provide the necessary hardware (4 XP WS - 1 @ each site) for Quest Migration Tools. • Provide IT Staff for participation in implementing this project. • Provide OS, Quest Tools, and any other supplemental software (e.g. Anti-Virus, Backup Agents), including licensing which shall be required by the project. • City IT Staff shall be responsible for the removal of the NDS Client from user workstations. • City IT Staff will be responsible for decommissioning the Novell Servers. • This project will require City of Carlsbad to establish working accounts - which have complete administrative control, both on the NDS and AD networks. These accounts must have unfettered access to the Internet for downloading and applying service packs and updates to servers and applications being installed for this project. • City of Carlsbad must acquire new server hardware to provide file and print service locations. © 2008 CompuCom Sysiems. City of Carlsbad must procure all servers prior to start of CompuCom project work. The actual installation of new domain controllers hardware and base OS must be accomplished by Carlsbad IT Staff prior to the start of CompuCom project work. CompuCom will assist with transferring DC networking service configurations (specifically: DNS, DHCP, and WINS). 5. Assumptions CompuCom has made certain assumptions in the creation of this document and the scope of work. The following assumptions are considered in the scoping. These assumptions, if not accurate, may result in changes to project time and fees: • This project implements the design as presented in the AD Design & Exchange Report. Any modification to the design may require additional time and fees, which will require an approved Project Change Request. • Project will use existing Active Directory and existing Domain Controllers (any DC replacements shall precede the project start). • The City shall provide a "maintenance window" for weekend data migration • Key City staff will be available throughout the project. • The City will continue to maintain and support the existing NDS Systems throughout the duration of this project. • CompuCom will be granted an appropriate level of access to all necessary systems during the project. • All hardware and software procurement and licensing will be the sole responsibility of the City. • City will be responsible for all appropriate backup of existing systems during the course of this SOW • CompuCom will not be responsible for delays caused by environmental, facility, procurement or personnel challenges. Master Agreement (DA 003636) Page 5 of 8 SOW DA003636-S0003 6.Resource Team Prior to the delivery of any Product or Service defined in this SOW, City will designate a qualified member of its staff to act as a project manager and a liaison between City and CompuCom (the "Project Manager"). The Project Manager will establish priorities, coordinate City resource schedules, review progress, and assist in issue resolution. CompuCom will be entitled to rely upon such person's representations and authority without seeking further verification. The Project Manager will be the person to whom all CompuCom communications will be addressed, and the person who has the authority to act for City in all aspects of the project. City will provide adequate staff, dedicated to this SOW and available to CompuCom, to complete in a timely manner such tasks as may be assigned to it, including without limitation any training exercises, requirement definition, testing, and review and approval. Acceptance Criteria The Deliverables shall be deemed accepted upon completion of the Services. 9. Pricing/Fees a) Pricing: This project will be delivered as a fixed fee engagement based on a rate of $152/hour as set forth in CM AS Agreement for the level of these services required for this engagement. Final scheduling of CompuCom resources will be made when written approval is received by CompuCom from an authorized City of Carlsbad representative. Master Agreement (DA 003636) SOW DA003636-S0003 Page 6 of 8 b) Pricing Assumptions/Conditions Precedent: This is a Fixed Rate engagement for the defined deliverables and following the defined assumptions. • All work (except actual user data migration) will be performed during regular business hours. Regular business hours are defined as the time period from 8:00 a.m. to 5:00 p.m., Monday through Friday, excluding holidays. • User data migration will be performed during non-business/after-hours times. This rate assumes that the actual data migration occurs over a single weekend per plan. • Work will be performed on and off site. All on-site work by CompuCom consultants will be performed at the local City offices. c) Reimbursable Expenses Excluded. The fees specified above do not include expenses. Client shall reimburse CompuCom for reasonable, out-of-pocket expenses incurred by CompuCom personnel in connection with (i) travel expenses for travel more than fifty (50) miles from CompuCom's nearest service center, to include but not be limited to travel time at standard hourly rates (portal-to-portal), coach class air rates, reasonable hotel room rate and applicable taxes, meal expenses, auto rental (including charges for fuel), tools, parking, taxis and other ground transportation; and (ii) reasonable miscellaneous expenses including but not limited to Client requested document reproduction, any required shipping, couriering, faxing or telexing of tangible items between Client and CompuCom, Client-requested courier deliveries, and other reimbursable expenses specified in this Statement of Work. Total expenses not to exceed $6,000.00. CompuCom expenses will not be reimbursed by Client unless Client has pre-approved in writing CompuCom's request for reimbursement of expenses before expenses are incurred. The pricing set forth in this SOW shall be available for acceptance by the City through March 1, 2008 ("Validity Period"). CompuCom reserves the right to adjust the pricing and/or the schedule set forth herein, if this SOW is not executed by the City and returned to CompuCom before the expiration of the Validity Period. 10. Changes to SOW Any Change to the scope of Services shall be requested and approved using the attached Project Change Request (PCR) Form.
