PROFESSIONAL SERVICES AGREEMENT UNDER $10,000
CONSTRUCTION ESTIMATING SERVICES FOR 1635 FARADAY AVENUE
CARLSBAD ADMINISTRATION AND COMMUNITY DEVELOPMENT FACILITY
This letter will serve as an agreement between Construction Analysts, Incorporated, a California
corporation, hereinafter referred to as “Contractor,” and the City of Carlsbad for professional
services pursuant to Carlsbad Municipal Code Section 3.28.140 or 150.
Your letter, dated May 21, 1999, (attached as Exhibit “A”), outlines the scope of work to be
completed within 30 calendar days at a cost on a time and materials basis not to exceed
$7,500; payment to be at the rates set forth in attached Exhibit “A”, billed monthly.
The Contractor shall perform the services provided for herein as an independent contractor and
in pursuit of his/hers independent calling, and not as an employee of the City. Contractor shall
be under the control of the City only as to the results to be accomplished.
The Contractor shall obtain and maintain policies of comprehensive general liability insurance,
automobile liability insurance, a combined policy of workers’ compensation, employers liability
insurance and professional liability insurance from an insurance company authorized to transact
the business of insurance in the State of California which has a current rating in the Best’s Key
Rating guide of at least A-:V in an insurable amount of not less than five hundred thousand
dollars ($500,000) each, unless otherwise authorized and approved by the City Attorney or the
City Manager. This insurance shall be in force during the life of this agreement and shall not be
canceled without thirty (30) days prior written notice to the City by certified mail. The City shall
be named as an additional insured on all these policies, except workers’ compensation and
professional liability. The Contractor shall furnish certificates of insurance, with endorsements to
the City before commencement of work.
The City has determined using the guidelines of the Political Reform Act and the City’s conflict
of interest code, that the Contractor will not be required to file a conflict of interest statement as
a requirement of this agreement. However, Contractor hereby acknowledges that Contractor
has the legal responsibility for complying with the Political Reform Act and nothing in this
agreement releases Contractor from this responsibility.
This agreement may be modified by mutual consent of the City and the Contractor. Any change
shall be in writing with a statement of estimated changes in charges or time schedule.
The Contractor may be subject to civil penalties for the filing of false claims as set forth in the
California False Claims Act, Gover nt Code sections 12650, et seq., and Carlsbad Municipal
Code Sections 3.32, 025,

Carlsbad to disqualify the Contractor from participating in the selection process.

of any disputes between the parties arising out of this agreement is San Diego County, California.

A City of Carlsbad business license shall be obtained and maintained for the duration of the
contract.
The City Manager or the Contractor may terminate the agreement at any time after a
discussion, and written notice to the other party. The City will pay Contractor’s costs for service
delivered up to the time of termination, if the services have been delivered in accordance with
the agreement.

Dear Mr. Cahill:
Pursuant to our telephone conversations and review of the drawings and supporting
materials provided I am pleased to tender the following proposal to provide cost estimating
services on the Community Development Facility Tenant Improvement project.

PROJECT DESCRIPTION
The project consists of tenant improvements to a two story, 68,000 square foot
building currently under construction at 1635 Faraday Avenue, Carlsbad. Lusardi
Construction is currently constructing the building shell and is the anticipated
contractor on the tenant improvements.
BASIS OF PROPOSAL
Our proposal is based on our telephone conversations, the drawings and supporting
correspondence.
SCOPE OF SERVICES AND FEES
A. DETAILED COST ESTIMATE OF PROPOSED TENANT IMPROVEMENTS
We propose to provide a detailed unit cost estimate organized by CSI division. Our
estimate will include detailed quantities and costs of minor structural modifications,
and all architectural work. The mechanical drawings lack sufficient information to
provide a complete detailed cost estimate. We will provide an estimate for this work
on a square foot basis. We will provide a plumbing estimate based on fixture and

equipment counts. Our base fee includes estimating electrical costs on a square
foot basis. We will provide six bound copies and one loose original of our final work
product.
Our proposed fee for the above services is:
Three Thousand, One Hundred and Ftfty Dollars ($3,150.00)
B. DETAILED ELECTRICAL COST ESTIMATE OF PROPOSED TENANT
IMPROVEMENTS
Our base fee (Section A) includes providing an electrical estimate on a square foot
basis. If required, we will provide a detailed unit cost estimate for all electrical work.
Our proposed fee for the above services is:
One Thousand, One Hundred and Twenty Dollars ($1 ,I 20.00)
C. REVIEW UNIT COSTS IN CONTRACTOR’S ESTIMATE OF VARIOUS SITE
AND SHELL BUILDING MODIFICATIONS
We propose to review the unit costs in the general contractor’s cost estimate for
various site and shell building modifications dated April 19, 1999 and provide a
written report comparing our opinion of unit costs with the contractor’s

IV. TIME OF PERFORMANCE
We are aware of your need to obtain our estimates at the earliest possible date and
will make every effort to provide a draft work product by Friday, May 28, 1999.
V. EXCLUSIONS AND QUALIFICATIONS
A. We exclude any work not specifically included above. Updates to our work
products not included above will be invoiced at our regular hourly rates which
follow:

B. If color plots, blue lines or bound reports are required as a part of our work, we
will provide the number of plots or reports noted above as part of our basic fee.
Additional plots or reports will be invoiced at the following rates:
11” x 17” Color Plots $3.00 per sheet
24” x 36” Color Plots $20.00 per sheet 36" x 48" Color Plots $30.00 per sheet
Blue Line Reproductions At cost
Extra Bound Reports $20.00 per bound copy
C. Our fees include delivery of our work products by fax and regular mail. Same
day or overnight delivery of our work products will be invoiced at our cost,
D. We exclude meetings or site visits not listed above.
VI. CONTRACT CONDITIIONS
Payment is expected within 30 days of invoicing.

1635 FARADAY AVENUE
Enclosed are 3 copies of an agreement with Construction Analysts, Incorporated (“CAP’) to
provide the City a cost estimating analysis for our acquisition of the building at 1635 Faraday
Avenue. CA1 is reviewing on our behalf both the shell building costs and the tenant
improvement costs assembled by Lusardi Construction working for the building owner Bill
Shirley, d.b.a., Faraday Business Plaza, Inc. We need an independent analysis to verify costs
received from the developer for the building construction.
CA1 is the group we have used extensively in the past (Senior Center, City Library, Batiquitos
Lagoon, Fire Station No. 5, and other projects) to review independently both our own design
architect’s work as well as verify construction costs. They are very skilled in this type of work
and have provided us with cost estimating services in the past which have guided some important
design decisions.
The cost for the review is $7,500. Funds are available in the Faraday Project account.
