TO THE HONORABLE MAYOR AND THE HONORABLE COUNSEL OF THE CITY
OF CARLSBAD, CALIFORNIA:
The undersigned, HOWARD L. GLASGOW, hereby offers to purchase from
the CITY OF CARLSBAD, the foUowing described real property:
Lots 13,14,15,16,1-7,18,19, 20, and 21 in Block 39, Carlsbad Townsite
as per Map thereof No. 353, filed in the Office of the County Recorder,
San Diego County, California on May 2,1888. Being the real property
located on the southerly side of Elm Avenue, between Madison and
Roosevelt Streets in the City of Carlsbad, County of San Diego , State
of California,
PURCHASE PRICE. The undersig5ed offers to purchase the above described real
property for the sum of$ ^^^I'^O ^ to be paid as follows:

2. The balance of $ ^4,'^cash to be paid on or before the close of escrow.
CARLSBAD ADULT LIBRARY. It is expressly understood and agreed by the undersign-
ed with the CITY OF CARLSBAD that in the event this offer is accepted the CITY OF
CARLSBAD will have the right and privilege to use, rent free, for a period not to
exceed two years from date of sale the building now housing the City of Carlsbad
Adult Library,
ESCROW. Title Insurance and Trust Company, 220 "A" Street, SanDiego, California
or such other escrow company as the City may designat.e^ shall be the escrow holder
and the undersigned will open or cause to be opened within five (5) days of date of
acceptance of this offer, an escrow which shall be for thirty (30) days . Each party
to pay one-half (1/2) of the escrow fees,
PRORATIONS. Taxes and insurance, if any, t"o be prorated to the close of escrow.
TITLE. Title to said premises is to be shown marketable and free of all encumb-
rances"(except rights, rights-of-way, and easements cf record), by evidence of
the standard form of-policy of Title Insurance to be issued by Title Insurance and
Trust Company, with liability in the amount of the sales price, to be procured by
seller at their expense, which policy shall be delivered to purchaser upon record-
ation of Grant Deed conveying said property to the undersigned.
Should seller be unable to furnish said policy of Title Insurance and Grant
Deed within thirty (30) days from date of opening of escrow, seller agrees to pro-
cure and perfect said title at their expense, or at the option of the undersigned to
return said deposit.
Should the purchase fail to complete the purchase of said property as herein
provided, the amount paid hereon may be retained by the seller at their option as
consideration for the execution of this Agreement. Time is of the essence of this
Agreement,
VESTING, Title shall be vested in the undersigned, HOWARD L. GLASGOW and
MARTHA E. GLASGOW, husband and wife, as joint tenants, or as designated m
escrow by the undersigned.
Upon due execution, this Agreement shall be binding upon the parties, their
executors, administrators, heirs, successors and assigns.
Executed in Oceanside, California, on the 31st day of December, 1963.
The offer to purchase is hereby accepted this day of January, 1964.
