TRAN944 AMENDMENT NO. 3 TO EXTEND AND FUND THE AGREEMENT FOR AS-NEEDED INSPECTION AND CONSTRUCTION MANAGEMENT SERVICES (HARRIS & ASSOCIATES, INC.) This Amendment No. 3 is entered into and effective as of the ?.;Yh day of ~fflb:C!V , 20 1~. extending the agreement dated October 2, 2012 (the "Agreeme t") by and between the C1ty of Carlsbad, a mun1c1pal corporation, ("C1ty"), and HARRIS & ASSOCIATES, INC., ("Contractor") (collectively, the "Parties") for as-needed inspection and construction management services. RECITALS A. On September 30, 2013, the Parties executed Amendment No.1 to the Agreement to extend and fund the Agreement for a period of one year, ending on October 2, 2014; and B. On September 26, 2014, the Parties executed Amendment No.2 to the Agreement to extend and fund the Agreement for a period of one year, ending on October 2, 2015; and C. The Parties desire to extend and fund the Agreement for a period of one year, ending on October 2, 2016, in an amount not to exceed six hundred thousand dollars ($600,000). NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. The Agreement, as may have been amended from time to time, is hereby extended and funded for a period of one year ending on October 2, 2016, in an amount not to exceed six hundred thousand dollars ($600,000). 2. All other provisions of the Agreement, as may have been amended from time to time, shall remain in full force and effect. 3. All requisite insurance policies to be maintained by the Contractor pursuant to the Agreement, as may have been amended from time to time, shall include coverage for this Amendment.
