THIS AGREEMENT is entered into this 1st day of January, 1981,
by and between the llpartiesl' CHARLES D. HOBBS, INC., a California
corporation, (referred to as "Consultant") , and COSTA REAL MUNICIPAL
WATER DISTRICT, a water district, (referred to as "Client").
RECITALS
WHEREAS, Client desires certain management consulting servi-
ces; and
WHEREAS, Consultant possesses the necessary qualifications to
perform said services; and
WHEREAS, it is the desire of the parties to set forth the
terms and conditions under which the Consultant shall provide Client
with such services;
NOW, THEREFORE, it is agreed by and between the parties here-
to as follows:
1. Scope of Work: Client retains Consultant, and Consult-
ant agrees to perform the following services:
A. Consultant shall design and carry out, for and
in conjunction with Client, a service planning project

to determine future demand for Client services, Client
technical and fiscal resource requirements, and optimal
methods of meeting future needs.
B. Consultant shall develop, for and in conjunc-
tion with Client, management plans for meeting future
service and facilities needs.
C. Consultant shall assist Client in implementing
management plans developed in Task B.
2. Period of Contract: Consultant agrees to perform de-
scribed services commencing January l, 1981 and thereafter, subject
to maximum compensation provisions hereinafter. Client agrees to
provide necessary resources, including access to Client records and
personnel, and timely meetings with the Client's Service Planning
Committee, to facilitate contract performance within the agreed pe-
r iod .
3. Sub-contracts: Consultant is hereby authorized to sub-
contract for portions of the described services.
4. Compensation: Client agrees to pay Consultant, for work
performed within the Scope of Work, at rates enumerated in Appendix
A to this Agreement, subject to maximum compensation provisions
hereinafter. Client shall pay Consultant, upon receipt of monthly
invoices submitted by Consultant, itemized as to tasks performed,
time and labor rates related to each task, and travel and other di-
rect administrative costs incurred. Actual travel and other direct
administrative costs shall be charged. Applicable sub-contractor
invoices shall be attached to Consultant invoices.

5. Assignment: Consultant shall not assign any rights or
liabilities under this Agreement without the prior written consent
of Client, without which consent any such assignment shall be de-
clared null and void.
6. Independent Contractor: Consultant is retained herein
as an independent contractor and not an employee nor agent of client.
Consultant shall be responsible for all taxes, Workers' Compensation
Insurance and other statutorily required insurance and taxes for
Consultant and Consultant's employees.
7. Force Majeure: Either party shall be excused from de-
lays in his performance hereunder for causes beyond his control,
which include, but are not limited to, fire, flood, adverse weath-
er, riot, pestilence, strikes and intervention of governmental acts,
laws or regulations. In the event of such delays, the party being
delayed shall notify the other party as soon as practicable of the
extent and duration of such delay.
8. Maximum Compensation: Irrespective of other terms here-
in stated, the Maximum Compensation to be paid under this Agreement
shall be the sum of Twenty Thousand Dollars ($20,000.00), unless
there is a specific authorization by the Board of Directors of COSTA
REAL MUNICIPAL WATER DISTRICT for additional compensation; such au-
thorization to be adopted prior to any additional services rendered
under this Aqreement.
9. Entire Agreement: This Agreement constitutes the entire
understanding of the parties and shall not be amended unless so done
in writing and executed by both parties hereto.

10. Paragraph Headings: Paragraph headings as used herein
are for ease of reference only and shall not be used to interpret,
alter, amend nor modify the terms and conditions of this Agreement.
IN WITNESS WHEREOF, the parties have caused this Agreement to
be executed as of the 1st day of January, 1981.
