Growth Management Plan Traffic Monitoring Program
The City Council of the City of Carlsbad adopted Resolution No. 94
144, approving an agreement on June 7, 1994, with JHK & Associate:
to provide for Traffic Engineering Services relating to the 199,
Growth Management Plan Traffic Monitoring Program.
In accordance with Section 25 of the agreement, you are required tc
file a Conflict of Interest Statement with the City Clerk of thc
City of Carlsbad. Anyone in the company who is working on thi:
city project must file Form 730, Statement of Economic Interests and must report Disclosure Category 1 which includes Schedules A
B, C-1, C-2, D, E, F, G, H-1, H-2, and H-3.
Enclosed for your use in meeting the filing requirements is a Fori
730 and Instructions, and a copy of the Appendix to the Loca
Conf:Lict of Interest Code. We will provide additional forms up01
request. Also enclosed is a fully executed original agreement an a copy of Resolution No. 94-144 for your files.
Your completed Assumins Office Statement is due in the City Clerk' Office no later than 5:OO p.m., on July 8, 1994.

AGREEMENT FOR
TRAFFIC ENGINEERING SERVICES
I994 GROWTH MANAGEMENT PLAN TRAFFIC MONITORING PROGRAM
THIS AGREEMENT, made and entered into as of the 9th day (
, 1994, by and between the CITY OF CARLSBAD, a municip(
corporation, hereinafter referred to as "City", and JHK & ASSOCIATES, hereinafte
referred to as "Consultant".

RECITALS
City requires the services of a traffic engineering consultant to provide thl
necessary traffic counting, intersection and roadway mid-block capacity calculations anc
reporit writing services for preparation of the 1994 Growth Management Plan Traffi
Monitoring Program; and Consultant possesses the necessary skills and qualifications tc
provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and the mutual covenant!
contained herein, City and Consultant agree as follows:
1. CONSULTANT'S OBLIGATIONS
Consultant shall complete the 1994 Growth Management Plan Traffic Monitorin(
Program in accordance with the provisions of its proposal to the City of Carlsbad, datec
April 20, 1994, and attached hereto as Exhibit "A".

2. CITY OBLIGATIONS
The City shall provide all relevant data at its disposal relative to the proposec
study and assist in coordination and obtaining additional data from other agencies tc
allow the expeditious completion of the scope of services outlined in Exhibit "A".
3. PROGRESS AND COMPLETION
The work under this contract will begin within ten (10) days after receipt o
notification to proceed by the City and be completed within one hundred eighty (180-
days of that date. Extensions of time may be granted if requested by the Consultant anc
agreed to in writing by the City Engineer. The City Engineer will give allowance fot
documented and substantiated unforeseeable and unavoidable delays not caused by 8
lack 01 foresight on the part of the Consultant, or delays caused by City inaction or other
agencies' lack of timely action.
4. FEES TO BE PAID TO CONSULTANT
The total shall not exceed the fee payable according to Paragraph 6, "Payment oi
Fees," and shall be $44,014. No other compensation for services will be allowed excepi
those items covered by supplemental agreements per Paragraph 8, "Changes in Work."
5. DURATION OF CONTRACT
This agreement shall extend for a period of one hundred eighty (180) days from
date thereof. The contract may be extended for one (I) additional one (1) year periods
or parts thereof, based upon satisfactory performance and the City's needs.

6. PAYMENT OF FEES
Upon completion of the 1994 Growth Management Plan Traffic Monitorins
Program, the Consultant shall submit an invoice to the City Engineer. Progress paymen
shall tie based on the estimated percentage of completion of each phase or task a:
presented in the proposed cost estimate. The City will forward payment to the Consultan
within thirty (30) days.
7. FINAL SUBMISSIONS
Wthin fourteen (14) days of completion and approval of the draft 1994 Growtt-
Management Plan Traffic Monitoring Program, the Consultant shall deliver to the City thE
following items:
1. Ten (IO) final report copies, bound in a three-ring binder of the
1994 Growth Management Plan Traffic Monitoring Program.
2. Original final report copy (unbound) of the 1994 Growtt
Management Plan Traffic Monitoring Program.
8. CHANGES IN WORK
If, in the course of the contract, changes seem merited by the Consultant or the City
and informal consultations with the other party indicate that a change in the conditions
of the contract is warranted, the Consultant or the City may request a change in contract.
Such changes shall be processed by the City in the following manner: A letter outlining
the required changes shall be forwarded to the City by Consultant to inform them of the
proposed changes along with a statement of estimated changes in charges or time
schedule. A supplemental agreement shall be prepared by the City and approved by the

City according to the procedures described in Carlsbad Municipal Code Section 3.28.1 72
Such supplemental agreement shall not render ineffective or invalidate unaffected portion
of the agreement.
9. COVENANTS AGAINST CONTINGENT FEES
The Consultant warrants that their firm has not employed or retained any compan!
or person, other a bona fide employee working for the Consultant, to solicit or secure thit
agreement, and that Consultant has not paid or agreed to pay any company or person
other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift
or any other consideration contingent upon, or resulting from, the award or making of this
agreement. For breach or violation of this warranty, the Clty shall have the right to annul
this agreement without liability, or, in its discretion, to deduct from the agreement price
or consideration, or otherwise recover, the full amount of such fee, commission
percentage, brokerage fees, gift, or contingent fee.
10. NONDISCRIMINATION CLAUSE
The Consultant shall comply with the state and federal laws regarding
nondiscrimination.
11. TERMINATION OF CONTRACT
In the event of the Consultant’s failure to prosecute, deliver, or perform the work as
provided for in this contract, the City may terminate this contract for nonperformance by
notifying the Consultant by certified mail of the termination of the Consultant. The

Consultant, thereupon, has five (5) working days to deliver said documents owned by thc
City and all work in progress to the City Engineer. The City Engineer shall make i
determination of fact based upon the documents delivered to City of the percentage o
work which the Consultant has performed which is usable and of worth to the City ir
having the contract completed. Based upon that finding as reported to the City Manager
the Manager shall determine the final payment of the contract.
12. DISPUTES
If a dispute should arise regarding the performance of work under this agreement
the following procedure shall be used to resolve any question of fact or interpretation no.
otherwise settled by agreement between parties. Such questions, if they becomc
identified as a part of a dispute among persons operating under the provisions of this
contract, shall be reduced to writing by the principal of the Consultant or the City
Engineer. A copy of such documented dispute shall be forwarded to both parties
involved along with recommended methods of resolution which would be of benefit to
both parties. The City Engineer or principal receiving the letter shall reply to the letter
along with a recommended method of resolution within ten (10) days. If the resolution
thus obtained is unsatisfactory to the aggrieved party, a letter outlining the dispute shall
be forwarded to the City Council for their resolution through the Office of the City
Manager. The City Council may then opt to consider the directed solution to the
problem. In such cases, the action of the City Council shall be binding upon the parties
involved, although nothing in this procedure shall prohibit the parties seeking remedies
available to them at law.

13. $USPENSION OR TERMINATION OF SERVICES
Tlhis agreement may be terminated by either party upon tendering thirty (30) day:
writteri notice to the other party. In the event of such suspension or termination, upor
request of the City, the Consultant shall assemble the work product and put same it
order for proper filing and closing and deliver said product to City. In the event o
termination, the Consultant shall be paid for work performed to the termination date
however, the total shall not exceed the lump sum fee payable under paragraph 4. Thc
City shall make the final determination as to the portions of tasks completed and thc
compensation to be made.
14. STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for herein in Consultant’s owr
way as an independent contractor and in pursuit of Consultant’s independent calling, and
not as an employee of the City. Consultant shall be under control of the City only as to
the result to be accomplished, but shall consult with the City as provided for in the
request for proposal.
The Consultant is an independent contractor of the City. The payment made to the
Consultant pursuant to the contract shall be the full and complete compensation to which
the Cansultant is entitled. The City shall not make any federal or state tax withholdings
on behalf of the Consultant. The City shall not be required to pay any workers’
compensation insurance on behalf of the Consultant. The Consultant agrees to indemnify
the City for any tax, retirement contribution, social security, overtime payment, or workers’

compensation payment which the City may be required to make on behalf of thc
Consultant or any employee of the Consultant for work done under this agreement.
The Consultant shall be aware of the requirements of the Immigration Reform an(
Control Act of 1986 and shall comply with those requirements, including, but not limitec
to, verifying the eligibility for employment of all agents, employees, subcontractors anc
consultants that are included in this agreement.
15. CONFORMITY TO LEGAL REQUIREMENTS
The Consultant shall cause all drawings and specifications to conform to al
applicable requirements of law: federal, state and local. Consultant shall provide all
necessary supporting documents, to be filed with any agencies whose approval is
necessary.
The City will provide copies of the approved plans to any other agencies.
16. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, and specifications as herein required
are the property of the City, whether the work for which they are made be executed or
not. In the event this contract is terminated, all documents, plans, specifications,
drawings, reports, and studies shall be delivered forthwith to the City. Consultant shall
have the right to make one (1) copy of the plans for his/her records.

17. REPRODUCTION RIGHTS
The Consultant agrees that all copyrights which arise from creation of thc
work pursuant to this contract shall be vested in City and hereby agrees to relinquish a
claims to such copyrights in favor of City.
18. HOLD HARMLESS AGREEMENT
The City, its officers, and employees shall not be liable for any claims, liabilities
penalties, fines, or any damage to goods, properties, or effects of any person whatever
nor for personal injuries or death caused by, or resulting from, any intentional or negligen
acts, errors or omissions of Consultant or Consultant’s agents, employees, 01
representatives. Consultant agrees to defend, indemnify, and save free and harmless the
City and its officers and employees against any of the foregoing claims, liabilities
penalties or fines, including liabilities or claims by reason of alleged defects in any plans
and specifications, and any cost, expense or attorney’s fees which are incurred by the
City on account of any of the foregoing.
19. &SSlGNMENT OF CONTRACT
The Consultant shall not assign this contract or any part thereof or any monies due
thereunder without the prior written consent of the City.
20. SUBCONTRACTING
If the Consultant shall subcontract any of the work to be performed under this
contract by the Consultant, Consultant shall be fully responsible to the City for the acts

and omissions of Consultant’s subcontractor and of the persons either directly o
indirectly employed by the subcontractor, as Consultant is for the acts and omissions c
persons directly employed by consultant. Nothing contained in this contract shall creatc
any contractual relationship between any subcontractor of Consultant and the City. Thc
Consultant shall bind every subcontractor and every subcontractor of a subcontractor b!
the terms of this contract applicable to Consultant’s work unless specifically noted to thc
contrary in the subcontract in question approved in writing by the City.
21. PROHIBITED INTEREST
No official of the City who is authorized in such capacity on behalf of the City tc
negotiate, make, accept, or approve, or take part in negotiating, making, accepting, 01
approving of this agreement, shall become directly or indirectly interested personally ir
this contract or in any part thereof. No officer or employee of the City who is authorizec
in such capacity and on behalf of the City to exercise any executive, supervisory, 01
similar functions in connection with the performance of this contract shall become directl)
or indirectly interested personally in this contract or any part thereof.
22. VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent, or employee of the City,
either before, during or after the execution of this contract, shall affect or modify any of
the terms or obligations herein contained nor entitle the Consultant to any additional
payment whatsoever under the terms of this contract.

23. SUCCESSORS OR ASSIGNS
Subject to the provisions of Paragraph 18, "Hold Harmless Agreement," all term:
conditions, and provisions hereof shall insure to and shall bind each of the parties heretc
and each of their respective heirs, executors, administrators, successors, and assigns

This agreement shall be effective on and from the day and year first written above
25. CONFLICT OF INTEREST
The Consultant shall file a conflict of interest statement with the city clerk ir
accordance with the requirements of the City's conflict of interest code. The disclosurc
category shall be categories: A, B, C-1 and C-2 (investment and Real Property), D, E,
F, H-1 and H-3 (Personal Income), H-2 (Business Entity Income), and G (Business
Position).
26. INSURANCE
The Consultant shall obtain and maintain policies of general liability insurance
automobile liability insurance, and a combined policy of worker's compensation anc
employers liability insurance from an insurance company authorized to do business in the
State of California which meets the requirements of City Council Resolution No. 91-403
in an insurable amount of not less than one million dollars ($1,000,000) each, unless a
lower amount is approved by the City Attorney or the City Manager. This insurance shall

be in fforce during the life of this agreement and shall not be canceled without thirty (30
days prior written notice to the City sent by certified mail.
The City shall be named as an additional insured on these policies. The Consultan
shall furnish certificates of insurance to the City before commencement of work.

For this project, Steve Smith, P.E. will serve as the Responsible Officer and lead t
Executive Review Team. He will help ensure that the project team consistently maintains hi1
levels of quality control. Mr Brian Shields, P.E. will serve as the Project Director and will
responsible for overall project management and production scheduling. His experience wi
traffic operations, capacity analysis, and the four most recent growth management reports for ti
City of Carlsbad will be useful in developing the final report. Mr. Shields, a registered trafi
and civil engineer, will also sign and seal the final report. In addition, Mr. Erik Ruehr w
ensure that the report addresses any future planning issues relevant to the City. Also, Mr. Bri
Thornton will coordinate and supervise data collection and reduction efforts. His heak

The following is a description of the scope of work by task.
Task I - Project Orientation and Coordination
The initial task of the project is to become familiar with the study area and introduce ke:
JHK personnel to City staff. A project orientation meeting will be held to discuss thi
coordination of intersection counts with mid-block counts. At this meeting count schedules fo
both intersection and mid-block locations will be submitted. Count schedules will be coordinatec
with local construction activities and detours in order to obtain unbiased results. Count location
and times will not be changed without the City’s prior approval.
Task I1 - Data Collection
Data collection will be performed at 47 intersections (Exhibit 1) and 27 mid-bloc1
locations (Exhibit 2). A temporary employment agency will be used to process payroll fol
temporary personnel needed to complete the data collection for the intersections. Engineerini
students from local universities will act as data counters, and JHK will instruct temporaq
personnel on the proper data collection techniques. The data will be collected for the same time
periods identified in previous Growth Management Plan Traffic Monitoring Programs and wil
be supervised by JHK staff. Field sketches will be drawn of intersection geometrics, and thesr
geometrics will be used as input for ICU analysis. The data will then be reviewed for accurac)
and directional discrepancies.
Similar to the last five years, JHK will also collect data at unsignalized locations. Ir
order to better determine unsignalized intersection LOS values, JHK will conduct delay studies
during the peak hour volume counts. This data will help verify recently established procedures
covering unsignalized intersection LOS calculations.
Mid-block counts will be performed according to the current standards determined in
previous Growth Management Plan Traffic Monitoring Programs. Two consecutive 24-hou1
counts will be performed using dual tube set ups. These counts should be completed within six
weeks. Intersection turn movement counts will be performed in conjunction with nearby mid-
block counts. JHK will coordinate the placement of the counters with City staff and monitor and
review the data collection at these mid-block locations. With JHK staff responsible for this
portion of Task II many potential discrepancies will be avoided.

Task IiI - Data Reduction
To meet time constraints for the delivery of the draft 1994 Growth Management Plai
Traffic Monitoring Program report in late September, the data reduction will need to b(
efficiently timed with the data collection. The data reduction for the intersections will conforn
to the format of the previous Growth Management Plan Traffic Monitoring Programs with thl
incorporated changes. This data will be reviewed and checked for directional errors and inpu
errors. In addition, the ICU will also be reviewed and verified for operational consistency.
The data reduction for mid-block locations will be reviewed by JHK to ensure tha
directional distribution and peak hour data are accurate. The format will conform to the mid
block summary configuration of the 1990, 1991, 1992, and 1993 Growth Management Plans
This format included a tabular and graphical summary of the mid-block data. An ADT trenr
analysis graph will also be provided for any mid-block locations with four years or more wort1
of data.
Task IV - Final Report Preparation
The Final Report will be prepared similar to the previous Growth Management Plar
Traffic Monitoring Programs. Eleven copies will be provided, ten punched and in three ring
binders and one unbound copy. The fist draft submittal by JHK will be September 21, 1994
with approximately four weeks for City staff review and comment.
Task V - HCM Signalized Intersection Capacity Analysis (Optional)
The development of the 1985 HCM software for capacity analysis at signalized
intersections has started the slow process of unifying capacity analysis techniques. Although
current application has been occasionally questioned, the method of including phasing, percent
green time, and stop time delay has been recognized as the most complete analysis available.
It is the opinion of JHK that the conversion to the use of HCM intersection capacity analysis will
continue as the program is continually refined by McTrans. With this in mind, JHK offers Task
V as an optional task. Task V will consist of the analysis of all intersections that test at level
of service C or worse under the ICU procedure by utilizing HCM analysis for that period. Level
of Service C was chosen as the threshold for this task based upon work completed in Chula Vista
where levels of service comparisons between the two analysis procedures revealed that HCM was
generally one level of service worse than ICU. That is LOS C in the ICU analysis could possibly
be LOS D under HCM analysis. Field estimates will be made concerning signal timing, grades,
progression and other characteristics. These characteristics will be incorporated into each HCM
analysis. The City would need to provide JHK with current signal timing charts for the critical
locations. The analysis would be performed and summarized apart from the 1994 Growth
Management Plan Traffic Monitoring Program and would be provided to the City in a letter

report format. Task V has been included in the proposal on a per intersection basis to allow fo
the correct number of intersections to be analyzed.
JHK is pleased to be considered for the 1994 Growth Management Plan Traffic
Monitoring Program. Our previous work with the City staff will make the coordination an(
