This agreement is entered into by and between LA COSTA COM-
MUNITY ANTENNA SYSTEM, INC., A California corporation, ("LA COSTA")
and COSTA REAL MUNICIPAL WATER DISTRICT, a municipal water district
organized and existing under the Municipal Water District Act of
1911, as amended, ("COSTA REAL") with reference to the following
facts.
A. On December 18, 1980, DAON CORPORATION, a Delaware cor-
poration, ("DAON"), LA COSTA LAND COMPANY, an Illinois corporation,
("LA COSTA LAND") and RANCHO LA COSTA, INC., a Nevada corporation,
("RANCHO LA COSTA") executed an Agreement of Purchase and Sale of
Corporate Stock (the "Stock Agreement") pursuant to which DAON
agreed to acquire all of the outstanding common and preferred shares
of LA COSTA LAND from RANCHO LA COSTA.
B. The Stock Agreement was amended by document dated March
9, 1981, executed by DAON, RANCHO LA COSTA and LA COSTA LAND (the
'I F i r s t Am e ndm e n t I' ) .
C. Paragraph 13 of the First Amendment added Paragraph 19
to the Stock Agreement, which reads in pertinent part as follows:

"19. Conveyance of Lot 'IC1' to Seller.
As soon as practicable following the
creation of a parcel known as Lot "C", . . . Daon shall cause Lot "C" to be conveyed to
(Rancho La Costa) , its successor in , interest , or its nominee. . . . The purchase price for
Lot 'IC" shall be One Dollar ($1.00). Convey-
ance of Lot "C" pursuant to this paragraph
shall be expressly conditioned upon release
of the parcel from any deed of trust of which
the (Central States Southeast and Southwest
Areas) Pension Fund is the beneficiary and
from the Daon Deed of Trust (as defined in
the Stock Agreement) without the payment of
any consideration by Daon or (La Costa Land)."
D. Paragraph 21 of the First Amendment added Paragraph 27
to the Stock Agreement, which reads in pertinent part as follows:
"27. Lot 22 to be Conveyed to Costa Real Water District.
The parties understand that (La Costa
Land or its successor in interest) may be re-
quired to sell to the Costa Real Water Dis- trict a parcel of property known as "Lot 22". . . . The terms and conditions of the sale
remain to be agreed on. (Rancho La Costa)
agrees, however, should such a sale take
place, Lot 22 shall be released from the
Daon Deed of Trust (as defined in the Stock
Agreement) for a release price equal to the
difference between the net proceeds, if any, received by corporation from such sale, af- ter payment of all fees, charges, premiums and commissions, and the amount paid to the (Central States Southeast and Southwest
Areas) Pension Fund, to release the parcel
from the Pension Fund encumbrance. The re-
lease payment to (Rancho La Costa) shall not
exceed, however, the amount which otherwise
would have been paid to (Rancho La Costa) to
release the Parcel from the Daon Deed of
Trust absent this paragraph."
E. Lot 22 as described in Paragraph D above shall be re-

ferred to in this Agreement as the "Reservoir Site". The Reservoir
Site is more particularly described in Parcel "A", attached hereto
and incorporated by reference. ~ot "C" as described in Paragraph
C above shall be referred to in this Agreement as the "C.A.T.V.
Site". The C.A.T.V. Site is more particularly described in Parcel
"B", attached hereto and incorporated by reference.
F. By separate agreement, to which LA COSTA is not a party,
DAON is agreeing to sell and transfer to COSTA REAL the following
properties :
a. Fee title to a parcel of real property de-
scribed in Parcel "H", attached hereto and incor-
porated by reference. Parcel "H" contains the Re-
servoir Site (Parcel "A") and the C.A.T.V. Site
(Parcel IIB" ) .
b. An easement for road purposes described in
Parcel "D", attached hereto and incorporated by
reference.
c. An easement for water transmission purposes
described in Parcel "C", attached hereto and incor-
porated by reference.
d. An easement for underground cable T. V. and
electrical systems described in Exhibit "I", at-
tached hereto and incorporated by reference.
NOW, THEREFORE, for and in consideration of the mutual pro-
mises, agreements and provisions contained herein, the parties
agree as follows:

1. As soon as reasonably practicable after the DAON/COSTA
REAL transfers are completed, COSTA REAL shall convey to LA COSTA
the following:
a. Fee title to C.A.T.V. Site (Parcel "B").
b. Easement for road purposes as described in Par-
cel 'ID".
c. Easement for underground cable T. V. and elec-
trical systems described in Exhibit "I".
d. Easement for road purposes over the Reservoir
Site (Parcel "A") to the C.A.T.V. Site (Parcel
"B") described in Parcel "E", attached hereto
and incorporated by reference.
2. Any easements for underground cable T. V. and electrical
systems granted to LA COSTA shall include the right to construct,
install and service any underground cables and electrical utilities
connected therewith.
3. This Agreement may be executed in one or more counter-
parts and as executed shall constitute one and the same agreement,
binding on all of the parties hereto, notwithstanding that all of
the parties are not signatory to the original or the same counter-
part.
4. The use herein of (a) any gender, masculine, feminine
or neuter, shall include all genders, and (b) any number, singular
or plural, shall include all numbers, whenever the context so re-
quires.

5. This Agreement contains the entire agreement between
the parties relating to the transactions contemplated hereby, and
all prior or contemporaneous agreements, understandings, represen-
tations and statements, oral or written, are merged herein.
6. No modification, waiver, amendment, discharge or change
of this Agreement shall be valid unless the same is in writing and
signed by the party against which the enforcement of such modifica-
tion, waiver, amendment, discharge or change is or may be sought.
7. In the event either party commences litigation for the
judicial interpretation, enforcement or rescission hereof, the pre-
vailing party shall be entitled to a judgment against the other for
an amount equal to reasonable attorneys' fees and court and other
costs incurred.
8. All terms of this Agreement shall be binding upon and
inure to the benefit of and be enforceable by the parties hereto and
the ir respective legal represen tat ives , successors and ass igns.
9. In the event any terms, covenant, condition, provision
or agreement herein contained is held to be invalid or void by any
court of competent jurisdiction, the invalidity of any such term,
covenant, condition, provision or agreement shall in no way affect
any other term, covenant, condition, provision or agreement herein
contained .

10. This Agreement shall be construed and enforced in ac-
cordance with the laws of the State of California.
11. Time is of the essence of this Agreement and each and
every provision hereof.
