,.—7&/4^Q? 2006. amending the agreement dated June 5th, 2006 (the "Agreement") by and between
City of Carlsbad, a municipal corporation, ("City"), and Network Cabling Incorporated,
("Contractor") (collectively, the "Parties") for data and voice cabling at the Water District.
RECITALS
A The Parties desire to alter the Agreement's scope of work to Water District Data and
Voice Re-cabling Project; and
B. The Parties have negotiated and agreed to a supplemental scope of work and fee
schedule, which is attached to and incorporated by this reference as Exhibit "A", Scope of
Services and Fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained
herein, City and Contractor agree as follows:
1. In addition to those services contained in the Agreement, as may have
been amended from time to time, Contractor will provide those services described in Exhibit "A".
2. City will pay Contractor for all work associated with those services
described in Exhibit "A" on a time and materials basis not-to-exceed one thousand twenty nine
dollars ($1,029). Contractor will provide City, on a monthly basis, copies of invoices sufficiently
detailed to include hours performed, hourly rates, and related activities and costs for approval by
City.
3. Contractor will complete all work described in Exhibit "A" by August 7,
2006.
4. All other provisions of the Agreement, as may have been amended from
time to time, will remain in full force and effect.
5. All requisite insurance policies to be maintained by Contractor pursuant to the
Agreement, as may have been amended from time to time, will include coverage for this
Amendment.
6. The individuals executing this Amendment and the instruments referenced in it on
behalf of Contractor each represent and warrant that they have the legal power, right and actual
authority to bind Contractor to the terms and conditions of this Amendment.

EXHIBIT "A"
SCOPE OF SERVICES AND FEE
Pricing Modification For Amendment Scope of Work:
I deducted the FOC, cabinets, connectors, connector panels, innerduct, fiber jumpers and
all testing labor tax which came to $1,905.00. I added the cable tray, associated hardware,
additional 50 pair feed cable, (2) Ca6£ backbone cables and associated hardware and the
change for the dual to a quad in Engineering. That total came out to $2,934.00, a
difference of $1,029.00. I will go ahead and order the material per our conversation on
7/19/06.
Customer Responsibilities
Customer shall provide the following:
• Clear area access to all designated termination points and authorization to move office furniture as
required to access designated termination points. If office furniture must be moved to provide
clear access, NCI will charge $55.00 per man-hour. This charge will be presented to the customer
at the end of the job in the form of a Change Order.
• Clear area access to the designated TR and sufficient space to allow the installation of all racks,
cable, patch panels and wire managers. NCI will not move any equipment within the TR.
• Floor plans or drawings clearly marked to indicate each workstation location to be installed by
Network Cabling Inc.
• Cable route above the standard grid drop ceiling, conduit or other suitable routing method to each
specified location.
• Any plywood backboards that may be required to support the installation of wall-mounted
equipment.
• Any conduit, concrete core, or sleeves required penetrating fire rated demising walls as needed to
allow for reasonable cable routes, except those that have already been specified to be provided by
Network Cabling, Inc. in the Scope of Work.
• Access to and use of trash receptacles for disposal of waste generated during the course of work.
• Permission to work before and/or after normal business hours and/or on weekends to
accommodate customer schedule requirements.
• All necessary clearances and permits to perform work.
• Parking for two vehicles.

Facilities and Equipment
During the course of this project, Network Cabling Inc. will commit the following resources and
equipment to this project:
• Heavy-duty industrial drills
• Industrial hammer drills
• Non-conductive A-frame ladders
• Cable spool holders and dispensers
• Agilent Wirescope 350 Level III Testers
• Fiber Optic Power Meters
• Company installation vehicles
• Various hand tools required to install communications cabling
Testing
Testing will be accomplished with the use of an Agilent WireScope 350 compliant to ANSI
TIA/EIA T568-B.1 Level III specifications. Technicians will physically test each and every
terminated DTP workstation cable for compliance to current standards. For maximum efficiency,
"dual-injection" testers will be used to test both directions of signal travel.
Workstation Labeling
Network Cabling, Inc. does not use the "Random Victim" method of cable pulling and labeling.
Rather all workstations will be labeled in a consecutive numbering scheme such that each
faceplate will contain adjacent and consecutive cable numbers. All locations will be clearly
labeled, with machine generated labels, at both the workstation side and the TR side.
Warranty
Network Cabling, Inc. shall provide a 25-year ADC™ warranty on all products installed under this
proposal. The coverage excludes any damage to materials supplied and installed by Network
Cabling, Inc. that is the result of acts of God or of the public enemy, acts of the Government in
its sovereign capacity, fire, flood, negligence and/or misuse and any act to repair, change or
modify those materials supplied and installed by Network Cabling, Inc. without the specific
knowledge and permission of Network Cabling, Inc.
Documentation
Documentation of the physical cable plant layout will be generated with AutoCAD. A layer will be
added to drawing files provided to us by the customer that not only show the actual number
designation at each location, but cable paths back to the distribution frame that provides service

to the specific cable destination. A summary report will be printed, showing certification testing
for each Category 6 location installed. All above documentation will be presented to the
customer in an organized bound fashion.
Acceptance
After a complete walk through, sign off of the final work order stating all work has been done will
signify completion of the job.
Work Orders
At the time work is scheduled, a numbered Work Order will be produced which states the
following:
• Customer Name and Project Description
• Address of facility where work is to be done.
• Tasks to be performed.
Change Orders
During the course of the installation process, the customer or Network Cabling Inc. may, as
requested or as seems desirable, issue clarifications on the specifications. Should Network
Cabling Inc. believe that any clarification in fact constitutes a change to the contract, Network
Cabling Inc. shall so notify the customer in the form of a Change Proposal, identifying all
associated changes to the cost of the contract. If both parties accept the change proposal, it
shall be executed as a change to the contract that will amend the contract to the extent of
the change. When, in the judgment of the customer, a need for immediate action exists,
Network Cabling Inc. may be directed to proceed on a time and materials basis with the
proposed change. In no event shall changes involving extra cost to the customer be allowed
to proceed without prior approval. Network Cabling Inc. requests to be advised of the
identity of the person or persons who are authorized to direct Network Cabling Inc. to
commence any work or provide any materials on a time and materials basis, if in the
judgment of the customer this type of action is warranted.
Invoices
An Invoice will be created from the completed and signed Work Order or Change Order.
The Invoice will list the following:
• PO Number.
• Tasks completed and/or products installed.
• Unit and extended pricing.
The original and one copy of the invoice will be mailed with completed/signed Work Order.

Progress Payments and Deposit
Network Cabling Inc. requests that progress payments be agreed upon that provide even
distribution of payment over the course of the project in keeping with the percentage of
completion of the overall project.
Liability Coverage
Network Cabling Inc. currently caries the following insurance policies:
Comprehensive Auto Liability
$1,000,000 combined single limit.
Comprehensive General Liability
$2,000,000 and $1,000,000 each occurrence.
Workers Compensation
Network Cabling Inc.'s coverage is well within statutory limits.
Licensing
Network Cabling Inc. has been a licensed cabling contractor since 1987. The State of California
with a C-7 (low-voltage cabling) classification currently licenses us. Our current contractors'
license number is 749132.
Project Pricing
Network Cabling, Inc. offers its customers a Project Price. Our Project Price is
computed internally by multiplying our hourly labor rate by the time factor
required to accomplish the project installation. This time factor and our Project
Price is based upon our evaluation of the complexity of the work required, the
environment in which we will be working, our costs for doing business, the
current cost of materials, and, of course, our desire to remain competitive.
We believe our Project Price is advantageous to our customers, because your
price for the specified Scope of Work remains the same, regardless of how long
the project actually takes to perform. If we discover additional tasks or materials
are required that are outside of the initial Scope of Work, you will be contacted for
your approval prior to the work being performed, as outlined in the Change Order
section above.

MINOR PUBLIC WORKS CONTRACT
(Less than $25,000)
Labor
I propose to employ only skilled workers and to abide by all State and City of Carlsbad Ordinances
governing labor, including paying the general prevailing rate of wages for each craft or type of worker
needed to execute the contract.
Guarantee:
I guarantee all labor and materials furnished and agree to complete work in accordance with
directions and subject to inspection approval and acceptance by: Jeff Sevin

Wage Rates:
The general prevailing rate of wages for each craft or type of worker needed to execute the contract
shall be those as determined by the Director of Industrial Relations pursuant to Sections 1770,1773
and 1773.1 of the Labor Code. Pursuant to Section 1773.2 of the Labor Code, a current copy of the
applicable wage rates in on file in the Office of the City Engineer. The contractor to whom the
contract is awarded shall not pay less than the said specified prevailing rates of wages to all workers
employed by him or her in execution of the contract.
False Claims
Contract hereby agrees that any contract claim submitted to the City must be asserted as part of the
contract process as set forth in this agreement and not in anticipation of litigation or in conjunction
with litigation.
Contractor acknowledges that California Government Code sections 12650 et seq., the False Claims
Act, provides for civil penalties where a person knowingly submits a false claim to a public entity.
These provisions include false claims made with deliberate ignorance of the false information or in
reckless disregard of the truth or falsity of the information.
The provisions of Carlsbad Municipal Code sections 3.32.025, 3.32.026, 3.32.027 and 3.32.028
pertaining to false claims are incorporated herein by reference.
Contractor hereby acknowledges that the filing of a false claim may be subject to the contractor to an
administrative debarment proceeding wherein the contractor may be prevented from further bidding
on public contracts for a period of up to five years and that debarment by another jurisdiction is
grounds for the City of Carlsbad to disqualify the Contractor or subcontractor from participating in
contract bidding.

Commercial General Liability, Automobile Liability and Workers' Compensation Insurance:
The successful contractor shall provide to the City of Carlsbad, a Certification of Commercial
General Liability and Property Damage Insurance and a Certificate of Workers' Compensation
Insurance indicating coverage in a form approved by the California Insurance Commission. The
certificates shall indicate coverage during the period of the contract and must be furnished to the City
prior to the start of work. The minimum limits of liability Insurance are to be placed with insurers that
have: (1) a rating in the most recent Besfs Key Rating Guide of at least A-:V and (2) are admitted
and authorized to transact the business of insurance in the State of California by the Insurance
Commissioner.
Commercial General Liability Insurance of Injuries including accidental death, to any one person in
an amount not less than $500,000
Subject to the same limit for each person on account of one accident in an amount not less than
$500,000
Property damage insurance in an amount of not less than $100,000
Automobile Liability Insurance in the amount of $100,000 combined single limit per accident for
bodily injury and property damage. In addition, the auto policy must cover any vehicle used in the
performance of the contract, used onsite or offsite, whether owned, non-owned or hired, and whether
scheduled or non-scheduled. The automobile insurance certificate must state the coverage is for
"any auto" and cannot be limited in any manner.
The above policies shall have non-cancellation clause providing that thirty (30) days written notice
shall be given to the City prior to such cancellation.
The policies shall name the City of Carlsbad as additional insured.
Indemnity:
The Contractor shall assume the defense of, pay all expenses of defense, and indemnify and hold
harmless the City, and its officers and employees, from all claims, loss, damage, injury and liability of
every kind, nature and description, directly or indirectly arising from or in connection with the
performance of the Contract or work; or from any failure or alleged failure of Contractor to comply
with any applicable law, rules or regulations including those related to safety and health; and from
any and all claims, loss, damages, injury and liability, howsoever the same may be caused, resulting
directly or indirectly from the nature of the work covered by the Contract, except for loss or damage
caused by the sole or active negligence or willful misconduct of the City. The expenses of defense
include all costs and expenses including attorneys' fees for litigation, arbitration, or other dispute
resolution method.

Jurisdiction:
The Contractor agrees and hereby stipulates that the proper venue and jurisdiction for resolution of
any disputes between the parties arising out of this agreement is San Diego County, California.

Here is the requested estimate for the CABLE REPLACEMENT at the Water District
Building located at 5950 El Camino Real, Carlsbad Ca. This will be a Krone Cat 6 voice
and data installation. This project will also be Prevailing Wage.
This will be a Phase installation and will have to be completed during non business
hours for the most part. Phases will be described below.
Scope of Work
PHASE ONE (NORMAL BUSINESS HOURS)
• Identify and temp, label cables in MDF.
• Install 4" EMT conduit from Lunch Room to Kurt's office.
• Build new Backboard next to existing backboard.
• Install new 100 pair feed cable from MPOE to MDF
• Install customer provided cable from MPOE to Telemetry Room (Placement
only)

• Install TEMP 25 pair cables from NEC switch to new backboard
• Install PERM 25 pair cables for NEC switch on new backboard
• Install 2"EMT from Lunch Room to cubicles (Operations)
• Install 2" EMT from Karen's cubicle through Don Moore's office into the
Conference Room
• Install new 2"x2"x10' power pole at Karen's cubicle
• Install new 2"x2"x10' power pole at Gail Jones (Mary) cubicle.
• Provide new DATA patch cords for both ends. (HIGHBAND AND RJ45/45)
NOTE: Phase ONE is the preparation for the installation of new cable.
PHASE TWO (OFF BUSINESS HOURS-WEEKEND)
• Remove all existing cables that leave the MCR and extend into the
OPERATIONS DEPARTMENT.
• Install new Cat 6 voice and data to the OPERATIONS DEPARTMENT,
RECEPTION and OPERATION CENTER. This will include (20) v/d dual
locations and (1) voice only location. All cables will be terminated on the new
backboard and the voice extension will be crossconnected on the temp feed
cables. All data and voice cables will be identified, labeled and tested. All voice
extension will be verified for accuracy.
PHASE THREE (OFF BUSINESS HOURS-WEEKEND)
• Remove all existing cables that extend out from the MCR to the
ENGINEERING & INSPECTIONS and ADMINSTRATIONS AREA. This
includes all horizontal and feed cables.
• Install (1) 6 strand MM 62.5 FOC and (1) 50 pair Cat 3 cable from the MCR to
the new TR that is behind Skip Hammonds office. These cables will be placed
from the new backboard in the MCR through the new pathways into the new TR.
The FOC will be terminated with SC type connectors and placed inside a wall
mounted unit in both areas. The 50 pair cable will be terminated on 66 type
blocks in both areas.
• Install new Cat 6 voice and data to the ENGINEERING & INSPECTIONS and
ADMINSTRATIONS AREA. This will include approximately (33) dual locations.
All cables will be terminated on the new backboard and the voice extension will
be crossconnected on the temp feed cables. All data and voice cables will be
identified, labeled and tested. All voice extension will be verified for accuracy.

PHASE FOUR (NORMAL BUSINESS HOURS - IF POSSIBLE!
• Install new Cat 6 voice and data to the BACK BUILDING. This will include
approximately (8) dual locations. All cables will be terminated on the new
backboard and the voice extension will be crossconnected on the temp feed
cables. All data and voice cables will be identified, labeled and tested. All voice
extension will be verified for accuracy.
PHASE FIVE (OFF BUSINESS HOURS-WEEKEND)
• Relocate all T1's, relocate the NEC switch and relocate/jumper all phone lines
to new feed cable.
NOTE: PRIOR TO THE ACTUAL INSTALLATION OF NEW CAT 6 CABLE, A
MEETING IS REQUIRED WITH JEFF SEVIN TO VERIFY LOCATIONS AND
QUANTITIES.
Customer Responsibilities

and evening work.
• Clear area access to all designated termination and pulling points. This
includes all employees' personal effects under cubicles. All office furniture
must be relocated prior to NCI being on site.
• Clear area access to the designated TR and sufficient space to allow the
installation of all racks, cable, patch panels and wire managers. NCI will
not move any equipment within the TR.
• Floor plans or drawings clearly marked to indicate each workstation
location to be installed by Network Cabling Inc.
• Any concrete core required penetrating fire rated demising walls as
needed to allow for reasonable cable routes, except those that have
already been specified to be provided by Network Cabling, Inc. in the
Scope of Work.
Testing
Testing will be accomplished with the use of an Agilent WireScope 350 compliant to

misuse and any act to repair, change or modify those materials supplied and installed by
Network Cabling, Inc. without the specific knowledge and permission of Network
Cabling, Inc.

Network Cabling Inc. has been a licensed cabling contractor since 1987. The State of
California with a C-7 (low-voltage cabling) classification currently licenses us. Our
current contractors' license number is 749132.
Project Pricing
Network Cabling, Inc. offers its customers a Project Price. Our Project Price is
computed internally by multiplying our hourly labor rate by the time factor required to
accomplish the project installation. This time factor and our Project Price is based upon
our evaluation of the complexity of the work required, the environment in which we will
be working, our costs for doing business, the current cost of materials, and, of course,
our desire to remain competitive.
We believe our Project Price is advantageous to our customers, because your price for
the specified Scope of Work remains the same, regardless of how long the project
actually takes to perform. If we discover additional tasks or materials are required that
are outside of the initial Scope of Work, you will be contacted for your approval prior to
the work being performed, as outlined in the Change Order section above.
