THIS.AGREEMENT is made and entered into this d/ 44 day of
&a , 1974, by and between the CITY OF OCEANSIDE,
hereinafter called "Operator", and.CITY OF CARLSBAD, herein- . . .
after called "City"', .- . WITNESSETH:
WHEREAS, a regional and interconnected bus transportation'
system is needed to serve the northerly portion of San Diego .
County in the State of California; and
WHEREAS, such a system,has been planned and the feasibility
thereof has been reported upon by VTN Engineers, Architects,
Planners, in its report of November 1973, entitled, "North San
Diego County Transit. Study - Transit Development Plan and Program
and
WHEREAS, Operator currently operates a public bus transpor-
'tation system in'a limited portion of North San Diego County ati
is able and willing to expand same to provide a regional and
interconnected system as recommended-in said report; and .
WHEREAS, City desires to implement such recommendations
within and serving City to the extent it is able to do so, and
in aid thereof desires to contract with Operator pursuant to
$99288 of the Public Utilities Code of the State of California
for Operator to provide public bus transportation services within
the territory of City ("intracity system") and between City and
other points in North San Diego County (intercommunity system);
and
WHEREAS, Operator shall obtain a grant from the Urban Mass
Transit Administration of the United States (UMTA) in order to
acquire the additional buses necessary to provide &ch services
and will utilize its apportionment of the Local Transportation

Fund (LTF) monies created pursuant to the Mills-Alquist-Deddeh .
Act (the "Act"), Chapter 4 of Part 11 of Division 1.0 of the
Public Utilities Code, commencing with $99200, to the extent such
grant is not sufficient to acquire s&h buses; and
WHEREAS, both Operator and City view this contracted rela-l
tionship as an interim step in the eventual establishment of a
transit district within North San Diego County as envisaged in
. the above study by VTN Engineers, Architects and Planners;
NOW, THEREFORE, the parties hereto agree as follows:
. . Section 1. PUBLIC BUS TRANSPORTATION SYSTEM .
Operator hereby agrees to provide public bus transportation
services within the territory of City and to points outside of
City for the benefit of citizens of and visitors to City, upon
routes, during the times and upon the schedules set forth on
Exhibit "A", attached hereto and incorporated herein as if.set
forth in full. Such services shall be provided by means of buses
marked and identified "North County Transportation System". -
Operator shall provide, at its own expense, all personnel and
their wages, salaries and employee benefits, equipment (including
all necessary buses for regular use for the intracity system),
property facilities, bus stop signs, operations, and maintenance,
insurance, administration, accounting, marketing, required
environmental studies, and any other items which may be necessary
or appropriate to provide such public bus transportation services,
and City shall only be liable therefor as is expressly set forth
in Section #6 below. .
Section 2. FARES AND TRANSFERS
Operator agrees to set such fares.as the'City Council of
City may by resolution establish for passengers embarking within
territory of City.' Operator agrees to provide free of charge,
for any passenger, regardless of poin'ti"'bf embarkation, transfers
which may'be used for transferring from one bus route to another

Section 3. ADVERTISING.
Operator shall have complete control over the sale of all ' . advertising on any of the buses operated anywhere in the North
County Transportation System, provided however, that City shall
have the right to make.use of any advertising space not under
contract on any buses regularly utilized in the intracity system,
free for any advertising deemed reasonable by the City Manager in
promoting community interests.
Section 4. BUS STOPS.
Specific bus stops on all routes in.the vicinity of ioute
crossings and in heavily travelled commercial areas shall be
established by agreement of Operator's'Transportation Manager and
City's Director of Public Works. Operator shall furnish and City
shall install appropriate bus stop signs marking such locations
and City shall mark curbing appropriately for purposes of identi- .
fying'such stops. At all other portions of -the system, buses
shall stop at safe and convenient places for persons desiring
to.embark or disembark. w . . . . .

Section 5. MARKETING AND PROMOTION - ,
: Operator shall furnish marketing and promotion services
within City as approved by the City Manager of City, including,
but not limited to, supplies of route maps and time schedules of
the entire North County Transportation System for distribution
to the public. .
Section 6. ‘FINANCING
(a) Operatqr shall rec.eive as and for compensation for
services provided hereunder an amount equal to the cost'of - . .
operation and maintenance per hour ("payment per hour") multiplie
by the total number of hours which each individual bus .is operate
within the territory of City pursuant to this Agreement for both
the intracity and intercommunity systems. Such costs per hour
shall be based upon all actual costs of operation and maintenanc'e
marketing and depreciation incurred in the operation of the North
County' Transportation System as set forth in Exhibit. '+'B", attachcc
hereto and incorporated herein as if set forth in full. Such
'payment per hour is initially established at the,amount set forth - . . . - . in Exhibit "B"' and shall.continue at such rate until modified as
hereinafter in this agreement provided.
(b) All fare box revenues collected within territory of
City shall be paid to and retained by Operator and credited
against the total.amount to be paid to Operator pursuant to
subsection (a).
(c) The difference between the amount Operator is to receive
pursuant to subsection (a) and the amounts credited against such
amount pursuant to subsection (b) shall be paid from City's . .
'apportionment of the LTF monies, and Operator is hereby authorize
to include the claim of City within its claim to its apportion-
ment from such fund, provided,.however, that such claim must be
approved by the City Manager of City prior to filing. The amount . permitted to be claimed shall be determined on the basis of

estimates .of costs and revenues, such as is set forth on Exhibit B
for the initial year of operation.' However, after the close of
each annual period of operation, and after termination. of this
agreement, the actual amount received by Operator and revenues
credited against same shall be determined and adjustments in the
amount of claims to City's apportionment to the' LTF monies shall
be made in order that the ultimate amount actually received and
.retained by Operator for each operating period from all revenues
described in subsection (b) and pursuant to this subsection, shall
not exceed the amount properly receivable by Operator. in accord-
ance with subsection (a).
(d) In the event that,the City allocationof LTF monies
pursuant to the Act is not sufficient to pay the.amount required
pursuant to.subsection (c), City hereby agrees that it.will
modify the amount of-services to be rendered hereunder by
Operator, or agree to pay the required amount for continuance of
- the level of services desired from sources other than those
described in subsections (b) and (c).
(e) All capital funds necessary for acquisition of buses
necessary to render the services provided for hereunder shall be

provided by grant from UMTA, plus Operator's aphortionment of
LTF monies.
Section 7. REPORTS
Operator shall make available to-Ci.ty for inspection copies
of all applications to UMTA and all reports, audits, budgets,
financial statements and other documents submitted to the trans-
portation planning agency designa.ted pursuant to the Act (CPO).
Operator shall also furnish City with quarterly and annual written
reports of costs and revenues of each and &very individual local
and intercommunity route throughout the entire North County . Transportation System.

Section 8. ADDITIONS, DELETIONS AND MODIFICATIONS
Additions, deletions or modifications of routes, hours of
operation, schedules and numbers and types of buses may be'made
and placed into'effect upon approval thereof by the City Managers
of both Operator and City if any such additions, deletions or
modifications have not been disapproved.of by the City Council
of City within fifteen (15) days after written notice thereof
has been mailed or personally delivered to each member of said
Council. Operator's City Manager shall agree to make all reason-
able changes in said matters as requested by City Manager of
City.
Additions,deletions or modifications of transfer rights,
payment per hour and financing,arrangements may be made and
placed into effect upon approval thereof by the City Managers
of both Operator and City if any such additions, deletions or modi-
fications have not been disapproved of by either of the City
Councils of either party hereto within fifteen (15) days after
written notice thereof has been mailed or personally delivered to
each member of each respective City Council. All other additions,
deletions or modifications of the North County Transportation
. System and this Agreement, and those disapproved of by either City
Council may be made and placed into effect only upon amendment to
this Agreement approved by each respective City Council.
Section 9. ENVIRONMENTAL CONSIDERATION
Operator is hereby designated as the Lead Agency as that
term is defined in the ".Guidelines for Implementation of the
California Environmental Quality Act of 1970, as amended
December 17, 1973" (Chapter 3 of Division 6 of Title 14 of the
California Administrative Code, commencing with § 15qOO). Operator
as Lead Agency, shall take all steps, make all studies and per-
form all requirements necessary to comply fully with the Environ-
mental Quality Act of 1970 (Division 13 of the Public Resources

Section 10. INDEPENDENT CONTRACTOR
Operator shall perform its obligationti pursuant',to this
Agreement as an‘itidependent contractor, and not as an agent or
employee of City;

for any claims, liabilities, penalties, 'fines, or for any'damag'e

to goods, properties or effects of any person whatsoever, nor for
personal injuries to or death df them,'or any of them, caused by

from any act or omission of Operator, or its agents, officers or . . employees; and Opera&r agrees to indemnify and save free and
harmless City and its agents, officers and employees against any

'of the foregoing liabilities and claims therefor, and any cost . .
and expense that is incurred by City on account of any claim

. Section 12. INSURANCE
Operator shall carry and maintain in full force and effect
23 throughout the term of this Agreement, a public liability insur-
24 ance policy with a limit of coverage of not less than Five Millior
25 Dollars ($5,000,000) naming City as co-insured, and a copy of

such policy or binder shall be filed with the City Clerk of City
before commencement of rendition of services hereunder. Operator
. 28 . also agrees to secure and.maintain during the term of this Agree-
29 ment, Workmen's Compensation insurance covering all employees of
30 Operator employed in the rendition of services hereunder, and
31 shall furnish City with certificates evidencing tihat such insur- , *

section 13. _COMPLIANCE WITH LAW .
Operator agrees that it will comply width all local, state
and federal laws and regulations pertaining to the work of any
laborer, workman or mechanic 'and will keep accurate records'of
the hours and times worked by any such.laborer, workman or '
mechanic.
Section 14. PERFORMANCE EXCUSED
C%ty agreessthat Operator shall not be obligzited to render
the public bus transportation services provided for hereunder
.unless and until necessary.grants from UMTA and allocations of
LTF monies have been made available for purchasing buses and othe
items necessary or . appropriate for the rendition.of such services
and such equipment has been delivered to Operator, provided,
however, that, Operator agrees to 'diligently pursue the approval . ,
of such grants and allocations and.the securing of such equipment
City agrees that rendition of the public bus transportatton
services by Operator pursuant to this Agreement shall be excus-ed
while and so long Operator shall be prevented from rendition
thereof due to inability to procure fuel, tires or other necessar
supplies.
SectIon is. TERM AND TERMINATION OF AGREQ4ENT
'This Agreement shall become effective upon execution by both
/parties hereto , but Operator shall not commence rendition of the
contemplated public bus transportation services until it has in
its possession and operating, sufficient buses available for
service in the intracity system and sufficient allocation of LTF
monies to.f$nance at least one. year's operation. The term of
this Agreement shall extend to the last day of the twelfth (12) - -.-e.
calendar month next following commencement.‘of rendition of such
services, and annually thereafter, - .-. -- _-___ --__, -- unless terminated by either;
party by written notice given to the other party;Aot less than
ninety (90) days prior to the date of desired termination.

1. Carlsbad ' . (
Line 1.. Line 1 has three routes, two of which extend through Oceanside
to Camp Pendleton. These routes are very similar to ,some routes presently
operated by Oceanside Transportation System. . .
The area-covered in Carlsbad is reduced from the existing route to . . . avoid needless duplication with the other two.proposed lines. , -- ._.. ..-. . .
The Carlsbad route is proposed to be run once an hour. The schedule
should be coordinated with the coastal intercommunity route which also
, operates once an,hour so one trip is made approximately every 30 minutes.
-TransP&-s to the other two lines, Greyhound and the Coastal Route, will be
possible'at State 'Street and Elm Avenue. . . *
Line 22. Lfne 22 is designed to serve the'shopping areas and downtown
along Elm Street and the Camino Real Plaza.

Only one bus is needed because
it can complete a round trip in 30 minutes. :
Line 23. Line 23 requires approximately 7 hour to complete a round trip,' .
Only one bus is recommended because of the high cost and relatively low
ridership. A second bus may be added at a'later date to reduce the time
between buses (headway) to 30 minutes,
Line 4. Based on the request of the City of Carlsbad, Line 4 recom-
mended for the City of Oceanside will be extended to serve Ranch0 Carlsbad
via El Camino Real. Projected ridership is quite low for this extension and
- therefore should be carefully monitored, No additional equipment is needed

NORTH COUNTY TRANSPORTATION SYSTEM City of Carlsbad FY 75-76 . THIS AGREEMENT is made and entered into this 16th day
Of SeDtember , 1975, by and between the CITY OF OCEANSIDE,
hereinafter called "Operator", and CITY OF CARLSBAD, hereinafter
called "City",
WITNESSETH:
WHEREAS, a regional and interconnected bus transportation ,
system is needed to serve the northerly portion of San Diego
County in the State of California; and
WHEREAS, such a system has been planned and the feasibility
thereof has been reported upon by VTN Engineers, Architects,
Planners, in its report of November 1973, entitled, "North San
Diego County Transit Study - Transit Development Plan and
Program", and
WHEREAS, Operator currently operates a public bus transpor-
tation system in a limited portion of North San Diego County
and is able and willing to expand same to provide a regional and
interconnected system as recommended in said report; and
WHEREAS, City desires to implement such recommendations
within and serving City to the extent it is able to do so, and
in aid thereof desires to contract with Operator pursuant to
Section 99288 of the Public Utilities Code of the State of Calif-
ornia for Operator to provide public bus transportation services
within the territory of City ("intracity system") and between
City and other points in North San Diego County (intercommunity
system); and
WHEREAS, both Operator and City view this contracted rela-
tionship as an interim step in the eventual establishment of
a transit district within North San Diego County as envisaged in
the above study by VTN Engineers, Architects and Planners;

NOW, THEREFORE, the parties hereto agree as follows:
Section 1. PUBLIC BUS TRANSPORTATION SYSTEM
Operator hereby agrees to provide public bus transportation .
services within the territory of City and to points outside of
City for the benefit of citizens of and visitors to City, upon
routes, during the times and upon the schedules set forth on
Exhibit "A", attached hereto and incorporated herein as if set
forth in full.' Such services shall be provided by,means of buses
marked and identified "North County Transportation System".'
Operator shall provide, at its own expense, all personnel and
their wages, salaries and employee benefits, equipment (including
all necessary buses for regular use for the intracity system),
property facilities,, bus stop signs, operations and maintenance,
insurance, administration, accounting, marketing, required
environmental studies, and any other items which may be necessary
or appropriate to provide such public bus transportation services,
and City shall only be liable therefor as is expressly set forth
in Section #6 below.
Section 2. FARES ANDTRANSFERS
Operator agrees to set such fares as the City Council of
City may be resolution establish for passengers embarking within
territory of City. Operator agrees to provide free of charge,
for any passenger, regardless of point of embarkation, transfers
which may be used for transferring from one bus route to another
in the intracity system and from one route to another in the
intercommunity system, so long as such individual continues to
travel away from his point of embarkation. Said transfers shall
be valid and usable for a period of not more than three hours
from the time of issuance.
Section 3. ADVERTISING
Operator shall have complete control over ,the saleof all
advertising on any of the buses operated anywhere in the North

County Transportation System, provided however, that City shall
have the right to make use of any advertising space not under
contract on any buses regularly utilized in the intracity system, .
free for any advertising deemed reasonable by the City Manager in
promoting community interests.
Section 4. BUS STOPS
Specific bus stops on all routes in the vicinity of route
crossings and in heavily travelled commercial areas shall be
established by agreement of Operator's Transportation Manager and
City's Director of Public Works. Operator shall furnish and City
shall install appropriate bus stop signs marking such locations
and City shall mark curbing appropriately for purposes of identi-
fying such stops. At all other portions of the system, buses
shall stop at safe and convenient places for persons desiring
to embark or disembark.
Section 5. MARKETING AND PROMOTION
Operator shall furnish marketing and promotion services
within City as approved by the City Manager of City, including,
but not limited to, supplies of route maps and time schedules of
the entire North County Transportation System for distribution
to the public.
Section 6. FINANCING
(4 For the intracity service provided herein, Operator
shall receive as and for compensation an amount equal to:
(i) the total number of hours which each individual
bus is operated within the territory of City,
(ii) plus the.total number of hours of necessary dead-
head and sign on-off time incurred by drivers rendering such
intracity service,
(iii) and then multiplying the sum of (i) and (ii)
above by the cost of operation and maintenance per hour ("cost
per hour").

(b) For the intercommunity or corridor line service provided
herein, Operator shall receive as and for compensation an amount
equal to:
(i) the total number of hours each individual corridor
line bus which is operated within the territory of City is
operated in the entire corridor line,
(ii) plus the total.number of hours of necessary dead-
head and sign on-off time incurred by drivers rendering such
corridor line service,
(iii) and then multiplying the sum of (i) and (ii)
above by the cost per hour, and
(iv) then multiplying the result of (i), (ii) and (iii)
above by the City percentage of each corridor line ("City
percentage").
(c) The 'Cost per hour" shall be based upon all actual costs
of operation, maintenance and marketing incurred in the operation
of the North County Transportation System as set forth in Exhibit
"B " I attached hereto and incorporated herein as if set forth in
full. The 'cost per hour" is hereby established at the amount set
forth in Exhibit "B" and shall continue at such rate until modi-
fied as hereinafter in this agreement provided. The "City per-
centage" of each corridor line is determined by dividing the total
number of miles for a corridor line within the territory of City
by the total number of miles of the entire corridor line, and
multiplying the result thereof by 100.
(d) Fare Box Revenues.
(i) Intracity Service.
All fare box revenues collected within the territoq
of City upon intracity lines (presently lines No's, 20,
21 and 22) shall be paid to and retained by the Operator
and credited against the total amount to be paid to
Operator pursuant to subsection (a) above. (ii) Intercommunity Service.

hereby authorized to include the claim of City within its claim
to its apportionment from such fund, provided, however, that such
claim must be approved ,by the City Manager of City:prior to filing,
The amount permitted to be claimed shall be determined on the bask
of estimates of costs and revenues, such as is set forth on Exhibii
"B' for the 1975-76 fiscal year. However, after the close of each
fiscal year, and after termination of this agreement, the actual
amount received by Operator and revenues credited against same
shall be determined, and adjustments in the amount of claims to
City's apportionment to the LTF monies shall be made in order
that the ultimate amount actually received and retained by Operato
for each fiscal year or other operating period from all revenues
described in subsections (d) (i) and (ii) and pursuant to this
subsection, shall not exceed the amount properly receivable by
Operator in accordance with subsections (a) and (b),
(f) In the event that the City allocation of LTF monies
pursuant to the Act is not sufficient to pay the amount required
pursuant to subsection (e), City hereby agrees that it will modify
the amount of services to be rendered hereunder by Operator, or
agree to pay the required amount for continuance of the level of
services desired, from sources other than those described in sub-
sections (d) (i) and (ii) and (e).
Section 7. REPORTS.
Operator shall make available to City for inspection copies
of all applications to UMTA and all reports, audits, budgets,
financial statements and other documents submitted to the trans-
portation planning agency designated pursuant to the Act (CPO).

Operator shall also furnish City with quarterly and annual written
reports of costs and revenues of each and every individual local
and intercommunity route throughout the entire North County
Transportation System.
Section 8. ADDITIONS, DELETIONS AND MODIFICATIONS
Additions, deletions or modifications of any of the following
matters:
(a) routes,
(b) hours of operation,
(c) schedules,
(d) transfer rights,
(e) numbers and types of buses,
(f) cost per hour, and
.w financing arrangements,
may be made and placed into effect upon approval thereof by the
City Managers of both Operator and City if any such additions,
deletions or modifications have not been disapproved of by either
of the City Councils of either party hereto within fifteen (15)
days after written notice thereof has been mailed or personally
delivered to each member of each respective City Council. All
other additions, deletions or modifications of the North County
Transportation System and this agreement, and those disapproved
of by either City Council may be made and placed into effect only
upon amendment to this agreement approved by each respective City
Council. Operator's City Manager shall agree to make all reason-
able changes in (a), (b), (c) and (e) above as requested by City
Manager of City.
Section '.9. INDEPENDENT CONTRACTOR
Operator shall perform its obligations pursuant to this
Agreement as an independent contractor, and not as an agent or
employee of City.

City, its agents, officers and employees shall not be liable
for any claims, liabilities, penalties, fines, or for any damage
to goods, prop erties or effects af any person whatsoever, nor for
personal injuries to or death of them, or any of them, caused
by or resulting from or claimed to have been caused by or resultin
from any act or omission of Operator, or its agents, officers or
employees; and Operator agrees to indemnify and save free and
harmless City and its agents, officers and employees against any'
of the foregoing liabilities and claims therefor, and any cost
and expense that is insured by City on account of any claim
therefor.
Section 11. INSURANCE
Operator shall carry and maintain in full force and effect
throughout the term of this Agreement, a public liability insuranc#
policy with a limit of coverage of not less than Five Million
Dollars ($5,000,000) naming City as co-insured, and a copy of
such policy or binder shall be filed with the City Clerk of City
before commencement of rendition of services hereunder. Operator
also agrees to secure and maintain during the term of this Agree-
ment Workmen's Compensation insurance covering all employees of
Operator employed in the rendition of services hereunder, and
shall furnish City with certificates evidencing that such insur-
ance is in effect.
Section 12. COMPLIANCE WITH LAW
Operator agrees that it will comply with all local, state
and federal laws and regulations pertaining to the work of any
laborer, workman or mechanic and will keep accurate records of
the hours and times worked by any such laborer, workman, or
mechanic.
Section 13. PERFORMANCE EXCUSED.
City agrees that rendition of the public bus transportation

services by Operator pursuant to this agreement shall be excused
while and so long as Operator shall be prevented from rendition
thereof due to inability to procure fuel, tires or other necessary
supplies.,
Section 14. TERM AND TERMINATION OF AGREEMENT
'This agreement shall become effective upon execution by both
parties hereto, and shall extend to the 30th day of June, 1976,
and shall be automatically renewed for an additional one-year
period on that date and upon each succeeding Junem30th, without
any further action required by either party hereto unless termi-
nated by either party by written notice given to the other party,
not less than ninety (90) days prior to the date of desired
termination.
Section 15. ENVIRONMIZNTAL CONSIDERATION
Operator is hereby designated as the Lead Agency as that term
is defined in the "Guidelines for Implementation of the California
Environmental Quality Act of 1970, as amended December 17, 1973"
(Chapter 3 of Division 6 of Title 14 of the California Administra-
tive Code, commencing with Section 15000). Operator, as Lead
Agency, shall take all steps, make all studies and perform all
requirements necessary to comp$y fully with the Environmental
Quality Act of 1970 (Division 13 of the Public Resources Code),
as amended and as may hereafter be amended. Copies of all actions,
studies, reports, evaluations, and other documents produced in
connection with Operator's duties pursuant to this section shall
be furnished to City.
Section 16'. NOTICES
All notices, filings, and other communications to be made by
either party hereto to the other party shall be made as follows:

WHEREAS, the City of Oceanside, as "Operator'* and the City
of Carlsbad, as "City" entered .into an agreement dated March 21,
1974 for the operation of an interconnected bus transportation
system in a limited portion of North San Diego County; and
WHEREAS, the initial term of said agreement will expire in
October of 1975; and
WHEREAS, the costs to Operator for operation of said system
have substantially increased forcing Operator to request the
immediate termination of the existing agreement and execution of
a new agreement for the remainder of Fiscal Year 1975-1976; and
WHEREAS, the City desires to continue the operation of said
system despite the increased cost to City.
NOW, THEREFORE, the City of Oceanside and the City of Carlsbac
do hereby mutually and voluntarily terminate and cancel that
"Agreement for Public Bus Transportation Services" dated March 21,
1974.
IN WITNESS WHEREOF, the parties hereto have caused this
Termination of Contract to be executed this 16th day of September
1975.
