All rights reserved. 04-06-01 Statement of Work Purpose This Statement of Work (“SOW”) is intended to ensure that the consulting services (‘Services”) project planned with Novell Consulting (“Novell”) meets the City of Carlsbad’s (“Customer”) objectives and expectations. The SOW includes the following sections: . . . . . . . . . . . Contact Information - Information of each party that will participate in this project. Objectives-An overall description of the project and the Customer’s technical and business goals to be achieved as a result Deliverables-A list of Services and the associated Deliverables, including project boundaries and the estimated completion date (if applicable) Exclusions-Specific deliverables or goals that the that are not included in this project Customer Responsibilities-What the Customer must provide to ensure a successful project completion Standard Working Hours-Standard hours describing the time frame for the provision of Services Proposed Schedule-Project dates Costs-A detail of the project costs, expenses and any additional amounts to be billed to Customer Terms and Conditions-Reference paragraph to describe the applicable terms and conditions that will govern the Services herein. Signatures-To be executed by authorized representatives of the patties Exhibit A-A list of the project Deliverables and milestones. All rights reserved. 04-06-01 3 l Introduction The need to manage multiple Network Operating Systems (NOS) is often a difficult, expensive undertaking. The City of Carlsbad is no exception to this, needing to manage NetWare and Windows NT systems. In order to reduce the costs and complexity associated with managing these systems, the City has decided to upgrade the current NDS4NT server(s) to Novell Account Management 2.1 to manage Windows NT 4 domains via Novell Directory Services (NDS) Project Management Off ice The Novell Project Management Office (PMO) will provide project management and leadership throughout the lifecycle of this project. The PM0 will report to the City of Carlsbad Project Manager and designated project members as to status, milestones and deliverables attained on a consistent basis. Objective The objective of this project is to provide the City of Carlsbad with assistance in upgrading to a Novell Account Manager 2.1 (Windows NT 4) solution specific to the City’s needs. Current Customer Environment The current City of Carlsbad environment includes: . NetWare 5.1 . ZENWorks . GroupWise 5.5 . NDS4NT V2.0 . Windows NT 4 . Windows NT-based applications . Approximately 300 users Deliverables Phase I: Technical Assessment OVERVIEW: The intention of the Technical Assessment phase is to confirm Novell Consulting’s assumptions about Customer’s current systems environment and business needs, to provide an analysis of Customer’s current environment, and to scope the requirements for providing the subsequent project phases contained in this Statement of Work. The Technical Assessment includes the following: . Summary NDS review . Windows NT environment review . Findings and recommendations report NDS Tuning & Proactive Analysis Objectives . Review Current NDS Design . Review Current NDS Health . Review of the WAN/LAN Layout . Review of Other Network Resources (i.e. hardware, printers, org. charts) . On-site preliminary technical assessment and preliminary findings discussion . Off-site research and writing . Summary NDS health and design review report . Summary NDS maintenance plan Phase II: Account Manager 2.1 Upgrade Design OVERVIEW: Provide the City of Carlsbad with development and evaluation of a design for an Account Manager 2.1 (Windows NT 4) upgrade from NDS4NT V2.0. Design considerations to include planning for types and numbers of objects, locations of partitions, impact of design on the Windows NT environment. Specific Services and Deliverables for this Phase of the project include the following: . Review the Technical Assessment information . Create an Account Manager 2.1 upgrade design Review the Technical Assessment . Review the Technical Assessment report . Identify issues that need to be resolved prior to making changes to the NDS design or infrastructure . Identify Windows NT server or domain issue that may impact the design Create Account Manager 2.1 Upgrade Design . Review Windows NT domain object location in NDS 0 Servers 0 Users o Applications . Synchronization of user information o User ID’s (UID) o Name and identification information 0 Passwords (Client-side only) . Naming standards . Ongoing management requirements . Complete initial design document Completion Deliverables The Design portion of this project includes the following: . Off-site research and writing . Review Technical Assessment report . All rights reserved. 04-06-01 6 Phase III: Upgrade System OVERVIEW: Provide the City of Carlsbad with an Account Manager 2.1 upgrade to the existing NDS4NT production environment. Upgrade Account Manager 2.1 into the City production environment: . Install Account Manager 2.1 into the production NDS tree . Upgrade NDS4NT to Account Manager 2.1 onto one (1) production Windows NT 4 PDC . Upgrade NDS4NT to Account Manager 2.1 on up to five (5) production Windows NT BDC’s . Verify the ability to manage the Windows NT 4 domain from NDS . Knowledge transfer to City staff . Delivery of final report This project is limited to: . Upgrade one (1) NDS4NT server (PDC) on new hardware l Up to five (5) Windows NT domain controllers (BDC) . One (1) Windows NT 4 domain . No Active Directory servers are included Completion Deliverables The Pilot portion of this project includes the following: . Off-site research and writing . On-site Knowledge transfer . On-site upgrade to Account Manager 2.1 design . Delivery of final report within ten (10) days of completion Phase IV: Completion Deliverables Following completion of the project, Novell will provide Customer the following: . An executive summary or presentation for Customer based on project results. Any such meetings and skills transfer sessions will be conducted at the Customer’s facilities during standard business hours. . Account Manager 2.1 upgrade design report Exclusions The Services described in this SOW constitute the entire project. If Customer requests services in addition to the Services identified in this SOW, the performance of such additional services will require a modification to the project Deliverables and any adjustment to the schedule and/or fees to be paid by Customer. The Novell Consulting project manager or lead consultant can track such requests via Change Order and arrange for such services to be rendered. Specifically this Project does not include: . Assessment of Microsoft Active Directory . Account Manager 2.1 design for Microsoft Active Directory . Deployment or implementation beyond a limited Pilot . All rights reserved. 04-06-01 Customer Responsibilities Customer shall provide the following: A minimum of two (2) weeks lead time to allow scheduling of properly skilled consultants for project. Appoint and make available a project manager to work with Novell for the duration of the Services. (This person must have authority to act on behalf of the Customer.) Furnish consultants with information and data on Customers operations, activities, and existing systems, as required to achieve the project objectives. Provide Novell consultants with necessary security access to networking systems network (LAN and WAN) and Customer’s facilities during the performance of Services. Provide adequate workspace and power sources at each facility where Services will be performed. Provide suitable server platforms, with properly installed and patched network operating system (NOS) software necessary for each project. If necessary, Customer shall be solely responsible to contract for telecommunications facilities (data communications circuit, analog phone lines, wiring, etc.), and for the costs associated with such facilities. Customer shall be responsible for the back up of all computer systems. This document supercedes all unsigned Statements of Work prior to the acceptance and signing of this Statement of Work. Standard Working Hours This Statement of Work covers Services performed during standard business hours of Monday through Friday 8am to 5pm. Depending on the type of project, any on-site Services performed after the standard business hours will be charged at one and a half (1%) times the standard rate. Any work performed during weekends or holidays will be charged at two (2) times the standard rate. Weekend and holiday hours begin at 7:Ol PM on the day before any weekend or holiday and end at 6:59 AM the day following the weekend or holiday. Customer must make a reasonable effort to adhere to schedules agreed to between themselves and Novell Consulting Services. Cancellation of individual scheduled days must be made 48 hours in advance, in writing; otherwise the customer will be charged for 50% of one day’s billable hours (four hours) unless the consultants can be rescheduled on an alternative engagement. Cancellation of scheduled weeks must be made 1 week in advance, in writing, otherwise the customer will be charged for 50% of one week’s billable hours (twenty hours) unless the consultants can be rescheduled on an alternative engagement. Proposed Schedule Unless otherwise negotiated between the parties, the Novell will generally require two to three weeks lead- time to start a project. Requests for consulting resources and schedules are managed by the Project Managers and will be assigned based on mutual agreement, the skill set needed for the project, and availability of consultants possessing the required skill set. All rights reserved. 04-06-01 Blackout Dates, Holiday Schedule The following dates are scheduled commitments for Novell Consultants scheduled for this project to attend mandatory internal Novell activities, such as training, business meetings, etc. Consultants engaged on short-term projects (< 90 days) will honor Novell’s holiday schedule. Consultants assigned to long-term projects (> 90 days) will honor the Customer’s holiday schedule. The official Novell holiday schedule is available upon request. Memorial Day Holiday 05/28/O 1 05/28/01 I Change Management Customer and/or Novell may, at any time, request changes within any particular Statement of Work using the attached Change Order form in Exhibit D. To be effective, any requested change or adjustment must be agreed to in writing by both parties in the form of a change order to the relevant Statement of Work. Novell will continue performing the Services in accordance with such Statement of Work until the parties agree in writing on any such change or adjustment. In the event the parties are unable to agree to a mutually acceptable change or adjustment, either party may terminate the relevant Statement of Work upon ten (10) days written notice to the other. Estimated Project Costs This consulting project includes: Consulting Fee Estimated Travel Fee (Max 4 hrs p/trip) Licensing Discount Estimated Travel and Overhead Expenses Total Project Value (including estimated expenses) $ 20640.00 $ 1,800.OO $ (2,064.OO) $ 3,374.64 $ 23,750.64 CUSTOMER AGREES TO PROVIDE A PURCHASE ORDER FOR THIS STATEMENT OF WORK. IF CUSTOMER DOES NOT ISSUE PURCHASE ORDERS, THIS SOW SHALL SERVE IN LIEU OF ANY PURCHASE ORDER. In the event the Customer is required by law to withhold taxes, the Customer agrees to furnish Novell all required receipts and documentation substantiating such payment. Novell Consulting will make a best effort attempt to staff this project from local resources. The likelihood of needing to bring in a Consultant from a remote Branch for this engagement will be greatly reduced with maximum lead-time between executing the Master Consulting Agreement and this Statement of Work and the start date of the project. The estimated billable expense figure is provided for budgeting purposes. Only actual expenses incurred will be billed to the project. Travel Expenses incurred will be invoiced as actual plus a 9% Overhead fee. Customer Invoicing Customer invoicing will be invoiced at project completion. All rights reserved. 04-06-01 Terms and Conditions BY SIGNING BELOW, CUSTOMER ACKNOWLEDGES AND AGREES THAT THIS STATEMENT OF WORK SHALL BE GOVERNED BY (1) THE TERMS AND CONDITIONS OF THE MLA OR CLA BETWEEN NOVELL AND STATE OF CALIFORNIA (“PRIME CUSTOMER”), CONTRACT NUMBER M5Z380, AND THE ASSOCIATED PREMIUM SERVICE GUIDE. THE PARTIES EXPRESSLY ACKNOWLEDGE THAT PURCHASE ORDER TERMS WILL NOT APPLY. This Statement of Work is valid for 30 days after the date on the cover page (Date).
