Independent of our time obligations to Lusk and Occidental, we also have obligations to Sequoia Pacific who have advanced the funds for one of the four approach legs. By separate agreement with them we a obligated to spend the money and complete the construction prior to May 16, 1984. If we don't do that the trust fund expires and we hav the obligation to return the money. Because of that agreement we do
not have the luxury of waiting for two years to design and commence
construction. At least as to the approaches we must have completed the construction within that time period.
Please let tis know if you need any additional assistance as you
undertake to administer the subject agreement,

THIS AGREEMENT is made this !yfk day of k3-lJup-, ,
1982 by and between the CITY OF CARLSBAD, a municipal corporation
of the State of California ("City"), OCCIDENTAL LAND, INC., a
California corporation ("Occidental"), and JOHN D. LUSK & SON ,
a California corporation (llLusk'l).
RECITALS
A. In 1969 H. B. Development ("H.B.") applied for the
annexation of approximately 383 acres of property to the City.
H. B. also requested approval of a General Plan amendment,
preannexational zone changes, Master Plan of development,
conditional use permit for a mobile home park and other land use
approvals to accommodate the development of their property.
B. In 1970, the City approved the Master Plan (MP-133)
("Master Plan") for the development of the 383 acres by H. B.
("Master Plan Area") in the City of Carlsbad, County of San
Diego, State of California, as more particularly shown on the
attached Exhibit A. The annexation and other requested land use:
were also approved - all subject to a number of conditions.
These conditions obligated H. B. to do a number of things in
conjunction with their development including the dedication of
land for two school sites and for park and open space purposes,
and the construction of a two lane grade separated crossing of
the Santa Fe Railroad tracks at Poinsettia Lane together with a1
necessary approaches for a four lane crossing (llOvercrossingl').

C. Occidental acquired the Master Plan Area from H. R. in
1973 and assumed all their rights and obligations under the
Master Plan and other land use approvals.
D. In 1973, Occidental and the City signed an agreement
for the Overcrossing, a copy of which is attached as Exhibit 8,
and modified this agreement on July 2, 1974, a copy of which is
attached as Exhibit C (as modified, "Bridge Agreement"). Under
the Bridge Agreement, Occidental assumed the obligations of H. B.
to construct the Overcrossing.
E. After the signing of the Bridge Agreement, Occidental
sold a parcel of property adjoining the proposed location of the
Overcrossing to Lusk, and Lusk agreed to construct or cause to be
constructed three fourths of the approaches to the Overcrossing.
F. The construction of the Overcrossing was delayed by the
Coastal Commission. In the interim, in connection with and as a
condition of the development of portions of the Master Plan Area
funds were deposited with the City by Sequoia Pacific for one
fourth of the approaches to the Overcrossing which currently
total $124,000. Funds were also deposited with the City by
Occidental which currently total $199,000 to be applied to the
cost of constructing the Overcrossing.
G. Because of the recent adoption by the State of
California of a Local Coastal Program for a part of the City
including the Master Plan Area and the filing of applications fo
development of such area, the City has requested that Occidental
start construction of the Overcrossing.

H. In 1973, Occidental conveyed to City a 3.95 acre parcel
of land east of Interstate 5 next to the intersection of
Poinsettia and Ratiquitos ("Park Site") in partial satisfaction
of Occidental's obligations for parks and public facilities for
the development of a portion of the Master Plan Area.
I. On August 20, 1979, the City and Occidental signed an
Interim Parks Agreement, ("1.P.A.") a copy of which is attached
as Exhibit D, to clarify the status of the Park Site, it was
agreed that 2.126 acres of the park site met the requirement
associated with the maximum development of 390 units on parcels
12 and 13 of Exhibit A. The balance of the Park Site,
approximately 1.8 acres was designated in the I.P.A. for a fire
station or other public purpose. A question has arisen as to
what constitutes an "other public purpose".
J. It was necessary for Occidental to construct a sewer
line to serve the Master Plan Area. As a part of that
construction City required Occidental to oversize the line to
accommodate other properties. Ordinance No. 9245, approving the
Master Plan, provides that City will attempt to secure
reimbursement for Occidental from the owners of these other
properties. Despite repeated efforts over the years for a numbe
of reasons it has not been possible to achieve a reimbursement
agreement between the City, Occidental and the other property
owners. Pending an agreement City has collected approximately
$35,000 in deposits some of the other property owners who have
developed their land.

K. Occidental has sold or agreed to sell all of the
undeveloped parcels in the Master Plan Area to other developers
(including Lusk, "Developers"). Occidental wishes to satisfy all
of its remaining obligations under the Master Plan and end its
activities in City. The Developers have applied or plan to apply
to City for developmental approvals that are inconsistent with
the Master Plan. Developers wish to deal directly with the City
and process their projects individually in accordance with the
City's current standards, procedures and requirements. In order
to accommodate the wishes of Occidental and Developers the
existing Master Plan must be repealed and replaced with specific
zoning or other land use regulations as the City may determine.
Before the Master Plan can be repealed the three matters
discussed herein must be resolved between the parties; that is,
the Overcrossing, the Sewer Reimbursement and the Park Site and
the parties now desire to do that.
NOW, THEREFORE in consideration of the recitals, and of th
mutual obligations of the parties established by this Agreement,
the City, Occidental and Lusk agree as follows:
1. The Overcrossing
1.1 In lieu of proceeding under the Bridge Agreement
Occidental and Lusk desire to pay for the construction of the
Overcrossing with the City responsible for administering
contracts for the design and construction as a City Public Works
project. The Overcrossing work to be performed under this Agree
ment shall include full street improvement of Poinsettia, exclud
curb returns, from the current terminus at Avenida Encinas to it
intersection with Carlsbad Boulevard.

1.2 City shall retain the $199,000 on deposit from
Occidental and the $124,000 on deposit from Sequoia Pacific plus
any accrued interest to be applied to the cost of the design and
construction of the Overcrossing.
1.3 Concurrently with the signing of this Agreement
Occidental shall pay $40,000 to City to be applied with accrued
interest to the cost of construction of the Overcrossing.
1.4 The $35,000 plus any accrued interest on deposit
with City for Sewer Line Reimbursement shall be retained by City
to be applied to the cost of constructing the Overcrossing.
1.5 Lusk shall pay $841,000 for the construction of
the Overcrossing. Concurrently with the signing of this
Agreement Lusk shall deliver to City a bond in a form acceptable
to the City Attorney, securing Lusk's obligation to make such
payment. Payment by Lusk to City shall satisfy Lusk's obligatior
under their agreement with Occidental to construct three fourths
of the four lane approaches to the Overcrossing.
City may require Lusk to deposit the $841,000 with City
concurrently with the award by City of the contract for
construction of the Overcrossing.
1.6 City shall retain the funds on deposit from
Sequoia Pacific plus any accrued interest to be applied to the
cost of constructing the Overcrossing.

1.7 City shall design and commence construction of the
Overcrossing on or before two years from the effective date of
this Agreement. City shall use its best efforts to meet that
time limit. Occidental and Lusk shall not unreasonably refuse to
consent to an extension of such limit.
1.8 Upon payment by Occidental as required by
paragraph 1.3 and deposit of the bond in acceptable form by Lusk
as required by paragraph 1.5, the Bridge Agreement is terminated
and neither Occidental nor City shall have any further
obligations under the Bridge Agreement.
1.9 Lusk shall cooperate with City to complete the
Overcrossing including but not limited to the granting by Lusk of
any rights-of-way or other easements which in the judgment of
City are necessary for the project. Said grants shall be free to
the City.
1.10 The payments by Lusk and Occidental for the
Overcrossing are based on an engineers estimate which the parties
agree is a reasonable estimate of the cost of constructing the
Overcrossing. City shall apply the funds provided by this
Agreement together with funds from any other source which might
become available to City ("Available Funds") to the cost of the
design and construction of the Overcrossing and to the City's
costs for contract administration. If the costs are less than th
available funds City shall retain the difference. Any costs in
excess of the available funds shall be the responsibility of
City.

1.11 City shall have the option in its sole
discretion to increase the size of the crossing over the
railroad right-of-way to four lanes.
2. Sewer Reimbursement
2.1 The City is released from any responsibility to
form a Sewer Reimbursement district or to otherwise reimburse
Occidental for its cost in constructing the oversized sewer line
referred to above.
2.2 Occidental hereby assigns its rights in the
oversized sewer line, including the right to reimbursement from
the benefiting property owners outside the Master Plan area, to
City.
3. Park Site
3.1 The IPA shall remain in effect.
3.2 City is the owner of the Park Site. That
ownership and the terms of the IPA, as supplemented by Section 3
hereof, shall not be affected by the repeal of the Master Plan 01
the other land use approvals or developmental agreements between
City and Occidental.
3.3 City may retain the Park Site for any public
purpose as the City Council in its sole discretion may
determine. City may declare the Park Site as surplus and no
longer necessary for park or other public purposes. Lusk and
Occidental shall cooperate with City in any proceedings necessar
to abandon the Park Site which co-operation shall not require
the payment Of any funds other than incidental costs associated with thr
City's efforts to abandon the park site.

3.4 In addition to the 390 dwelling units of park
credit provided by the IPA Occidental shall have park credits for
335 dwelling units; the City Council having determined that the
"Other Public Purposes" for the 1.824 acre portion of the Park
Site under the IPA includes such credit. These additional
credits shall be available for use on parcels 11, 12 and 13 as
shown on Exhibit A and shall be subject to all the terms and
conditions of the IPA. If less than a total of 725 units are
approved by City for parcels 11, 12 and 13 the credits shall be
lost and are not available for use on any other property. If
more than 725 units are approved by City for parcels 11, 12 and
13 current park-in-lieu fees shall be paid for units in excess of
725. For the purpose of this agreement "park credits" means the
amount of land, or fees paid in lieu thereof which would be
required for dedication under Chapter 20.44 of the Carlsbad
Municipal Code at the time development occurs.
3.5 Occidental may assign any or all of the 725 units
of park credit to Lusk by delivering a written notice of such
assignment to the City Manager. Any such assignment must be
accomplished prior to the approval of a final subdivision map for
parcels 11, 12 and 13. t

4. Processing of Pending Developments
Beginning with and continuing after the effective date
of this Agreement City shall process all development plans
submitted for properties within the Master Plan Area, which shall
be processed in accordance with the General Plan and other City
standards applicable to similarly situated property in City at
the time such Plan is before the City Council for approval.
Such developments shall be subject to all City requirements
including payment of the public facilities fee.
5. Revocation of Master Plan
The City will immediately institute or initiate
hearings to repeal the Master Plan. Occidental and Lusk agree
that the Master Plan shall be repealed. The undeveloped land
within the old Master Plan Area shall be developed as the City
Council may determine as a result of the processing pursuant to
paragraph 4 hereof without regard to the old )faster Plan.
6. General Provisions
6.1 Incorporation of All Prior Agreements: All prior
agreements and understandings between the parties, whether
written or oral, are incorporated into this Agreement.
6.2 Amendments: All amendments or modifications to
this Agreement shall be in writing and signed by all of the
parties.

6.3 Section headings and interpretation: All clauses
contained in this Agreement shall be interpreted in a manner
which renders them valid under applicable provisions of state or
federal law to the maximum feasible extent. The headings of
sections herein are used for convenience only and shall not
affect the meaning or the contents thereof.
6.4 Integrated agreement: This Agreement is an
in t egrated agreement and in the event any provision of this
Agreement is held to be invalid, void or unenforceable for any
reason so as to defeat the objectives that either party seeks to
attain pursuant to this Agreement, the entire Agreement shall be
null and void.
6.5 Venue: In the event of any legal or equitable
proceeding to enforce the terms or conditions of this Agreement,
the parties agree that venue shall lie only in the federal or
state courts in or nearest to the Worth County Judicial
District, County of San Diego, State of California.
6.6 Attorneys’ Fees: In the event any arbitration
proceeding, administrative proceeding or litigation in law or in
equity, including any action for declaratory relief, is brought
to enforce or interpret the provisions or performance of this
Agreement, the prevailing party or parties shall be entitled to
an award of reasonable attorneys’ fees and costs associated with
the proceeding as determined by the courts, the presiding
officer, or the arbitrator authorized to make a determination
of the issues in addition to any other relief to which the
prevailing party may be entitled.

If either party to this Agreement becomes a party to
litigation, an administrative proceeding or arbitration
concerning the enforcement or interpretation of the provisions
of this Agreement or the performance of this Agreement by reason
of any act or omission of the other party, its agents, employees,
officers, directors, or any other representative of the other
party, and not by any act or omission of the party that becomes
a party to that proceeding or its authorized representatives,
the party that causes the other party to become involved in the
proceedings shall be liable to that party for reasonable
attorneys' fees and costs of the proceeding incurred by that
party. The award of reasonable attorneys' fees and all costs
shall be determined as provided above.
In the event opposing parties have each prevailed on
one or more causes of action actually contested or admitted by
pleadings, discovery or prehearing documents on file, the
arbitrator or presiding officer may offset such fees and costs
between prevailaing parties after considering the necessity of
the proceeding and the importance of che issue or issues upon
which each party has prevailed.
6.7 Payments on notices: All notices, demands and
requests, which may be or are required to be given or made by
either party to the other party, shall be in writing. All
notices, demands and requests by Lusk or Occidental to City
shall be sent by United States registered mail, postage
prepaid, addressed to City as follows:

6.8 Successors and assigns: The covenants and
agreements contained in this Agreement will be binding upon and
inure to the benefit of the parties and their successors and
assigns, however, Occidental and Lusk shall not convey, assign
or otherwise transfer its rights or obligations hereunder
without the prior written consent of the City.
6.9 Effective Date: This Agreement shall be effective
when signed by the Hayor of the City of Carlsbad which shall
occur after Lusk and Occidental have signed it and made the
necessary payments as required by paragraph 1.3 and deposited the
bond as required by paragraph 1.5 and after approval thereof by
the City Council.

The City of Carlsbad is a party to a series of agreements
providing for the construction of the Poinsettia Lane Bridge
over the AT & SF Railroad. Pursuant to the July 1974 agreement
between the City and Occidental in that regard, Occidental is
obligated to use its best efforts to secure Coastal Commission approval for the project through either a permit or a claim of
exemption. The permit option is foreclosed and Occidental has
been pursuing their claim of exemption which was denied by the Commission. Litigat.ion ensued. We are in receipt of a
Nemorandum of Decision, dated October 15, 1976, frog the San
Diego Superior Court, ruling against Occidental's claim. A
copy'0.f that decision is attached for your information.
Occidental, through their attorneys, has requested that the

Enclosed- herewith find a copy of the Memorandum Decision
of Judge Orfield with regard to the above-referenced matter.
The decision, while not favorable, was certainly not
surprising.
By means of this letter I would formally request that the
City of Carlsbad relieve my client of further proceedings
in the Court with regard to the establishment of vested
rights arising from the !.laster Plan of January, 1970.
In light of the decision of the California Supreme Court
in Avco, I am of the strong opinion that to proceed further
would be to engage in an exercise in futility.
I would be more than happy to appear before the Council,
if that be necessary, in order to reassert this position.

Unquestionably, the City of Carlsbad would have much to say
about the details of construction of the buildings and other impr

FIRST SUPPLEMENT TO AGREEMENT FOR
A.T. & S.F. RAILROAD OVERCROSSING AT POINSETTIA LANE
THIS AGREEMENT is made and entered into this As& -
day of July, 1974, by and between OCCIDENTAL LAND, INC,
a California corporation, hereinafter referred to as
"Occidental", and CITY OF CARLSBAD, a municipal corporation
of the State of California, hereinafter referred to as
"City" ;
WITNESSETH :
WHEREAS, City and Occidental entered into that cer-
tain Agreement dated August 14, 1973, and entitled "Agree-
ment for A.T.& S.F. Railroad Overcrossing at Poinsettia
Lane", on file in the office of the City Clerk, incorporated
by reference herein and hereinafter referred to as the
"August Agreement".

for Poinsettia Lane at the A.T.& S.F. Railroad line in the
City of Carlsbad, hereinafter referred to as the "Project",
and obligated Occidental to contribute to the cost of the
Project or,in any event,to construct a two-lane overcrossing
and approaches thereto at Occidental's expense; and
Said August Agreement provided for the
WHEREAS, City did, pursuant to paragraph 5 of said
August Agreement, make application for State of California
Grade Separation Funds, and said funds are available to City
until on or about November 26, 1974; and
WHEREAS, pursuant to paragraph 4 of the August
Agreement, City made application, pursuant to the California
Coastal Zone Conservation Act of 1972, to the San Diego
Coast Regional Commission for a permit to construct the
Project; however, said application was denied; and
WHEREAS, at the time the parties hereto entered
into said August Agreement, the parties did not contemplate

disapproval of the Project by said Commission and did not
provide for that eventuality; and
WHEREAS, neither City nor Occidental can predict
whether approval can be obtained for said Project from said
Commission at some time in the future or whether an exemp-
tion can be obtained, or whether the California Coastal Zone
Conservation Act of 1972 will be superseded upon its expira-
tion with another coastal conservation act which would allow
the Project,or whether some other way to proceed can be
found; and
WHEREAS, Occidental had secured tentative map approv-
al for CT 71-2 covering a portion of the property subject
to the August Agreement, and said approval was conditioned
upon the execution of a secured agreement for participation
by the developer of CT 71-2 in the construction of the
Project: and
WHEREAS, Occidental and Sequoia Pacific Realco re-
quested final tract map approval on a portion of Map 71-2,
more particularly described as Lots 5 and 6 of Tentative
Tract 71-2, also known as CT 71-2, Units Nos. 1 and 2; and
WHEREAS, in order to satisfy the conditions appli-
cable to CT 71-2 and thereby secure said map approval, it
was necessary to provide, through bonding and cash deposits,
for Occidental's participation in the Project; and
WHEREAS, because of the problem with the San Diego
Coast Regional Commission, the August Agreement was not
considered a suitable vehicle to satisfy said conditions; and
WHEREAS, City and Occidental desired to modify the
August Agreement to preserve the opportunity to construct
the Project as contemplated in said Agreement, taking the
extant circumstances into account, while insuring the ulti-
mate construction of the two-lane overcrossing at Occidental'

expense, and at the same time to provide a means to accom-
modate final map approval of Lots 5 and 6 of CT 71-2; and
WHEFtEAS, time constraints necessitated an interim
agreement to accommodate said map pending finalization of a
comprehensive amendment to the August Agreement; and
WHEREAS, City and Occidental modified the August
Agreement by entering into that certain Agreement dated
May 21, 1974 and entitled "City of Carlsbad Subdivision
Improvement Agreement (A.T.& S,F. Railroad Overcrossing at
Poinsettia Lane) on file in the office of the City Clerk,
incorporated by reference herein and hereinafter referred
to as "Modified Agreement". Said Modified Agreement changed
some of Occidental's obligations in regard to the Project on
interim basis; and
WHEREAS, the Modified Agreement provided that
Occidental and City would enter into negotiations in order
to reach accord on an amendment to the August Agreement
which would provide for construction by Occidental of the
Project, or some other overcrossing at the site, and would
take all current developments into account; and
WHEREAS, City and Occidental have completed said
negotiations and desire to memorialize their understandings
in the terms of this First Supplement to the August Agree-
ment; and
WHEREAS, this contract will supersede the Modified
Agreement and will, taken together with the August Agree-
ment, memorialize the agreement between City and Occidental
in regard to the Poinsettia Lane-A.T.& S.F. Overcrossing;
NOW, THEREFORE, the parties hereto agree as follows:
1. Occidental's obligation to deposit funds for the
Project, pursuant to paragraph 6 of the August Agreement, is
delayed pending receipt of Coast Regional Commission approval

of the Project. If such approval is received prior to
March 30, 1975, upon receipt of notice thereof Occidental
shall make the deposit and the parties shall proceed in
accord with the balance of said Agreement.
2. Occidental shall use its best efforts to secure
Coast Regional Commission approval of the Project through a
permit or claim of exemption.
3. Occidental's obligation to pay a portion of the
total cost of the Project is estimated to be $259,000.
4. The Modified Agreement be and is hereby rescinded
5. Within sixty days of the date the final map for
Lots 5 and 6 of CT 71-2 was recorded Occidental shall
deposit with City a cash deposit in an amount computed by
multiplying $259,000 by the total acreage included within
the said final tract map, and by dividing the resulting
multiplicand by 349, the total number of acres within
Occidental's master plan area as shown on the map marked
Exhibit A attached hereto and incorporated by reference
herein.
6. At such time that a final tract map or maps
are presented for approval for the balance of the acreage
within CT 71-2 or for any part of such acreage or for
CT 73-24 of for any part of the acreage within the boundaries
of CT 73-24, Occidental hereby agrees to deposit with City
a cash deposit in an amount computed according to the formula
set out in paragraph 5 hereof. Said deposit shall be made
prior to action by City on the requested final map approval.
7. Occidental agrees to make deposits in accord
with the paragraph 5 formula in connection with the subdi-
vision of the remaining master plan property shown on
Exhibit A and not within CT 71-2 or CT 73-24. Occidental
consents to such condition being imposed on said property

which will run with the land and also be an obligation of
Occidental's successors in interest, if any, or in the alter-
native, consents to the formation of a bridge benefit area
to accomplish the construction of the Project. Said deposits
shall be made prior to approval of the final map. If any
portion of the master plan acreage is not subdivided but
is otherwise developed, Occidental shall make the deposit
for such acreage prior to the issuance of building permits.
8. City shall hold any funds deposited pursuant to
this Agreement in trust to be used for construction of the
Project or the two-lane overcrossing or some reasonably
similar construction to the same purpose at the Project
location. City shall deposit or invest said cash funds in
interest-bearing obligations or interest-bearing accounts
in an effort to maximize the yield thereon in institutions
regularly utilized for investment of City funds.
9. In the event City is unable to obtain within ten
years from the date hereof the necessary approvals to con-
struct an overcrossing, then said cash deposits, together
with interest actually earned thereon, shall be refunded
to Occidental.
10. Should City obtain the necessary approvals to
construct an overcrossing, said funds, including any inter-
est actually earned thereon, shall be utilized by City to
pay the costs thereof.
11. Occidental will secure performance of the August
Agreement and this First Supplement thereto by furnishing a
surety bond in the amount of $259,000 to City. Said bond
shall run for a period of one year commencing May 21, 1974.
Occidental has heretofore furnished City with a $40,000

$259,000 bond, City shall release and fully exonerate the
$40,000 bond previously filed with City. Upon the expira-
tion of the $259,000 bond and prior to its exoneration by
City, Occidental shall furnish City with a surety bond
securing Occidental's performance hereof in an amount com-
puted by deducting the acreage for which deposits have been
made from the total master plan acreage and applying the
paragraph 5 formula to the balance. Said bond shall be
renewed from time to time as necessary until all deposits
are made and Occidental's obligation under this Agreement
are fully satisfied. As deposits are made, City shall re-
lease and exonerate the portion of the bond which corre-
sponds thereto.

CITY OF CARLSBAD SUBDIVISION IMPROVEMENT AGREEMENT
(A.T.& S.F. RAILROAD OVERCROSSING AT POINSETTIA LANE) -
THIS AGREEMENT, made and entered into this 71st
day of May, 1974, by and between OCCIDENTAL LAND, INCer a
California corporation, hereinafter referred to as "Occidental
and CITY OF CARLSBAD, a municipal corporation of the State
of California, hereinafter referred to as "City";
WITNESSETH :
WHEREAS, the City and Occidental entered into that
certain Agreement dated on or about August 14, 1973 (herein-
after referred to as the "Original Agreement"), on file in
the office of the City Clerk and incorporated by reference
herein, for A.T.& S.F. Railroad Overcrossing at Poinsettia
Lane; said Agreement obligated Occidental to construct a
two-lane overcrossing and approaches thereto over the A,T,& S
Railroad extending from the westerly terminus of Poinsettia
Lane westerly to Carlsbad Boulevard, hereinafter referred.
to as the "Project"; and
WHEREAS, City did, pursuant to paragraph 5 of said
Original Agreement, make application for State of California
Grade Separation Funds for said project; and
WHEREAS, City was successful in said application for
State of California Grade Separation Funds, and said funds
are available to City until on or about November 26, 1974;
and
WHEREAS, pursuant to paragraph 4 of Original Agree-
ment, City made application pursuant to the California
Coastal Zone Conservation Act of 1972 to the San Diego
Coast Regional Commission for a permit to construct the
project; however, said application was denied; and

WHEREAS, at the time the parties hereto entered into

said Original Agreement, the parties did not expect disap-
proval of the project by the San Diego Coast Regional Com-
mission and did not provide for that eventuality; and
WHEREAS, neither City nor Occidental can predict
whether subsequent approval can be obtained for said project
from the San Diego Coast Regional Commission, either through
an approval or an exemption application, or whether the
California Coastal Zone Conservation Act of 1972 will be
superseded upon its expiration with another coastal conser-
vation act; and
WHEREAS, it is necessary to modify some provisions
of the Original Agreement to take account of the extant cir-
cumstances while insuring the ultimate construction of the
project at Occidental's expense; and
WHEREAS, Occidental has secured tentative map ap-
proval for CT 71-2 covering a portion of the property subject
to the Original Agreement, said approval is conditioned upon
the execution of an Agreement for participation by the de-
veloper of CT 71-2 in the construction of the Project; and
WHEREAS, Occidental and Sequoia Pacific Realco have
requested final tract map approval on a portion of Map 71-2,
more particularly described as Lots 5 and 6 of Tentative
Tract 71-2, also known as CT 71-2, Units Nos. 1 and 2; and
WHEREAS, City requires through bonding and cash
deposits that provisions be made by Occidental to assure
that funds will be provided for the project prior to final
map approval; and
WHEREAS, the costs of the Project are estimated to
be $259,000; and
WHEREAS, Occidental and City wish to provide a means
to accommodate final map approval of Lots 5 and 6 of CT 71-2
pending modification of the Original Agreement to secure the

eventual construction of the Project in satisfaction of
Occidental's obligations under the Original Agreement; and
WHEREAS, it is the intention of City and Occidental
to make an Agreement providing for the deposit by Occidental
of a prorata share of the cost of said Project based on the
portions of CT 71-2 which are to be finalized compared to
the total area of Occidental!s Master Plan area as shown on
the map marked Exhibit A attached hereto and incorporated by
reference herein;
NOW, THEREFORE, the parties hereto agree as follows:
1. Occidental's obligation to deposit funds for the
Project, pursuant to paragraph 6 of the Original Agreement,
is delayed pending receipt of Coast Regional Commission
approval for the Project. If such approval is received
prior to March 30, 1975, upon receipt of notice thereof,
Occidental shall make the deposit and the parties shall pro-
ceed in accord with the balance of the Agreement.
2. Occidental shall use its best efforts to secure
Coast Regional Commission approval of the Project, through
a permit or claim of exemption,
3. Occidental will secure performance of the
Original Agreement and this Agreement by furnishing a surety
bond in the amount of $259,000. Said bond shall run for a
period of one year commencing May 21, 1974. Occidental has
heretofore furnished City with a $40,000 faithful performance
bond in connection with the Original Agreement. Upon the
receipt and acceptance by City of said $259,000 bond, City
shall release and fully exonerate the $40,000 bond previ-
ously filed with City.
4, Occidental and City will immediately enter into
negotiations in order to reach accord on an amendment to

the Original Agreement to provide for the construction by
Occidental of the Project in light of the facts existing as
of the date of this Agreement. The parties anticipate
that the obligations incurred by Occidental by this Agree-
ment will be credited against their total obligation for
the Project in some mutually agreeable manner,
5. If the modification of the Original Agreement
is not accomplished or if Occidental is not able to secure
the necessary permissions for construction of the Project
prior to the expiration of said $259,000 bond, hereinbefore
referred to, Occidental hereby agrees prior to said expira-
tion to deposit cash with City to allow City to accomplish
the construction at such time in the future that the neces-
sary approvals can be obtained. The amount of said deposit
shall be computed as follows: A cash deposit computed by
multiplying $259,000 by the total acreage included within
the approved final tract map covering Lots 5 and 6 of CT 71-2
divided by 299 acres.
6. City shall hold the funds in trust to be used
for construction of the Project and shall deposit or invest
said crash funds iil interest-bearing obligations or interest-
bearing accounts in an effort to maximize the yield thereon
in institutions regularly utilized for investment of City
funds.
7. In the event City is unable to obtain within
ten years from the date hereof the necessary approvals to
construct said Project, then said cash deposits, together
with interest actually earned thereon, shall be refunded to
Occidental.
8. Should City obtain the necessary approvals to
construct said Project, said funds, including any interest
actually earned thereon, shall be utilized by City to pay

the actual construction costs of said Project.
9. This Agreement shall be null and void and Occi-
dental shall have no obligations hereunder should the final
tract maps requested by Occidental and Sequoia Pacific
Realco on Lots 5 and 6 within Tentative Tract 71-2 not be
approved by City prior to July 1, 1974.
10. Upon Occidental depositing said cash, City shall
release and fully exonerate the above-mentioned $259,000
bond.
11. In the absence of any modification of the
Original Agreement City will require Occidental or their
successors in interest to make similar deposits in connection
with the subdivision of the remaining property shown on
Exhibit A and not within Lots 5 and 6 of CT 71-2. In con-
sideration for City's approval of a portion of CT 71-2
Occidental consents to such condition being imposed on said
property, or in the alternative, consents to the formation
of a bridge benefit area to accomplish the construction of
the Project.

THIS AGREEMENT dated for convenience as of
August 14 , 1973, between the CITY OF
CARLSBAD, a municipal corporation of the State of California
hereinafter referred to as "CITY", and OCCIDENTAL LAND INC.,
a California corporation, hereinafter refeqred to as
"OCCIDENTAL".
WITNESSETH: ----------
WHEREAS, the CITY and H. B. Development entered
into that certain Agreement of July 7, 1970, hereinafter
referred to as "Original Agreement", a copy of which is
attached hereto as Exhibit "A" and incorporated by
reference herein, as a necessary part of the developments
planned by H. B. Development for the subject property
located in the City of Carlsbad; and
WHEREAS, H. B. Development thereafter conveyed
the real property generally referenced in the Original
Agreement to OCCIDENTAL. OCCIDENTAL has proceeded with the
development plans of H. B. Development which include as
a necessary part thereof the improvements as provided in
the Original Agreement; and
WHEREAS, the CITY considers the Original Agreement
to be, therefore, the obligation of OCCIDENTAL; and
WHEREAS, OCCIDENTAL recognizes that with their
purchase of the subject property and pursuit of the
development plans therefor that they have assumed the
obligations of the Original Agreement; and
WHEREAS, OCCIDENTAL is agreeable to performing the
covenants on the part of H. €3. Development to be performed

in the Original Agreement and CITY is agreeable to
accepting said performance as hereinafter restated and
amended;
NOW, THEREFORE, in consideration of the mutual
promises and agreements herein contained, the parties
hereto agree as follows:
1. CITY herewith releases H. B. Development
from any and all liability under the Original Agreement,
and the CITY further agrees to take all steps necessary
to release any and all securities furnished by H. B.
Development to secure said agreement.
2. The Original Agreement is hereby declared to
be superseded and cancelled by this agreement.
3. OCCIDENTAL shall retain at OCCIDENTAL'S
sole expense, a licensed civil engineering consultant to
prepare detailed plans and specifications for the constructi
of a four lane, grade separated, overcrossing for
Poinsettia Lane at the AT & SF Railroad line in the City
of Carlsbad, hereinafter referred to as the "Project".
The Project shall include not only the bridge structure,
but also the approaches to the structure consisting of
the required grade, paving, curbs, gutters, sidewalks,
utility relocations and modifications to the railroad.
The term "approaches" shall include that portion of
Poinsettia Lane which will require a change of grade as
a direct result of the bridge structure. Said consultant
shall prepare said plans and specifications in accord
with CITY requirements to the satisfaction of the City
of Calrlsbad City Engineer. Said consultant shall coordinati
with all appropriate agencies, so that said plans and
specifications may be submitted by the CITY to the Public
Utilities Commission and the California State Highway

Commission by August 15, 1973, if at all possible.
4. CITY shall make application pursuant to
the California Coastal Zone Conservation Act of 1972 to
the San Diego Regional Coastal Commission for a permit to
construct the Project.
5. CITY shall with due diligence utilize its
best efforts to obtain State of California Grade Separation
Funds for said Project and shall make appropriate
applications therefor to the Public Utilities Commission
and the California State Highway Commission.
6. Upon receipt of information from the State
of California that the allocation of grade separation
funds requested by CITY for said Project has been granted,
CITY shall so notify OCCIDENTAL. At the same time, the
Engineer for CITY shall prepare an estimate of the costs
of the Project. CITY shall notify OCCIDENTAL that said
estimate is complete. Said estimate shall include the
determination by CITY of the estimated share of the total
costs of the Project to be deposited by OCCIDENTAL.
Upon receipt of the said estimate and said notice,
OCCIDENTAL shall forthwith deposit with CITY the full
amount in cash of the estimate by CITY of the share of
the Project's cost to be deposited by OCCIDENTAL.
CITY in estimating the cash to be deposited
by OCCIDENTAL shall first estimate the total cost of the
Project and then deduct the estimate of the contribution
to be made by CITY to said costs. In estimating the amount
of the CITY contribution, CITY shall separate the cost
for work within the Santa Fe Railroad right of way
from the total cost of the Project. CITY shall deduct
from the estimate of costs for work within said right of
way, a sum equal to 25% of said costs up to, but not to
exceed, an amount of $60,000.00. The balance remaining

shall constitute the cash to be deposited by OCCIDENTAL.
7. At the same time the deposit by OCCIDENTAL
is made, OCCIDENTAL shall be responsible for delivering
to CITY all documents necessary to grant to CITY all right
of way and slope easements necessary for the Project
with the exception of documents to be obtained from the
Santa Fe Railroad Company.
8. Upon receipt by CITY of said deposit by
OCCIDENTAL and said documents, CITY shall proceed to
advertise for bids for the Project.
9. CITY shall let a contract in its name for
the construction of the Project in accordance with the
plans and specifications prepared and approved pursuant
to Paragraph 3 above, within a reasonable time after the
State Grade Separation Funds have been allocated for this
Project. Construction contracts for the construction of
the Project shall be awarded to a contractor or contractors
licensed under the laws of the State of California and
such construction contracts shall be awarded by CITY on the
basis of competitive bidding, following the procedure
required by the applicable laws of the State of California
and the Carlsbad Municipal Code relating to the awarding
of contracts of a similar nature by the CITY.
10. The CITY may order changes in the work and
approve change orders therefor during construction of the
Project without the consent of OCCIDENTAL. The costs of
such changes shall become part of the overall project
costs. CITY shall notify OCCIDENTAL of all change
orders prior to approving same.
11. Subsequent to the award by CITY of the
contract or contracts for the Project, CITY may draw on the
deposit by OCCIDENTAL as necessary to fund said contract.
In the event project costs exceed OCCIDENTAL'S deposit,

CITY shall advance the necessary amounts subject to final
accounting, credit, payment and reimbursement upon
completion of the Project as hereinafter provided.
12. CITY shall require that the contractor or
contractors provide faithful performance bonds and labor
and material bonds in favor of the CITY in an amount of
not less than 100% of the contract price for faithful
performance and 50% of the contract price for labor and
material, with sureties and bond forms satisfactory to
the CITY.
13. Upon the final completion of the Project,
the CITY shall prepare an accounting of the total cost
of the Project. Said accounting shall be forwarded to
OCCIDENTAL within sixty (60) days of final completion,
and shall include, but not be limited, to the following
i tems :
a) amounts paid to the contractor or
contractors ;
b) cost of any materials directly paid
for;
relocation or suspension of any
utility lines;
c)
d) engineering fees and services;
e) construction staking and construction
inspection; and
f) any direct expenses incurred by CITY
in connection with the Project.
CITY shall also account for the balance, if any, of the
deposit by OCCIDENTAL, any advances made by CITY, the
amount of Grade Separation Funds received for the Project,
and the amount of said funds attributed to that portion of
the Project located within the railroad right of way.

Said accounting shall also include a statement by CITY
of the total amount of the CITY contribution to the costs
of the Project and the reimbursement to OCCIDENTAL to be
made as hereinafter provided.
14. OCCIDENTAL shall be responsible for the
total cost of the Project with the exception of the CITY's
share. The CITY's share shall be determined as follows:
a. CITY shall determine the cost of that
portion of the Project located within the Santa Fe
Railroad right of way.
b. The CITY shall determine the amount
of State Grade Separation Funds which have been received
which are allocable to the cost computed pursuant to
(a) above.
c. The CITY's share shall be one-half of
the amount resulting after subtracting (b) from (a) above
in an amount up to, but not to exceed, $60,000.00.
15. The CITY's share shall be paid to OCCIDENTAL
as follows:
a. The amount of the CITY's share determine(
pursuant to Paragraph 14 hereof shall be reduced by any
advance made by CITY pursuant to Paragraph 11 hereof.
b. If any balance of the CITY's share
remains, said amount shall be paid forthwith by CITY to
OCCIDENTAL.
c. If the said advances exceed said share,
the amount of such excess shall be carried over to the
computations in Paragraph 16 hereof.
16. OCCIDENTAL shall be reimbursed by CITY for
a porticn of the costs of the Project as follows:
a. The total amount of State Grade
Separation Funds received by CITY for the Project shall
be determined.

b. Said amount shall be reduced by the
amount, if any, of the excess carried forward pursuant to
Paragraph 15(c) hereof and CITY shall retain said reduction

17. If CITY has not been successful in securing

also construct all necessary approaches to accommodate
a four lane crossing at said site. Said constructions
shall satisfy all liability of OCCIDENTAL and its
cooperating developers in regard to the Poinsettia Lane
Grade Separation.

18. Effective upon release by CITY of security
posted by H. B. Development to secure their performance
under the Original Agreement, OCCIDENTAL agrees to furnish
a $40, 000. 00 faithful performance bond to CITY in a form acceptable
to the City Attorney. 4

The desirability of a grade crossing for Poinsettia Lane
across the A,T. & S.F. tracks was discussed. The City feels
that ultimately a grade separation will be required, Ii, 3.
Development Company would be required to participate in the
construction of a grade separation even if approval for an
at-grade crossing could be obtained, It was decided that con-
struction of a grade separation would be in the best interest
of all concerned,
It was agreed that the City and 3, B. Development Company
would share 50-50 in the construction cost of both the initial
brizge (two lanes) and the final bridge (also two Lanes).
Construction of the first bridge will be handled by H, B,
Development Company at the time Poinsettia Lane is constructed

I. Poinsettia Lane crossinq at A.T. & S.F. 'cracks,
Messrs. Ukleja and Nichols indicated there would be strong
objection to a grade crossing, however, Mr. Ukleja indicated
there would be no probable objection to a grade separation,
Mr. Ukleja advised that the Public Utilities Commission wil
participate in funding grade separation construction if the con-
struction is in connection with the conversion of an existing
grade crossing. They do not assist in funding original grade
separations. They would probably not, in this case, assist in
funding a grade separation at a later date if a temporary grade
crossing were constructed.
The Public Utilities Commission will assist in widening
grade separations. Presumably, if a grade separation were con-
structed for two lanes, the Public Utilities Commission would
assist in widening to four lanes at a later date.
There is no evidence of any request for any type of
crossing before either the Railroad or the Public Utilities
Commission at the present time. Mr. Ukleja ?resented a letter
from the County of San Diego dated April 26, 1967, which stated
the County could see no need for a crossing at that time.
Any grade separation structure would reqL' lire 23'8"
clearance above the rail and a 35'0" minimum clear width.

.;?ailroad Crossings". An application (original plus 12 copies
-xith 13 prints) is required by the Public Utilities Commission.

Mr. Nichols advised that there would probably be no problem
in obtaining an easement for utility purposes ispecifically a
primary trunk sewer) from the Railroad. The installation would
be authorized by license after review in the local office. Any
easement for street purposes would require authorization from
the Railroad's Chicago office. There should be no problem
obtaining authorization for the installation of drainage culvert
Drainage ditches are not encouraged,
Four copies of proposed construction within the Railroad
right of way should be submitted to Mr. Fry in the Los Angeles
office.
Messrs. Ukleja and Nichols degarted.
3. Conditions of approval for development.
A draft of the City Engineer's recommendations was dis-
tributed. The requirement for a subdivision map covering all or
a portion of the property as a condition for initial development
was discussed, Since the developer does not plan to divide the
property for sale, lease, or financing, the need for a subdivisi
zap was questianed, It was agreed that a Record of Survey Map
showing tXe-monurnentaLion established in defining the streets an
the resulting parcels would be filed and that the requirement €0
a subdivision map would be deferred until such time as the prope
comes under the requirements of the Subdivision Map Act.
The timing of the construction of Poinsettia Lane between
3venida Encinas aznd Zarlsbad Soulevard was discussed at some
ienqth, The City Zsgineer pointed out that the construction
'~,~jo~ldl be dependent upon the requirements established by the Poli
and Fire Departinents for emergency access. If there is no
emergency requirement, construction could be deferred until such
tize as traffic conditions warrant the street. (Fire and Police
su3sequently insicated no immediate zeqxirement for this section
of roadway exists.)

NO decision was made regarding the res,mnsibility for con-
structing the grade crossing or grade separation across the
railroad tracks, Neither the developer nor the City staff felt
that an absolutely responsillle method for splitting the costs
was apparent. The staff will collsider the matter further prior
to submitting the recommended conditions to the Council.
It was agreed that street improvements would be required
throughout the development at the time the adjacent properties
are developed, Additional conditions agreed upon are:

four (4) above, CITY may demand payment of said promissory not
the amount of which is estimated to be DEVELOPER'S share of t'n
costs of construction of said second crossing, If DEVELOPER f
to pay said note upon demand, CITY may proceed to-exercise its
remedies under said trust deed.
