This agreement is entered into on January 8, 1986, by and between
the Costa Real Municipal Water District, herein referred to as
"District" and Richard Osburn, hereinafter referred to as "Contractor" upon the terms and understandings set forth below.
1. Recitals
1.1 The District must currently inspect more water line projects than can be inspected by the engineering staff employed by the District.
1.2 The District has determined to retain a contractor rather than increase the number of
engineering employees of the District.
1.3 The Board of Directors of District approved
the terms and conditions herein as set forth in
Contractor's letter proposals of May 15, 1985, by
its action on January 8, 1986, and authorized the
General Manager to execute a contract on its behalf in accordance therewith.
1.4 The Contractor has proposed the relationship with the District to perform the tasks described
herein for the term of this agreement, and does not
desire permanent or exclusive employment with the District.
1.5 The Contractor is fully insured and does not
seek to benefit from any of the insurance
retirement programs provided to employees of the
District.
1.6 The Contractor is a qualified public works
inspector.
2. Terms of Aqreement
2.1 Inspections. Contractor shall inspect
installation of new District water lines to ensire compliance with rules and regulations of the Costa
Real Municipal Water District and other applicable
codes and standards.

2.2 General Direction, Contractor shall work
under the general direction and functional supervision of the District Engineer or his designee.
2.3 Contractor Responsible for Methods.
Contractor shall be responsible for the method of
inspecting and for becoming familiar with District
regulations and procedures.
2.4 Assignments. Contractor shall not work any
specified number of hours, but shall be available
for inspection assignments on an "as needed" basis
as determined by District.
2.5 Term. The term of this agreement shall be
from termination of the June 12, 1985 agreement
- through April 1, 1986, unless terminated earlier as provided herein.
2.6 Compensation. The parties agree that
Contractor shall be compensated as follows:
A. Contractor shall perform the services provided for hereinnot to exceed 220 hours or
a maximum of $5,000.
B. Contractor shall be paid by the District
at the rate of Twenty-Two and 50/100 ($22.50)
Dollars per hour.
C. Contractor shall bill District for only such time as actually spent at job sites to which he has been assigned for the purpose of
inspecting installation of water systems.
D. Contractor will be responsible for
scheduling of his own hours of inspection, and for transportation to and from job sites.
2.7 Other Benefits. In view of Contracctor's
relationship with the District pursuant to this
agreement, Contractor recognizes and acknowledges
and waives the benefits which he, if he were an
employee, would receive under all insurance,
employee benefit and retirement programs of
District, and all the protections and rules regarding termination of its employees, which are
not provided for herein. It is expressly
recognized that the District shall not provide said benefits, and that Contractor will not receive said benefits.

2.8 Insurance. Contractor shall maintain his own
liability, health, Workers' Compensation,
disability and other insurance and District shall in no event be responsible therefor.
2.9 Billing. Contractor shall submit, twice each month, a bill for the labor performed, showing the
number of hours worked, and shall be paid according
to District's regular pay periods.
2.10 Termination. This agreement may be terminated at any time, with or without cause, upon written notice by either party.
