THIS DOCUMENT for continuation of Employee Assistance Program services is made by THE PRESIDENTS & MANAGERS COUNCIL (P & M C) OF SAN DIEGO WATER AGENCIES EMLOYEE ASSISTANCE CONSORTIUM, public employers, herein called Employer ," and DUANE ROGERS, PERSONAL ASSISTANCE SERVICES OF SAN DIEGO, herein called "Contractor." 11 RECITALS A. Employer desires to continue the Employee Assistance Program in order to assist Employer employees in resolving personal problems which could hamper job performance. This program does not constitute a health care service plan, treatment program, or a mental health service plan. B. For purposes of this contract, !CONSORTIUM' shall be defined as not less than three individual participating water agency employers or not less than 50 total covered employees of these same employers. C. Contractor has experience in administering Employee Assistance Programs and is willing to establish and operate such a program for the Employer. NOW, THEREFORE, in consideration of the recitals and the mutual obligations of the parties as herein expressed, Employer and Contractor agree as follows: 1 SCOPE OF SERVICES TO BE DELIVERED During the term of this agreement, Contractor will provide-the following specific services at Contractor's designated office locations or mutually agreed upon facilities or locations. The provision of these services will be limited to Employer employees and their families. A. Management Consultation and creation of promotional literature drafts relative to the development and integration of organizational policies and procedures necessary for effective Employee Assistance Program implementation and utilization. B. Orientation of employees through written materials (announcement of services & service flyer), briefing sessions, audio- visual presentations, and/or information pertaining to the purpose, scope, nature and use of the Employee Assistance Program. C. Training of supervisory and management staff to develop the knowledge and skills necessary to effectively utilize the program in the administration of their personnel management responsibilities. This supervisory training will be held in a central 1oc.ation in 2 hour groups held in the first quarter of the contract participating water agency employers. Briefings will be held in third quarter for staff of any Employer coming onto the contract after initiation. 1/2 for the its 1 of 5 . D. Direct one-to-one diagnostic/assessment evaluation utilizing the professionally qualified Contractor's staff to identify and evaluate personal problems and concerns. To assess and address options and alternatives for the resolution of such problems as may exist from time to time among Employer's employees .and/or their families. Such direct assessment shall provide for one to three (1-3) sessions per employee per problem per year. Contractor will, however , employ and provide any number of assessment sessions to identify and clarify the the behavioral/medical or personal problems of employees of the Employer who have been identified and referred by staff of the employer as evidencing performance problems in their work or occupation. E. Pre-treatment Evaluation and Referral services to screened, professional community resources for treatment and/or assistance as may be appropriate. L F. Continuing liaison and contact, when appropriate, between employee, referral agent or agency, and the Employer to determine case status. G. Provision of on-going consultation to supervisors and management in matters pertaining to specific personnel actions. H. Provision of quarterly and annual statistical reporting of program activity by factors established by the Contractor. These reports will be forwarded to the P & M C for copyipg and distrbution to participating water agency employers. TERM OF AGREEMENT Contractor shall provide the above specified services for a period of one year beginning on May 1, 1987 and ending on March 31, 1988 with possible subsequent extension as mutually agreed upon. CONFIDENTIALITY Contractor agrees to operate a system of records on individuals in accordance with the PRIVACY ACT OF 1974, PUBLIC LAW 93-579. Upon conclusion of this contract, these records will become the property of the Employer in accordance with the PRIVACY ACT OF 1974, PUBLIC LAW 93-579. Records, including any information whether recorded or not, pertaining to the identity, diagnosis or treatment of any employee or employee's family dependent which are maintained in connection with the performance of this contract shall be confidential and disclosed only under the following circumstances: A. When disclosure is authorized with the written and signed consent of the employee or family dependent. Such consent must state: 2 of 5 r. 1. The name of the person or organization to whom disclosure is to be made; 2. The specific type of information to be disclosed; and 3. The purpose and need for such disclosure. COMPENSATION It is agreed that Employer shall pay the sum of $ 0- for the above described services. This fee is based on negotiation between the Employer and the Contractor on or about quarterly dates listed on amendment pages attached here. Individual P & M C employers can join the consortium quarterly. The contract fee therefore will be appropriately adjusted by Contractor each quarter on the first day of the quarter with data supplied to the Contactor by the P & M C. Water agencies who join the consortium during a quarter shall pay the agreed upon fee for that quarter (see attached rate table). Employer shall pay Contractor a fee monthly as billed in arrears. The month monthly fee shall be 1/12th of the contract amount above, billed at the end of each month in arrears thereafter throughout the term of this agreement upon receipt of Contractor's invoice letter. INSURANCE Contractor agrees to maintain professional liability insurance to cover program activities in the sum of $1,000,000 aggregrate and $500,000 each claim. HOLD HARMLESS Contractor shall indemnify and hold harmless the Employer, its Board of Directors, officers and employees from liability by reason of any program activities undertaken by the above mentioned Employer affiliated persons. GENERAL PROVISIONS This agreement contains the entire understanding of the parties hereto relating to the subject matter herein contained. Each party acknowledges that no representation, inducements, promises or agreements, oral or written; with reference to the subject matter herein have been made other than as expressly set forth herein and in the proposal. This contract may be amended or terminated after thirty (30) days' notice to either party by the Contractor or Employer. 3 of 5 r. .. - .' 'I. SAN DIEGO WATER AGENCIES CONSORTIUM - EAP (San Diego County) (SECOND YEAR) A CONSORTIUM (POOL) EMPLOYEE ASSISTANCE PROGRAM (EAP) PROVIDED BY PERSONAL ASSISTANCE SERVICES OF SAN DIEGO (PAS) WOULD INCLUDE: * 24 hour coverage & on-call services * 1-3 interviews per employee/family per problem/per year * On-call supervisory consultation on referrals * Supervisory training on the EAP * Employee group orientations at the job site * EAP card/poster placement with orientation visits * Program materials drafting (Announcement, Brochure/art, * Quarterly reporting on EAP utilization Supervisory Guide) , A CONSORTIUM APPROACH WOULD REDUCE COSTS OF THE EAP BY COMBINING: * Supervisory training at central location (N. County & S.D.) * Uniform materials (Announcement, Brochure, Poster, & Super v isor y Guide ) (1) PAS drafts Materials, prepares art on Brochure, (2) Announcement is reproduced by each employer , Guide is (3) EAP cards & Posters are supplied by PAS quarterly reports) bills P. & M.
