AGREEMENT
THIS DOCUMENT for Employee Assistance Program services is made by THE
PRESIDENTS & MANAGERS COUNCIL (P & M C) OF SAN DIEGO WATER AGENCIES EMPLOYEE
ASSISTANCE CONSORTIUM, public employers, herein called "Employer ," and
PERSONAL ASSISTANCE SERVICES OF SAN DIEGO, herein called "Contractor."
RECITALS
A. Employer desires Employee Assistance Program services in order to
assist employees in resolving personal problems which hamper job
performance. This program does not constitute a health care service plan,
counseling plan, treatment program, or a mental health service plan. This
program will be provided within the Knox-Keene Exemption for EAP's
guidelines.
B. For purposes of this contract, 'CONSORTIUM' shall be defined
as not less than three individual participating water agency employers
or not less than 50 total covered employees of these same employers.
C. Contractor has experience in administering Employee Assistance
Programs, is willing to continue and operate this program for the Employer,
and is a registered Knox-Keene Exemption EAP provider in the State of
California.
NOW, THEREFORE, in consideration of the recitals and the mutual
obligations of the parties as herein expressed, Employer and Contractor
agree as follows:
SCOPE OF SERVICES TO BE DELIVERED
During the term of this agreement, Contractor will provide the
following specific services at Contractor's designated office locations
or mutually agreed upon facilities or locations. The provision of
these services will be limited to Employer's employees and their families.
A. Management Consultation and creation of promotional literature
drafts relative to the development and integration of organizational
policies and procedures necessary for effective Employee Assistance
Program implementation and utilization.
B. Orientation of employees through written materials (announcement of
services & service brochure), briefing sessions, audio-visual
presentations, and/or information pertaining to the purpose, scope, nature
and use of the Employee Assistance Program.
C. Training of supervisory/management staff to develop the knowledge
and skills necessary to effectively utilize the program in the
administration of their personnel management responsibilities. This
supervisory training will be held at a central location for the
participating water agency employers. Briefings(l1/2to 2 1/2 hours)will
be held at the earliest convenience for staff of any Employer coming onto the
contract after its initiation.

D. Direct identification and referral serices for general personal
problems utilizing EAP qualified Contractor's staff. To identify, discuss
a plan of action with appropriate resources, and with the client's choice
direct placement for resolution of such problems as may exist from time to
time among employees and/or their families. Such identification and
referral shall provide for one to three (1-3) visits per employee per problem
per year, and not more than three visitsin any six month period. Contractor
will, however, employ and provide further referral visit sin acute emergency
situations, consultation after referral for motivation or re-referral or
consultation due to a management , state licensing agency or union request
for information or assessment regarding work performance issues (work performance referral).
E. Identification and referral services to a choice of screened,
professional community resources from the assistance resource system.
F. Continuing liaison and contact , when appropriate, between
employee, EAP staff, community resource, and the Employer to determine case
status.
G. Provision of on-going consultation to supervisors and
management in matters pertaining to specific personnel actions.
H. Provision. of quarterly and annual statistical reporting of
program activity by factors established by the Contractor. These
reports will be forwarded to the P & M C for copying and distrbution
to participating water agency employers.
TERM OF AGREEMENT
Contractor shall provide the above specified services for a period of
one year beginning on May 1, 1990 and ending on April 30, 1991 with possible
subsequent extension as mutually agreed upon.
CONFIDENTIALITY
Contractor agrees to operate a system of records on individuals
in accordance with the PRIVACY ACT OF 1974, PUBLIC LAW 93-579. Upon
conclusion of this contract, these records will become the property of
the Employer in accordance with the PRIVACY ACT OF 1974, PUBLIC LAW
93-579.
Records, including any information whether recorded or not,
pertaining to the identity, diagnosis or treatment of any employee or
employee's family dependent which are maintained in connection with
the performance of this contract shall be confidential and disclosed
only under the following circumstances:
A. When disclosure is authorized with the written and signed
consent of the employee or family dependent. Such consent must state:

1. The name of the person or organization to whom
disclosure is to be made;
2. The specific type of information to be disclosed;
and
3. The purpose and need for such disclosure.
COMPENSATION
It is agreed that Employer shall pay the sum of $ . during the
contract year May 1, 1990 through April 30th, 1991 for the above described
services. This fee is based on negotiation between the Employer and the
Contractor. IndividualP&MC employers can jointhe consortium quarterly.
The contract fee therefore will be appropriately adjusted by Contractor each
quarter on the first day of the quarter (5-1-90, 8-1-90, 11-1-90, & 2-1-91)
with data supplied tothe Contactor by eachagency. Water agencieswho join
the consortiumduring a quarter shall pay the identified fee forthat quarter
(see attached rate table - page 4).
Employer shall pay Contractor a monthly fee billed in arrears. The
monthly fee shall be 1/12th ofthe contract amount above, billedatthe end of
each month in arrears thereafter throughout the term of th-is agreement upon
receipt of Contractor's invoice letter.
INSURANCE
Contractor agrees to maintain professional liability insurance cover
programprogram activities in the sum of $1,000,000 aggregrate and $500,000
each claim.
HOLD HARMLESS
Contractor shall indemnify and hold harmless the Employer, its Boardof
Directors, officers and employees from liability by reason of any program
activities undertaken by the above mentioned Employer affiliated persons.
GENERAL PROVISIONS
This agreement contains the entire understanding of the parties hereto
relating to the subject matter herein contained. Each party acknowledges
that no representation, inducements, promises or agreements, oral or
written; with reference to the subject matter herein have been made other
than as expressly set forth herein and in the proposal. This contract may be
amended or terminated after thirty (30) days notice to either party by the
Contractor or Employer.

* Quarterly add-on would reduce costs by quarter for the whole
group. Add-ons would be added to master contract as amendments
to the original. Districts could join consortium during a
quarter, pay that quarter’s rate, then realize reduced rate at
next quarter date.
