The You will recall SDG&E did not have approved rates for custom owned HPSV street lights when you began taking the service. Therefore: this Special Contract is required to cover the period from the time yo1 took service until the rates became effective (June 10, 1979). Again, we are enclosing three copies of the Special Concract for energy service to your HPSV lights. Y-. . ~ . 1 - _I w ---e ~~ S,&f'J DiEGO GAS & ELECTRIC COMPANY CONTRACT FOR STREET LIGHTING This Contract is ride and entered into as of the first day of January, 1978, by and between SAT3 DIEGO GAS & ELECTRIC COWLVY, a corp,>ration, hereinafter called "Utility", and the City of Carlsbad, hereinafter called "Applicant". In consideration of the niutual promises herein, the parties agree as follows: 1. Utility agrees to furnish electric energy for street lights, installed on Applicant's poles, as described in Exhibit A, attached hereto and made a part hereof. 2. Applicant agrees to take and pay monthly for said services to installations as set forth in Exhibit A for a period of five years commencing January 1, 1978, or as soon thereafter as the Utility is reasonably able to supply said service. Applicant agrees, upon approval by the Public Utilities Commission of tariff schedules containing specific rates for the service described in Exhibit A, to pay such sum in lieu ( the sum mentioned in paragraph 2 above, effective as of the date such tariff becomes effective. 4. The parties agree that upon the expiration of the ciriginai tc this Contract shall be autonatically extended for successive terms of one year each; provided that this Contract may be terminated by either party upon not :Less than 60 days writtei notice prior to the expiration date of the original term or any extended term. 5. The parties agree that no change shall be made in the above street lighting system, except by modifications mutually agreed upon in writing. By said modification new street lig may be added under the applicable rate and Utility agrees to make any necessary installations in accordance with its Rule and Regulations; provided that no change will. be made in the location of existing lights unless the expense hhereof 1s paid by Applicant. L # I 0 - 2- \ 6. Utility agrees to use reasonable diligence in providing uninterrupted service, but does not guarantee continuity or sufiiciency of supply of electric energy. Tf any of said Street lights fail to burn properly, or if for any reasons Utility is unable to supply energy for said lighting service, Applicant agrees that the only liability of Utility shall be to rebate the proportionate charge for the time that szch lamps fail to burn, excluding the time preceding notification to the Utility of the particular outage and the first 24-hour period thereafter. 7. Applicant agrees to be governed by the Utility's applicable Rates and Rules on file with the Ca1iEorr.i.a Public Utilities Conmission, which Rates and Rules are made a part hereof by rerercnce, and a copy of which will be furnished to Applicant upon request. This Contract shall at all times be subject tc such changes or modifications as said Comiiission may, from tine to time, direct in the exercise of its jurisdiction. STREET LIGHTING DISTRICT NO. 1 WHEREAS, this City Council has conducted proceedings for the form a Street Lighting District pursuant to the provisions of Division 14, of the Streets and Highways Code of the State of California, as amende being the "Street Lighting Act of 1919", for Street Lighting District said City known and designated as STREET LIGHTING DISTRICT NO. 1 (hereinafter referred to as the "Street Lighting District"); and WHEREAS, it is necessary for the City at this time to contract fc energy to power said system and for other necessary items for the con1 operation and maintenance of said system as required for the "Street I District"; and WHEREAS, Section 18171 of the Streets and Highways Code of the S California authorizes the City Council to determine that there is onl. contractor practically capable of serving the street lighting system forth in the Engineer's Report and, further, to find that such contra subject to the jurisdiction of the Public Utilities Commission of the California and thus that said contract should be authorized at this t without further competitive bidding; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City c Carlsbad as follows: SECTION 1. SECTION 2. That the above recitals are all true and correct. That s contractor has submitted a contract for the providing of energy and th tinual maintenance of the system and street lighting improvements for Street Lighting District and said contract is hereby approved and exec hereby authorized by the Mayor and City Clerk,, That the term of said contract shall be for a period of five (5) commencing on the 1st day of January 1978 and ending on the 31st day December 1982, all in accordance with the report as previously submit the City Engineer and approved by this City Council.
