THIS AGREEMENT is entered into this 7th day of
June, 1977 , by and between the COUNTY OF SAN DIEGO, a
political subdivision of the State of California, hereinafter
referred to as "County", and the CITY OF CARLSBAD, hereinafter
referred to as "Contractor".
WITNESSETH:
WHEREAS, the County is expanding its emergency
medical services system to include a paramedic program as
authorized under the Wedworth-Townsend Paramedic Act and has
received federal support for this program under the Public
Health Service of the United States Department of Health,
Education and Welfare Grant No. 09-H-000581-02-0 MS H36-C;
and
WHEREAS, Contractor possesses the appropriate
professional qualifications to provide paramedic services;
and
WHEREAS, the Contractor has been designated by the
County to perform the subject services;
NOW THEREFORE, the parties do mutually agree as
follows:

Contractor shall provide paramedic ser.vices within
the LIMITS OF THE CITY ,OF CARLSBAD.
CRITERIA .
Contractor shall have overall'responsibility for .
the development and operation of paramedic services
in accordance with the County criteria described
in Attachment A.

Section 5. COUNTY FURNISHED EQUIPMENT AND SERVICES
Subject to the performance by the Contractor in a
manner acceptable to the County, County agrees to
provide to the Contractor the following:
A. Certain items of medical equipment described
by * on Attachment B.
B. Necessary communication equipment to operate
the paramedic service as described by * on
Attachment B.
C. Replacement and maintenance of communication
equipment.
Section 6. CONTRACTOR FURNISHED PERSONNEL, EQUIPMENT AND REPORTS ,
Subject to performance in a manner acceptable to
the County, Contractor agrees to:
A. Maintain and operate one fully equipped,
supplied and manned MICU available for
providing paramedic services seven days
a week, twenty-four hours per day, on a
year-round basis in accordance with criteria
established by San Diego County.
B. Staff the MICU with at least two paramedics
at all times.
For purposes of this Agreement, paramedics shall
be individuals certified by the County's Health
Officer to operate as paramedics in

San Diego County pursuant to Section 1480
et seq. of the Health and Safety Code,
Provide all medical equipment items for one
MICU described by,'1',*,in Attachment B.
Maintain and replace, as needed, all medical
equipment items contained in Attachment B.
Insure that all certified paramedics
complete the continuing education required
by the County,
Submit reports in accordance with Section 19.
Section 7. OTHER CONTRACTOR RESPONSIBILITIES
Contractor further agrees to:

Provide-suitable protected facilities for
housing the MICU ambulance.
Maintain the MICU ambulance in a fully
operational condition.
Develop mutual aid agreements for providing
ambulance service in the area in the event
the ambulance is not operable, or away from
the area of responsibility,
Notify the Division of Emergency Medical
Services immediately whenever any condition
exists which adversely affects providing
satisfactory ambulance service.
Section 8, INDEPENDENT CONTRACTOR
Contractor is, for all purposes arising out of this
Agreement, an independent Contractor, and no employee
of Contractor is, for any purpose arising out of
this Agreement, an employee of the County.

Section 9. IFlTEREST OF CONTRACTOR
Contractor covenants.that Contractor presently has
no interest, including but not limited to,-other
- projects or independent contracts, and shall not
acquire any interest, direct or indirect, which wou'ld
conflict in any manner or degree with the performance
of services required to be performed under this
Agreement. Contractor further covenants that in .
the performance of this Agreement no persons having
any such interest shall be employed or retained by
Contractor under this Agreement.
- Section 10. C0?4PE?4SATION
This is a no-cost agreement. County will make no
reimbursements as a result of this Agre'ement.
Section 11. MODIFICATIONS AND EXTENSIONS
The Agreement may be modified at any time by the
written consent of the parties. This document,
however, fuily expresses all understandings of
the parties concerning the matters covered herein.
No addition to or alteration of the terms of this
Agreement, and no verbal understanding of the
parties, its officers, agents or employees, shall
be valid unless made in the form of a written
amendment to this Agreement, and duly approved and
executed by the parties' authorized representatives.

Section 12. PROPERTY TITLE
Title to expendable and *non-expendable property
whose cost was borne in whole by County under this
Agreement will remain vested in the County upon
termination of this Agreement.
Section 13. ASSIGNABILITY
The Contractor shall not assign any interest in
the Agreement, and shall not transfer any interest
in the same without prior written consent of County
thereto.
Section 14. TERF1INATION AND DEFAULT
A. This Agreement may be terminated for any
reason by either party giving sixty (60)
days' written notice to other party's
designated representative, except as
defined in "14.B" and "15" below.

B. County may terminate this Agreement for
default upon five (5) days' written notice
if Contractor breeches'this Agreement or
if Contractor refuses or fails to timely
perform any of its duties under this
Agreement.
Section 15. TERMINATION OF HE!d A'IIARD
In the event of termination prior to June 30, ,
1977, by HE\/ of subject award with County, funding '
provided to Contractor under this Agreement shall
likewise terminate at such time. In the event
of such termination, County shall immediately

Section 16. I N D E ?l?l I TY
Contractor agrees to indemnify and hold harmless
County, its officers, agents, and employees from
and against all loss or expense (including costs
and attorney's fees) due to bodily injury, personal
injury, professional/medical malpractice, includi*ng
death at any time resulting therefrom, sustained
by any person or persons or on account of damage
to property, including loss of use thereof, arising
out of or in consequence of the performance of
this Agreement, provided such injuries to persons
or damages to property are due or claimed to be
due to negligence of the Contractor, its officers,
physicians, agents or employees. Contractor shall
have workers' compensation coverage for its
I employees under this Agreement.
Section 17. AFFIRMATIVE ACTION . .
Contractor and any subcontractors performing under
this Agreement shall comply with the Affirmative
Action Program for Vendors, as set forth in
Article III (commencing at Section 84) of the
San Diego County Administrative Code. A copy of
this Affirmative Action Program for Vendors will
be furnished upon request.

Section 18. RECORDS
Contractor shall maintain accurate books and
accounting records relative to this Agreement.
- Such books and records shall be open for inspec-
tion and/or copying at any reasonable time by th2
County's designated representative(s), the Auditor
of the County of San Diego, HEY, or their designated
representatives.
Section 19. REPORTS
A. Comply with the ambulance report system of
San Diego County by completing a Pre-Hospital
.Report Form on every call made by the MICU
or ambulances.
B. Contractor shall submit completed Pre-Hospital
Report Forms on the first and fifteenth of
every month to the:

CRITERIA FOR AGENCY APPROVAL TO PROVIDE PARAMEDIC SERVICES
Offer 24-hour, 365-day service.
Agree to provide sufficient manpower for 24-hour service.
Be selected by a local jurisdiction as the agency to provide
paramedic services for that jurisdiction.*
Agree to abide by County Paramedic Program Standards. .
Agree to respond only to emergency calls.
Insure that a back-up system of basic life support will be availabl

MEMORANDUMOFUNDERSTANDING
FOR
EMT-PARAMEDIC SERVICES
THIS MEMORANDUM OF U&DERSTANDING is made between the COUNTY OF SAN
DIEGO, hereinafter referred to as COUNTY, and the CITY OF CARLSBAD, hereinafter
referred to as CITY, to provide EMT-Paramedic (EMT-P) services.

WITNESSETB:

WHEREAS the CITY OF CARLSBAD has determined that EMT-Paramedic services will be
provided within the CITY OF CARLSBAD, and. CITY possesses certain skills, experience,
education and competency to perform certain specialized services regarding the provision and
management of advanced life support; and
WHEREAS, CITY and COUNTY desire to enter into this Memorandum of Understanding for
the purpose of clarifying roles and responsibilities for the medical control of Emergency Medical
Services in the CITY.OF CARLSBAD.
WHEREAS, the CITY has provided Emergency Medical Services for many years and advanced
life support services since 1977 and continues to provide and administer Emergency Medical
Services within the City of Carlsbad pursuant to its “grandfather” status under Health and Safety
Code Section 1797.201.
NOW, THEREFORE, the parties hereto do mutually agree to the terms and conditions as
attached and set forth in this Memorandum of Understanding.
. -. I. ADMINISTRATION OF MEMORANDUM OF UNDERSTANDING
COUNTY’s Chief, Emergency Medical Services, hereinafter called COUNTY’s ADMINISTRATOR,
shall represent COUNTY in all matters pertaining to the performance under this Memorandum of
Understanding and shall administer this Memorandum of Understanding on- behalf of COUNTY. Fire
Chief, City of Carlsbad shall represent CITY and shall administer this Memorandum of Understanding
in accordance with its terms and conditions on behalf of CITY. All reports, letters, notices and/or other
correspondence shall be sent to the attention of the designated representatives at their respective
addresses.
II. TERM OF MEMORANDUM OF UNDERSTANDING
The term of this Memorandum of Understanding shall be from
and will continue until terminated by either party.
May 1 ,1994
CITY and COUNTY shall review this Memorandum of Understanding every two years to ensure
applicability to current conditions, policies, procedures and protocols.
III. RESPONSIBILITIES OF PARTIES
A. Resnonsibilities of COUNTY
1. To provide, under the authority of Section 1797 et. seq. of the Health and Safety
Code, the following services: ,.
a. Approval of the EMT-Paramedic (EMT-P) training program(s) in the
County of San Diego pursuant to the California Code of Regulations,
Title 22, Division 9, Chapter 4.
b. Standards for accreditation/authorization of EMT-Paramedics (EMT-Ps)
and Mobile Intensive Care Nurses (MICNs), in San Diego County,
pursuant to California Code of Regulations, Title 22, Division 9.
c. Contracts with designated base hospitals to provide immediate medical
direction and supervision of the ALS system for the area defined by the
local EMS agency.
2. To provide prehospital report forms or alternate data collection method in
accordance with California Code of Regulations, Title 22, Division 9, Chapter
4.
3. To review this Memorandum of Understanding every two years to ensure
compliance with applicable standards, regulations, policies, procedures and
protocols.
4. To take immediate corrective action where there is a failure to meet
“Responsibility of the COUNTY”.
B. Resnonsibilities of CITY
1. To provide EMT-Paramedic services within the boundaries of its local
jurisdiction and within adjoining areas as specified by agreements with adjoining
EMT-Paramedic service providers.

To participate in tbe ALS program consistent with applicable provisions within
Title 22 of the California Code of Regulations, Division 9, Chapter 4.
To develop and operate EMT-P services consistent with applicable provisions
within the California Code of Regulations, Title 22, Division 9, Chapter 4.
CI’I’Y may subcontract all or a portion of these services. CITY is responsible
for ensuring that any and all subcontractors provide services consistent with this
Memorandum of Understanding and applicable provisions within the California
Code of Regulations, Title 22, Division 9, Chapter 4.
CITY intends to maintain and operate at least one (1) properly equipped,
supplied and staffed EMT-P ambulance seven days a week, 24 hours a day. In
addition, CITY may, solely at its discretion, decide to maintain and operate
EMT-P staffed fire response vehicles (assessment engines). If such vehicles are
operated, they will be properly equipped, supplied and staffed. All units will
comply with the policies, procedures and protocols for medical control as
established by the COUNTY.
To staff each EMT-P responding ambulance unit with at least two EMT-Ps. If
CITY decides to operate assessment engines, each engine shall have at least one
(1) EMT-P at all times. CITY will notify the COUNTY when changes in
service levels occur.
For the purpose of this Agreement, an EMT-P is an individual certified in the
State of California’as an EMT-P and accredited by the San Diego County EMS
Medical Director to operate as an EMT-P in San Diego County, pursuant to
Section 1797 et. seq. of the Health and Safety Code.
To provide the citizens of the local jurisdiction with information on the 911
system and where and how to obtain cardiopulmonary resuscitation (CPR)
training.
To ensure that all EMT-P personnel comply with the continuous accreditation
requirements of the COUNTY.
To cooperate with the approved EMT-P training programs in providing field
internship locations for paramedic interns.
To develop mutual aid and/or call-up plans for providing EMT-P service in an
area in the event the unit assigned to the area is not operable or is away from the
area for other reasons. Automatic response plans may be developed by the local
jurisdiction with the concurrence of adjoining EMT-P services.
To appoint an Agency Paramedic Coordinator, to serve as liaison between the
agency, the COUNTY, base hospital, receiving hospitals, basic life support
(E&S) provider agencies and public safety agencies operating within the service
area.
To provide orientation for first responder agencies to ALS functions and role.
To use best efforts to provide for a planned maximum ALS response time of ten
minutes.
To participate in local EMS planning activities, including disaster management.

To comply with all applicable State statutes, regulations, local standards, policies,
procedures and protocols.
To implement and maintain a Quality Assurance/Quality Improvement Program
that interfaces with the local EMS agency’s systemwide Quality Improvement
Program, which includes cooperation with the base hospitals* quality
improvement process and is approved by the local EMS agency.
To immediately notify the Chief, Division of Emergency Medical Services, or
designee, whenever any condition exists which adversely affects the local
jurisdiction’s ability to meet the conditions of this Memorandum of
Understanding.
CITY to implement staffing patterns for EMT-Ps that do not routine& require
them to work scheduled shifts as paramedics or first responders for greater than
48 hours within any 60 hour period.
To provide sufficient unit security, safety and housing such that supplies and
equipment are secured and pharmaceuticals are double locked.
To take immediate corrective action where there is a failure to meet
“Responsibilities of the CITY”.
IV. CITY’S STANDARDS .
CITY shall adopt CITY’s own performance standards for the purposes of Paragraph IILB. above and
shall monitor its compliance with them.
V. NOTICE
A. Notice Pursuant to this Memorandum of Understanding Any notice or notices required
or permitted to be given pursuant to this Memorandum of Understanding may be
personally served on the other party by the party giving such notice, or may be served
by certified mail or registered mail, to the offtcials cited in Paragraph I.
B. Notice of Delav CITY shall, within five (5) days of the beginning of any delay in the
performance of this Memorandum of Understanding, notify the County’s Administrator,
in writing, of the said delay, causes and remedial action to be taken by CITY.
COUNTY shall, within five (5) days of the beginning of any delay in the performance
of this Memorandum of Understanding, notify the Fire Chief, in writing, of the said
delay, causes and remedial action to be taken by COUNTY.
VI. AMENDMENTS, OPERATING MEMORANDA AND TERMINATION
A. Amendments COUNTY and CITY may request written amendment to this Memorandum
of Understanding. Such amendments, as agreed upon in writing, by and between
County’s Chief, Emergency Medical Services and CITY are not in force until approved
by the COUNTY and the CITY,
B. Termination of Agreement for Convenience Either party may terminate this
Memorandum of Understanding upon forty-five (45) days written notice to the other

VII. PARTIES NOT AGENTS OF EACH OTHER
CITY, for all purposes arising out .of this Memorandum of Understanding, shall not be deemed an
employee, officer or agent of COUNTY. COUNTY, for all purposes arising out of this Memorandum
of Understanding, shall not be deemed an employee, officer or agent of CITY.
VIII. CONFIDENTIALIIY
CITY shall maintain the confidentiality of its records, including but not limited to prehospital patient
records and quality assurance audits, in accordance with all applicable State and Federal laws relating to
confidentiality. CITY shall inform all its officers, employees and agents, and others providing services
hereunder of said confidentiality provisions. COUNTY shall maintain the confidentiality of all records
made available hereunder during and after the terms of this Memorandum of Understanding.
IX. MAINTENANCE OF RECORDS
AI1 quality assurance and medical control records under thii Memorandum of Understanding shall be
maintained by CITY for a minimum of three (3) years. COUNTY, at its option,.may make a copy, at
COUNTY expense, of CITY’s quality assurance and medical control records.
X. PERFORMANCE AUDITS AND INSPECTION OF RECORDS /
Authorized Federal, State or County representatives shall have the right to monitor, assess and evaluate
CITY’s performance pursuant to this Memorandum of Understanding, said monitoring, assessments and
evaluations to include but not be limited to audits, inspection of premises, reports (excluding personnel
records and report& patient records and interviews of staff in matters dealing with issues covered by this
Memorandum

f@uderstanding. During normal business hours CITY shall make available to County,
State and Feder officials- for examination-of all its records with respect to matters covered by this
Memorandum of Understanding and will permit author&d County, State or .Federal officials to audit,
examine, copy and make excerpts or transcripts from such records, and to make audits of all pertinent
information regarding patients’ receiving services, and other data. It is understood that COUNTY shall
coordinate all such audits and inspections through the CITY Paramedic Coordinator or Paramedic
Contract Administrator.
XI. CITY’S STANDING
This Memorandum of Understanding is not’s written agreement between the CITY and the COUNT%
for the purpose of Health and Safety Code Section 1797.201, and the CITY does not waive its
“grandfather” status under Health and Safety Code Section 1797.201.
XII. HOLD HARMLESS .
CITY agrees to defend, indemnify, protect and hold COUNTY and its agents, officers and employees
harmless from and against any and all claims asserted or liability established for damages or injuries to
any person or property, including injury to CITY employees, agents or offices, which arise from or are
connected with or are caused or claimed to be caused by the acts or omissions of CITY and its agents,
officers or employees, in performing the work or services herein, and all expenses of investigating and
defending against same; provided, however, that CITY’s duty to indemnify and hold harmless shall not
include any claims or liability arising from the established sole negligence or willt%l misconduct of the
COUNTY, its agents, officers or employees.
