AGREEMENT THIS AGREEMENT, made and entered into this ,=&2 cff? /I .b * day of w 1967, by and pol tidal subdivision of Y referred to ,as,"County", corporation, hereinafter between the COUNTY OF SAN DIEGO, a the State of California, hereinafter and the CITY OF CARLSBAD, a municipal referred to as "City"; WITNESSETH: WHEREAS, the parties hereto desire to share in the cost of the maintenance/of certain safety lighting devices at inter- sections ("intersections" as defined in Section 365 of the Vehicle Code) which are under the jurisdiction in part, of both parties hereto, and WHEREAS, the San Diego Gas and Electric Company operates and maintains utility-owned installations of street and highway lighting at such intersections; NOW THEREFORE IT IS MUTUALLY AGREED by and between the County and the City as follows: Section I, The energy and service provided by the supplier shall be as shown on the attached Exhibit A, hereby incorporated into and made a part of this agreement and the costs and rates charged therefor shall be those as set forth in said Exhibit A; provided, however, it is understood that the costs and rates therein shown are subject to revisfon by order of the Public Utilities Commission of the State of 4 ’ , * l , L California, In which event this agreement may be amended, fn writing, by mutual consent of the City Manager and the County Engineer by substituting such revision of costs and rates as ordered by said Commission as Exhibit A to this agreement. Section 2. The number, location, and percentage of juris- diction of each party hereto of installations covered by the terms of this agreement shall be as established and identified in and by a supplemental written agreement between the City Manager and the County Engineer which agreement shall be attached hereto as Supplemental Agreement A. Thereafter, from time to time, as it is deemed necessary or desirable in the opinion of said City Manager and County Engineer, said Supple- . mental Agreement A may be amended in writing, signed by said City Manager and County Engineer to adjust the number, location, or percentage of jurisdiction of lighting installations to be covered by this agreement. Section 3. Upon execution by the City Manager and the County Engineer and attachment to this agreement, said Supple- mental Agreement A and any and all amendments thereto shall be as binding on the parties hereto as if fully set forth herein, provided, however, that notwithstanding the foregoing, said Supplemental Agreement A and any and all amendments thereto shall in no event change any of the terms or conditions of this agreement except as to the number, location, or percentage of jurisdiction of each respective party, Section 4. Each party shall be responsible for and bear its proportionate share of costs incurred under this agreement -2- in the percentage of jurisdication set forth in Supplemental Agreement A hereof. Section 5. All costs shall be billed directly to the County by the supplier at the rates as set forth in Exhibit A. Section 6. The County shall bill the City semiannually for its portion of the costs and charges allocable hereunder for the preceding six months. City shall tender payment of said bills within thirty (30) days after the date of billing. Section 7. This agreement shall remain in full force and effect until amended by mutual consent of the parties hereto or terminated upon ninety (90) days' written notice by either party. IN WITNESS WHEREOF, this agreement is executed by the County of San Diego by action taken by the Board of Supervisors and the City of Carlsbad by action taken by the City Council. Service will normally be supplied from secondary circuits. The utility rcjcrvcs the right to use primary series circuits. (b) Non-Dedicated Streets. Service on this schedule for the lighting of non-dedicated streets may be supplied to corporations, or unincorporated associations of land owners or others, organized as legal entities having a responsibility for street maintenance. This schedule is not applicab!e to service ior the lighting of dedicated streets or places by other than governmental agencies or lighting districts as provided in the applicability clause. Other than as described in this Special Condition’, this schedule is net applicable to service for the lighting of private prope:ty, or for service supplied to private persons, unincorporated asjociations, or corporations. (c) Standard Equipment. The above rates are applicable to street lightin= equipment mounted on wood poles in standard positions and supplied from overhead lines, escept as provided in Special Condi- tion (h). Service will not be furnished under this schedule, where, in the opiniorl of the utility, an undue hazard or expense would result because of location, mounting height in escess of 30 feet, or other reasons. The installation of street lights hereunder is contingent upon the utility’s obtaining satisfactory rights of way and highway permits necessary for the required poles, anchors, cables, and circuits. (f) Hours of ,Burning. All night burning will normaily be from dusk to daylight, which, in accordance with the utility’s switching schedule, results in approximately 4,033 burning hours per year. The utility reserves the right, in ihe case of all night installations not controlled by an established series circuit, to instail a standard or astronomical time switch, or switch controlled by a photo-electric - cell, either of which, under norm21 conditions, will result in approximately 4,033 burning hours per year during the hours of darkness. (g) Contract. A contract for a period of not les s than one year and not more than five years may be required for service under this schedule and will remain in effect from year to year thereafter until cancelled. (h) Metal or Concrete Poles. Upon request, the utility will provide street-lighting service .using metal or concrete poles with either overhead or underground circuits provided such installation is accepted by the customer for service under this schedule and the party so requesting pays to the utility in advance the ammnt by which the estimrted cost to the utility of the met21 or concrete pole street-lighting system exceeds the saving to the uti!ity in cost of the portion of the wood-pole overhead system which xvouid other- wise be required. Aleta or concrete po!es and appurtenances shall conform to the utility’s standards. The overhead or underground circuits shall conform to the utility’s specifications.
