The City of Carlsbad, California
This 4 page document describes the agreement between Siteimprove, Inc. and City of Carlsbad,
California. It gives an outline of the services along with price, terms, and conditions of use.
SiteCheck Service Description
SiteCheck contains of a number of modules which complement each other to improve the quality of
your website. SiteCheck examines your website(s] for broken links, spelling mistakes and accessibility
issues. SiteCheck is a workflow based service that easily allows you to create "To Do"-lists, prioritizing
the most important issues. The SiteCheck modules are:
• Accessibility
• SpellCheck
• LinkCheck
• Sitelnventory
SiteAnalyze Service Description
SiteAnalyze is a unique hosted website analysis service that provides detailed website analysis and
statistics, including visitor demographics, website traffic patterns, search engine effectiveness, and
many other useful website metrics. SiteAnalyze includes:
• Email templates, to configure the look and feel of the SiteAnalyze reports
• An external link or I-frame for integration with the website so statistics can be fed in
automatically on a daily basis
• Internal search statistics (+ opportunity to identify successful and unsuccessful search terms
with advanced script)
• Advanced filtering options

Invoicing Period
The SiteCheck agreement covers the 864 pages we have found on your website:
www.carlsbadca.gov. This number is based on the pages found after the first
crawl of the website during the trial period. We may have chosen to exclude
certain pages, e.g. print friendly pages or duplicate pages that we have examined
and deemed not to require checking. It could also be that there are other pages
on a sub domain that you would like us to check but are not included in this total.
Therefore, you should verify that this page number correctly reflects the number
of pages you would like us to check. This is an important point as prices are
calculated based on the page count.
For subsequent invoices the price will be aligned with website page numbers.
The price will rise in proportion to the increase in the number of pages on your
site(s), e.g., if the number of pages rises by 5% the price will also rise by 5%.
Should the number of pages increase by more than 25% in one year we will
contact you to offer you a new price. Regulation is not carried out
retrospectively, only at the time of your contract renewal.
The agreement covers up to 3 million yearly page views for your website:
www.carlsbadca.gov.
The page views estimate is recalculated yearly at the time of your yearly invoice.
Any adjustment in price due to a rise in page views will only be made at this
time. A rise of 1 million yearly page views would mean an increase in price of
$855 yearly at current costs.
This is the date of the customer's signature on this agreement.
The term of this Agreement will be effective for a period of one [1] year from the
date first above written. The City Manager may amend the Agreement to extend
it for three (3) additional one (1) year periods or parts thereof in an amount not
to exceed seven thousand dollars ($7000) per Agreement year. Extensions will
be based upon a satisfactory review of Contractor's performance, City needs, and
appropriation of funds by the City Council. The parties will prepare a written
amendment indicating the effective date and length of the extended Agreement.
This agreement runs fora period of one (1) year from the date of signing. Either
party can terminate the agreement by notifying the other party thirty (30) days
before the end of the current subscription period.
This agreement covers support for up to two (2) administrators. Please list your
administrators on page 3.
There is no charge for the updates or new releases of Siteimprove's services;
however Siteimprove may launch additional optional modules for the services
that are not covered by this agreement. The new modules will be offered to
existing customers at a reduced price.
Our target is to correct any system errors reported within 16 working hours.
The minimum invoice period is one year.

Consumer Price Index The agreement is made in line with the Consumer Price Index (CPI) for May
2008 (216.632). At the time of re-invoicing the price will be adjusted to the latest
CPI. Using the CPI means we keep our prices in line with inflation which amounts
to typically 2-3% per year.
Price and Payment Payments are due thirty (30) days after the receipt of an invoice.
Jurisdictions and Venue Any action at law or in equity brought by either of the parties for the purpose of
enforcing a right or rights provided for by this Agreement will be tried in a court
of competent jurisdiction in the County of San Diego, State of California, and the
parties waive all provisions of law providing for a change of venue in these
proceedings to any other county.
Indemnification Contractor agrees to indemnify and hold harmless the City of Carlsbad and its
officers, officials, employees and volunteers from and against all claims,
damages, losses and expenses including attorneys fees arising out of the
performance of the work described herein caused by any negligence,
recklessness, or willful misconduct of the Contractor, any subcontractor, anyone
directly or indirectly employed by any of them or anyone for whose acts any of
them maybe liable.
The parties expressly agree that any payment, attorney's fee, costs or expense
City of Carlsbad incurs or makes to or on behalf of an injured employee under
the City's self-administered workers' compensation is included as a loss, expense
or cost for the purposes of this section, and that this section will survive the
expiration or early termination of this Agreement.
Successors and Assigns It is mutually understood and agreed that this Agreement will be binding upon
City and Sitelmprove, Inc. and their respective successors. Neither this
Agreement or any part of it nor any monies due or to become due under it may
be assigned by Sitelmprove, Inc. without the prior consent of the City of
Carlsbad, which shall not be unreasonably withheld.
