This agreement is effective '-wyg. \O ^ ^o\'Q wd wju remain in effect from June 1, 2010 through September 30, 2010. The purpose of this Memorandum of Understanding is to establish an understanding between the URBAN CORPS OF SAN DIEGO COUNTY (Urban Corps) and the CITY OF CARLSBAD (Sponsor) regarding the Green Team Summer Hire a Youth Program funded through San Diego Workforce Partnership. Responsibilities of the Parties: Urban Corps of San Diego County shall: 1. Provide a Supervised crew of (14) fourteen Green Team Corpsmembers that will assist with environmental clean up projects 2. Equip its Green Team crews with maintenance tools to complete the project 3. Provide its Green Team crews transportation to and from the worksite 4. Issue crews with Green Team uniforms and standard safety gear (hard hat, safety glasses, work gloves, and steel toed boots) 5. Retain full responsibility for the management, supervision and fiscal control of the project 6. Ensure that crews receive instruction on tool safety and tailgate safety sessions 7. Work within the scope of services provided by the Sponsor (ie., Habitat Management, Brush Management, Fire Defensible Spacing) 8. Not work on any construction projects (ie., Building of Dwellings and or Weatherization) 9. Provide Sponsor a scheduled Green Team crew based on needs from June 1, 2010 through September 30, 2010 10. Ensure project coordination with Sponsor Liaison 11. Submit to Sponsor a Project Completion Report within the 30 days that follow the end of the Summer Hire a Youth Program The City of Carlsbad, shall: 1. Submit to the Urban Corps a Scope of Services for an environmental clean up project 2. Provide a map that encompasses the area and directions to the project location 3. Ensure project coordination with the Urban Corps Green Team Project Manager 4. Submit a schedule detailing the duration of need for the Green Team Summer Youth Program Services 5. Reimburse the Urban Corps $.55 a mile for the cost of fuel to and from project location site at a cost not to exceed TWENTY THOUSAND DOLLARS ($20,000.00) annually. 6. Pick up the cost for any disposal fees required for maintenance required to complete Sponsor's project 7. Assist the Urban Corps with compliance of reporting requirements due to San Diego Workforce Partnership (i.e., goals measured outcomes of work performed) Records. Parties shall maintain full and complete records of the costs of services performed under this MOU. Such records shall be open to inspection at all reasonable times in the City of San Diego and such records shall be kept for at least three years after termination of this Agreement or until three years following any disputes or litigation or claims arising from this Agreement. Termination. This MOU may not be terminated prior to the expiration except in the case that one or more Parties have breached their respective obligations under the MOU and have not been able to resolve such breach (or breaches) after having met and conferred in good faith. In no event will this MOU be terminated with less than 30 days written notice by either Party. Indemnification. Each of the Parties will indemnify and hold harmless the other Party and their respective officers, directors, members, employees and assigns from and against all claims, damages, losses and expenses, including court cost and reasonable fees and expenses of attorneys, expert witnesses, and other professionals, arising out of or resulting from, any negligent act or omission or willful conduct of a Party hereto or its Personnel. Compliance. The Parties shall comply with the California Fair Employment and Housing Act and all other applicable federal, state, and local laws prohibiting discrimination, including without limitation laws prohibiting discrimination because of race, color, national origin, sexual orientation, religion, age, sex or medical disability. The Parties shall comply with the provisions of Labor Code Section 1720. The Parties shall comply with all federal, state laws, district ordinances, regulations, city code and city ordinances applicable to the performance of services under this Agreement as it exist now or as may be added and amended. Relationship of the Parties. This MOU does not create an agency. This MOU shall create an agreement for the sole purposes of creating jobs for the 2010 Summer Hire a Youth Program funded through San Diego Workforce Partnership. Assignment. This MOU is not assignable to any party. Entire Agreement. This MOU represents the entire Agreement and understanding of the Parties. This Agreement may not be amended in any way except by writing duly executed by all signatories hereto. The Parties hereto have caused this Agreement to be fully executed, such Parties acting by their representatives being thereunto duly authorized.
