Re: Cost Sharing Agreement for MWD's Local Resource Program for the Carlsbad
Desalination Project water purchased by VWD and CMWD
Ms. Wendy Chambers:
This Letter Agreement ("Agreement") is for cost sharing of the development of a Metropolitan
Water District Local Resource Program Application ("Application") for Carlsbad Desalination
Project water purchased by Vallecitos Water District (VWD) and Carlsbad Municipal Water
District (CMWD). The Agreement shall be between the VWD and CMWD. The terms of this
Agreement shall last until the Application is completed.
VWD will serve as the lead agency for the Application and shall contract on behalf of both the
parties with the engineering consultant to complete the scope of work which is attached hereto as
"Exhibit A". The estimated cost of the work is $24,820 and both parties agree to be obligated to
pay one-half of the costs for the work. VWD will process and pay the engineering consultant
billings and will invoice CMWD one-half of the amount paid to the consultant on a monthly
basis. Invoices to CMWD will include a copy of the invoice from Ken Weinberg Water
Resources Consulting (KWWRC) as back up.
Any change orders will require approval of all the parties.
VWD shall act as the administrator only for the contract with the engineering consultant at no
charge, provided that invoices are paid by CMWD within 30 days. CMWD will be named as
additional insured on the agreement between VWD and KWWRC.
All reports and documents created by the engineering consultant shall be shared and owned
equally by the parties to this Agreement. VWD agrees to provide copies of all invoices and
payments upon request and all parties shall have the right to comment on these records and
request corrections thereto if necessary.

All parties agree to provide 30-days advance notice of their intent to terminate participation in
this Agreement and shall be obligated to pay their one-half share of cost incurred to the date of
termination. In the event a party terminates participation in this Agreement, the terminating
party shall not be entitled to a refund and the terminating party will have no further interest or
right to the work product created after the date that the party terminates its participation.

Dear James
Thank you for the opportunity to submit a proposal to work with Vallecitos and Carlsbad on submitting
LRP applications for local supply provided to your two agencies by the Carlsbad Desalination Project.
I have attached a brief scope of work and fee estimate. The scope and fee estimate is based on
developing separate applications for VWD and CMWD for the desalinated water purchased from the
Carlsbad plant through the San Diego County Water Authority. It includes working with your 2 agencies
and SDCWA to obtain the financial and project data necessary to complete the application process and
to review and comment on any draft agreements provided by MWD. The Project Budget assumes
approximately a 9 month schedule to Board approval somewhat based on the potential complexity of
the project being built and operating at the time of application and may require special dispensation
from current program guidelines by MWD for approval. .
I am not sure if my As-Needed contract from 2016 is still in effect but I have applied the same hourly
rate as contained in that contract. Please let me know if you have any questions and how you want to
proceed.
