C'Velocity") has offered City of Carlsbad ("Customer") vnth this project summary for a Customer Lifecycle Management ("CLM") project. Customer has asked Velocitj' to conduct a no cost Upgrade of their Lawson System Foundation (LSF) ("Lawson" or "Lawson Software") . Velocity will provide a project manager, project team, and steward the change event into production support. Velocity will also assist Customer in developing a detailed project plan and scope statement that balances required updates with enhanced application fiincdonality, consistent with our change management approach and requirements. Scope and Schediite Velocity will upgrade Customer's Lawson and complementary applications and the associated technology according to the terms and conditions of the effective Agreement. That Agreement will continue to govern all of the respective rights and obligations of the Parties with respect to all hosting and / or managed applications services. In summary, Velocity will: Component Upgrade From: Upgrade To: Lawson S3 Environment ^9.0.1.5 9.0.1.11 Lawson S3 Application ^9.0.1.3 ^9.0.1.3 (same). Lawson Business Intelligence ^9.0.1.4 9.0.1.4 (same). Velocity is prepared to commit resources for the Customer's project aligned with the following dates: Project Initiation / Kick-off: ^9/30/13 Go Live: 12/16/13. Further definition of the scope and schedule will be oudined and mutually agreed to within the detailed Project Plan and/or Service Description ("SD") as appropriate. Velocity has attached as an appendix to this document the list of standard project milestones based on the proposed Project Start date. After the task level plan is agreed to, any changes to the project schedule will be attached to this Project Summar)'. The project go live will be before 12/31/2013. Velocity Service Commitments Project Services: • Project management; • Systems and application provisioning • Effective InstaUatlon of Application Upgrade Programs; and, • Operations Support. Customer Responsibility Customer will supply all Lawson Software and other applications licensing and maintain vendor support for that software; Customer will designate an "Executive Sponsor," assign a "Project Lead," and provide staffing to meet its project responsibilities; Customer has responsibility for data validation and business process validation; Customer will commit resources to this agreed to schedule. Should the Customer need to alter the project schedule after agreement at no fault of Velocity, a reset schedule will be agreed to by the parties within two (2) weeks; Customer will provide for effective Application Configure and Extension; Customer is responsible for Retrofit of Customizations; and Customer will provide project acceptance when the Customer is using die upgraded Applications as the system of record. Customer may add fimctionality to their Applications environment at any time after the project completion. Velocity will evaluate whether any additional Professional Services or Operations Services may be required. Additional fees may be incurred if the customer requests: • New Applications or Modules; • New Supported Third Party Applications; • Program Modifications; • Interfaces; • Additional Functional or Technical Consulting Services; and, • Additional End User Training. Overview Goal The goal of this project is to upgrade the City of Carlsbad ("Customer") environment to an updated and proven release of Lawson Software on the Velocity Service Delivery Lifrastructure. The Customer's environment will be moved from Velocity's Temple Terrace datacenter to Velocity's Minneapolis datacenter. Project Scope Velocity will provide: • Project Management. Activities will include project management mentoring and assistance in setting the direction on the upgrade process. If requested by Customer, Velocity will provide, on a time and materials basis, any agreed upon changes to the scope. Operations Support. These support activities will also be provided as part of Customer Lifecycle Management ("CLM") Event. This will include the Service Resources for the environments required for the upgrade, labor to complete the technical upgrade including the upgrade of any modifications that Customer currently uses in production or those that are in development and have completed the production control process. After the new 9.0.1 release environments have been installed. Customer will complete their data validation and business process validation of the new release based on the scheduled in the project plan. Out of Project Scope Lawson application upgrade. Lawson S3 will remain at version 9.0.1.3 Database schema changes. The Lawson S3 database schema will remain at version 9.0.1.3. Project Schedule As listed in Customer Lifecycle Management agreement. II. Velocity Responsibilities In performing the Services, Velocity will abide by a project management methodology that includes: • Acquiring and assigning resources upon Customer agreement to scope and schedule; • Developing and maintaining a detailed and documented project plan; • Engage with Customer in risk management planning processes; Upgrade Expectations Velocity Technology Solutions Inc. Proprietary and Confidential Page 1 of 8 Velocity Conform to disciplined change control, scope control, and schedule control processes; Deliver comprehensive project communications; Provide a test and production environment. The Customer will have the ability to conduct testing in both the new Test environment and the new Production environment before go live Cutover. The test environment will be used for pass one testing and the future production environment will be used for pass two testing. Provide technical information required to securely connect between new datacenter and City of Carlsbad network; Perform smoke test whenever data is transferred from Temple Terrace to Minneapolis; Install and compile all software required for application and environment; Manage and maintain a consolidated issues list; and. Complete project acceptance and closure; Project Deliverables • Project Plan - Velocity will prepare and present a project plan for the Services. The project plan will reflect the Velocity upgrade process described below, customized to reflect the details of the Services to be provided to Customer under this project; Status Reports - Velocity will provide weekly status reports to keep Customer apprised of the progress of the upgrade. These status reports will be available through email, or other written means; Communication - Weekly meetings will be scheduled with the project team to resolve issues and to track progress. Velocity will provide written responses to inquiries and project issues raised by Customer promptly after receiving them, within two (2) business days in most cases; Risk Management Plan - Velocity will maintain a "risk register" to facilitate risk monitoring and risk control through the employment of mitigating actions; Functionality - Velocity will provide a summary of the new Lawson Software features and functionality, as we understand they pertain to your Business Processes; - Validation - Velocity will provide a recommended validation and testing plan; Upgrade Expectations Velocity Technology Solutions Inc. Proprietary and Confidential Page 2 of 8 Wemdly Additional Documentation - Velocity will provide any other documentation that is needed to successfully complete the upgrade including a Conversion Plan, Pre and Post Upgrade Job Listing, etc. Technical / Upgrade Methodology Velocity conducts many upgrade events like this each year. We employ a proven process and add to the defined process with continuous improvement initiatives aimed at improving the quality and timeliness of our service. Velocity will create a new environment with applications identified in Appendix "A". During an upgrade pass, the data from Customer's current Prod90 environment will be moved to new environment. Customer will then have three weeks per pass to validate all data and test major business processes. When approved, the new production environment will be upgraded and a production cutover will be coordinated. Product Line and environment will be changed. Production will become PROD901, Test will become DEV901. The Velocity testing plan details out the major business processes by application suite. Customer is responsible for determining any additional major business processes that should be tested. The testing plan also lists technology items that should be tested including those specific to your environment and listed in Appendix A. Any addition technology items that Customer utilizes should be tested and proved to execute successfully. General Deliverables Our current system configuration and deliverables include: Environment release Lawson System Foundation (LSF) V9.0.1 ; Provide documentation of changes from LSF V9.0.1.5 to V9.0.1.11; Install new test environment and software at Minneapolis datacenter and extract data from Velocity's Temple Terrace datacenter; Install new production environment and software at Minneapolis datacenter and extract data from Velocity's Temple Terrace datacenter; All users copied to the new environment; New IP addresses and server names communicated to the Customer's IT staff within 1 week of project start date; Work with Customer's IT staff to ensure network connectivity, application and environment are all working properly; Provide to Customer new user id's for core users. The format is: uclOgxxnn. The "u" is for user, the "clOg" is the customer number, "xx" are the initials of the user and "nn" is a sequence number. This should have little impact on your LDAP Bind; Upgrade Expectations Velocity Technology Solutions Inc. Proprietary and Confidential Page 3 of 8 Vemdiy Provide to Customer new system userids used to run interfaces, etc.. The format is: cclOgxxnn. The "clOg" is the customer number, "xx" are the initials of the user and "nn" is a sequence number. These users will be set to not expire; Provide Customer names of printers; Copy Lawson application from Temple Terrace to new environment and compile; Copy Lawson application database and data files from Temple Terrace to new environment; Modifications - The modifications and interfaces currently being used by Customer will be reviewed, updated as necessary to work with the new application instance and unit tested in the 9.0 applications. These modifications are outlined in Appendix B; Portal/Lawson User Administration (LAUA) Reference Guide; General testing plan tailored to your installation of the Applications; JOBDEFs newly added to the DEV90 environment copied to the PROD90 environment; and, Provide training for new utilities: VUE, Mission Control and Security Center; III. Customer Responsibilities The following is a list of Customer's responsibilities. The expected dates for accomplishing Service milestones and the successful completion of the Services depend upon Customer meeting these responsibilities in a timely fashion. Project Responsibilities Customer will: Indicate agreement to project schedule such that Velocity can acquire and assign intemal resources; Provide approval to Velocity to download software needed to perform the upgrade including: Lawson Application and Environment Keys, Cobol compiler (if needed) from Lawson support; Review the Lawson Feature Document for environment release V901 LSF that will be provided to Customer; Complete the application testing plan to encompass any processes not included in the Velocity provided plan; Upgrade Expectations Velocity Technology Solutions Inc. Proprietary and Confidential Page 4 of 8 Velocity update TNSNAMES.ora due to the database name and IP address changes. Conduct all necessary validation ofthe data that is upgraded and any necessary testing of the current processes or any new features implemented by Customer; Conduct all necessary testing of new environment features: - Update any user procedures for current processes, Process Flows, including modifications; - Update any document that defines business processes that will reflect a change with the Upgrade; - Verify datasources defined to LBI; - Verify local queries and potentially updated; - Update Oracle desktop client for specific users, if needed; - Report upgrade issues pre or post 'Go Live' to the Velocity CSC as a problem report associated with the CLM event; - Respond in writing to Velocity inquiries and project issues in a timely manner. Within 2 business days, documents presented to Customer by Velocity for review should be approved by Customer for sign-off or written responses should be provided identifying issues to be resolved prior to sign-off; - Complete all assigned tasks in a timely manner, as called for in the Project Plan; - Re-evaluate all business critical jobs, jobdefs and recdefs; - Verify security classes for all users and verify that all users have Groups set up appropriately; - Verify printers and user ids; - Sign off on the final test upgrade data after validation is complete; - Sign off on the upgrade and modifications within two weeks of production of the 9.0.1 release Customer Staffing Responsibilities Customer will: Assign a "Project Manager" who will serve as the primary Customer interface with the Velocity Project Manager on all matters related to this UEA. If this person is not a Security Officer, this designation must be in writing; Assign a Project Sponsor; Assign an HR Payroll Specialist Upgrade Expectations Velocity Technology Solutions Inc. Proprietary and Confidential Page 5 of 8 Velocity Change Management In the event that Customer or Velocity requests services that are not defined in the scope of this UEA, the Velocity Project Manager will develop a written Task Order Authorization ("TOA") to identify the requested services and the impact of this change. The TOA will become effective only when signed by both parties. V. Attributes of Successful Projects Over the course of managing dozens of lifecycle events yearly, we know that successful projects share these attributes: Shared expectations for scope, schedule, and responsibilities Joint planning to ensure the business needs are met Timely communication that is actionable and focused on project risk and success Active executive sponsorship that empowers the team members Adequate testing that gives both the customer and the service provider confidence in the reliability of the release; Our organizations share these responsibilities for project success. We are in this together; you will always have an experienced guide at your side as we make our way toward the end goal. VI. Project Closing Project Signoff Upon completion of Customer's validation of Customer's instance of the Applications, Customer's Executive Sponsor will confirm Customer's acceptance of the Services by signing a Project Acceptance Letter ("Project Signoff). Project Sign-off represents completion of the Project Period and the Services, except for any Post 'Go Live' Support that may be requested by Customer and performed by our Customer Support Center. At this time, written or emailed approval to delete the old production and development environments will be obtained from Customer. Project Completion The upgrade project is considered completed for both parties when: Customer is using the 9.0.1 LSF Environment Release as the system of record; Velocity has completed intemal Production Control Acceptance; • Network security meets Customer's requirements; Customer has completed signoff on the upgrade and modifications; Our expectation is that working together we will reach project completion within two (2) weeks following 'Go Live'. Appendix B - Lawson Process Customizations Process Customizations are defined as additions, deletions, or changes to the application code base required to accommodate a Customer business process that is not elegantly supported by the application as delivered. Process Customizations can generally be categorized as: • Reports; • Interfaces; • Application Programs; and, • User Exits Customizations will be provided by the upgrade team.
