COUNSEL
RECOMMENDED ACTION:
Adopt Resolution 2019-43G approving the Board's nomination and election of a Chair and Vice
Chair to the Carlsbad Golf Lodging Business Improvement District (CGLBID) Board.
ITEM EXPLANATION:
At its June 5, 2017 meeting, the CGLBID Board elected Tim Stripe as its Chair from the four-
member Board. The elected Chair was two-year term, who was elected to a two-year term
expiring May 2019. Therefore the CGLBID Board needs to elect a new Chair. It is suggested
that the Chair serve a two-year term.
At its May 25, 2016 Board meeting, the CTBID Board elected Ulrich Samietz as Vice-Chair of the
CTBID Board for a two-year term. Mr. Samietz resigned his position on the Board in August 2018
so the Board needs to elect a Board member to the Vice-Chair position for a two-year term.
A suggested process for electing officers is attached at Exhibit 1.
FISCAL IMPACT:
None.
ENVIRONMENTAL IMPACT:
This action does not qualify as a project under the California Environment Quality Act ("CEQA")
and will not have a physical adverse effect on the environment. (CEQA Regulation 15378(b).

Process Outline
EXHIBIT 1
1. The Board may appoint a member to act as the election official to conduct the election,
appoint a facilitator for this role, or ask staff to conduct the election.
2. The appointed election official will take nominations from the floor for Chair of the
GCLBID. It is not necessary to call for a "second" for a nomination. All members of the
Board are eligible to hold the office of the Chair (or Vice-Chair). Any member of the
Board may nominate any other member. Members may nominate themselves.
3. After receiving nominations, the appointed election official will close the nominations
and call for a vote by the Board. If candidates are unopposed or there's no major
contest for an office, then voice vote may be taken. If there Is a major contest for an
office, paper ballots may be used.
4. The candidate with the most votes will be CGLBID Chair.

DISTRICT, ELECTING ITS BOARD CHAIR
EXHIBIT 2
WHEREAS, at its November 27, 2012 meeting, the Carlsbad City Council adopted
Ordinance No. CS-194 forming the Carlsbad Golf Lodging Business Improvement District
(CGLBID); and
WHEREAS, at its June 5, 2017 meeting, the CGLBID Board elected its Chair for a two-
year term; and
WHEREAS, the Chair's term has expired, so a new Chair needs to be elected; and
WHEREAS, at its May 26, 2016 meeting, the CGLBID Board elected its Vice-Chair for
a two-year term; and
WHEREAS, the Vice-Chair's resigned in August 2018, so a new Vice-Chair needs to be
elected; and
WHEREAS, the Board conducted an election of officers at its May 8, 2019 meeting.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Carlsbad
Golf Lodging Business Improvement District, as follows:
