RECOMMENDED ACTION
Review Civitas recommendation on merging of the Boards and direct staff accordingly.
ITEM EXPLANATION:
At its 5-6-20 meeting, the Carlsbad Tourism Business Improvement District (CTBID) Board
entered into an agreement with the Carlsbad Convention and Visitors Bureau (dba Visit Carlsbad)
to provide tourism promotion services for the CTBID for the period July 1, 2020 through June 30,
2021. A provision in this contract was that the CTBID Board had to approve any changes to the
Visit Carlsbad Board.
At that same 5-6-20 board meeting, the CTBID Board entered into an agreement with Civitas
Advisors to assist in the transition of the CTBID Advisory board to a leadership position of Visit
Carlsbad. Attached at Exhibit 1 is a graphic on how Civitas Advisors recommends that be
achieved. Based on this recommendation, the current Visit Carlsbad Board members would need
to resign their positions and the CTBID Board would appoint themselves to the Visit Carlsbad
Board at a future CTBID Board meeting. Once this occurs, both the CTBID Board and the Visit
Carlsbad Board would be subject to the Brown Act.
If the CTBID Board approves Civitas Advisors recommendation, they should direct staff to bring
back the Visit Carlsbad appointments at a future meeting.
FISCAL IMPACT:
None.
ENVIRONMENTAL IMPACT:
This action does not qualify as a project under the California Environment Quality Act ("CEQA")
and will not have a physical adverse effect on the environment. (CEQA Regulation 15378(b).

• Proposed Changes to the Visit Carlsbad Bylaws - Director Criteria:
o (3) Owner or Owner Representative from largest assessment-paying hotels
o (4) Owner or Owner Representative from Assessed Hotels
The "transitional" Visit Carlsbad Board of Directors will approve the proposed changes to the
Bylaws related to the Board of Directors criteria.
Once the Bylaws have been ratified, any Board of Directors who no longer meet the qualifications
criteria above will be asked to resign as they no longer meet the requirements to sit on the Board.
Members of the Advisory Board shall be appointed to the Visit Carlsbad Board of Directors to fill
vacancies upon resignation.
