The City and the County desire to modify the terms of the agreement to provide for the County to perform the maintenance of the traffic signals and lighting system installed as a part of the project. The City would then reimburse the County for 25% of all maintenance costs. Attached is the Second Amendment to Aqreement regarding this matter. Exhibit A. Second Amendment to Aqreement B. The City Council of the City of Carlsbad, California, does hereby resolve as follows: 1. That that certain Second Amendment to Agreement between the City of Carlsbad and San Die'go County €or the installation of a traffic signal at the intersection of La Costa Avenue and El Camino Real, a copy of which is attached hereto marked Exhibit A and incorporated herein by reference, is hereby approved. 2. That the Mayor of the City of Carlsbad is hereby authorized and directed to execute said agreement for and on behalf of the City of Carlsbad. FRAZEE, Ma or SECOND AYENDNENT TO AGREEMENT BETWEEN CITY OF CARLSBAD AND COUNTY OF SAN DIEGO RE: TRAFFIC SIGNAL EL CAMINO REAL AT LA COSTA AVENUE THIS AYENDMENT to agreement executed this - day of 7 1975, by and between CITY OF CARLSBAD, a municipal corporation, hereinafter called ':Cityrr and the COUNTY OF SAN DIEGO, a political subdivision of the State of California , hereinafter called T'County". RECITALS 1. The City and County have entered into an agreement for the installation and maintenance of a Traffic Signal on El Camino Real at La Costa .Avenue, hereinafter called "the Project", lying within the juris- diction of the City and the County. to as "Agreement" was executed on December 11, 1973, (#74) and is filed with Said agreement, hereinafter referred the Cle& of the Board of Supervisors as County Contract No. 5050 - 7812 and with the City Clerk as Resolution No. 3268. 2. The City and County desire to modify the terms of the Agreement to provide for the County to perform the maintenance of the traffic signals and lighting system installed as a part of the project. NOW, THEREFORE, IT IS AGREED by and between the parties as follows: Anend Sections 7 through 11 to read: -2 - F 7. MAINTENANCE. County hereby agrees to maintain, operate and repair the entire installation, including the traffic signals, lighting system, and to pay the cost of power therefor, subject to reimbursement by City as specified in paragraphs 8, 9, and 10 ofthis Agreement. 8. County will furnish and perform all routine maintenance and inspection services necessary to keep the facilities specified in paragraph 7 of this Agreement in satisfactory working condition. Such services will include the following: patrolling, emergency service, relamping, painting of Lamps and heads, necessary minor repairs and adjustme'nts, and replacement:.for routine maintenance purposes of Controller equipment, detectors, poles, heads and lamps. County shall supply all necessary spare equipment; provided, however, that installation of additional equipment or facilities shall not be considered routine maintenance under the provisions of this paragraph. City shall pay i to the Coumty twenty-five percent (25%) of a 'flat monthly rate acceptable to the City Engineer for said routine maintenance and inspection, at a rate not to exceed that charged by the County to various cities within the County. County may adjust said monthly maintenance charge annually at the beginning of each fiscal year subject to the approval of the City Engineer. 9. County shall perform all extraordinary maintenance service, including replacement and/or addition of major equipment required because of obsolescence, wear or inadequacy, and repair of extensive damage due to vandalism, collisions, or any other cause. of the costs of labor, parts and equipment used and/or actually expended in \ City shall reimburse County for twenty-five percent (25%) performing said extraordinary maintenance, plus normal overhead charges charged by City for work for other local governmental entities. . -3 - *lo. Electrical energy costs for said traffic signal and safety lighting system shall be paid by County; provided, however, 'chat City shall reimburse County for twenty-five percent (25%) of the cost of such electrical energy. County shall bill City quarterly for the costs and charges for the 11. preceding quarter due to County, pursuant to paragraphs 8, 9, and 10 above. Bills for extraordinary maintenance, including both replacement and repair, shall show an itemization of the costs of labor, parts and equipment used and/or expended in each particular instance. to County within thirty (30) days after receipt of said bills. Payment shall be made by City All other terms and conditions of the original agreement remain unchanged.
