C. Atty. C. Mgr. The City's Traffic Signal Maint=:once Agreement with Traffic Signal Maintenance company, Inc. has expired. The City requested proposals to cover one year's maintenance from qualified signal maintenance firms, and, based on monthly cost, emergency service charges, and response time, the proposed agreement from Traffic Signal Maintenance Company, Inc. is the most responsive proposal received. (see Exhibit ".") Exhibit 1. The agreement between the City of Carlsbad and Traffic Signal Maintenance Company, Inc. for the maintenance of the City's traffic signals. 2. Council action 1-6-76 Resolution #3821 was adopted, approving Agreement and authorizing 4ayo'r to execute same. SCHEDULE A ADJUSTED LABOR SCHEDULE OPERATIONS SUPERINTENDENT: All repair work, both field and lab, subject to his approval and direction. Available for advice and opinion as cc,vered by specifications. (Plan, Job Inspection, etc.) FOREMAN: Responsible for pursuit and completion of all work in the field, including all such work covered by routine preventative maintenance and, as occasion need be, assist signalmen and technicians. LEAD MAN: Primary responsibility to guide and assist field technicians and signalmen in the designated section area. TRAFFIC SIGNAL TECHNICIAN - FIELD: Primary duties are to field troubleshoot and repair field wiring, cabinet wiring, controllers and perform routine duties of preventative maintenance. TRAFFIC SIGNAL TECHNICIAN - LAB: Performs complete repair and maintenance of all controllers, detectors and associated devices which are brought from the field for repairs. *TRAFFIC SIGNALMAN: Primary duties are as directed by leadman in assisting field technicians and accomplishing preventative maintenance procedures as directed. Traffic signalman assists field technicians as demand is made and assists with knockdowns and associated repairs. TRAFFIC SIGNALMAN - APPRENTICE: Primary functions are to assist and receive training from traffic signalman. TRAFFIC SIGNAL LABORER: Primary duties are to assist the signalman and crew in knockdown repairs and field difications as directed. List of some of the Agencies for whom we are 27 presently performing long-term service agreements. 28 1 All contract documents are intended to cooperate and be coordin- 2 ated so that any one called for and any one not mentioned in the 3 other or vice versa, is to be executed the same as if mentioned 4 in all contract documents. 5 2. The said Contractor agrees to furnish all tools, 6 equipment, apparatus, facilities, labor, service and materials, 7 and perform all work necessary to maintain in good and workman- 8 like manner traffic signal facilities according to the proposal 9 submitted and accepted as in all contract documents herein 10 above referred to. It is understood and agreed that all said 11 labor, services, materials and equipment shall be furnished and 12 said work performed and completed by the Contractor as an independ 13 ent Contractor, subject to the inspection and approval of the 14 City acting through its City Engineer or his representatives. 15 1. The Contractor agrees to make a routine inspection S o W 16 and clean and adjust each controller and signal indications, and 0 m ` I, 17 replace broken parts or change parts as is necessary,one time per o18 month. ' 19 4'. Contractor agrees to furnish replacement lamps for 20 all signals. Contractor agrees to use only standard traffic 21 signal lamps as manufactured by General Electric Company or 22 Sylvania Company. Contractor to furnish special long lasting 23 anti -static cleaning agent for lenses and reflectors. Contractor 24 will replace lamps and clean reflectors and lenses on a regular ? 25 schedule as a "group re-lamping" program, using an 80% depletion 26 period. The City will answer all light -out calls as reported. 27 2. 28I low, I 1 Any broken parts of signal head will be noted and the information 2 to be forwarded to the Contractor for replacement or repairs. 3 (Except that the City may at its option make these repairs or 4 replacements). 5 5. Contractor agrees to replace or.repair any and all 6 defective parts of the controller mechanism as the occasion arises. 7 6. Contractor agrees to maintain a 24 hour per day 8 emergency service for controller malfunctions. The intersections 9 where other traffic signals are located shall be observed by the 10 Contractor or his representatives in the course of traveling to 11 and from the locations to be serviced. Any possible malfunctions ,12 shall be reported to City. Contractor will make every reasonable 13 effort to respond to emergency calls within a two hour period. 0 14 7. Contractor agrees to make immediate emergency 15 service calls when necessary to make repairs to signal equipment, CC tE L16 when said signal equipment malfunctions or has been damaged by o uW 0 W, 17 vehicle accidents, acts of God or malicious damage or or any LL W om 18 reason whatsoever. > 19 B. For and in consideration of the furnishing by said 0 20 Contractor as herein provided of said labor, services, ;.cterials,. 21 and equipment in accordance with all provisions of this agreement, 22 together with the appurtenances thereto, said Contractor shall be 23 entitled to receive and shall be paid by the City of Carlsbad, and 24 said Contractor agrees to accept in full satisfaction therefor the 25 sum of $32.74 per intersection per month. Said sum shall be paid 26 by the City to said Contractor each month as said sum becomes due 27 'and payable. 28 3. ;M II 110111) 1 9. All fixed time and semi -actuated signals which are 2 installed from time to time may at City's option be added to those E� 3 already maintained by the Contractor as the City notified Con-- { 4 tractor of the installation thereof. These signals shall be F 5 maintained at the same rate and in the same manner as those 6 covered by this agreement. In the event notification is made at 7 other than the beginning of the monthly contract period, payment 8 for that month shall be prorated from the day the Contractor is 9 notified. In the event any fully actuated signals are installed 10 for a more complicated type than semi -actuated signals, these 11 may be added to the maintenance agreement at a price mutually 12 satisfactory to the Contractor and the City. 1.3 10. The City agrees to pay the repairs over and above 14 the contract price when such repairs are made necessary due to t CC t 15 damage to signals by collision, acts of God, or malicious mischief g9'o=a 16 or for any reason whatsoever. The cost of such repairs shall be o s`n 17 based on the invoice cost of materials, plus 15 percent, and the zzQ 18 adjusted cost of labor and equipment used for such repairs in 19 accord with the schedules on Exhibits A and B. 0 20 1.1. The Contractor agrees to commence the work provided 21 for herein immediately upon the completion of the execution of it x 22 this agreement and the delivery to him of an executed copy thereof, i 23 and to continue in a due and diligent, workmanlike manner and d 24 ; without interruption. Delivery of an executed copy of the agree- � 2s meet shall be complete when an executed copy thereof is delivered 26 personally to the Contractor or his authorized agent or repre- 27 sentative, or when a copy thereof is placed in an envelope 28 4. 1 addressed to said Contractor at his last known address and 2 deposited in the United States mail,..at Carlsbad, California, with 3 the postage thereon fully prepaia. This Agreement shall terminate 4 one year from the date Contractor commences work. 5 12. The Contractor shall carry public liability and 6 property damage insurance in an 'amount not less than $250,000.00 7 for injuries, including accidental death, for any one person, and 8 subject to the same limit for each person in an amount not less 9 than $500,000.00 on account of any one accident and property 10 damage insurance in an amount not less than $50,000.00. The 11 Contractor shall also take and maintain during the life of this 12 contract, Workmen's Compensation insurance covering all of his 13 empivyees on the project, in a company satisfactory to the City 14 and shall furnish to the City certificates issued by such companie ry CC showing that all of the above mentioned insurance has been issued g 0 =E 16 and is in full force and effect prior to commencing work in 0 o u `M• 17 accordance with this Agreement. The Contractor shall be respons- ,: . 3 m18 ible for the insurance coverage as herein provided of all employee >� � 19 of said Contractor. Said insurance shall provide that the same is ri 20 non -cancelable except upon ten days written notice to the City. 21 The Contractor shall likewise obtain public liability 22 and property damage insurance to cover vehicles used or maintained 23 by him in the performance of said work connected with this 24 Agreement, with liability limits of not less than $250,000.00 for •25 any one person and $500,000.00 for any one accident, and property 26 damage of $50,000.00. 27 5. 28 i i 1 13. This Agreement may be terminated by either party by 2 giving ninety days written notice to the other and this Agreement 3 shall terminate forthwith ninety days following the date such 4 notice is given. 5 14. In the event that any of the provisions of this 6 contract are violated by the Contractor, the City may terminate 7 the contract by serving written notice upon the Contractor of its 8 intention to terminate such contract and, unless within ten days 9 after the service of such notice, such violation shall cease, the 10 contract shall, upon the expiration of said ten days, cease and 11 terminate. As to violations of the provisions of this contract 12 which cannot be remedied or corrected within ten days, said con- 13 tract shall at the option of the City, cease and terminate upon e 14 the giving of like notice. In the event of any such termination 15 of any of the reasons above mentioned, the City may take over the d g o = 16 work and prosecute the same to completion by contract or otherwise `L 17 for the the amount and at the expense of the Contractor. If the Contractor should neglect to prosecute ' 19 the work properly or fail to perform any provisions of this , zS 20 contract, the City, after three days written notice to the 21 Contractor may, without prejudice to any other remedy it may 22 have, make good such deficiencies, and may deduct the cost thereof 23 from the payment then or thereafter due the Contractor, provided 24 however, the City Engineer of said City shall approve such action 25 and certify the amount thereof to be charged to the Contractor. 26 16. it is expressly understood and agreed that the 27 6. 28 1 Contractor herein named in the furnishing of all labor, service, 2 mat,:irials and equipment and performing the work as provided in 3 this contract, is acting as an independent Contractor and not as 4 an agent, servant or employee of the City of Carlsbad. 5 17. This Agreement shall not be assigned by Contractor 6 without the written consent of City. 7 18.
