RESOLUTION N6. 3837 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING AN AGREEbENT BETMEEN THE CITY OF CARLSBAD AND EUGENE B, JACOBS A PROFESSIONAL CORPOR- ATION FOR LEGAL SERVICES AS SPECIAL COUNSEL FOR THE CITY OF CARLSBAD ' S REDEVELOPMENT EFFORTS AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT. The City Council of the City of Carlsbad, California, does hereby resolve as follows: 1. That that certain agreement between the City of Carlsbad and Eugene B. Jacobs A Professional Corporation for legal services as Special Counsel for the City of Carlsbad's redevelopment efforts, a copy of which is attached hereto as Exhibit A and made a part hereof, is hereby approved. 2. That the Mayor of the City of Carlsbad is hereby authorized and directed to execute said agreement for and on behalf of the City of Carlsbad. PASSED, APPROVED AXD ADOPTED at a regular meeting of the City Council of the City of Carlsbad, California, held on the 20th day of January , 1976 by the following vote, to wit: AYES : NOES: None. L EXEIBIT A AGREEMENT FOR LEGAL SERVICES THIS AGREEMENT is entered into this day of , 1975, by and between the CITY OF CARLSBAD, CALIFORNIA a municipal corporation (hereinafter referred to as the "City") and EUGENE B. JACOBS A PROFESSIONAL CORPORATION, authorized to practide law in California and with principle offices in the City of Los Angeles (hereinafter referred to as "Special Counsel") . TH -- WHEREAS, the City is desirous of necessary for the planning and execut undertaking activities on of redevelopment projects pursuant to the California Community Redevelopment Law; and WHEREAS, the City desires to engage Special Counsel to render advice and assistance in connection with these undertakings in cooper- ation with, and in assistance to the City Attorney of the City of Carlsbad City (hereinafter referred to as "General Counsel") . , such City Attorney acting as General Counsel for the NOW THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS FOLLOWS: I. SCOPE OF SERVICES Special Counsel agrees to render legal services to the City when and as requested by the City under the supervision and control of General Counsel. Services to be performed by Special Counsel under this Agreement may include, but not be limited to, the rendering of legal advice and consultation; furnishing of written legal opinions; drafting and pre- paration of necessary legal documents; legal reviews and approval of contracts: drafting of redevelopment plans and legal opinions with respect to such plans; and attendance at local hearings or other meetings as required. Services to be performed and compensated under this Agreement shall not include any legal services rendered or performed in connec- tion with litigation. _- 11. COMPENSATION Special Counsel shall be compensated for services rendered under this Agreement in accordance with the following schedule: Intermediate Attorneys --------------- $50 per hour $40 per hour Law Clerks and Legal Assistants ------ $30 per hour Junior Attorneys --------_------------ For travel, subsistence, and other out-of-pocket expenses authorized by the City in connection with the performance of duties under this Agreement, including but not limited to: The amount of the actual cost of transportation by common carrier or at the rate of fifteen (15) cents per mile, if travel is performed by privately- owned automobiie . Subsistence expenses, supported by detailed records in the amount of the actual cost, but in no event to exceed $40 per day, Taxi fares, long distance telephone calls, and similar expenditures in the amount of the actual cost , Duplication costs for unusual or extraordinary photocopy runs, at a cost of ten (10) cents per page- n Special Counsel shall not be reimbursed for secretarial or typist services nor for normal office operating expenses. -2- 111. METHOD OF PAYMENT Within ten (10) days after the first of each calendar month, Special Counsel shall submit a verified statement containing a break- down of services performed during the preceding month specifying the services performed by dates and number of hours, itemization of travel, subsistence and other expenses related thereto. IV. RIGHT OF TERMINATION -- .- This Agreement may be terminated at any time by either party on written notice to the other.
