Subject : SECOND SUPPLEMENT TO AGREEMENT FOR THE EXPANSION OF THE
CAMINO REAL SHOPPING CENTER.
Statement of the Matter
The City is in receipt of executed Agreements between the
May Company and the City for the proposed expansion of the
Plaza Camino Real Shopping Center. The City Manager and
the City Attorney have conducted a series of negotiations
with representatives of the May Company. As a result, the
City Manager is recommending two changes to the Agreement. The May Company has already executed a Second Supplement to the Agreement incorporating these changes. The first would substitute a Bullock's department store for a Broadway store for all purposes of the Agreement. The second change adopts a revised Site Plan for the Center. The changes include a realignment of the proposed buildings and a reduction in size of the new public parking area.

Recommendation
If the City Council concurs with the recommended changes, your action is to adopt Resolution No.3x98 , approving the
Agreement and authorizing its execution by the Mayor.

AUTHORIZING THE I.IAYOR TO EXECUTE SAID AGREF-
The City Council.of <he City of Carlsbad, Cal.ifornia, does
hereby resolve as follows:
1. That that certain Second Supplement to Agreement dated
November 5, 1975, between the City of Carlsbad, the Parking
Authority and Plaza Camino Real for expansion of the Plaza Camino
Real Regional Shopping Center, a copy of which is'attached
hereto as Exhibit "A" and made a part hereof, is hereby approved.
2. That the May.or of the City of Carlsbad is hereby
authorized and directed to execute said agreement for and on
behalf of the City of Carlsbad.
PASSED, APPROVED AND ADOPTED at a regular meeting of the

FOR EXPANSION OF PLAZA CAMINO REAL REGIONAL SHOPPING CENTER
This Agreement is made this day of I
1976 by and between the City of Carlsbad, California (the "City"),
the Parking Authority of the City. of Carlsbad, (the "Parking

Authority") and Plaza Camino Real, a California limited partner- '
ship ("Developer" ) .
WITNESSETH: -
WHEREAS, the parties to this Agreement have heretofore
entered into an Agreement dated November 5, 1975 for expansion
of .the Plaza Camino Real Shopping Center.

NOW, THEREFORE, the parties hereto agree as follows:
Attached to this Second Supplement as Exhibit A and
made a part hereof is a site plan prepared by Shuirman-Rogoway
& Associates and bearing a last revision date of April 22, 1976.
The site plan attached to this Second Supplement is hereby
substituted for <he site plan attached as Exhibit A to said
Agreement. The term "Site Plan", as used in said Agreement,
shall be deemed to refer to the site plan attached to this
Second Supplement.
All references in said Agreement to a Broadway department
store shall be deemed to refer to a Bullock's department store.
