EXECUTIVE COMPENSATION PLAN
Statement of the Matter
The attached Executive Compensation Plan has been developed in order
to consolidate into a single document all those elements that have
been authorized by a variety of means, which relate to the compensation
of management employees. This plan does not confer any new or change
any existing salaries or benefits. However, language has been added
which will clarify the administration of existing benefits (Executive
Leave) .
It is intended that the Executive Compensation Plan will be the sole
authority for determining compensation of management employees. After
adoption of the Executive Compensation Plan, any changes in compensa-
tion for management employees would be accomplished by amending the
Plan.
