Gentlemen:
We are pleased to submit our proposal to prepare plans, specifi-
cations, and contract documentation for the above named project.
Our firm will subcontract the street improvement design and
surveying to Church Engineering, 3931 Birch Street, Newport Beach, California.
SCOPE OF WORK
The fol.lowing scope of work outlines tasks and assumptions of
completing the project, based on our interpretation of your
April 18, 1978 letter. Final tasks and fee schedule can be negotiated between concerned parties.
TASK 1 - Prepare Design Concept
After collection of data and interviews with City staff, a con- ceptual design plan will be prepared to show:
1. Street Improvements
2. Signal Layout
3. Street Lighting
4. Traffic Striping
It is assumed that no drainage facilities and land acquisition for right-of-way are required. If required, additional time and cost would be negotiated prior to final approval of this proposal.

TASK 2 - Prepare Contract P.S.& E.
Preliminary street improvement, traffic signal, street lighting, and traffic striping plans, specifications and estimate of cost
will be prepared. One sepia reproducible of all preliminary plans
and three copies of contract bid documentation, specifications,
and estimate of cost will be submitted for review by City depart-
ments.
A copy of preliminary plans will also be submitted to various
utility companies and CALTRANS for review and comments.
Design tasks will include necessary field surveying to establish street improvement grades topography and drainage investigations.
Task 3 - Prepare Final Contract P.S.& E.
After receipt of comments from the City, CALTRANS, and utility companies, final original contract plans, specifications, estimate of cost, and bid documentation will be prepared and delivered to the City.
All data collected, including field survey data, will be delivered to the City upon approval of final contract documentation.
TIME SCHEDULE
Tasks 1 and 2 will be completed within sixty (60) calendar days after receipt of notice to proceed.
Task 3 will be completed within fourteen (14) calendar days after
receipt of all comments from the City, CALTRANS, and utility companies.
FEE SCHEDULE
The "Fixed Fee" for work outlined in the Scope of Work is
$9,000.00.
As indicated previously, it is assumed that no drainage facilities and land acquisition for right-of-way is required, If required,
final. Scope of Work and Fee Schedule are negotiable between parties
concerned.
Estimated construction costs to implement the project is not sub- mitted at this time because of unknown factors of street improve-
ments and traffic signal coordination requirements.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, APPROVING AN AGREEMENT BETWEEN THE CITY OF
CARLSBAD AND HERMAN KIMMEL AND ASSOCIATES, INC. FOR
ENGINEERING SERVICES NECESSARY TO DESIGN TRAFFIC SIGNALS AND STREET WIDENING AT THE INTERSECTION OF
PALOMAR AIRPORT ROAD AND PASEO DEL NORTE
The City Council of the City of Carlsbad does hereby resolve as follows:
I. That certain agreement between the City of Carlsbad and Herman Kim1
and Associates, Inc. for engineering services necessary to design traffic sig-
nals and street widening at the intersection of Palomar Airport Road and Paseo
del Norte, a copy of which is attached hereto, marked as Exhibit 4, and incor-
porated herein by reference, is hereby approved.
2. The Mayor of the City of Carlsbad is hereby authorized and directed
to execute said agreement for and on behalf of the City of Carlsbad.

WHEREAS, the City requires engineering services necessary to design

CLE I: SCOPE OF SERVICES
The Consultant will provide the necessary engineering services as
ined in the request for proposals, dated April 18, 1978, attached hereto and
made a part hereof.
ARTICLE I I: SCOPE OF CITY STAFF ASSISTANCE
The City Engineering Department will provide up to 60 staff rnanhours
of research and coordination at the request of the Consultant.

ARTICLE VII: RESPONSIBILITY OF CONSULTANT
The Consultant is employed herein to render a professional service
only and any payments to him are compensation solely for such services as he may
render and recomnendations he may make in the course of this project.
ARTICLE VIII: CHANGES IN THE SCOPE OF THE PROJECT
If conditions beyond the control of the Consultant necessitate a
change in scope of-the project after work under Article 1 has commenced, the Con-
sultant shall submit his estimate of increased costs to the City Manager for ap-
proval prior to undertaking any additional work:
ARTICLE IX: SUSPENSION OR TERMINATION OF SERVICES
The City shall have the right to terminate this agreement and the
work done under it at any time without cause by giving the Consultant a notice in
writing.

In the event of termination, the Consultant shall be paid for the
work accomplished to the date of tenination in accordance with Article IV.
Upon request of the City, the Consultant shall assemble the work
product and putthe same in proper order for proper filing and closing and deliver
said product to City.
ARTICLE X: STATUS OF CONSULTANT
The Consultant will perform the services provided for herein in his
own way as an independent contractor in pursuit of his independent calling and not
as an employee of the City; he shall be under the control of the City only as to
the resu I t accomp I i shed and personnel assigned to project.
ARTICLE XI: OWNERSHIP OF DOCUMENTS
All maps, studies, sketches, work sheets and documents as herein
required are the property of the City whether the work for which they are made be
executed or not. In the event this contract is terminated, all documents, plans,
. work sheets, etc., shall be delivered forthwith to the City.
ARTICLE XII: ASSIGNMENT OF CONTRACT
The Consultant shall not assign this contract or any part thereof or
any monies due or to become due thereunder without the prior written consent of the
City Engineer.
ART ICLE X I I I : SUBCONTRACTOR
The Consultant shall not subcontract any of the work to be performed
under this agreement without approval of the City. If subcontracting is approved,
the Consultant shall be fully responsible to the City for the acts and omissions
of hls subcontractor and of the persons either directly or indirectly employed by
the subcontractor, as he is for the acts and omissions of persons directly employed
by him. Nothing contained in this contract shall create any contractual relation-
ship between any subcontractor of the Consultant and the City.

Subject: Traffic Signal Design and Street Widening at
Palomar Airport Road and Paseo del Norte
The City of Carlsbad is seeking proposals for engineering services neces-
sary to design street widening and a fully-actuated traffic signal at the
intersection of Palomar Airport Road and Paseo del Norte (see attached
sketch).
The design must include the following:
. 1. Eight-phase, fully-actuated traffic signal with interconnect potential
to future. signal installations at Palomar Airport Road and Interstate 5.
Twelve-foot street widening along the north side of Palomar Airport
Road for approximately 800-1000 feet. This would include curb, gutter,
sidewalk, street lights, medians, wheelchair ramps, drainage facilities,
returns at Paseo del Norte, all the necessary surveying, etc.
Replacing pavement failures to facilitate inductive loops and truck
traffic.

4. Coordination with CalTrans, various utility companies (San Diego Gas E
Electric, Pacific Telephone, etc.) and City staff.
5. Channelization and striping.
6. Conceptual signal layout and street improvement design for approval by
the City Engineer.
7. Complete detailed specifications and contract proposal in typed form
suitable for use in soliciting compctitive bids.
8. Supply a dctailed cost estimate sufficient to analyze and evaluate con-
struction bids.

The City will supply any traffic counts, accident records and "as built"
drawings of the intersection that are currently available. You may sub-
contract any portion of the design if necessary.
The City envisions the design can be completed within 30-60 days after the
notice to proceed. If you plan to respond, submit your engineering design
cost by Friday, May 19, 1978. Please include an estimated project cost to
implement all the improvements.
