"Statement of the Matter . • .-
At its June 5, 1979 meeting the Council conceptual approved a
• reorganization proposal submitted by the City Manager. Phase I
of the proposal involved the reorganization of the Housing Authority
and Redevelopment Agency into a single entity to be known as the
Carlsbad Housing and Redevelopment Commission. The attached
material will begin implementation of Phase I of the reorganization.
The procedural actions the Council must take to accomplish the
reorganization are outlined in the attached staff reports.

SUBJECT: REORGANIZATION OF HOUSING AUTHORITY AND REDEVELOPMENT
' AGENCY.
At its June 5, 1979 meeting, the City Council approved in concept a
reorganization proposal presented by the City Manager. The first
phase of .the reorganization called for the merger of the Housing
Authority and the Redevelopment Agency to create a Community. Develop-
ment Commission to be known, as the Carlsbad Housing and Redevelopment
Commission. In order .to carry out this reorganization, the City
Council must take a number of actions. The required Council actions
are outlined below.
Discussion
As provided in the Health and Safety Code, a City with a Redevelop-
ment ^ Agency and Housing Authority may combine such agencies to
operate as a single entity. The single .operating entity thus created
would exercise all the powers and duties formerly vested in the
separate agencies. City Council members will continue to sit on
the governing body of the merged agencies. Separate Housing Authority
and Redevelopment Agency meetings will no longer be necessary and
all business would be conducted during a single meeting.
The staff of the two agencies would also be merged to provide better
.management direction and control. By combining the two agencies,
staff resources will be more effectively utilized. In addition to
positions already existing in the two agencies, the position estab-
lished by. the City Council in the 1979-80 Budget to coordinate
Human Services will be assigned to this Department. This is the
only added position. The other positions in the new organization
will be filled by employees already assigned to Redevelopment and
Housing, although certain of these positions will be revised and
therefore certain new classifications will need to be created.
The employees in the new organization will all be City employees
providing services to the Commission through a City-Commission
agreement. The Redevelopment Agency currently operates in this
manner. Housing Authority employees, however, are currently
employees of the Authority. Upon reorganization, these employees
will become City employees and be assigned to positions within the
revised organization. (see Appendix A )
Outline of Required Council Actions
Attached (Appendix B) is a memo dated 9-14-79 from the Redevelop-
ment Coordinator which discusses and outlines the procedural actions
the City Council must take to accomplish the reorganization. In
his memo, 'the Redevelopment Coordinator discusses the creation of

a "Housing and Redevelopment Advisory Committee." This advisory
committee would serve as successor to the existing advisory
"Housing Commission" to the Housing Authority and the Redevelop-
ment Agency's "Project Area Committee." The members of the existing
Housing Commission and Project- Area Committee have been briefed
on the reorganization proposal and on how the new advisory com-
mittee would be constituted. •
The City Council's actions necessary to implement the reorganization
are as follows:
1. Introduce an ordinance which declares a need for the
Housing and Redevelopment Commission to function; .
designates the City Council as the governing body
of the Commission; and authorizes the Commission to
transact Agency/Authority business. (Ordinance No. /^^ 3 )
2. Introduce an ordinance which establishes a Housing
and Redevelopment Advisory Committee and establishes
its membership and duties. (Ordinance No. j £ g */ )
43. Adopt a Resolution providing compensation for Com-
mission members. (Resolution No. ^T<?& 2. )
4. Adopt a Resolution approving an agreement between the
City and the Commission permitting Commission's use
. of City, staff and other resources. (Resolution No.
5. Adopt a Resolution amending the City Classification Plan
to create the positions of Housing and Redevelopment
Director and Secretary Bookkeeper. (Resolution No.

The merger of the Housing Authority and Redevelopment Agency into
the Commission will not be effective until 30 days after adoption
of the above outlined ordinances. However, in the meantime the
staffing changes may proceed and for all practical purposes the
staff will begin to operate as they will under the Commission.
Staff is currently investigating the availability of office space
to adequately, house t,:e Housing and Redevelopment staff. Adequate
floor area exists in the present housing office for the combined
staffs, however, this facility is in need of. significant improvement

and may not be available on acceptable lease terms. An additional
report will be presented to the Council on this matter at a later

COMMISSION TO BE KNOWN AS CARLSBAD HOUSING
AND REDEVELOPMENT COMMISSION
Introduction
As directed, I have prepared documents necessary to effectuate
a-reorganization of the operational aspects of the Carlsbad
Housing Authority and the Carlsbad Redevelppment Agency. This
assignment is a result of Council action on a comprehensive
reorganization proposal. • . .
Course of Action
The attached documents activate a Community Development Com-
mission, an entity created.by State law to permit Housing
Authority and Redevelopment Agency operations to be carried
out under a single operating board. This entity will be known
as the Carlsbad Housing and Redevelopment Commission.
The following actions are necessary to activate the Commission
as its advisory committee: .• .
Step I - Adopt an ordinance which:
A. Declares a need for commission to function.
B. Designates the City Council as the Commission.
C. Authorizes the Commission to transact Agency/
Authority business.
Step II- Adopt an ordinance which:
A. Establishes an advisory committee and delegates
housing and redevelopment advisory roles to the
committee.
B. Rescinds documents establishing the Housing
Commission and Project Area Committees.
Step III- Ac: >t a resolution providing for compensation
oi Commission members.
Step IV - Adopt a resolution approving an agreement between
• '. the City and the Commis.sion permitting Commission
use of the City staff and other resources.
Discussion
In order to reach the recommended course of action outlined
herein, staff analyzed options ranging.from simple merging
of the staff functions of the two entities, to complete
disolution of the Housing Authority. Since disolution of
the authority resulted in a direct reduction in the City's
ability to address housing issues, these approaches were
eliminated.
Simple merger of the staff functions would require City -
Agency-Authority cross agreements; continuation of separate
meetings (probably somewhat confusing to the public); maintenance
of two advisory bodies and a need to cross agree on any
housing related activities undertaken in concert with
redevelopment (such as Section 8 guarantees or types of
combined projects involving local/federal programs). Although
this approach would not legally require that all redevelopment
items be reviewed by an advisory committee, it would require
tha.t'all Housing Authority business.be so reviewed. However,
in practice, most redevelopment agencies desire some sort of
advisory review prior to considering items scheduled to come
before them.
Due to the limited benefits associated with the above noted
approach it was also eliminated.
The end result of the analysis is the course recommended
herein - a single entity, capable not only of exercising
powers granted to both housing authorities and redevelopment
agencies, but capable of taking on such other activities as
the Council may desire to delegate.
This ensures that housing, redevelopment and other related
.activities can be carried out without a multiplicity of
committees, agendas, minutes and related infra structure. In
addition, this streamlining provides a "one stop" center
where potential participants in housing and/or redevelopment
programs can receive information.
Implementation of the Community Development Commission form
would eliminate the necessity of maintaining two advisory
committees by merging the Housing Authority's advisory
"Commission" with the Redevelopment Agency's "Project Area
Committee" to form a "Housing and Redevelopment Committee"
responsible for advising the Housing ar: ' Redevelopment
Commission on all matters to come befor it. The structure
of the Committee ensures that its actit. •:; .will reflect social
as-well as economic considerations. Finally this approach
will ensure that housing and redevelopment programs will
compliment one another. •
Agency Special Counsel, at the direction of the Agency
Counsel, has reviewed and found the attached documents to be
legally correct.
Recommendation
It is recommended that this package, along with necessary
administrative changes, be presented to Council at its
meeting of October 2, 1979.

ORDINANCE OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA DECLARING A NEED FOR A
COMMUNITY DEVELOPMENT COMMISSION TO FUNCTION
IN THE CITY OF CARLSBAD.
WHEREAS, Part 1.7, Chapter 2, Article 1 of the Health and
Safety Code of the State of California establishes a public body
corporate and politic, known as the Community Development
Commission in order that a community may have the option of
operating and governing its Redevelopment Agency and Housing
Authority under a single operating entity and board, and
WHEREAS, such Commission is created and authorized to
exercise all powers reserved to housing authorities and redevelop-

ment agencies, but provided, pursuant to Section 34115 that such
public body, corporate and politic shall not transact any
business or- exercise any powers unless by ordinance the City
Council of the City of Carlsbad declares that there is a need
for such commission to function.
NOW, THEREFORE, the City Council of the City of Carlsbad

Section 1:It is hereby found and declared pursuant
to Section 34115 of the Health and Safety
Code, that there is a need for a Community
Development Commission created and established
by Section 34110 of said Code to function
in the City of Carlsbad, and that there is

Agency and the Carlsbad Housing Authority.
Said Commission is hereby authorized to

1 2.40.020 Membership. The Committee shall consist of
nine members. The members shall be appointed by the
2 City Council. The members shall serve two-year terms
and each member shall serve until his successor is duly
3 appointed and qualified. The initial members of the
Committee shall serve staggered terms as follows:

(a) Three members shall serve for a period of one year;
5
(b) Three members shall serve for a period of eighteen
6 months; and
V (c) Three members shall serve for a period of two
years. Members shall serve without compensation.
8 Members of the Committee may be removed by a
majority vote of the City Council.

2.40.030 Qualifications. At least two members of the
10 Committee shall be tenants of the housing authority, at
least one of which shall be over sixty-two years of
11 age. If a tenant member ceases to be a tenant of the
authority his membership on the Commission shall terminate
12 and another tenant of the authority shall be appointed
for the remainder of the unexpired term. Nontenant
13 members of the Committee shall be electors of the City
and shall be appointed as follows:

(a) Two members of existing organizations located
15 within a Redevelopment Project Area.
(b) One residential owner/occupant from within a
16 redevelopment project area.
(c) Two business persons from within a redevelop-
IV ment project area.
(d) Two persons trained or experienced in architecture
18 or urban design, trained or experienced in real
estate, human relations, housing, urban develop-
19 ment, building construction, social services or
other relevant businesses or professions.20
2.40.040 Meetings. The Committee shall meet regularly
21 once a month, on the'fourth Monday of each month, or
more often if necessary, for the transaction of business.
22 in the event a regular meeting falls on a legal holiday,
said meeting shall be held-on the next succeeding business
23 day. The Committee shall elect a chairman and establish
its own rules and procedures necessary for the conduct of
24 its business.
25 2.40.050 Vote Required. Five members of the Committee
shall constitute a quorum. The affirmative vote of not
26 less than five members shall be necessary for any
action by the Committee. If the Committee fails to
27 forward a recommendation to the Commission on any
matter before them within a reasonable time the Commission
28 may by written notice require the Committee to make

its recommendation within 30 days. Failure to so
recommend to the Commission within such time period
shall be deemed to be approval of the matter.
2.40.060 Functions. The Committee shall advise and
make recommendations to the commissioners of the Carlsbad
Housing and Redevelopment Commission or the City Council
as either body may request on matters relating to the
operations and activities of the Commission. The City
Council may by resolution establish specific functions
for the Committee.
Section 2:Upon the effective date of this ordinance:
1) The duties previously assigned to the Housing
Commission pursuant to Chapter 2.40 as adopted by
Ordinance No. 1189 shall be assumed by the Carlsbad
Community Development Committee.
2) City Council Resolution No. 5720, dated March 27,
1979, is hereby rescinded and the duties assigned
the Project Area Committee pursuant thereto shall
be assumed by the Carlsbad Community Development
Committee.

COMPENSATION FOR CARLSBAD HOUSING AND
REDEVELOPMENT COMMISSION MEMBERS.
WHEREAS, pursuant to the California Health and Safety Code
Section 34100 et seq, the City Council by Ordinance No.
declared that there is a need for a Community Development Commis-
sion to function in the City; and '
WHEREAS, by Ordinance No. the.City Council declared
itself to be the commission and the Council Members are serving
as commission members, performing duties of both Redevelopment
Agency and Housing Authority; and
WHEREAS, the City Council now desires to provide for compen-
sation for its duties as commission members:
NOW,, THEREFORE, BE IT RESOLVED, that:
1. The members of the commission shall receive their actual
and necessary expenses, .including traveling expenses
incurred in discharge of their duties.
'2. The members of the commission shall be paid other com-
pensation in the amount of $30.00 for each regular and
special meeting of the commission attended. No member
shall receive compensation for attending more than
four meetings of the commission during any calendar
month. •

OF CARLSBAD, CALIFORNIA APPROVING AN AGREE- MENT ESTABLISHING CITY-CARLSBAD HOUSING AND REDEVELOPMENT COmISSION RELATIONSHIPS.
WHEREAS, the City of Carlsbad desires to establish certain
City-Commission relationships with the Carlsbad Housing and
Redevelopment Commission, and
WHEREAS, the Housing Authority of the City of Carlsbad
currently employs personnel to carry out its programs, and
WHEREAS, the City Council desires to insure that activation
of a Community Development Commission will not detrimentally
affect existing employees of the Authority, and
WHEREAS, the City Council desires to employ existing Carlsbad
Housing Authority personnel in comparable City positions, and finds
it impractical to fill such newly created City positions by com-
petitive examination.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Carlsbad, as follows:
1. That the above recitations are true and correct.
2. That the agreement between the City of Carlsbad and
the Carlsbad Housing and Redevelopment Commission
establishing certain City-Commission relationships
as set forth in Exhibit A attached hereto, and made a part thereof is approved and the Mayor is authorized to sign said Agreement on behalf of the City.
3. That existing Housing Authority personnel are hereby
assigned to comparable City positions as may be de- termined by the City Manager in the City Classification Plan.

AGREEMENT BETWEEN THE CITY OF CARLSBAD AND THE
CARLSBAD HOUSING AND REDEVELOPMENT COMMISSION
ESTABLISHING CERTAIN CITY-COMMISSION mLATIONSHIPS
THIS AGREEMENT is made this ab34 day of lubV EmB&R I 1977 - I
by and between the CITY OF CARLSBAD, CALIFORNIA, (hereinafter
referred to as "City") and the CARLSBAD HOUSING AND REDEVELOPMENT
COMMISSION (hereinafter referred to as the "Commission") .
W I T N E S S E T H:
NOW, THEREFORE, it is agreed between the parties hereto as
follows :
I. GENERAL
A. Ordinance: Pursuant to the California Health and
Safety Code, Section 34100 et seq. the Carlsbad City
Council, on November 6, 1979 , by Ordinance
No. 1223 , declared that there was a need for a
Community Development Commission to function in the
City.
B. Appointment of Five Members: The City Council by
Ordinance No. 1223 declared itself to be the commis-
sion and such Council members are serving as commission
members .
C. Separate Commission. The Commission is and shall remain
as a separate public body, corporate and politic, exer-
cising governmental functions and performing a public
function of the City.
D. City Manager—Executive Director of the Commission.
The City Manager has been appointed as the Executive
Director of the commission. As a portion of his duties'
and functions he shall have ultimate day-to-day admin-
istrative responsibility to carry out commission programs
and affairs.
E. Officers, Employees, Agents, Consultants, and Contractors.
The .o.fficers of the commission shall be City officials
as established in the By-Laws of the commission. The
City Manager, with the approval of the commission members,
. • may select, appoint, employ,..and contract for such per-
. *
manent and temporary consultants, contractors, agents,
. and employees as it requires, and determine their quali-
' ficatibns, duties, benefits and compensation, subject to
the other provisions of this agreement and the law.
II. CITY SERVICES
A. Services to be Provided. The City, its officers and

employees, shall perform services for the commission in
.carrying out its work in redevelopment and housing. The
commission shall also have access to the facilities of
the department and offices .of the City.
Those City officers and employees who are also
appointed to positions or offices with or related to the
commission shall perform services for the commission in•
a dual capacity. The City Manager shall perform services
in.his capacity as City Manager and also as the Executive
Director of the Commission.
The City Manager arid other appropriate City
officials and the commission shall determine and
establish the procedures to be followed in the request
for, and the rendering of, such services.
B. Compensation by the Commission for Services Rendered.
The commission shall reimburse the City for all costs
incurred by City officers and employees in rendering
services to the commission and shall be responsible for
retirement of all debts incurred by the Carlsbad Redeve-
lopment Agency pursuant to Agency Resolution No. 2.
The commission shall reimburse the City for all such
services performed on an hourly basis at rates including
overhead established by the City Manager.
No City officer or employee shall be paid extra
compensation for any work performed for the commission
unless such compensation is expressly authorized and
provided for by the City Council.
C. Method of Payment. .Costs under this agreement shall
commence on the date that the services were or are
begun, and shall accrue on the basis established by the
City Manager for the services being performed. The
commission however, shall not be responsible for the
payment of accrued costs for services until funds are
available to the commission for this purpose.
•
Commission revenues may come from many sources, many
of which may be available to the commission only for
limited and special purposes. It is expected that any
« -
funds which may become available to the commission for
the reimbursement of costs for services rendered' by the
City will be used to pay the accrued costs. The
commission shall reimburse the City for such costs only
if funds become avaiiable. •.
Once funds become available from which the commis-
sion may pay costs for services, then all costs thereto-
fore accrued shall be paid in -a time and manner consistent
with the needs of the commission.
III. AGENCY OFFICES
The principal office of the commission shall be located in the
City Hall of the City of Carlsbad. The City agrees to lease
to the commission necessary and ample space for business offices
* ' '•and meeting rooms of the commission. Said space shall also
include use of the City Council Chambers for meetings of the
commission. Leases for such purposes shall be entered into
from time-to-time as separate space is needed by the commission.
Said space shall be used in accordance with the rules
•and regulations of the City as applicable to other buildings
and offices of the City. ,Commission revenues may come from
-many sources, most of which are., available to the commission
.only for limited and. special purposes. Any funds which may
become available to the commission for the payment of rent shall'
pay the-rent only if funds become available for such purposes.
IV. BY-LAWS AND REGULATIONS
The commission members have adopted and will adopt By-Laws
and other regulations to carry into effect the powers, purposes
. and functions of the commission and to establish policies of
the commission members for the guidance of the City Manager
serving as Executive Director.
The commission shall supply such information and reports
to the City as may be required.
V. CITY RESPONSIBILITIES
A. City Aid and Assistance. The City will aid and cooperate
in the planning, undertaking, construction or operation
of redevelopment and housing projects within the City as
permitted by applicable statute.
B. Administrative Fund. The City will establish such funds
as necessary and appropriate with money appropriated by
the City Council to the commission as a loan to be repaid
upon such terms and conditions as the City Council may
provide.
IN WITNESS WHEREOF, the parties hereto have executed this

HOUSING AND REDEVELOPMENT DIRECTOR
Definition : .
Under the administrative direction of the City Manager, to plan,
direct, supervise, coordinate and manage a variety of redevelop-
ment and housing programs for the City's Redevelopment Agency
and Housing Authority; to provide highly responsible and technical
staff assistance; and to do related work as assigned.
Examples of Duties
Develop and implement goals, objectives, policies, and priorities

relating to redevelopment and housing programs. Plan, direct,
supervise, coordinate and participate in operation of redevelop-
ment and housing programs.
Serve as staff to the City Council, Redevelopment Agency and
Housing Authority and other commissions 'and committees in redevelop-
ment and housing matters, including the preparation and presentation
of complex reports and recommendations.
Make authoritative interpretations of applicable laws, regulations,
and policies.
Respond to difficult citizen complaints and requests for information.
Represent the City in the community and at professional meetings

Distinguishing Characteristics
This is a one position classification involved in the City's housing
and redevelopment program. The incumbent in this position must be
.bilingual in English and Spanish. A combination of clerical and
clerical accounting skills are required in that the incumbent will

perform a variety of responsible and complex clerical and routine
administrative tasks and as well as, within a framework of estab-
lished procedures, perform a variety of clerical accounting tasks
with only occasional instruction or assistance.

AN ORDINANCE OF THE CITY COUNCIL .OF THE CITY
OF CARLSBAD, CALIFORNIA, AMENDING TITLE 2,
CHAPTERS 2.44 and 2.48 OF THE CARLSBAD MUNICIPAL
CODE BY THE AMENDMENT OF SECTIONS 2.44.030 and
2.48.030 TO PROVIDE FOR THE ADDITION OF THE
POSITION OF HOUSING AND REDEVELOPMENT DIRECTOR
AS AN EXEMPT MANAGEMENT POSITION.
SECTION 1: That Title 2, Chapter 2.44 of the Carlsbad
Municipal Code is amended by the amendment of Section 2.44.030
2.44.030 City service. The provisions of this chapter shall
apply to all offices, positions and•employments in the service
of the city, except:
( 1) Elective officers;
( 2) Members of appointive boards, commissions and committees;
( 3). Persons engaged under contract to supply expert, pro-
fessional or technical services for a definite period of time;
( 4) Volunteer personnel who receive no regular compensation
from the city;
( 5) City manager;
( 6) Assistant city manager;
(7) Assistant to the city manager;
( 8) Administrative assistants;
( 9) All department heads hired on or after November 1, 1975;
(10) Housing and Redevelopment Director;
(11) City attorney; -
(12) Assistant city attorney;
(13) Emergency employees who are hired to meet the immediate
requirements of any emergency condition, such as extra-ordinary
fire, flood or earthquake which threatens life or property;
(14)' Employees, other than those listed elsewhere in this
section, who are employed less than half time, which is defined
as employees who are expected to or do work less than one
thousand forty hours in any one fiscal year. (Ord. 1211 Sec. 1,
1978: Ord. 1196 Sec. 1, 1976: Ord. 1186 Sec. 1, 1975: Ord. 1166
Sec. 1, 1974: Ord. 1120 Sec. 3, 1970).
