SUBJECT:ELECTRIC SERVICE TO SCHOOL DISTRICT STATEMENT OF THE HATTER San Diego Gas £ Electric has requested that the City Council grant a revised easement over the pool property in order to supply electrical service to the School District's Cultural Center. We have contacted the School District and they have indicated their concurrence in granting this easement. The granting of this easement does not have any environmental impact. • - FISCAL IMPACT No significant impact. Grantor also grants reasonable rights of ingress thereto and egress therefrom to and along said facilities. Grantor shall not increase or decrease the ground surface elevations within the boundaries of the said easement and right-of-way existing at the date of execution of this -2- instrument without the prior written consent of Grantee, which consent shall not be unreasonably withheld. Grantee shall have the right to trim and cut trees, foliage and roots upon and within said easement and right-of-way whenever in Grantee's judgment the same shall be necessary or proper for the convenient and safe exercise of the rights herein granted. Grantee shall at all times indemnify and save harmless Grantor against and pay in full any and all loss, damage or expense that Grantor may sustain, incur or become liable for, resulting in any manner from the construction, maintenance, use, state of repair or presence of Grantee's facilities installed hereunder and all necessary and proper fixtures and equipment for use in connection therewith, including any such loss, damage or expense arising out of the (a) loss of or damage to property; and (b) injury to or death of persons, including the defense of any action arising therefrom, excepting any loss, damage or expense and claims for loss, damage or expense resulting in any manner from the intentional or negligent act or acts of Grantor, its contractors, officers, agents or employees. Grantee covenants for itself, its successors and assigns s that should Grantee discontinue use of this easement for the purposes set forth herein, then all rights granted in this easement shall terminate and Grantee, upon receipt of written request, shall execute and deliver to Grantor a good and sufficient Quitclaim Deed to all rights herein granted. -3- Grantor, its successors and assigns shall not be required to bear any portion of the cost of construction, maintenance, alteration, repair, replacement, relocation or removal of Grantee's facilities installed within the easement herein granted, except, if relocation becomes necessary because of an inconsistent use by Grantor not permitted by this grant or not required for a greater or more general public need, the Grantor shall bear the reasonable costs of relocation. The terms, covenants and conditions of this easement and right-of-way shall be binding upon and inure to the benefit of Grantor and any permittees, licensees, agents, successors or assigns of Grantor and the Grantee, in any other or altered form it may assume, and successors and assigns of Grantee.
