BETWEEN MEMBER
AGENCIES
AND SAN DIEGO ASSOCIATION OF GOVERNMENTS
Statement'of The Matter
The San Diego Association of Governments Board of Directors have
submitted an amendment to the Joint Powers Agreement between
member agencies and SANDAG, increasing the Board of Directors
stipend from $50 to $75 per meeting.
Fiscal Impact
No direct impact although all Board of Director expenses are paid
out of local annual assessments. Assuming 15 members of SANDAG
Board and 12 meetings yearly, the SANDAG budget will increase
from $9,000 to $13,500.

Recommendation
If Council concurs, adopt Resolution No. 6 0 A amending the
Joint Powers Agreement and authorizing the Mayor to execute.
Council Action:

RE: Joint Powers Agreement Amendment
On December 15, 1980 the San Diego Association of Governments Board
of Directors authorized elistribution of the attached Joint Powers
Agreement amendment to Members Agencies for their approval. The amend-
ment, unanimously recommended by the SANDAG Budget Committee, increases
the Board of Directors stipend from $50 to $75 per meeting.
Currently, both Mire and North County Transit directors compensation
is $75 per meeting. LAK0 is $40; however, if the meeting goes beyond
six hours, it is increased to $70. The various boards, commissions, agencies
and -authorities thitughout the region that most city or county elected
officials serve on ccmpensate their directors in amourts.froln $30 to
$75 per meeting.
We would appreciate -it if you would place this matter on your Council Is
agenda at the earliest convenlent time, and notify SAbDAG of its action.

5 The Ci• Council of the City of Carlsbad, California, does
6 hereby resoly as follows:
7 1. That t e fourth amendment to the Joint Powers Agreement
8 between the citi s of Carlsbad, Chula Vista, Coronado, Del Mar,
9 E1 Cajon, Imperial Beach, La Mesa, Lemon Grove, National City,

12 increase for meeting ttendance, a copy of which is attached hereto
13 marked Exhibit "A" and ade a part hereof, is hereby annroved.
14 2. That the Mayor the City of Carlsbad is hereby author
15 rized and directed to exec to said agreement for and on behalf of
16 the City of Carlsbad.

FOURTH AMENLMEN TO
JOINT POWERS AGREEMENT
SAN DIEM ASSOCIATION OF GCVERIZOM
THIS FOUR41i AMENDMENT TO Joint Powers agreement is made between the
CITY OF CARLSBAD, CITY OF CHULA VISTA, CITY OF CORCNADO, CITY OF DEL MAR,
CITY OF EL CAJON, CITY OF IMPERIAL BEkCH, CITY OF LA MESA, CITY OF LEMON GROVE,
CITY OF NATIONAL CITY, CITY OF OCEANSIDE, CITY OF SAN DIEGO, CITY OF SAN MARCOS,
and the CITY OF VISTA, hereinafter collectively or individually referred to
as "Member Agencies".
RECITALS
A. WHEREAS, the Budget Committee of the San Diego Association of
Governments (SANIAG) recommended that the Board of Directors stipend for meeting
attendance be increased from $50 to-$75; and
B. WHEREAS, the Board of Directors authorized that this recommendation
be submitted to the Member Agencies for their concurrence;
NOW THEREFORE, in consideration of tnese recitals, Member ",gdncies
agree as follows:
I. That paragraph 7 of said Joint Powers Agreement by amended to read as follows:
"7. Governing Board of SANDAG.
All powers of this Organization shall be exercised by the Board of
Directors. The Board of Directors shall be composed of one primary
representative selected by the governing body of each Member Agency
to serve until recalled by the governing body of eaid Member Agency.
Each director must be a mayor, councilman, or supervisor of the govern-
ing body which selected him. Vacancies shall be filled in the same
manner as originally selected. Each Member Agency shall also select
in the same manner as the primary representative one alternate to
serve on the Board of Directors when the primary representative is
not available. Such alternate shall be subject to the same restric-
tions and have the same powers, when serving on the Board of Directors,
as the primary representative.
At its discretion, each Member Agency may select a second alternate,
in the same manner as the primary representative, to serve on the
Board of Directors in the event that neither the primary represen-
tative nor the regular alternate is able to attend a meeting of the
Board of Directors. Such alternate shall be subject to the same
restrictions and have the same powers, when serving on the Board
of Directors, as the primary representative.
The Board of Directors may allow for the appointment of advisory
representatives to sit with the Board of Directors but in no event
shall said representatives be allowed a vote.
Each director, or designated alternate acting in a director's absence,
may receive reimbursement from the SANDAG for out-of-pocket and travel
expenses incurred by such director or alternate on approved organ-
izational business. Except where prohibited by the charter, or
any ordinance, rule, regulation, or policy of a Member Agency,, each
director, or designated alternate acting in a director's absence,
shall also receive 09 $75 for f>ach Board meeting or Executive Com-
mittee meeting attended. The Chairman shall receive additional
monthly ccxpensation in an amount established from time to time by
the Board of Directors.
II. That all other terms and oonditions of said agreement entered into on
August 23, 1972 as amended, among Member Agencies shall remain in full force
and effect.
III. That this Fourth Amendment will became e£�ective on that date the last
Member i.3endy approves the amendment.
IN WiMESS WHEREOF, each of the following Member Agencies has caused
this Fourth Amendment to Joint powers Agreement to be executed by -having affixed
thereto the signatures of the agent of said Agency authorized by resolution
therefor by the legislative body of that Agency.
