GROVE-MARRON ROAD REIMBURSEMENT AGREEMENT--BROADMOOR REFUND
Statement of the Matter
The basic agreement between the City and Plaza Camino Real for the expansion of the shopping center required the City to contribute
$1.5 million for the cost of constructing the parking lot and Marron Road. In order to prevent a windfall to property owners
adjoining Marron Road, the basic agreement provided that the City
could either (1) reduce the $1.5 million bond sale contribution to
the developer by the amount of the adjoining property owners' fair
share contribution to the costs of the road or (2) the developer
could obtain reimbursement agreements from the adjoining property owners in favor of the City for that amount. The developer produced the reimbursement agreements, which were approved by the
City Council, and bonds in the full amount were sold.
The master plan for Hosp Grove requires certain park lands to be
dedicated to the City, One of the park parcels fronts on Marron
Road and is covered by a reimbursement agreement. The master plan
and tentative map approvals require the park land to be dedicated
free of liens and encumbrances. It was therefore necessary for
Broadmoor Homes to pay the lien ($14,522) in order to final their map. By letters dated July 21, 1981 and July 30, 1981 Grove
Apartments has asked that the City refund that payment. Grove has
offered to add that amount to three undeveloped properties fronting the south side of Marron Road thereby increasing the front foot
allocation from $26.25 to $33.79.

Fiscal Impact
City currently pays $ 260.000 per year to the Parking Authority
per year to the City of Oceanside in order to pay
off and the $- 2.2 million City contribution for the parking lots and Marron Road. The reimbursement amounts are used to partially
offset these payments. Granting the request to enter into a new agreement would delay for an undetermined time the City's receipt
of the funds.

Recommendat ion
If Council agrees to transfer the park lien to three other parcels,
your action is to adopt Resolution No. 4 6 b approving agreements
and direct City Clerk to record the lien agreements.
Managers Note
The documents and correspondence submitted by Grove Apartments Invest- ment Company refer to Assessor Parcel Numbers which have subsequently been changed by County Assessor. Parcel Number 156-080-12 is now 156-080-18; 156-080-17 is now 156-080-19; 156-080-15 remains unchanged. The Resolution of approval acknowledges the changes and authorizes their correction. The attached exhibit maps reflect the new parcel numbers.

I It has just come to our attention that certain properties we are granting to the City of Carlsbad for use as park lands pursuant to the existing Hosp Grove Master Plan are the subject of certain liens in favor of the City for the payment of public improvements.
' We were informed only last Friday, July 17, 1983 that it: is the City's position that such park dedicationsxihich. are requihd as a condition to the approval of Broadmoor Bomes Final Tract Map which comes before the City Council- tonight would not be accepted by the City unless such improvement liens are removed, and Broadmoorl has been forced to tender payment in the amount of $14,516.25 in order to insure approval of its map.
Reference is made to a letter dated July 20, 1981 from Fir- James D. Carter of Broadmoor to Mr. Clyde Wickham of the City of Carlsbad's Engineering Department with which the grant deeds and checks were delivered. The last paragraphof said letter notes that these liens should not have burdened the park pro- perties inasmuch as they were to be paid only when development of the adjacent properties occurred. Broadmoor also has requested
that its checks be held as cash security for such obligations and not cashed since the undersigned Grove Apartments wou1.d be requesting that the obligation secured by the liens would be . transferred to the balance of the Grove property fronting Marron Road.
Grove hereby makes such request: inasmuch as the intent of the reimbursement obligation was to burden frontaze property only to the extent it was Later developed and not to burden already committed pzrk lands. Grove agrees to execute new 3.iens applicable to the balance of its properties fronting Karroii Road in order to satisfy the aforesaid obligation as soon as the proper documentation can be drafted by the Carlsbad City Attorney.
If it is impossible to hold the Broadmoor check, Grove requests that the City Council refund the money to Broadmoor at the earliest possible date upon receipt: by Grove of an executed new liens.

Pl ease find enclosed a Grant Deed from Grove Apartments Investment Company , a partnership, to the City of Carlsbad for those two parcels that are required to be dedicated to the City of Carlsbad with the recording of the above
referenced final map.
Also enclosed is a Title Report from First American Title Insurance Company of San Diego, California, covering the same two parcels described above. This Title Report dated July 10, 1981, discloses that certain contract for the creation of a lien for public improvements dated January 27, 1981. I have
enclosed a cashier check in the amount of $14,516.25, drawn on the First
Interstate Bank to the City of Carlsbad for payment in full of that lien.
It is requested that you hold the cashier's check as cash security on the liens.
Grove Apartments Investment Company has indicated that they will be requesting the transfer of those lien obligations to other property
own, Because these two parcels were in the Master Plan as park areas, the

Carlsbad; and

parking area owned by the Carlsbad Parking Authority will be
expanded, including the construction of the Narron Road extension

"HEREAS, the Partnership has constructed the Marron Road
extension and the public improvements related thereto; and
WHEREAS , Property Owner owns undeveloped real property
(hereinafter referred to as the "Adjacent Land"), adjacent to the
Marron Xoad extension. The Adjacent Land was not suitable for
development prior to the construction of the Aarron Road extension,
but has been made suitable for development by such construction.
The Municipal Code of City would require Property Owner to construct
said extension of Marron Road and the other public improvements
related thereto as a condition of approval for development of the
Adjacent Land; and
WHEREAS, City has agreed, through its participation in the
expansion of the regional shopping center, that the Mal-ron Road

WHEREAS, Property Owner owns undeveloped real property
(hereinafter referred to as the "Adjacent Land"), adjacent to the
Marron Xoad extension. The Adjacent Land was not suitable for
development prior to the construction of the ~arron Road extension,
but has been made suitable for development by such construction.
The Municipal Code of City would require Property Owner to construct
said extension of Marron Road and the other public improvements
related thereto as a condition of approval for development of the
Adjacent Land; and

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF CARLSBAD, CALIFORNIA, APPROVING AND
AUTHORIZING THE EXECUTION OF THREE AGREEMENTS
WITH GROVE APARTMENTS INVESTMENT COMPANY WHICH
SUPERSEDE PREVIOUSLY EXECUTED AGREEMENTS DATED
JANUARY 27, 1981, RELATIVE TO PROPERTY OWNER'S
CONTRIBUTION TOWARD EXTENSION OF MARRON ROAD
FOR PLAZA CAMINO REAL REGIONAL SHOPPING CENTER
EXPANSION.
WHEREAS, Assessor Parcel Nos. 156-080-12, 15 and 17
have, in part, been renumbered by the Assessor and are now
Parcel Nos. 156-080-18, 15 and 19 respectively; and
WHEREAS, the correspondence and documents submitted by
the Grove Apartments Investment Company refer to the old parcel
numbers;
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Carlsbad, California, as follows:
1. That the three agreements with the Grove
Apartments Investment Company, dated July 30, 1981, covering
Assessor Parcel Nos. 156-080-12, 15 and 17, entitled "Contract
for the Creation of a Lien for Payment for Public Improvements"
on file with the City Clerk and incorporated by reference
herein, shall be corrected to reflect the change to Assessor
Parcel Nos. 156-080-18, 15 and 19 respectively and said
agreements are hereby approved. Said agreements supersede
previously executed agreements dated January 27, 1981.
2. That the Mayor of the City of Carlsbad is hereby
authorized and directed to initial the corrections stated in

Section 1 above and to execute said agreements for and on behalf
of the City of Carlsbad.
