Council Chambers to Communications Company.
ITEM EXPLANATION
On July 6, 1982, the City Council authorized the Staff to proceed with the
competitive negotiation process for the purchase and installation of a
sound system for the Council Chambers.
A request for proposals utilizing performance specifications was developed
by the City Staff and sent to three companies specializing in sound systems.
Only one company responded. The proposal from Communications Company,
meets all the requirements outlined in the proposal, including the costInc
$16,500.
FISCAL IMPACT
The cost for the purchase and installation of the sound system is $16,500.
Funds are available in City Council's Capital Outlay Account No. 01-10-10-3900.

CONDITIONS Of CON TRAsCT f
1. Wiring Standard --All workmanship and materials are tc, comply with th,e3 requirements
of the National Electrical Code and the applicable loca: urdinances.
2. Scope of Work 7-Unless specifically:stated otherwise in this proposal, the scope of work
covered by this proposal is limited to that work specifically covered by the electrical
section or sound section of the specifications.
3. Additional Work or Changes --Additional work or changes may be ordered in writing by
the customer at any time, for, which the customer agrees to pay in addition to the
contract price agreed upon or at our regular rates for time and material work,
4, Written Orders The Sound contractor shall receive written orders for all additional
work or changes signed by an'authorized person before proceeding with such extra work
or changes
5, Payments for Additional Work or Changes--Payments'for additional contracts to the
original contract shall be made under the same terms and conditions as are embodied
in the original contract.
6, Contract Payments —The Sound contractor shall not be required to -proceed with the
installation of the work if the payments applying on some have not been made as speci-
fied in the contract.
7. Unavoidable Interruptions --It is hereby mutually agreed that the Sound contractor shali
not be held responsible or liable for any loss, damage or delay caused by fire, strikes,
civil or. military, authority, or any other cause, beyond his control.
8. Warranty --Material and .labor used in conjunction with this installation (only when
installed by and serviced by our workman) is covered by a full one year warranty from
date• gf. completion.
4. Liquidated Damages --The Sound contractor shall not be liable ,for any charges for
liquidating damages -resulting from delay= in completion of the work caused. by factors
beyond "his control, ..,
10. Any back charges incurred for failure to allow sufficient time between signing this
contract and the date ,required to commence- work, will be invoiced in -addition to
this contiacr,, on a time and material basis,. "
11. Transfer 0 Title-lf the customer disposes. of the real ~estate by sale or otherwise, the.
mm 'full amount reaining' unpaid'on• this contract becomes due at once and payable within
48 hours after date of such disposal. ,
12. Title to the- material- installed under this contract shall remain with seller until paid in
full. Upon default of payment and after reasonable time, the seller can remove the
materials listed herein from the premises of the purchaser.
13. Payments delinquent by more than 30 days will be subject to 1 % (one percent) carry-
ing charge.per month.

A RESOLUTION OF THE CITY COUNCI.f, OF THE CITY
OF CARLSBAD, CALIFORNIA, ACCEPTING A PROPOSAL
AND AUTHORIZING THE PURCHASE AND INSTALLATION
OF A SOUND SYSTEM POR THE COUNCIL CHAMBERS.
BE IT RES014VED by -the City Council of the City of Carlsbad,
California, as follows:
1. That the proposal of Communications Company, 3490 Noell
Street, San D:s_ego, CA 92110, is hereby accepted.
2. That the Mayor is hereby authorized to execute a. contract
for the purchase and installation of a sound system for a total
price of $16,500.
PASSED, APPROVED AND ADOPTED by the City Council of the City
of Carlsbad at a regular meeting held on the 7th day
of September , 1982, by the following vote, to wit:
AYES: Council Members Casler, Lewis, Kulchin, Chick and Anear.
NOES: None
