REVISED AMENDMENT TO SANDAG JPA - CITY ATTY.=B CONPENSATION OF DIRECTORS CITY MOR.* If Council desires to amend SANDAG JPA, your action is to adopt Resolution No. 7590 . ITEM EXPLANATION At its January meeting, the SANDAG Board of Directors approved forwarding a proposed amendment to the SANDAG Joint Powers Agreement to change the method of determing compensation for members of the Board of Directors. The SANDAG JPA currently provides that directors receive $50 for each board or executive committee meeting. The amendment would delete the amount of $50 and allow the Board of Directors to establish the amount of compensation. The City Council approved the amendment at your February 14, 1984 meeting. Other cities did not approve it. SANDAG now proposes a revised amendment to raise the amount from $50 to $75. A letter from SANDAG dated 2/29/84 explaining the matter is attached. Huff, Executive Director SANDAG Joint Powers Agreement Amendment At their January meeting the SANDAG Board of Directors approved forwarding a proposed amendment to the SANDAG JPA and it was sent to the cities for their consideration. A few cities disapproved the amendment but stated that they would approve it if each city (not just the SANDAG Board) had the opportunity to approve the increase in compensation. There- fore, a new amendment was proposed at the February Board meeting which increases the compensation from $50.00 to $75.00. Amending the JPA requires the approval of all SANDAG member agencies. Currently, Board members of agencies such as MTDB and NCTD receive $75.00 per meeting, and the SANDAG Board is requesting adjustment of their compensation to be consistent with such other agencies. The revised proposed amendment to Section 7 Paragraph 4 reads as follows: "Each director or a designated alternate acting in a director's absence, may receive reimbursement from SANDAG for out-of-pocket and travel expenses incurred by such director or alternate on approved organizational business. Except where prohibited by the charter, or any ordinance, rule, regulation, or policy of a member agency, each director, or a designated alternate acting in a director's absence, shall also receive $5W@ $75.00 for each Board meeting or Executive Committee meeting attended. The Chairman shall receive additional monthly compensation in an amount established from time to time by the Board of Directors." Even if you acted on the previous proposal suggested in January, this amendment will need to go back to your council for consideration. If your council has not considered the first pro- posed amendment, please disregard it and consider this one instead. We would appreciate it if you would place this item on your council's agenda for consideration as soon as possible. Please forward a copy of any action taken by your council to SANDAG. WHEREAS, the San Diego Association of Governments Board of Directors has proposed an amendment regarding the compensation of members of the Board of Directors; and WHEREAS, the City Council desires to change the method of determining compensation for members of the Board of Directors, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad as follows: 1. That the above recitations are true and correct. 2. That the City Council approves the amendment of Section 7, Paragraph 4 of the Joint Powers Agreement as shown in Exhibit A, attached hereto and made a part hereof. 3. That the Mayor is authorized and directed to sign the amendment on behalf of the City. 4. Resolution No. 7504 is rescinded.
