The City Council adopt Resolution No. , authorizing
the Mayor to execute the consent and subordination to the
above referenced agreement on behalf of the City of Carlsbad.
ITEM EXPLANATION
Maycenters Inc. has asked that the City consent to an
amendment to the Reciprocal Easement Agreement for the Plaza Camino Real shopping center. Attached is a memorandum from
our office dated July 30, 1985 explaining the matter in
detail. It is our recommendation that the City Council take
the same action as indicated for the Parking Authority; that is, authorize the Mayor to execute the consent and subordination on behalf of the City except for the proposed curb cut by the Buena Vista Creek channel. If the City
Council concurs your action is to adopt Resolution No. &e

SUBORDINATION TO THE FIRST AMENDMENT TO 6-PARTY
AMENDED AND RESTATED CONSTRUCTION, OPERATION AND
RECIPROCAL EASEMENT AGREEMENT (PLAZA CAMINO REAL).

The City Council of the City of Carlsbad, California,
does resolve as follows:
1. That the consent and subordination by the City of
Carlsbad to the First Amendment to 6-Party Amended and Restated
Construction, Operation and Reciprocal Easement Agreement (Plaza
Camino Real), a copy of which is attached hereto marked Exhibit
"2" and made a part hereof, is hereby approved.
2. That the Mayor of the City of Carlsbad is hereby
authorized and directed to execute said agreement for and on
behalf of the City of Carlsbad.
PASSED, APPROVED AND ADOPTED at a regular meeting of
the City Council of the City of Carlsbad, California, held on

RECITALS
Developer, Play, Penney, Sears, Federated and (Iprter entered
into a 6-Party Amended and Restated Construction, Operation and
Reciprocal Easement Agreement ("the REA") dated August 15,
1978, and recorded in the Ofrice of the County Eecorder of San
Diego County, California, on August 15, 1978, In Book 1978, as
Instrument !lo. 78-31\6927.
The Parties hereto deslre to anelend the REA. Accord-
ingly, in consideration of the mutual promises herein contained
and for other good and valuable consideration, the Parties agree
as follows:
1. Any term or word that is defined in the REA shall be
deemed to have the sane meaning when it Is used in this First
Amendment, except when the context expressly states otherwise.
2. Developer and Carter hereby represent that the
contingencies and conditions set forth in 3ection 27.18 have been
satisfied or are deemed to have heen satisfied. Peveloper has
conveyed the Carter Tract to Carter and Carter 13 presently the
lessee of the -Carter Tract pursuant to a sale and leaseback of
tha Carter Tract in the manner descrlhcd in Section 1.3(2) of the
REA. Sectioti 27.18 of tlie REA shall have no further force or
effect .

3. Lot 29 of Carlsbad Tract 110. 76-18 (Plaza Canino ~leai
Shopping Center) according to Map Eio. 8956 filed in the Office of
the County Recorder of the County of San Piem, State of
California on Aucust 11, 1978, heretofore a part of the ShoppinF:
Center Site, is hereby deleted fron the Shopping Center Site and
it is hereby released from all the easenents, covenants and conditions
placed thereon pursuant to the .REA.
4. The following paragraph is added to Section 2.2 of the
REA :

Parking. In connection therewith, 9eveloper conveyed the ?bane
11-0 Public Parking Land to the City of Oceanside, by <:e4 dated
Deceuber 31, 1980, which reserved certain easements and other
rights in the land for the benefit of the Chopping Center Site,
as well as the rit:ht in Developer or its siiccessors or asnigns to
terminate the estate of the grantee and to re-enter the land
under California Civil Code Section 1109 in the event that
grantee failed to fulfill the covenants of' the deed requiring the
land to be dedicated perpetually to public use a3 a parking lot
available to the public. The City of Oceanside leased the Phase
11-0 Public Parking Land to the City of Carlsbad
under a lease dated January 30, 1381, for a term of fifty years,
fron January 30, 1981 to January 29, 2031 (the "Oceanside
Lease").
City of Carlsbad an option to purchase the Phase 11-0 Public
Parking Land for One Dollar ($1.00) at any time on condition that
the lessee has paid the lessor the required rental under the
lease, 1.e. $70,000.00 per year for the first ten years plus
$1.00 per year for the renaining forfy years, totaling $700,040,
(subject to reduction in the event that any change in State law
reduces sales tax revenue from Plaza Canino Real to the lessee
while providing for payment to lessor of a portion or such
revenue).
The terns of the Oceanside Lease grant to the iesnee

FIRST AMENDMENT TO 1978 SIX PARTY AMENDED AND RESTATED
CONSTRUCTION OPERATION AND RECIPROCAL EASEMENT AGREEMENT
FOR THE PLAZA CAMINO REAL SHOPPING CENTER (THE "REA")
The principle document which governs the relationship among the private developers and the major stores at the Plaza Camino Real
shopping center is the REA. Since the time it was signed a number of changes have taken place in the way the shopping center has actually developed. MayCenters Inc. the developer, on behalf
of the five major property owners May Company, J. C. Penney, Sears, Federated and Carter, have asked that all of the changes
be recognized and incorporated into a First Amendment to the REA. Attached as Exhibit 1 is a letter dated June 21, 1985 from MayCenters outlining the changes in the REA contained in the First Amendment. Attached as Exhibit 2 is a copy of the proposed
First Amendment.
To complete the execution of the First Amendment to the REA it is necessary that the Parking Authority and the City of Carlsbad consent and agree to subordinate. That is required because the Parking Authority is a fee owner of portions of the affected
property and a leasor of other portions. The City of Carlsbad, in turn, is the leasee of the Parking Authority's property. We have reviewed the documents in detail and, with one exception,
do not have any concerns. The one problem has to do with a curb cut which is shown in the portion of the parking lot located in the City of Oceanside immediately adjacent to the Buena Vista Creek channel. This curb cut would accommodate a bridge over
the channel and facilitate the development of the adjacent
property in Oceanside. This development would take all of its access through Carlsbad and across Parking Authority property. That presents significant problems for the City - no traffic analysis has been done; the City Council has not looked at or
approved any development of the property and no environmental
review has been accomplished. Under those circumstances it is not legally possible for the Parking Authority to consent to
that change in the parking lot. These concerns have been communicated to MayCenters, Inc. and Hughes Investment, who is the proposed developer. We think the matter can be ultimately
resolved. However, because of the extensive logistics involved
in getting the REA amended, we are recommending that the Parking Authority approve the REA and authorize the chairman of the Authority to execute the consent and subordination on behalf of the Authority provided the curb cut to the Buena Vista Creek channel from the Carter adjacent parking area as shown on

Exhibits G and J, items 18 and 19 of the REA agreement is
removed, or the matter is otherwise resolved to eliminate the concerns of the City to the satisfaction of the City Attorney.
We have asked the City Clerk to call a special meeting of the Parking Authority to consider the REA. We will attend that
meeting and be prepared to answer any questions. In the
meantime, please let us know if you need any additional
information.

Please be advised that the parties to the 1978 Six-Party Amended and Restated Construction, Operation and Reciprocal Easement Agreement for the above Shopping Center (the "REA") have agreed to various changes in the REA, which are embodied in the enclosed First Amendment.
Since each of you holds an interest in some portion of the Shopping Center, either as an owner of fee title, or as a lessor or lessee, or as the beneficiary of a deed of trust, the parties to the agreement desire your consent and confirmation of the continued primacy of their respective rights under the REA as so amended, and a form of such consent is annexed to the First Amendment.
This First Amendment
(1) Confirms that the proposed sale of a portion of the Center to
Carter Hawley Hale did in fact occur, and that Carter Hawley Hale
has placed its Broadway Store in the Center,
(2) Confirms that Developer improved additional parking land bordering the Center, immediately north of The Broadway and Sears Stores, in the
City of Oceanside, (the "Oceanside Parking Area"), added it to the
Center parking and arranged for its lease by the City of Oceanside to the City of Carlsbad,
(3) Obligates Developer to purchase the Oceanside Parking Area to
preserve it as parking for the Center, in the event that the City of
Carlsbad fails to exercise its'option to do so,
(4) Confirms that Developer relocated the Buena Vista Creek channel to a more northerly location to make possible the placing of the Oceanside Parking Area contiguously with the rest of the Center parking,

(5) Deletes Lot 29 from the Center. Lot 29 is a narrow strip of land at the westerly end of the Center. It was paved and added to the Center parking in 1979 to assure that, on the opening of the Sears and The Broadway Stores, the Center would have sufficient parking to meet the required parking ratio, before Developer ob-
tained approval of the City of Oceanside for the relocation of the
channel and the improvement of the Oceanside Parking Area as addit-
ional Center parking,
(6) Raises the required parking ratio from 4.76 cars per: 1,000 square feet to 5.0,"based in part on Federated's reduction of the limit of any future expansion of the Bullock's Store.
(7) Substitutes revised drawings to conform the REA to the new facts
of The Broadway's placement, the relocation of the channel, the en- largement of Penney's adjacent parking area, makes some other changes and notations of no great material significance, and lists the docu- ments which now govern the use of the expanded parking areas.
Having accommodated the requirements of all the REA parties, to achieve the consensus embodied in this First Amendment, we request that you review it at this time. When we have received the signatures
of the six REA parties, we shall send you a set of pages bearing such signatures, to be inserted in the enclosed copy of the First Amendment,
and we shall then ask you to sign multiple copies of your consent and return them to us.
I shall be pleased to supply any further information which you
may request.
