Adopt Resolution No. rflcf , authorizing the Mayor to execute
an amendment to the agreement With the consulting firm of CRITERION
INCORPORATED to provide an amended fiscal impact analysis for the
Pacific Rim Country Club and Resort.

ITEM EXPLANATION
On October 9, 1985 the City Manager executed an agreement with
Criterion Incorporated to provide a Land Use and Public Facility
Economic Report for the Pacific Rim Country Club and Resort Master
Plan. The work has been largely completed under that contract.
Since that time, HP1 has radically revised the concept of their
Master Plan. Revision is needed to the report to address the
potential fiscal effect of the new Master Plan. Because of the
magnitude of the project, the detailed planning now completed, and
the length of time since the previous fiscal study, staff and HP1
have agreed that an amended study is necessary for the project.
The Housing Demand Analysis, golf course section and hotel supply
information will not require any changes. The remainder of the
report, with the exception of small narrative portions, should be
re-done.
CRITERION has prepared the previous study on the project and has
special expertise on the subject property and the lagoon. As a
result, staff and HP1 felt that "sole source" selection was the
best alternative. The estimated cost of the proposed work is
$15,000.
I FISCAL IMPACT
The developers (Hunt Properties, Inc.) are responsible for the
provision of the funding for the amended fiscal impact analysis.
Funds will be deposited with the City in a trust account, upon
approval of this agreement.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CARLSBAD, CALIFORNIA, APPROVING AN AMENDED
AGREEMENT BETWEEN THE CITY OF CARLSBAD AND
CRITERION INCORPORATED FOR PREPARATION OF
A FISCAL IMPACT ANALYSIS FOR THE PACIFIC RIM
COUNTRY CLUB AND RESORT NEW MASTER PLAN.
The City Council of the City of Carlsbad, California,
does hereby resolve as follows:
1. That certain agreement between the City of Carlsbad
and Criterion Incorporated for preparation of a fiscal impact
analysis for the Pacific Rim Country Club and Resort, New Master
Plan, a copy of Which is attached hereto, marked Exhibit "A", and
incorporated herein by reference, is hereby approved.
2. The Mayor of Carlibad is hereby authorized and
directed to execute said agreement for and on behalf of the City
of Carlsbad.
PASSED, APPROVED AND ADOPTED at a regular meeting of the
City of Carlsbad held the 3rd day of June, 1986, by the
following vote, to wit:

AGREEMENT
THIS AMENDED AGREEMENT is made this day of
June, 1986, between the CITY OF CARLSBAD, a municipal corporation
of the State of California, nereinafter referred to as CITY, and
CRITERION INCORPORATED hereinafter referred to as CONSULTANT,
pursuant to' Article 9, "Changes in Work", of that certain
agreement between the parties dated October 9, 1985 which is on
file with the City Clerk ("original agreement"). Except as set
forth below, all terms and conditions of the Original Agreement
Shall remain in effect for the balance of the term of this
Agreement.
The original agreement shall be supplemented and amended as.
follows:
(1) DUTIES OF THE CONSULTANT
CONSULTANT shall prepare a Fiscal Impact Anaylsis wnich
includes a fiscal analysis of the new Master Plan. In
carrying out this obligation the CONSULTANT'S 'duties shall
include the following:
(a) CONSULTANT shall prepare a draft report in
compliance witn the Work Program contained in
Attachment "1" attached hereto and made a part
hereof and with applicable state law and city
ordinances. The CONSULTANT shall submit to CITY
fifty copies (in 3 ring binders) plus a
reproducible master of the final Fiscal Impact
Analysis to the CITY.

The CITY will make payment to the CONSULTANT as pro-
vided for in this agr'eement.
The CITY will promptly make available to the CONSULTANT
any documents , studies, or other information in its
possession related to the proposed project.
The CITY will review the Preliminary Report presented
by the CONSULTANT within fourteen working days of their
receipt and make written comments to the CONSULTANT
within that time period.
Within five (5) days of their receipt, the CITY shall
provide 'the CONSULTANT with copies of all written
comments received on the draft Fiscal Impact Analysis
subsequent to public notice that the draft Fiscal
Impact Analysis ha.5 been filed and is available for
public review.
PAYMENT
The CONSULTANT will be paid a maximum of $33,700 for
preparing a fiscal impact analysis under the revised Scope
of Work. This increases the contract value by $15,000 from
$18,700 to $33,700.
Payment Shall be made within fifteen (15) days after receipt
of CONSULTANT'S invoice, following seventy-five percent
completion of revised Fiscal Impact Analysis. The final
twenty-five percent shall be paid, not to exceed the maximum
amount provided in this agreement, witnin thirty days after
receipt of invoice, to be submitted after the certification
of the Economic Impact Analysis.
IN WITNESS WHEREOF, the parties hereto nave executed
this supplemental agreement on tne day and year first above
written.

Dear Chris:
The attached page provides a cost breakdown for a market and fiscal
analysis of the Pacific Rim Resort.
After reviewing our draft report, I feel the Housing Demand Analysis,
Golf Course section and hotel supply in,formation do not need any
changes. The remainder,of the report, with the exception of small " narrative portions , should be re-done.
Our initial contract for $18,700 was for preparation of a draft
report, final report and meetings requested by the City. These funds
have been exhausted through preparation of the draft and review and
analysis of information submitted by Laventhal and Horwath.
We feel that recent changes in the master plan should be analyzed with
the same scrutiny as the.land uses initially identified. In my opinion
there are substantial differences and re-doing the report is not a
simple matter of addition and subtraction. The following are some concerns:
. I don't know that housing prices mentioned are supportable.
. The number and type of restaurants has changed from the five
I looked at initially. This deserves closer attention and
a different form of analysis.
. The retail now planned is different from a simple neighbor-
hood center. For example, how much revenue will a Pro Shop
produce for the city?
. Support for additional Hotel rooms needs a closer look.
I feel there are basically three options that are available.
1. Finalize our draft report which could be done for $2,000 to
$3,000.

2. Assume changes in the master plan are supportable by the
various markets and re-do the fiscal analysis. This could
be accomplished for around $6,000 to $8,000.
3. Re-do the report using what we can from the draft. We
strongly recommend this option.
Because of scheduling, it would be very helpful to us if a decision
is,made in the next week or two. Beyond that our ability to help with
any of these options could be delayed for a long period.
If you or Larry or both would like to sit down again with Ken and myself
and try to figure out the best approach, prices, etc., we would be happy
