ITEM EXPLANATION:
On August 12, 1986, the City Council authorized the advertisement
for bids for the construction of the Carlslbad Boulevard Seawall
project. One (1) sealed bid was received on September 8, 1986, as follows:

California Department of Boating and Waterways was approved by
the City Council on October 1, 1985. As a condition of this
agreement, the City is required to provide a qualified
construction inspector on a full-time basis any time the
contractor is actively working on the project site.

storm drain interceptor projects.

The required State Lands Commission permit, U.S. Army Corps OF Engineers permit, and the California Coastal Commission's Coastal
Development permit have been obtained. Each of these regulatory
agencies have required modifications to the project which are
reflected in the final design. The California Department of
Parks and Recreation project requirements are reflected in the
attached easement as well as the contract documents themselves.
Parks and Recreation to utilize the Tamarack Street Beach Parking
The City has secured permission from the California Department of
Lot as a staging and storage area for the contract-or. As a
condition of this approval, temporary parking along Carlsbad
Boulevard in the vicinity of the seawall construction site is
being explored.
Staff has negotiated with the contractfir, Marathon Construction
Company, Inc., reduced per unit costs for structural and non-
structural concrete to be used as backfill material at the base
of the seawall. These prices have been reduced in their original bids from $2,000 to $300 and $1,000 to $200 per cubic yard
respectively. Additionally, Marathon Construction Company has
been requested to re-evaluate the design and therefore the cost
to construct the large stairways leading from Carlsbad Boulevard
to the beach. These items will not be awarded at this time; the
contractor will return to us with recommendations of value
engineered redesign and reduced pricing. These items can be
awarded at any time during the course of the construction.
The California Coastal Conservancy has approved a grant amount of
$166,515 for access facilities for this project. Now that bid
prices arc known, staff has requested the Conservancy re-evaluate
the City's grant application for additional funding for these
facilities. This will be reviewed by the Conservancy tentatively
at their November meeting.

The California Department of Boating and Waterways has approved
FGnding for this project in the amount of $2,915,000.
Additionally, the City has appropriated a total of $905,000 in
the 1985-86 Capital Improvement Program account number 140-820-
1890-3185 for this project. The California Coastal Conservancy
has approved a grant application totalling $166,515 to date. The
total funding therefore available for this project at this time
is $3,986,515.

T:iIS AGREEMENT, made and entered irrtq as of the day of
19 by and between the CITY OF CARLSFJAD, a
municipal corporation, hereinafter referred to as "City," and
Woodward-Clyde Consultants, hereinafter referred to as
"Consult ant. 'I

RECITALS
City requires the service3 ~f a Construction Inspection
Consultant for the inspection and construction management of the
City's Carlsbad seawall project and adjoining storm drain project
under the direction of the Municipal Projects Department of the
Citv; and
Consultant possesses the ns.ceasary skills and qualifications
to provide the services required by City;
NOW, THEREFORE, in consid;zation of these recitals and the
mutual covenants contained herein, City and a Consultant agree as
follows:
1. CONSULTANT'S OBLIGATIONS
The Consultant shall:
A. Provide construction inspection for the City's seawall
?:fd storm drain projects under the direction of the Municipal
Projects Department of the City.

8. Act as liaison between utility agencies, citizens and
City staff as related to the seawall and stcrm drain projects.
C. Coordinate and implement project and traffic safety.
0. Attend such meetings of public or private groups as may
be required in conjunction with the seawall and storm drain
projects.
E. Be "on-call" and on the project site during all phases
of the construction of the seawall and storm drain until the
projects are completed and accepted by the City of Carlsbad,
through and to include the ."as-built" olans submittal and
approval.
F. Maintain a schedule of days and hours of availability
during all phases as work is in progress and maintain complete
vigilance of the projects.
C. Provide all personal transportation during the course of
this agreement.
H. .Maintain automobile, bodily injury, and property damage.
liability insurance covering owned, non-owned, rented and hired
automobiles and other vehicles; the combined single limit for
bodily injury and property damage shall not be less than
$300,000.
I. Provide the City with qualified construction inspectors,
if requested by the City of Carlabad.

2. CITY OBLIGATIONS
Under the general direction of the Municipal Projects
Department and subject to the provisions of Section 9 of this
agreement, the City shall:
A. Provide Consultant with work space, a telephone,
materials and supplies, and clerical and technical support, as
needed.
8. Set the schedule of days and hours Consultant shall
work, however, using its best' effforts to consider the needs of
Consultant in setting such hours.
C. Make available to Consultant all records, reports, and
other documents deemed necessary by Consultant to properly
perform the services required by the City.
3. CONSULTANT COMPENSATION
A. Under the general direction OF the Municipal Projects
Department and subject to the provisions of Section 9 of this
agreement, the City shall compensate consultant for services.
performed under Article 1 above, at a rate of $50.00 per hour.
Said compensation shall be expressly limited to time actually at
the office, on the project site, or in the field on beh??f of the
Ci.ty of Carlsbed.
8. It is understood b; the parties to this agreement that
the aforementioned hourly rate ahall be considered to be the
compensated rate for the duration of the project. The Consultant
warrants that no adjustments in hourly rate shall be requested
during the term of this agreement.

C. Transportation shall bz provided by th*r Consultant and
no additional compensation shall be paid by City to Consultant
for transportation to or From home to work place or for field
trips within the City on behalf of the City of Carlsbad.
C. Additional expenses related to this agreement for
meetings outside the limits of the City, transportation, meals,
etc., shall be reimbursed by the City on the basis of actual cost
where specifically approved by the City upon submission of
itemized invoices to the City of Carlsbad.
I. PAYMENT OF FEES
Fees earned pursuant to Section 3A of this agreement shall
be paid by City within twenty (20) days of delivery of.monthly
billing based on time and materials expended, provided, however,
that no fees shall be paid until th.e bill has been verified and
approved by the City. Payment of any fees pursuant to this
section shall not constitute a waiver by City of any breach of
apy part of this agreement. Reimbursement pursuant to Section 30
of this agreement shall be made in accordance with existing City
reimbursement policies.
5. COVENANTS AGAINST CONTINGENT FEES
The Consultant warrants th8t their firm has not employed or
retained any company or person, other than a bonafide employee
working for the Consultant, to solicit or secure this agreement,

and that Consultant has not paid or agreed to pay any company or
person, other than a bonafide employee, any fee, commission,
percentage, brokerage fee, gift, or any other consideration
contingent upon, or any other consideration contingent upon, or

annul this agreement without liability, or in its d

6. NON-DISCRIMINATION CLAUSE
The Consultant ' shall comply with state and federal
ordinances regarding non-discrimination.
7. TERMINATION OF CONTRACT
In the event of the Consultant's failure to execute,
deliver, or perform the work as provided for in thia contract,
the City msy terminate this contract for non-performance by
notifying the consultant by certified mail OF the termination of
the contract. The City will give 30 days notice, the Consultant,
thereupon, will deliver all documents owned by the City and all
work in progress to the Municipal Projects Department, of the
project in progress, who shall make a determination of fact based
upon the documents delivered to the City of the percentage of
work which the Consultant has performed which is usable and of

worth to the City in having the contract completed. Eased upon
that finding as reported to the City Council, the Council shall
determine the final payment of the contract. Final payment shall
be in compliance with the code of federal regulations.
A. DISPUTES
If a dispute should arise regarding the performance of work
under this agreement, the following procedures shall be used to
resolve any question of fact or interpretation not otherwise
settled by agreement between parties. Such questions, if they
become identified as a part of.a dispute among persons operating
under the provisions of this contract, shall be reduced to
writing by the principal of the consultant or the project manager
for the Municipal Projecta Department. A copy of such documented
dispute shall be forwarded to both parties involved along with
recommended methods of resolution which would be of benefit to
both parties. The City's representative receiving the letter
shall reply to the letter along with a recommended method of
resolution within ten (1'0) days.
If the resolution thus obtained is unsatisfactory to the
aggrieved party, a letter outlining the dispute shall be
forwarded to the City Manager for resolution. The City Manager
may then opt to consider the directed solution to the problem.

In such cases, the action of the City Manager shall be binding
upon the parties involved although nothing in this procedure
shall prohibit the parties seeking remedies available to them at
law.
9. RESPONSIBILITY OF THE CONSULTANT
The Consultent is hired to render prQfessional services
only, including construction, inspection and construction
management of assigned projects, and any payments made to
Consultant are compensation solely for such services as
Consultant may render and recommendations consultant may make in
the course of the project(s).
10. SUSPENSION OR TE4MINATION OF, SERVICES
This agreement may be terminated by either party upon
tendering thirty (3.0) days written notice to the other party. In
the event of such suspension or termination, upon request of the
City, the Consultant shall assemble all' City documents in the
Consultant's possession and put the same in order for proper
filing and closing and deliver said documents to the City. In
the event of termination, the Consultant shall be paid for work
performed to the termination date. The City shall make the final
determination as to the portions of tasks completed and the
compensation to be made. Compensation to be made in compliance
with the codes of federal regulations.

11. STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for
herein in Consultant's own way as an independent contractor and
in pursuit OF Consultant's independent cslling, and not as an
employee of the City. Consultant shall be under the direction
and control of the project msnager and/or Municipal Projects
Manager only as to the assignment of tasks, the result to be
accomplished and the personnel assigned to the project. The
Consultant shall consult with the City as necessary to ensure
compliance with this agreement.
12. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, correspondence,
copies of reports, and specifications as herein required are the
property of the City, whether the work for which they are made be
executed or not. In the event this contract is terminated, all
documents, plana, specifications, drawings, copies of reports and
studies shall be delivered forthwith to the City. Consultant
shall have the right to make one (1) copy of the documents for
his records.
13.' ASSIGNMENT OF CONTRACT
The Consultant shall not ..?sign this contract or any part
thereof or any monies due thereunder without the prior written
consent of the City.

14. HOLD HARMLESS AGREEMENT: crry -
The Citv, its agents, officers, and employees shall not be
liable for any claims, liabilities, penalties, fines, or any
damage to goods, properties, or effects of any person whatever,
nor for personal injuries or death caused by, or resulting from,
or claimed to have been caused by, or resulting from, any act or
omission of Consultant or Consultant's agents, employees, or
representatives. Consultant agrees to defend, indemnify, and
save free and harmless the City and its authorized agents,
officeis, and ewployees against any of the foregoing liabilities
or claims of any kind and any cost and expense that is incurred
by the City on account of any of.the foregoing liabilities,
including liabilities or claims by reason of alleged defects in
any plans and specifications, unless the liability or claim is
due, or arises out of, solely to the City's negligence.
15. HOLD HARMLESS AGREEMENT: STATE
The State, its agents, officers, and empl.oyees shall not be
liable for sny claims, liabilities, penalties, fines, or any
damage to goods, properties, or effects of any person whatever,
nor for personal injuries or death caused by, or resulting from,
or claimed to have been caused by, or resulting from, any act or
omission of Consultant or Consultant's agents, employees, or
representatives. Consultant agrees to defend, indemn
save free and harmless the State and its authorized
officers, and employees against any of the foregoing liab

by the State on account of any of the foregoing liabilities,

16. PROHIBITED INTEREST
No official of the City who is authorized in such capacity
on behalf of the City to negotiate, make, accept, or approve, or
take part in neg5tiating, making, accepting, or approving of 2ny
architectural, engineering inspection, construction or material
suppiy contractor, or any subcontractor in connection with the
construction of the project, shall become directly or indirectly
interested personally 'in this contract or in any part thereof.
No officer, employee, architect, attorney, engineer, or inspector
of or for the City who is authorized in such capacity and on
behalf of the City to exercise any executive, supervisory, or
other similar functions in connection with the performance of
this contract shall become directly or indirectly interested
personally in this contrat or any part thereof.
17. VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent,
'or employee of the City, either before, during, or after tne
execution of this contract, shall affect or modify any of the
terms or obligations herein contained nor such verbal agreement
or conversation entitle the Consultant to any additional payment
whatsoever under the terms of thia contract.

18. SUCCESSORS OR ASSIGNS
All terms, conditions, and provisions hereof shall insure to
and shall bind each of the parties hereto, and each of their
respective heirs, executors, . administrators, successors, and
assigns.
19. CONFLICT OF INTEREST
The Consultant shall file a Conflict of Interest Statement
with the City Clerk of the City of Carlsbad. The Consultant
shall report income investments or interests in real property.
20. TERM OF CONTRACT
In accordance with Section lE, :he term of this agreement
shall run through completion of the aforementioned projects. The
City shall have the option of offerina permanent employment to
the Consultant as a regular City employee anytime within the
specified term of this agreement.

7. GRANTEE hereby waives all claims and recourse aga inst the STATE for
loss or daniage to persons or property arisfng from, growing out of, or in any
way connected with or incident to this agreement. GRANTEE agrees to
indemnify, save harmless, and defend the STATE, its officers, agents, and
employees against any and all claims, demands, or causes of action that may be
brougbt against the STATE, its officers, agents, and employees arising out of
or in any way connected with or incident to the use or occupancy of said
premises by the GRANTEE or the exercise by GRANTEE of the rights or privileges
here in granted.

any manner, provided such use does not unreasonably interfere with the US? of

4. STATE expressly reserves the right to require GRANTEE, at the

interfere with the future development of STkTE's property. GRANTEE agrees

consent of STATE heing first had and obtained.
5. GRANTEE is further given the right of reasonable ingress to and
egress from the easement hereby granted, provided, hw?ver, that existing
roads and trails shall be utilized for such plrpose whenever reasonably
possible and furtber provided that if such road or trail is not available,
GRANTEE shall secure the consent of the STATE as to the route or routes to be
followed for the purpose of such ingress and egress. Such right of ingress
Inn egress shall at all times be exercised in a manner which will cause the
least damage to the property of the STATE.
9. Prior to the comnencent of any construction, GRANTEE shall submit to
jTATE the working dra*ings of the proposed improvements and shall in hand have

10. The granting of this Agreement and Grant of Easement shall inciude
:he seawall and each of the following improvements that are included in the
:ina1 working drawings as approved by STATE:
a) a lateral storm drainage system to be provided by GRANTEE in
conjunction with the seawall and appurtenant facilities;
b) a ?O-foot-wide lateral-access pathway;

one (1) additional bluff-access staircase (it is understood that the
City-of Carlshad is seeking funding to construct two (Z! additional
bluff-access staircases); and
an engineered rock riprap "seawall" in front of the existing
elevated sand pad at the base of the Pine Street ramp.
Upon completion of any work to he performed by GRANTEE on said
?asement. GRANTEE shall restore the surfxe of the easement to a condition
;atisfactory to the STATE.
12. GRANTEE, In the exercise of the rights herein granted, shall at a:i
:imes comply with all applicable laws and lawful regulations, including such
vies and regulations for the State Park System now in effect or hereafter

13. GRANTEE shall assume full and complete responsihility for any and
11 repair and malntenance, including graffiti removal and removal of debris

11 costs involving both lahor and materials incurred while performing either
