ITEM EXPLANATION:
In 1964, an agreement to exchan1e certain property rights to land
in the valley north of Mission Avenue was entered into between the
City of Carlsbad and certain land owners in the City of Oceanside.
This agreement set forth a vehicle by which the individual land
owners could dev~lop their property. It insured that the City of
Carlsbad's valuable water rights were protected by establishing
specific rights and easements. Easements for the development of
wells, pumping facilities, pipelines and conduits sufficiently
large enough to carry and conduct to other lands within or without
the San Luis Rey water shed, approximately 2,300 acre feet of water
per year. (One acre foot of water is equal to 325,850 gallons.) It
also insured the City's right to access for the purpose of mainte-
nance, operation, repair of all lands, rights-of-way and rights of
ingress and egress necessary for the above purpose. The protection
of the City's water rights is a very valuable asset. Although the
well field is inactive at this time, its potential for use in the
future still exists. The costs of potable water continue to increase
and, as it does, other alternatives will be considered. The well
field will be a major consideration for all alternate water supplies.
It also may be used to enter into agreements to exchange well water
for potable water with neighboring agencies,
It will be in the City's best interest to extend this agreement
through the year 2014, as the needs for water in the City will be
more clearly defined within that time fra~e. By extending this
agreement we will protect our right to install wells, construct
transmission lines, establish specific property rights and ease-
ments for the conveyance of well water to the City of Carlsbad.
This agreement will also protect the rights of the individual land
owners to develop their lands. It spells out their responsibili-
lity for the granting of specific lands and easements for the
maintenance and operation of the City of Carlsbad's well field.
Before they can make any improvements or erect any structures on
their property, that property owner must have City approval.
Renewal of the original agreement, which expires in March of 1989,
is desired by the Siegel Brothers at this time. In the event the
City does not elect to renew the contract at its expiration date,
it will take a year or two to subdivide and develop the property
by the current land owners .
The Costa Real Municipal Water Distrir.t, by our basic agreement,
has responsibility for developing and operating the facilities
should they become feasible in the future. This agreement has
been coordinated with the District.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, ACCEPTING AN AGREEMENT TO EXCHANGE
WHEREAS, the parties agree that the facts and conditions
concerning the need to make certain the various property rights
of the parties in the March 11, 1964 agreement continue to exist;
and,
WHEREAS, it is in the best interest of the parties to continue
the terms and conditions of the March 11, 1964 agreement for an
additional 25 years until March 11, 2014.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Carlsbad, California, as follows:
1. That the above recitations are true and correct.
2. That the City Council authorizes and directs the Mayor
to sign the agreement, attached hereto, for the City.
PASSED, APPROVED AND ADOPTED at a regular meeting of the
Carlsbad City Council held on the 24th day of March
1987, by the following vote, to wit:

AGREEMENT TO EXCHANGE
This Agreement is entered into this ~.,2~ day of

h.~t.4(.../ , 1986 by and between the City of Carlsbad,
hereinafter referred to as "CITY" and Robert c. Siegel and John
M. Siegel, hereinafter collectively referred to as the
"SIEGELS."
R E C I T A L S
1. On March 11, 1964 the City and the Siegels'
predecessors in interest entered into an agreement to exchange
certain property rights. A copy of the agreement to exchange is
attached hereto and is incorporated into this document by this
reference.
2. Robert C. Siegel and John M. Siegel are the
successors in interest to the property interests owned by the
various owners referred to in the March 11, 1964 agreement to
exchange.
3. The March 11, 1964 agreement is effective for a term
of 25 years and will expire on March 11, 1989. The exchange
obligations established by that agreement are executory on the
date of this agreement and the parties anticipate will be
executory on March 11, 1989. The parties agree that the facts
and conditions concerning the need to make certain the various
property rights of the parties as stated in the March 11, 1964
agreement continue to exist. The parties agree that it is in
their mutual best interest to continue the terms and conditions
of the March 11, 1964 agreement for an additional 25 years until
March 11, 2014.
4. The "City" and "Siegels" have exhausted their
resources in attemp~ing to locate Mr. E. F. Dibble referred to
paragraph II(c) of the March 11, 1964 Agreement and agree that
Exhibit E constitutes the exact legal description to be approved
by Mr. E. F. Dibble and the Siegels waive any and all rights to
amend, vary or alter said exact legal description as set forth
in Exhibit E.
NOW, THEREFORE, in consideration of the recitals and ths
mutual covenants contained herein the City and Owners agree that
the rights, duties and obligations of the City and of the Owners'
predecessors in interest as stated in the March 11, 1964
agreement to exchange shall be fully binding on the City and on
Robert c. and John M. Siegel. The parties further agree that the
provisions of this agreement shall expire on March 11, 2014
unless prior to that date all of the terms and conditions of the
March 11, 1964 agreement have been fulfilled.
This Agreement shall be binding upon and shall inure to
the benefit of the successors in interest of the parties and
shall run with the land as described in the March 11, 1964
agreement to exchange.
