RECOMMENDED ACTION:
Adopt Resolution No. <?•*<* approving a consultant agreement with
Keltner and Associates, Incorporated for the design of the Buena
Vista Lagoon Visitation Area and Jefferson Street Bike Path
Improvements, Project No. 3156.
ITEM EXPLANATION;
On June 14, 1988, the City Council approved a three (3) party
agreement with the Buena Vista Lagoon Foundation, the State of
California Department of Fish and Game, and the City of Carlsbad
for the joint development of the Buena Vista Lagoon Visitation
Area at the northwest corner of Jefferson and Marron Road. The
agreement is the result of several years negotiations among the
agencies and will replace the existing informal and unsafe pull-
out area along the north side of Jefferson Street with a paved
parking lot to the east.
The proposed nature visitation area will consist of a paved
driveway and parking lot for approximately twenty (20) vehicles,
landscaping, parking lot lights, park benches and trash
receptacles. Additional items such as walking pads and an
information kiosk may also be included at a later date under the
direction of the Foundation. Because of the close proximity of
the proposed visitation area to the Marron Road and Jefferson
Street intersection, a raised median must be constructed on
Jefferson Street east of Marron Road to ensure safe ingress and
egress. Additionally, new curb, gutter, and sidewalk will also
be installed on the north side of Jefferson Street from Marron
Road extending easterly of the proposed new visitation area.
Additionally, this project will include minor shoulder widening
along the north side of Jefferson Street and installation of a
bike lane to improve general safety. This portion of the project
is to be funded from a Transit Development Act (TDA) grant from
the San Diego Association of Governments (SANDAG) which the City
secured several years ago. The design contract, therefore, will
include both projects to take advantage of engineering,
operational, and construction economies.
Staff solicited design proposals from several local engineering
firms for this project. Four (4) formal proposals were received
and reviewed by staff and Mr. Ron Wootton, President of the
Buena Vista Lagoon Foundation and it is recommended the attached
consultant agreement with Keltner and Associates, Incorporated be
approved .

FISCAL IMPACT;
The attached consultant agreement provides for a cost of $11,500
for the design of the Jefferson Street Bike Path Improvements and
$6,500 for the Buena Vista Lagoon Visitation Area Improvements.
The $95,000 TDA grant for the Jefferson Street pedestrian and
bicycle safety improvements is currently on deposit with the City
and appropriated in project Account No. 180-820-8105-3156. It is
estimated these funds are substantially in excess of the
anticipated costs required to perform minor widening and
restriping of Jefferson Street from 1-5 to Marron Road in order
to install the bicyclist safety improvements.
Additionally, the City Council on June 14, 1988 formally
appropriated $30,000 of General Capital Construction funds and
the $30,000 of reimbursement from the Buena Vista Lagoon
Foundation's State grant for the design and construction of the
Visitation Area. These funds are currently appropriated and
available in project account number 300-820-1840-3204.
Staff recommends approval of the attached consultant agreement.

A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF CARLSBAD, CALIFORNIA, APPROVING
A CONSULTANT AGREEMENT WITH KELTNER AND
ASSOCIATES FOR THE DESIGN OF THE BUENA
VISTA LAGOON VISITATION AREA AND
IMPROVEMENTS TO JEFFERSON STREET
WHEREAS, the City Council of the City of Carlsbad has
previously appropriated funds for the design and construction of
the Buena Vista Lagoon Visitation Area and Improvements to
Jefferson Street; and
WHEREAS, proposals have been solicited for the design of
the project from qualified engineering firms; and,
WHEREAS, following receipt and evaluation of said
proposals, it has been recommended the firm of Keltrier and
Associates be selected to design this project.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Carlsbad, California, as follows:
1. That the above recitations are true and correct.
2. That a consultant agreement with Keltner and
Associates for the design of the Buena Vista Lagoon Visitation
Area and Jefferson Street Improvements is hereby approved and
the Mayor and City Clerk are hereby authorized and directed to
execute said agreement.
3. Following the Mayor's signature of the agreement,
the City Clerk is further authorized and directed to forward
copies of said agreement to Keltner and Associates and the
Municipal Projects Department for their files.
4. That the Director of Finance is hereby authorized
2 and directed to transfer all project appropriations and
3 expenditures for Project No. 3204 to Project No. 3156 so as to
4 combine all project funds in one project account for accounting
5 and operational efficiency.

AGREEMENT FOR THE DESIGN OF THE
JEFFERSON STREET BIKE PATH AND THE
BDENA VISTA LAGOON VISITATION AREA, PROJECT #3156
THIS AGREEMENT, made and entered into as of the 18th day of
July, 1988, by and between the CITY OF CARLSBAD, a municipal
corporation, hereinafter referred to as "City," and Keltner and
Associates, hereinafter referred to as "Consultant."

City requires the services of an engineering consultant to
provide the necessary design services for preparation of final
plans and specifications for the Jefferson Street Bike Path and
the Buena Vista Lagoon Visitation Area; and
Consultant possesses the necessary skills and qualifications
to provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and the
mutual covenants contained herein, City and Consultant agree as
follows:
1. CONSULTANT'S OBLIGATIONS
A. Jefferson Street Bike Path
1. Review existing topographic mapping and field
surveying information to establish horizontal and
vertical control. Perform additional field
surveying to supplement design for pin-on median
and extension of curb, gutter and asphalt
sidewalk from existing curb return at Jefferson
and Marron to the entrance of the visitation area.
Perform survey to locate and tie-in
existing drainage structures, fences etc., along
bike path to aid in design details.
2. Prepare Bike Path Design using a plan view only
design (no profile). All constrictive areas (i.e.
narrow widths, drainage conflicts and wall
locations) will be handled by separate details
sufficient enough to bid and build. The limit of
the bike path shall be terminated just easterly of
the Jefferson Street/I-5 bridge overpass.
3. Prepare Traffic Control Plan for the pin-on
median, and water line extension and curb and
gutter construction only. Traffic control for
the bike path construction will be handled by
noting the use of flagmen or the temporary closure
of the west bound lane of Jefferson.
4. Prepare opinion of probable construction cost and
quantities.
5. Prepare construction specifications and special
provisions.
6. Perform tasks enumerated in attached Consultant
proposal Exhibit 'A1.
Buena Vista Lagoon Visitation Area
1. Review existing topographic mapping and field
surveying information to establish horizontal and
vertical control. Perform additional field
surveying to supplement design of 20 space parking

lot. Tie-in existing physical features not shown
on 1985 topographic survey.
2. Perform preliminary investigation to determine
water and power usage for the visitation area.
Prepare conceptual layout plan of same for
approval by the City.
3. Prepare grading and paving plan for 20 space
parking lot and visitation area amenities (i.e.
park benches, kiosk, and walkway).
4. Prepare Landscape, irrigation and lighting plan
for visitation area. Design extension of water
service main to the visitation area. The water
line design can be included on the same plan and
profile sheet as the curb and gutter on Jefferson
Street.
5. Prepare opinion of probable construction cost and
quantities.
6. Prepare construction specifications and special
provisions.
7. Perform task enumerated in attached Consultant
proposal, Exhibit 'A'.
CITY OBLIGATIONS
a. Right of way documentation.
b. Soils testing and/or investigation if necessary.
c. Minimum structural section for the bike lane,
parking lot and asphalt sidewalk.

d. Circulation of plans, supplied by the Consultant,
to utility companies for conflict checking.
e. Making of service application to water and
electric during the preliminary investigation.
f. Blank mylar sheets and available improvement plans
for use by the Consultant.
g. Obtaining all permits and environmental approvals
and clearances.
h. Assemble the Consultant produced special
provisions with the City's standard general
provisions into a single bid document,
i. Duplication of bid documents and administration of
bidding process,
j. Construction inspection.
3. PROGRESS AND COMPLETION
The work under this Contract will begin immediately upon
receipt of notification to proceed by the City and be completed
within sixty (60) days of that date. Extensions of time may be
granted if requested by the Consultant and agreed to in writing
by the City. In consideration of such requests, the City will
give allowance for documented and substantiated unforeseeable and
unavoidable delays not caused by a lack of foresight on the part
of the Consultant, or delays caused by City inaction or other
agencies1 lack of timely action.

4. FEES TO BE PAID TO CONSULTANT
The lump sum fee payable according to Paragraph 5, "Payment
of Fees," shall be $11,500 for the bike path and $6,500 for the
visitation area. No other compensation for services will be
allowed except those items covered by supplemental agreements per
Paragraph 7, "Changes in Work."
5. PAYMENT OF FEES
Payment of fees shall be 40% upon completion of surveying
and delivery of preliminary design documents, and 60% upon
completion and submittal to City of final design, specifications,
and estimates.
6. FINAL SUBMISSIONS
Immediately upon completion and approval of the final
design, the Consultant shall deliver to the City the following
items:
a. Original 24" by 36" mylar sheets of the drawings.
Blank mylar sheets will be provided by the City.
b. All final engineering certifications and documents. The
plans shall be signed by a Registered Civil Engineer.
7. CHANGES IN WORK
If, in the course of this Contract and design, changes seem
merited by the Consultant or the City, and informal consultations
with the other party indicate that a change in the conditions of
the Contract is warranted, the Consultant or the City may request
a change in Contract. Such changes shall be processed by the
City in the following manner: A letter outlining the required

changes shall be forwarded to the City by Consultant to inform
them of the proposed changes along with a statement of estimated
changes in charges or time schedule. After reaching mutual
agreement on the proposal, a supplemental agreement shall be
prepared by the City and approved by the City Council. Such
supplemental agreement shall not render ineffective or invalidate
unaffected portions of the agreement. Changes requiring
immediate action by the Consultant or City shall be ordered by
the City who will inform a principal of the Consultant's firm of
the necessity of such action and follow up with a supplemental
agreement covering such work.
8. DESIGN STANDARDS
The Consultant shall prepare the plans and specifications in
accordance with the design standards of the City of Carlsbad and
recognized current design practices. Applicable City of Carlsbad
Standards and Regional Standards shall be used where appropriate.
Copies of such standards shall be obtained from the
City of Carlsbad.
9. COVENANTS AGAINST CONTINGENT FEES
The Consultant warrants that their firm has not employed or
retained any company or person, other than a bona fide employee
working for the Consultant, to solicit or secure this agreement,
and that Consultant has not paid or agreed to pay any company or
person, other than a bona fide employee, any fee, commission,
percentage, brokerage fee, gift, or any other consideration
contingent upon, or resulting from, the award or making of this

agreement. For breach or violation of this warranty, the City
shall have the right to annul this agreement without liability,
or, in its discretion, to deduct from the agreement price or
consideration, or otherwise recover, the full amount of such fee,
commission, percentage, brokerage fee, gift, or contingent fee.
10. NONDISCRIMINATION CLAUSE
The Consultant shall comply with the State and Federal
Ordinances regarding nondiscrimination.
11. TERMINATION OF CONTRACT
In the event of the Consultant's failure to prosecute,
deliver, or perform the work as provided for in this Contract,
the City may terminate this Contract for nonperformance by
notifying the Consultant by certified mail of the termination of
the Contract. The Consultant, thereupon, has five (5) working
days to deliver said documents owned by the City and all work in
progress to the City Engineer. The City Engineer shall make a
determination of fact based upon the documents delivered to City
of the percentage of work which the Consultant has performed
which is usable and of worth to the City in having the Contract
completed. Based upon that finding as reported to the City
Council, the Council shall determine the final payment of the
Contract.
12. DISPUTES
If a dispute should arise regarding the performance of work
under this agreement, the following procedure shall be used to
resolve any question of fact or interpretation not otherwise

settled by agreement between parties. Such questions, if they
become identified as a part of a dispute among persons operating
under the provisions, of this Contract, shall be reduced to
writing by the principal of the Consultant or the City Manager.
A copy of such documented dispute shall be forwarded to both
parties involved along with recommended methods of resolution
which would be of benefit to both parties. The City Manager or
principal receiving the letter shall reply to the letter along
with a recommended method of resolution within ten (10) days. If
the resolution thus obtained is unsatisfactory to the aggrieved
party, a letter outlining the dispute shall be forwarded to the
City Council for their resolution through the Office of the City
Manager. The City Council may then opt to consider the directed
solution to the problem. In such cases, the action of the City
Council shall be binding upon the parties involved, although
nothing in this procedure shall prohibit the parties seeking
remedies available to them at law.
13. RESPONSIBILITY OF THE CONSULTANT
The Consultant is hired to render professional services of
designing and drawings for the Jefferson Street Bike Path and the
Buena Vista Lagoon Visitation Area and any payments made to
Consultant are compensation solely for such services. Consultant
shall certify as to the correctness of all designs and sign final
plans with his Registered Civil Engineer's number.

14. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party upon
tendering thirty (30) days written notice to the other party. In
the event of such suspension or termination, upon request of the
City, the Consultant shall assemble the work product and put same
in order for proper filing and closing and deliver said product
to City. In the event of termination, the Consultant shall be
paid for work performed to the termination date; however, the
total shall not exceed the guaranteed total maximum. The City
shall make the final determination as to the portions of tasks
completed and the compensation to be made. Compensation to be
made in compliance with the Code of Federal Regulations.
15. STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for
herein in Consultant's own way as an independent Contractor and
in pursuit of Consultant's independent calling, and not as an
employee of the City. Consultant shall be under control of the
City only as to the result to be accomplished and the personnel
assigned to the project, but shall consult with the City as
provided for in the request for proposal.
The Consultant is an independent contractor of the City.
The payment made to the Consultant pursuant to this contract
shall be the full and complete compensation to which the
Consultant is entitled. The City shall not make any Federal or
State tax withholdings on behalf of the Consultant. The City
shall not be required to pay any workers' compensation insurance

on behalf of the Consultant. The Consultant agrees to indemnify
the City for any tax, retirement contribution, social security,
overtime payment, or workers' compensation payment which the City
may be required to make on behalf of the Consultant or any
employee of the Consultant for work done under this agreement.
The Consultant shall be aware of the requirements of the
Immigration Reform and Control Act of 1986 and shall comply with
those requirements, including, but not limited to, verifying the
eligibility for employment of all agents, employees,
subcontractors and consultants that are included in this
agreement.
16. CONFORMITY TO T.FGAT. REQUIREMENTS
The Consultant shall cause all drawings and specifications
to conform to all applicable requirements of law: Federal, State
and local.
17. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, and
specifications as herein required are the property of the City,
whether the work for which they are made to be executed or not.
In the event this Contract is terminated, all documents, plans,
specifications, drawings, reports, and studies shall be delivered
forthwith to the City. Consultant shall have the right to make
one (1) copy of the plans for his/her records.

18. HOLD HARMLESS AGREEMENT
The City, its officers, and employees shall not be liable
for any claims, liabilities, penalties, fines, or any damage to
goods, properties, or effects of any person whatever, nor for
personal injuries or death caused by, or claimed to have been
caused by, or resulting from, any intentional or negligent acts,
errors or omission of Consultant or Consultant's agents,
employees, or representatives. Consultant agrees to defend,
indemnify, and save free and harmless the City and its officers
and employees against any of the foregoing liabilities or claims
of any kind and any cost and expense that is incurred by the City
on account of any of the foregoing liabilities, including
liabilities or claims by reason of alleged defects in any plans
and specifications.
19. ASSIGNMENT OF CONTRACT
The Consultant shall not assign this Contract or any part
thereof or any monies due thereunder without the prior written
consent of the City.
20. SUBCONTRACTING
If the Consultant shall subcontract any of the work to be
performed under this Contract by the Consultant, Consultant shall
be fully responsible to the City for the acts and omissions of
Consultant's subcontractor and of the persons either directly or
indirectly employed by the subcontractor, as Consultant is for
the acts and omissions of persons directly employed by
Consultant. Nothing contained in this Contract shall create any

contractual relationship between any subcontractor of Consultant
and the City. The Consultant shall bind every subcontractor and
every subcontractor of a subcontractor by the terms of this
Contract applicable to Consultant's work unless specifically
noted to the contrary in the subcontract in question approved in
writing by the City.
21. PROHIBITED INTEREST
No official of the City who is authorized in such capacity
on behalf of the City to negotiate, make, accept, or approve, or
take part in negotiating, making, accepting, or approving of any
architectural, engineering, inspection, construction or material
supply contractor, or any subcontractor in connection with the
construction of the project, shall become directly or indirectly
interested personally in this Contract or in any part thereof.
No officer, employee, architect, attorney, engineer, or inspector
of or for the City who is authorized in such capacity and on
behalf of the City to exercise any executive, supervisory, or
other similar functions in connection with the performance of
this Contract shall become directly or indirectly interested
personally in this Contract or any part thereof.
22. VERBALLY AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent,
or employee of the City, either before, during, or after the
execution of this Contract, shall affect or modify any of the
terms or obligations herein contained nor such verbal agreement
or conversation entitles the Consultant to any additional payment

whatsoever under the terms of this Contract.
23. SUCCESSORS OR ASSIGNS
Subject to the provisions of Paragraph 18, "Hold Harmless
Agreement," all terms, conditions, and provisions hereof shall
insure to and shall bind each of the parties hereto, and each of
their respective heirs, executors, administrators, successors,
and assigns.
24. EFFECTIVE DATE
This agreement shall be effective on and from the day and
year first above written.
25. CONFLICT OF INTEREST
The Consultant shall file a Conflict of Interest Statement
with the City Clerk of the City of Carlsbad in accordance with
the requirements of the City of Carlsbad Conflict of Interest
Code.
26. INSURANCE
The Consultant shall obtain and maintain a policy of
liability insurance from an insurance company authorized to be in
business in the State of California, in an insurable amount of
not less than one million dollars ($1,000,000). This insurance
shall be in force during the life of this agreement and shall not
be cancelled without ten (10) days prior notice to the City.
The City shall be named as an additionally insured on this
policy. The Consultant shall furnish a certificate of said
insurance to the City upon request.

of qualifications and professional services fee proposal
(under separate cover) to complete the requested services.
Keltner and Associates is the public roads division of Luke-
Dudek Civil Engineers, Inc. and has extensive experience in
the preparation of contract documents for roadways and
appurtenances thereof.
We have reviewed the standard City contract included with
the RFP and do not foresee any difficulties performing under
the contract.

I. INTRODUCTION
Keltner and Associates, a division of Luke-Dudek Civil Engineers,
Inc. was formed in 1985 to provide the infrastructure improvement
design which accompany major public and private developments.
The unique capabilities of Keltner and Associates include:
• In-house land surveying
• In-house CADD capabilities
• In-house construction period traffic control plans
• In-house Construction Management personnel
• Extensive experience in utility relocation and
abandonment
Keltner and Associates has a staff of 14 personnel with the added
benefit of nearly 30 personnel of Luke-Dudek to draw upon. The
advantage of this relationship is that direct and indirect costs
are considerably lower than firms with similar experience.
II. PROJECT CONSIDERATIONS AND CONSTRAINTS
We have reviewed the project particulars and walked the project
limits with Mr. Gary Kellison to obtain a clearer understanding
of the objectives of the City of Carlsbad. In addition, we have
reviewed a feasibility study and design report on the Jefferson
Street Bike Path prepared by Luke-Dudek Civil Engineers dated
October 1985.
Several key considerations and constraints will play a roll in a
workable design. They include:
• The old adage "Trying to make a silk purse out of a sows
ear" seems befitting of the bike path project. The project
has been around since 1985 and has a very limited budget
with equally challenging topographic constraints. We feel
confident and motivated in helping the City overcome both of
these obstacles.
• Due to the restrictive budget on the bike path, we propose
utilizing the previous topographic data prepared by Luke-
Dudek in 1985 and suggest an alternative to the standard
plan and profile construction documents.
• Due to the topographic constraints of the project, there
will be a number of situations where the standards of care
in Engineering practices will have to be negotiated between
the City and the Consultant to accomplish the goals of the
project. These include but are not limited to, varying the
bike path width, barrier protection at the Lagoon edge and
transition sections to existing conditions.
These key considerations are only a part of numerous preliminary
design considerations given each of our roadway improvement
projects. Our close proximity to the site and thorough
familiarity with the Costa Real Water District standards, and the
City of Carlsbad standards will enable our staff to respond
effectively and efficiently to the project requirements.
III. SCOPE OF WORK
This scope of work has been developed by task to supplement the
scoped requirements outlined in the June 20, 1988 Request for
Proposal. Lump Sum fees are included under separate cover as
requested.
A. Jefferson street Bike Path Project No. 3156
1. Review existing topographic mapping and field surveying
information to establish horizontal and vertical
control. Perform additional field surveying to
supplement design for pin-on median and extension of
curb, gutter and asphalt sidewalk from existing curb
return at Jefferson and Marron west to the entrance of
the visitation area. Perform survey to locate and tie-
in existing drainage structures, fences and etc. along
bike path to aide in design details.
2. Prepare Bike Path Design. We are proposing a plan view
only design (no profile) . We feel this is the most
practical way to approach the project given the
budgetary constraints. All constrictive areas (i.e.
narrow widths, drainage conflicts and wall locations)
will be handled by separate details sufficient enough
to bid and build by. We will utilize the 1985
topographic survey prepared by Luke-Dudek and impose
the center line and right-of-way control over it. We
are anticipating doing the project at 1" = 20 scale
using standard City 'D1 sheets to cover the project.
3. Prepare Traffic Control Plan for the pin-on median, and
water line extension and curb and gutter construction
only. We have assumed the traffic control for the bike
path construction will be handled by either the
contractor using flagmen or the City temporarily
closing the west bound lane of Jefferson. Therefore,
no traffic control for the bike path is included.
However, if the City does request this at a later date
we will be happy to provide this service and revise our
fee schedule accordingly.
4. Prepare opinion of probable construction cost.
5. Prepare construction specifications and special
provisions.
B. Buena Vista Lagoon Visitation Area Project No. 3304.
1. Review existing topographic mapping and field surveying
information to establish horizontal and vertical
control. Perform additional field surveying to
supplement design of 20 space parking lot. Tie-in
existing physical features not shown on 1985
topographic survey.
2. Perform preliminary investigation to determine water
and power usage for the visitation area. Prepare
conceptual layout plan of same for approval by the
City.
3. Prepare grading and paving plan for 20 space parking
lot and visitation area amenities (i.e. park benches,
kiosk, and walkway).
4. Prepare Landscape, irrigation and lighting plan for
visitation area.
5. Prepare opinion of probable construction cost.
6. Prepare construction specifications and special
provisions.
IV. CITY TO PROVIDE
1. Center line and right-of-way control and documentation
of how established.
2. Soils testing and/or investigation if necessary.
3. Minimum structural section for the bike lane, parking
lot and asphalt sidewalk.
4. Circulation of construction plans, supplied by the
Consultant, to utility companies for conflict checking.
5. Making of service applications to water and electric
utilities using information supplied by the Consultant
during the preliminary investigation.
6. Blank mylar sheets and available improvement plans for
use by the Consultant.
7. Obtaining all permits and environmental approvals and
clearances.
8. Assemble the Consultant produced special provisions
with the City's standard general provisions into a
single bid document.
9. Duplication of bid documents and administration of
bidding process.
10. Construction inspection.

APPENDIX A
PROJECT ASSUMPTIONS
1. The above fee proposal quote is based upon both projects
being done by Keltner and Associates. Certain expenses are
shared by both projects.
2. Construction of a crib wall or gabion wall is pennissable in
the lagoon area where the bike path width is restricted due
to the encroachment of the lagoon into the street right-of-
way.
3. No erosion control plans are required.
4. No separate water improvement plans are required. We have
assumed that the waterline extension to service the
visitation area can be incorporated into the street
improvement plans and Costa Real Water District will sign
off on the title sheet prepared for this project.
5. City will provide all soils testing and "R" value test and
recommend structural sections.
6. City will obtain all permits and environmental clearances.
7. That the existing topo is acceptable to the City for design
purposes and they will accept a plan view only design of
the bike path.
8. That there are no existing underground utility conflicts
which will result in a major redesign of the bike path or
visitation area.
9. The City of Carlsbad is the sole plan check authority and
their bike path standards govern design. This is not a
Federally funded project, therefore, tradenaities and
references to such can be shown on the plans.
PROFESSIONAL SERVICES LUMP SUM FEE PROPOSAL

This professional services lump sun fee proposal is based on
information contained in the June 20, 1988 Request for Proposal
from the City of Carlsbad, conversations with Mr. Gary Kellison
(Project Manager for the City of Carlsbad) and site visits. It
should be noted that several assumptions must be made at this
time due to circumstances which may be beyond our control. These
assumptions are noted in the attached Appendix "A".
