The states that "No road segment or intersection in the Zone nor any Cib Element road segment or intersection out of the Zone which is iml development in the Zone shall be projected to exceed a Service Level off-peak hours, nor Service Level D during peak hours. Impacted i by 20 percent or more of the traffic generated by the Local F Management Zone using the road segment or intersection." On June 27, 1988 Engineering Department staff received written tech cost proposals from five consulting traffic engineering firms from a nine Request for Proposals that were solicited. An evaluatiot submittals was conducted by a panel consisting of David Hauser, Assis Engineer, Phil Carter, Growth Management Manager and Robert Johnson, Civil Engineer. The firm of JHK & Associates was selected as being qualified firm to conduct the work required by the project. The consultant agreement will result in the collection of traffic c intersections and 16 road segments twice during 1989. In addition, service calculations will be performed by the consultant to eva performance of the intersection or road segment in context of t Management Plan. PROJECT NAME: TRAFFIC COUNT LOCATIONS EX 0 0 CONSULTANT AGREEMENT FOR GROUTH MANAGEMENT PLAN TRAFFIC MONITORING PROGRAM THIS AGREEMENT, made and entered into as of the d > 1989, by and between the CITY of CARLSBAD, a muni corporation, hereinafter referred to as "City" and JHK & Associates a Calif Corporati on, hereinafter referred to as "Consultant ." RECITALS ' City requires the service of a traffic engineering consultant to pr the necessary engineering services for the City of Carlsbad Growth Manag Plan Traffic Monitoring Program; and Consultant possess the necessary skills and qualifications to provid services required by City; NOW, THEREFORE, in consideration of these recitals and mutual cove contained herein, City and Consultant agree as follows: 1. CONSULTANT'S OBLIGATIONS A. PROGRESS AND COMPLETION The work under the Contract will begin within ten (10) days after re of written notification to proceed by the City and be completed in October in accordance with the project scope. PAYMENT OF FEES Payment of fees shall be monthly, upon submittal by Consultant and appi by City, the estimated percentage of work completed. In no event shall the . payments exceed 50% of the contract for one counting period. 6. FINAL SUBMISSIONS Within fifteen (15) days of completion and approval of the final pr documents, the Consultant shall deliver to the City the following items: a. Ten bound sets and one unbound set of final traffic engine calculations, volumes, documents and reports. The documents shall be sign a Registered Traffic Engineer. 7. CHANGES IN WORK If, in the course of this Contract and design, changes seem merited b Consultant or the City, and informal consultations with the other party ind that a change in the conditions of the Contract is warranted, the Consulta the City may request a change in Contract. COVENANTS AGAINST CONTINGENT FEES The Consultant warrants that their firm has not employed or retaine company or person, other than a bona fide employee working for the Consul to solicit or secure this agreement, and that Consultant has not paid or a to pay any company or person, other than a bona fide employee, and commission, percentage, brokerage fee, gift, or any other consider contingent upon, or resulting from, the award or making of this agreement. breach or violation of this warranty, the City shall have the right to annul agreement without liability, or, in its' discretion, to deduct from the agre price or consideration, or otherwise recover, the full amount of such commission, percentage, brokerage fee, gift, or contingent fee. 10. NONDISCRIMINATION CLAUSE The Consultant shall comply with the State and Federal Ordinances rega nondiscrimination. 11. TERMINATION OF CONTRACT In the event of the Consultant's failure to prosecute, deliver, or pe the work as provided for in this Contract, the City may terminate this Cor for nonperformance by notifying the Consultant by certified mail 0' termination of the Contract. The Consultant, thereupon, has five (5) wc days to deliver work in progress to the City. DISPUTES If a dispute should arise regarding the performance of work under agreement, the following procedure shall be used to resolve any question of or interpretation not otherwise settled by agreement between parties. questions, if they become identified as a part of a dispute among pel operating under the provisions of this Contract, shall be reduced to writi the principal of the Consultant or the City Engineer. A copy of such documl dispute shall be forwarded to both parties involved along with recomm methods of resolution which would be of benefit to both parties. The Engineer or principal receiving the letter shall reply to the letter along a recommended method of resolution within ten (10) days. If the resolution obtained is unsatisfactory to the aggrieved party, a letter outlining the di shall be forwarded to the City Council for their resolution through the 0 of the City Manager. The City Council may then opt to consider the dir solution to the problem. In such cases, the action of the City Council be binding upon the parties involved, although nothing in this procedure prohibit the parties seeking remedies available to them at law. 13. RESPONSIBILITY OF THE CONSULTANT The Consultant is hired to render professional services as describ the attached Scope of Work for the Growth Management Plan Traffic Monit Program and any payments made to Consultant are compensation solely for services. Consultant shall sign all documents and reports furnished wit Registered Traffic Engineer's license number. 14. SUSPENSION OR TERMINATION OF SERVICES This agreement may be terminated by either party upon tendering thirtj day written notice to the other party. In the event of such suspensi termination, upon request of the City, the Consultant shall assemblc 5 e e del i verabl es and put same in order for proper f i 1 ing and cl osing and del i ver document to City. In the event of termination, the Consultant shall be paic work performed to the termination date; however, the total shall not exceec guaranteed total maximum. STATUS OF THE CONSULTANT The Consultant shall perform the services provided for herei, Consultant's own way as an independent Contractor and in pursuit of Consulti independent calling, and not as an employee of the City. The Consultant agrees to indemnify the City for any tax, retir contribution, social security, overtime payment, or workers' compensation pa which the City may be required to make on behalf of the Consultant 01 employee of the Consultant for work done under this agreement. OWNERSHIP OF DOCUMENTS All traffic counts, calculations, reports and documents as herein reqi are the property-of the City, whether the work for which they are made is executed or not. In the event this Contract is terminated, all traffic co: calculations, repbrts and documents shall be delivered to the City in accorc with Section 6 of this agreement. Consultant shall have the right to makc (1) copy of the related project data, documents, and reports for his/her recc Any use of completed documents for other projects and/or any use of uncomp' documents without specific written authorization by the Consultants will t the City's sole risk and without liability or legal exposure to the Consul1 and the City shall indemnify and hold harmless the Consultant from all Cli damages, losses and expenses, including attorney's fees, arising out o resulting therefrom, 18. HOLD HARMLESS AGREEMENT The City, its agents, officers, and employees shall not be liable fo claims, liabilities, penalties, fines, or any damage to goods, properties effects of any person whatsoever, nor for personal injuries or death causec or resulting from, any negligent acts, or omission of Consultant or Consult; agents, employees, or representatives. Consultant agrees to defend, indemr and save free and harmless the City and its authorized agents, officers employees against any of the foregoing liabilities or claims of any kind ani cost and expense that is incurred by the City on account of any of the fore! liabilities or claims of any kind and any cost and expense that is incurrc 7 0 0 the City on account of any of the foregoing liabilities including liabil or claims by reason of defects in any plans and specifications unless liability or claim is due, or arises out of, the City‘s sole negligence. 19. ASSIGNMENT OF CONTRACT The Consultant shall not assign the Contract or any part thereof o monies due thereunder without the prior written consent of the City. 20- SUBCONTRACTING If the Consultant shall subcontract any of the work to be performed I this Contract by the Consultant, Consultant shall be fully responsible tc City for the negligent acts and omissions of Consultant’s subcontractor ai the persons either directly or indirectly employed by the subcontractor Consultant is for the negligent acts and omissions of person directly emp by Consultant. Nothing contained in this Contract shall create any contra( relationship between any subcontractor of Consultant and the City. Consultant shall bind every subcontractor and every subcontractor ( subcontractor by the terms of this Contract applicable to Consultant’s unless specifically noted to the contrary in the subcontract in question appr in writing by the City. 21. PROHIBITED INTEREST No officer, employee, architect, attorney, engineer, or inspector ( for the City who is authorized in such capacity and on behalf of the Cil exercise any executive, supervisory, or other similar functions in connec with the performance of this Contract shall become directly or indirc interested personally in this Contract or any part thereof, 22. VERBAL AGREEMENT OR CONVERSATION No verbal agreement or conversation with any officer, agent, or empl of the City, either before, during, or after the execution of this Conti 8 a 0 shall affect or modify any of the terms or obligations herein contained nor such verbal agreement or conversation entitles the Consultant to any addit payment whatsoever under the terms of this Contract. 23. SUCCESSORS OR ASSIGNS Subject to the provisions of Paragraph 18, "Hold Harmless Agreement,' terms, conditions, and provisions hereof shall inure to and shall bind eac the parties hereto, and each of their respective heirs, execu. administrators, successors, and assigns. 24. EFFECTIVE DATE This agreement shall be effective on and from the day and year first I written. 25. CONFLICT OF INTEREST The Consultant shall file a Conflict of Interest Statement with the Clerk of the City of Carlsbad in accordance with the requirements of the of Carlsbad Conflict of Interest Code. 26. INSURANCE The Consultant shall obtain and maintain a policy of liability insui from an insurance company authorized to be in business in the Statt California, in an insurable amount of not less than one million dol ($1,000,000). This insurance shall be in force during the life of this agree and shall not be cancelled without ten (10) days prior notice to the City. 9 0 0 The City shall be named as an additionally insured on this policy. In addition, a monthly traffic r will be submitted that includes capacity and level of service calculatior a summary of traffic data obtained in the proceeding month. Traffic count: be collected during 1989 and obtained in the months of January or Februar again in July or August. All traffic counts and reports will be collecte prepared in accordance with the established performance criteria for count reports. One orientation meeting will be held with the Consultant prior to the begi work. At that meeting the Consultant shall submit a time schedule for obta traffic counts and preparing the monthly report. That the above recitations are true and correct. 2. That the amount of $59,764 is hereby appropriate 1 unappropriated balance of the Traffic Impact Fund to Account Number 40-3316 for this project. 3. That a consultant agreement with JHK & Associates is her and the Mayor and City Clerk are hereby authorized and directed to agreement.
