RECOMMENDED ACTION:
Adopt Resolution No. approving the Agreement for Cost Sharing of
Consulting Transportation Planning Services related to the Buena Vista Valley
Traffic Study.
ITEM EXPLANATION:
The valley formed by Buena Vista Creek along a portion of the City's northern
boundary has developed into a vital transportation corridor. The valley is
divided north to south by the Anza Freeway (State Route 78). The botindary line
between the cities of Oceanside and Carlsbad roughly splits the valley in the
section between Buena Vista Lagoon and a point just west of College Boulevard.
Both cities have an intense interest in the future well-being of the land
under their respective jurisdictions and it is important that the cities of
Carlsbad and Oceanside cooperatively deal with the transportation concerns
within the corridor.
In the future, four important transportation arterials will parallel each other
for the length of the corridor. The northerly two, Vista Way and the Anza
Freeway lie within Oceanside. The southerly two, Haymar Drive and Marron Road
lie within Carlsbad except at the eastern end where Haymar Drive/Plaza Drive
are in Oceanside. The transportation system is made more complex because Anza
Freeway is under the control of the California Department of Transportation
(CALTRANS).
Several major transportation studies have been undertaken in the corridor.
The most recent and most significant of these is the State Route 78 Corridor
Study by the San Diego Association of Governments (SANDAG). That study had
a broader focus than just the Buena Vista Valley because it was geared to the
entire length of the Anza Freeway from Oceanside to Escondido, and to a much
wider north -south corridor containing traffic arterials capable of serving as
alternate routes for corridor oriented traffic. While the SANDAG study deals
adequately with the long-range situation, it does not meet the concerns of
Oceanside and Carlsbad with respect to what is happening and what could happen
in the very near future in ti;e densely developing Buena Vista Valley. Staff
recommends that a traffic study be performed to answer the following questions:
b. What are the present traffic problem locations?
Can anything be done to correct them?
► As growth takes place in accordance with General Plans or under a more
intense scenario, what will happen traffic -wise?
► What needs to be done in order to have smooth -flowing traffic,in the
future?
► What will be the traffic impact of the construction of an additional
freeway interchangf: at Rancho del Oro Way?
► Are there reasonable and practical ways to correct traffic deficiencies
at the existing freeway interchanges?
Several major property developments are pending. How will these impact
the access and circulation system of both cities?

The City Council of the City of Oceanside has approved an agreement with the
City of Carlsbad to split the cost of the study. They have selected the firm
of Bouman and Associates, Inc. to perform the study and have also approved a
contract with the firm to perform the stud

provide the two cities with sound planning information on which to base
controls, regulations and conditions as development proposals are presented.
FISCAL IMPACT:
Carlsbad will pay fifty -percent of the total project cost which is not to
exceed $30,000. $15,000 will be transferred from General Fund's Contingency
Fund (001-840-1990-2940) into the Engienering Departments Miscellaneous
Consultant Account (001-820-3110-2479) leaving a balances of $282,362 in the
Contingency Fund.

AGREEMENT FOR CONSULTING TRANSPORTATION PLANNING SERVICES
THIS AGREEMENT, made and entered into as of the
day
of , 1989, by and between the CITY OF OCEANSIDE, a
municipal corporation, hereinafter referred to as "City", and
BOUMAN AND ASSOCIATES, INC., hereinafter referred to as
"Consultant".
RECITALS
City requires the services of a Transportation Planning
Consultant to perform a Buena Vista Valley Traffic Study; and
Consultant possesses the necessary skills and qualifications
i • to provide the services required by City and will specifically
i make available Mr. Martin J. Bouman to perform such services.
NOW, THEREFORE, in consideration of these recitals and the
mutual covenants contained herein, City and'a Consultant agree

Consultant shall:
A. Utilize Martin J. Bouman to perform a Traffic Study as
described in a proposal dated

proposal, hereinafter referred to as the project scope, is
attached hereto as Appendix "X", and made a part of this
agreement.
B. Coordinate and cooperate with various staff members of
the cities of Oceanside and Carlsbad and with such other public

agencies as may be necessary and desirable, including but not
. limited to Ca],tra+_s, and SANDAG.
C.. Prepare such correspondence and interim reports as may
be advisable, or as may be required by the City Engineer.
D. Attend such meetings of public or private groups as may
be desirable or as may be required by the City Engineer.
E. Provide transportation for all field reviews, meetings
out of the City, and to and from Oceanside and Carlsbad.
F. Maintain comprehensive general liability insurance,
t including personal injury liability, blanket contractual
liability, and broadform property damage liability. The combined
single limit for bodily injury and property damage shall be not
be less than $300,000.
G. Maintain automobile bodily injury and property damage
• liability insurance covering owned, non -owned, rented, and hired
automobiles. The combined single limit for bodily injury and
property damage shall be not less than $500,000.
2. CITY OBLIGATIONS
A. Provide Consultant with limited work space, a telephone,
materials and supplies, and clerical and technical support, as
required.
B. Make available to Consultant all records, reports and
other documents which are in the City's custody and which are
deemed necessary by Consultant to properly r

required by the City.
C. Utilize the auspices of the City to assist the
Consultant in obtaining similar documents, records, reports and

plans from other governmental agencies, and from private sources
such as developers, planners, and engineers.
3. FEES TO BE PAID TO —CONSULTANT
A. The City shall compensate Consultant for services
performed under Article 1 above at a rate of $60.00 per hour, up
to a maximum amount of $25,200.
B. Compensation to the Consultant shall become due and
payable upon completion of -specific tasks in the Scope of Effort,
in accordance with the following schedule:

C. San Diego Area Transportation necessary to perform
the study shall be provided by the Consultant and no compensation
shall be provided for transportation.
D. Additional expenses for necessary out -of -area
travel, including means, shall be reimbursed by the City on the
basis of actual cost when specifically approved in advance by the
i City Engineer.

E. The maximum fees payable under this contract are
A$25,200.00, plus such travel or other unforseen expenses
(exclusive of labor) which might be approved in advance by the
City Engineer.
4. PAYMENT OF FEES
Fees earned pursuant to Section 3 of this agreement
shall be paid within twenty (20) days of delivery of billing by
the Consultant, in conformance with the requirements of Section
3B hereof, based on time expended. No fees shall be paid until
the bill has been verified and approved by the City Engineer.
Payment of any fees pursuant to this section shall not constitute
a waiver by City of any breach of any part of this agreement.
Any raimbursement pursuant to Section 3D of this agreement ,hail
be made in accordance with existing City reimbursement policies.
• 5. DISPUTES
If a dispute should arise regarding the performance of
work under this agreement, the following procedure shall be used
to resolve any question of fact or interpretation not otherwise
settled by agreement between parties. Such questions, if they
become identified as a part of a dispute among persons operating
under the provisions of this contract, shall be reduced to
writing by the principal of the Consultant or the City Engineer.
A copy of such documented dispute shall be forwarded to both
parties involved along with recommended methods of resolution
which would be of benefit to both parties. The City Engineer or
principal of the Consultant receiving the letter shall reply to
the letter along with a recommended method of resolution within
ten (10) days. If the resolution thus obtained is unsatisfactory

to the aggrieved part, a letter outlining the dispute shall be
• forwarded to the City Manager for resolution. The City Manager
may then opt to consider the directed solution to the problem.
In such cases, the action of the City Manager shall be binding
upon the parties involved, although nothing in this procedure
shall prohibit the parties seeking remedies available to them at
law.
6. RESPONSTBTL.rTY OF THE rnNSU Tn T
This agreement may be terminated by either party upon
tendering thirty (30) days written notice to the other party.
In the event of such suspension or termination, upon request of
the City, the Consultant shall assemble all City documents in the
Consultant's possession and put same in order for proper filing
and closing and deliver said documents to City. In the event of
termination, the Consultant shall be paid for work performed to
the termination date. The City shall make the final
determination as to the portio*is of tasks completed and the
compensation to be made. Compensation to be made in compliance
with the Code of Federal Regulations.
8 • STATUS OF CONSttr TnNm
The Consultant shall perform the services provided for
herein in Consultant's own way as an independent contractor and
in pursuit of Consultant's Independent calling, and not as an
employee of the City. Consultant shall be under the direction
and control of the City Engineer only as to the provisions of
Section 2A of this agreement. The Consultant shall consult with
the City Engineer as necessary to ensure compliance with this

agreement, and to appear as necessary at such meetings and .
econferences as may be deemed mutually desirable.
9• CONFORMITY TO LEGAL REQUIREMENTS
The Consultant shall cause all drawings and
specifications to conform to all applicable requirements of law:
Faderal, State, and local. Consultant shall provide all
necessary supporting documents, to be filed with any agencies
whose approval is necessary.
The City may at its pleasure provide copies of the
study material and the final report to any other agencies.
All plans, studies, sketches, drawings, reports and
specifications as may be produced by the Consultant shall become
the property of the City. In the event this contract is
terminated, all documents, plans, specifications, drawings,
reports and studies shall be delivered forthwith to the City.
Consultant shall have the right to make one (1) copy of the
material for his records.
11. ASSIGIJMF�NT OF CONTRACT
The Consultant shall not assign this contract or any
part thereof or any monies due thereunder without the prior
+ written consent of the City.

If the Consultant shall subcontract any of the work to
be performed under this contract by the Consultant, Consultant
shall be fully responsible to the City for the acts and omissions
of Consultant's subcontractor and of the persons either directly

or indirectly employed by the subcontractor, as

Consultant is for the acts and omissions of persons directly
employed by Consultant. Nothing contained in this contract shall
create any contractual relationship between any subcontractor of
Consultant and the City. The Consultant shall bind every
subcontractor and every subcontractor of a subcontractor by the
terms of this contract applicable to Consultant's work unless
specifically noted to the contrary in the subcontract in question
acoproved ,in writing by the City.
13. PROHIBITED INTEREST
No official of the City who is authorized in such
capacity on behalf of the City to negotiate, make, accept, or
approve, or take part in negotiating, making, accepting, or
approving of any private land developments or any subcontractor
in connection with the construction of the project, shall become
. directly or indirectly interested personally in this contract or
in any part thereof. No employee of or for the City who is
authorized in such capacity and on behalf of the City to exercise
i
any executive, supervisory, or other similar functions in
connection with the performance of this contract shall become
directly or indirectly interested personally in this contract or
any part thereof.
14. VERBAL AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer,
agent or employee of the City, either before, during, or after
the execution of this contract, shall affect or modify any of the
terms or obligations herein contained nor such verbal agreement

or conversation entitle the Consultant to any additional payment
® whatsoever under the terms of this contract.
15. SUCCESSnRS OR ASSIGNS
All terms, conditions, and provisions hereof shall
ensure to and shall bind each of the parties hereto, and each of
their respective heirs, executors, administrators, successors,
and assigns.

16. TIME OF PERFORMANCE
All work to be performed by the Consultant in the
performance of this study shall be completed within five calendar
months of the date on which this agreement is signed by all the

parties thereto. No time schedule is required for Consultant to

complete individual phases of the study.

17. Contractor's Certification of Awareness of Workers'
• Compensation Responsibility.
I am aware of the provisions of Section 3700 of the
' Labor Code which requires every employer to be insured
against liability for workers' compensation or to
# undertake self-insurance in accordance with the
provisions of that code, and I will comply with such
provisions before commencing the performance of the
+ work of this Contract.

Gentlemen:
Pursuant to our meeting of June 30, I have revised the draft of a proposed scope of a traffic
study for the Buena Vista Valley.
The study approach is now much more focused to the short-range situation so as to deal with
i the transportation impacts of several pending land development projects.
I have prepared a rough cost estimate based on the hourly rate that would be charged if I
performed the project myself. If an outside consultant were to be selected (which may be
desirable), the cost would likely be somewhat higher.
;• I estimate that the project cost would be somewhere between,$20,000 and $24,000. It would
require four to five months to complete.
Please note carefully, Item V of the Suggested Scope of Effort. It will constitute the major
substance of the study. It is predictable that it will have some unpopular elements, particularly
with developers and their planners. We need to be prepared for that.

STATEMENT OF PURPOSE

It is fitting that the cities of Carlsbad and Oceanside, jointly and cooperatively deal with the

Accordingly, the two cities, in a cooperative venture, want a traffic study undertaken which will
answer questions such as:

8 WHEREAS, the City Council of the City of Oceanside has approved an
9 agreement with the City of Carlsbad to share the cost of consultant services
10 related to a Buena Vista Valley Traffic Study; and
11 WHEREAS, the City Council of the City of Oceanside has approved a
12 consultant agreement with Bouman and Associates, Inc. to perform the Buena Vista
13 Valley Traffic Study for $30,000;
14 NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of
15 Carlsbad, California, as follows:
16 1. That the above recitations are true and correct.
17 2. That the City Council approves and authorizes the City Manager to
18 execute the Agreement for Cost Sharing of Consulting Transportation Planning
19 Services related to the Buena Vista Valley Traffic Study.
20 3. That the Engineering Department Miscellaneous Consultant account be

increased by the transfer of $15,000 from the General Fund unappropriated fu
balance into Account Number 001-820-3110-2479.
