PC'H TITLE: MICROCOMPUTER AND PRINTER MAINTENANC DEPT.HD.~-..-- CITY AT.I!.__~ CIT'!MG~ \ RECOMMENDED ACTION: Staff recommends the Council adopt Resolution No. 90-(o , awarding the bid for Microcomputer Maintenance to MicroAge Computer --La Jolla. ITEM EXPLANATION: The City of Carlsbad has approximately 120 Microcomputers and 100 Printers in the Police, Fire, Building, Engineering, Mµnicipal Projects, Parks, Recreation, and Utility Maintenance Departments. It is necessary for each department to have service available to them when their wa~~anty has ~xpired. Request for 'Proposals was developed for an Agreement for Microcomputers Software and Printers for an annual full service maintenance agreement with an alternate for maintenance by time and material. In accordance with Section 3. 28 .120 of the Municipal Code Notice to Biddei:-s was published and Request to Bid was made to twenty three (23} vendors. Nine (9) responses were received, opened, witnessed, and recorded on November 30, 1989. After an ~valuation by Information systems Department of the proposals comparing full service agreement and time and material, it was decided it would be to the City's 'best interest to award the contract by Time and Material to MicroAge -La Jolla, at Fifty Five (55) dollars per hour plus parts. FISCAL IMPACT: Approximately $18,000 was expended on Microcomputer and Printer Maintenance last year. With the additional equipment and a Time and Material contract it is estimated the annual cost will be over $15; 000. Each department has b!ldgeted for their maintenance costs in their Office Equipment Maintenance Account this fiscal year, EXHIBITS: 1. Resolution No. 90-lD 2. That the bid of MicroAge -ta Jolla, 4180 La Jolla Village Drive, La Jolla, CA 92037 is hereby accepted and the Mayor is hereby authorized to execute an agreement for microcomputer and printer maintenance for the period of one (1) year beginning January 2, 1990 through December 31, 1990, with an option to renew for two (2) additional one (1) year periods. RAUTENKRANZ,cityc~rk (SEAL) I ! i I I I l • l I I ' ' .. , l . j AGREEME!.'T FOR EXHIBIT A MICROCOMPUTER AND PRINTER MAINTENANCE THIS AGREEMENT, is made and entered into this ___ day of -~--=-~-----' 1990, by and between the CITY OF CARLSBAD, a Municipal Corporation, hereinafter referred to as "CITY" and MicroAge -La Jolla, a California corporation, hereinafter referred to as "CONTRACTOR". WHEREAS, the CONTRACTOR has submitted to the CITY a proposal to provide microcomputer and printer maintenance. WHEREAS, it has been determined that it is in the best interests of the CITY to enter into the Agreement hereinafter contained. NOW, THEREFORE, in consideration of the mutual promises, conditions, and covenants herein contained, the parties hereto agree as follows: 1. Term of Agreement 2. 3. Preventive maintenance will be available at $30.00 per hour, to be scheduled by MicroAge at our request. Escalation Clause A request for a cost increase must be submitted in writing thirty (30) days prior to the beginning of each contract year by the CONTRACTOR. Any request for a cost increase will be negotiated and must be evidenced to the satisfaction of the CITY, and be directly related to and not exceeding the us Bureau of Labor Statistics Consumer Price Index for San Diego County, and in any event may not exceed the actual increase in CONTRACTORS' cost. 4. Duty of CONTRACTOR a. Response time shall be within eight (8) working hours. b. Warranty period on all repairs shall be a minimum of .:5 5. 6. 7. 8. 9. ninety (90) days parts and labor. The parts warranty shall be extended, where applicable, to the warranty period offered by the manufacturer. Hold Harmless CONTRACTOR agrees to indemnify, save, and hold harmless the CITY and its officers, agents, and employees from any and all lawsuits, damages, liability, claims, or costs of any nature whatsoever, arising out of, or resulting from, either directly or indirectly, the performance of work pursuant to this agreement, to the maximum extent allowed by law. Insurance CONTRACTOR shall maintain Workers' compensation Insurance, Liability Insurance for insurance against injuries including accidental death, to any one (1) person in an amount no less than One Million Dollars ($1,000,000.) and subject to the same limit for each person on account of one (1) accident, in an amount not less than One Million Dollars ($1,000 1 000.), and property damage insurance in an amount not less than One Million Dollars (1,000,000.) naming the CITY as Additional Insured. Business License CONTRACTOR shall maintain a business license to operate in the City of Carlsbad. Cancellation Clause At any time during the term of this Agreement, CITY may cancel this Agreement if CONTRACTOR fails to perform in accordance with the provisions of this Agreement, with thirty (JO) days written notice. Payments CONTRACTOR shall submit invoices, itemized by department, to Information Systems Department. Payment shall be made in full by CITY within thirty (30) days after receipt of invoice. 10. Independent Contractor :tt is expressly understood and agreed that the CONTRACTOR herein named is acting as an Independent Contractor and not as an agent, servant, or employee of the CITY. The CONTRACTOR shall be aware of the requirements of the Immigration Reform and Control Act of 1986 and shall comply with those requirements including but not limited to verifying the eligibility for employment for all agents, employees and subcontractors that are included in the Agreement. c.f :1: a ~ - 't 11.
