RECOMMENDED ACTION:
Adopt Resolution No. 30-56 approving a consultant agreement b
P & D Technologies for the design of Palomar Airport I Improvements from El Camino Real to the City of San Marcos.
ITEM EXPLANATION:
SANDAG adopted the transnet State Route 78 (SR78) corridor resc project fund list in which Palomar Airport Road would receive to $2.15 million. On December 15, 1989, the City Council ado1
Resolution No. 89-426 appropriating matching City funds in
amount of $5 million for the widening and improvements of Palc
Airport Road from El Camino Real to Avenida De Las Rosas in Marcos. The design of this project will include intc
improvements in the form of the grading of Palomar Airport I
east to its ultimate width and the installation of two (2) trai
lanes in each direction with an 18-fOOt striped median. remaining improvements to ultimate City standards will be comple by the adjacent developers as they develop their properties. agreement will also be drafted and signed by the cities of Vj
and san Marcos to reimburse the City of Carlsbad for their sl of design and construction costs. This agreement is estimatec
be forthcoming in the next ninety (90) days.
In January 1990, the City of Carlsbad solicited and received ej
(8) proposals for the design of this project. All proposals F
carefully reviewed by staff and the firm of P & D Technologies
selected to perform the design services for the project.
FISCAL IMPACT:
Funds in the amount of $525,000 were appropriated for the des of this project and are available in Account No. 304-820-1840-32 The City will receive reimbursements in the amount of $75,000 e month beginning March 1990 from SANDAG for the design services
The enclosed consultant agreement provides for a detailed scope work for the project totaling $316,450. Additionally, agreement provides for further scoped work depending L environmental constraints and permitting requirements develc
during the environmental review and design process. Tk additional scope of work items total $24,350 to be exercised at option of the City.
Staff recommends approval of the attached consultant agreemE
Staff will be making a presentation regarding this and a compar
design contract for the intersection of El Camino Real and Palc Airport Road.

AGREEMENT FOR THE DESIGN OF PALOMAR AIRPORT ROAD EAST OF EL CAMINO REAL TO THE CITY OF SAN MARCOS
THIS AGREEMENT, made and entered into as of the day t
, 1990, by and between the CITY OF CARLSBAD, a municipi
corporation, hereinafter referred to as ttCity,t1 and P &
Technologies, hereinafter referred to as 81Consultant.18
RECITALS
City requires the services of P & D Technologies to provic
the necessary design services for preparation of final plans a:
specifications for the improvements of Palomar Airport Road ea;
of El Camino Real; and
Consultant possesses the necessary skills and qualificatio;
to provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and tl
mutual covenants contained herein, City and Consultant agree i
follows:
1. CONSULTANT'S OBLIGATIONS
Consultant shall provide design services and deliver to t:
city, complete plans, specifications, and cost estimates f'
Palomar Airport Road Improvements from 1000' east of El Camino Re'
to Avenida De Los RoSaS in the City of San Marcos as outlined
the attached Exhibit "Ag1.

estimates, one (1) for bidding purposes and another indicating t]
cost of sections of the road in the cities of Vista, San Marcos a1

2. CITY OBLIGATIONS
A. The City shall provide a sufficient number of blank myl<
plan and plan/profile standard drawing sheets with title block.
B. One copy of ltboilerplatetg standard language for contra'
documents of the contract, bond forms and general provisions l
disk compatible with Wordperfect.
C. The City will separately pay for title reports or m
select a title company and obtain the title reports directly.
3. PROGRESS AND COMPLETION
The work under this Contract will begin within ten (10) da:
after receipt of notification to proceed by the City and :
completed within 210 days of that date. Extensions of time may :
granted if requested by the Consultant and agreed to in writing :
the City Engineer. In consideration of suzh requests, the Ci
Engineer will give allowance for documented and substantiat
unforeseeable and unavoidable delays not caused by a lack
foresight on the part of the Consultant, or delays caused by Ci
inaction or other agencies' lack of timely action.
4. FEES TO BE PAID TO CONSULTANT
The lump sum fee payable according to Paragraph 5, ##Payme
of Fees," shall be $316,450. No other compensation for servic
will be allowed except those items covered by supplement
agreements per Paragraph 7, '#Changes in Work."

5. PAYMENT OF FEES
Payment of fees shall be per attached Time and Materiz
Schedule, Exhibit IIB91.
6. FINAL SUBMISSIONS
Within fifteen (15) days of completion and approval of tl
final design, the Consultant shall deliver to the City tl
following items:
A. Original mylars at scale of the drawings' reproducible (
standard 24" by 36" sheets. Blank mylars will be provided by tl:
City. No stick-ons on mylar will be accepted.
B. All final engineering certifications and documents. TI
plans shall be signed by a Registered Civil Engineer and/(
Registered Landscape Architect, as appropriate,
7. CHANGES IN WORK
If, in the course of this Contract and design, changes set
merited by the Consultant or the City, and informal consultatio~
with the other party indicate that a change in the conditions (
the Contract is warranted, the Consultant or the City may requer
a change in Contract. Such changes shall be processed by the Cil
in the following manner: A letter outlining the required changt
shall be forwarded to the City'by Consultant to inform them of tl
proposed changes along with a statement of estimated changes :
charges or time schedule. After reaching mutual agreement on tl
proposal, a supplemental agreement shall be prepared by the Cil
and approved by the City Council. Such supplemental agreeme]
shall not render ineffective or invalidate unaffected portions t
the agreement. Changes requiring immediate action by tl

inform a principal of the Consultant's firm of the necessity c

8. DESIGN STANDARDS
The Consultant shall prepare the plans and specifications :

9. COVENANTS AGAINST CONTINGENT FEES
The Consultant warrants that their firm has not employed (
retained any company or person, other than a bona fide employc
working for the Consultant, to solicit or secure this agreemeni
and that Consultant has not paid or agreed to pay any company c
person, other than a bona fide employee, any fee, commissiol
percentage, brokerage fee, gift, or any other consideratic
contingent upon, or resulting from, the award or making of th.
agreement. For breach or violation of this warranty, the Cia
shall have the right to annul this agreement without liabilit
or, in its discretion, to deduct from the agreement price (
consideration, or otherwise recover, the full amount of such fec
commission, percentage, brokerage fee, gift, or contingent fee.
10. NONDISCRIMINATION CLAUSE
The Consultant shall comply with the State and Feder,
Ordinances regarding nondiscrimination.

11. TERMINATION OF CONTRACT
In the event of the Consultant's failure to prosecutc
deliver, or perform the work as provided for in this Contract, t]
City may terminate this Contract for nonperformance by notifyi:
the Consultant by certified mail of the termination of t
Contract. The Consultant, thereupon, has five (5) working days
deliver said documents owned by the City and all work in progre
to the City Engineer. The City Engineer shall make a determinati

12. DISPUTES
If a dispute should arise regarding the performance of wo

under the provisions of this Contract, shall be reduced to writi
by the principal of the Consultant or the City Engineer. A co

receiving the letter shall reply to the letter along with
recommended method of resolution within ten (10) days. If t
resolution thus obtained is unsatisfactory to the aggrieved part

a letter outlining the dispute shall be forwarded to the Cii
Council for their resolution through the Office of the Cii
Manager. The City Council may then opt to consider the direct1
solution to the problem. In such cases, the action of the Ci.
Council shall be binding upon the parties involved, althoul
nothing in this procedure shall prohibit the parties seeki
remedies available to them at law.
13. RESPONSIBILITY OF THE CONSULTANT
The Consultant is hired to render professional services
desiyniny and drawings for Palomar Airport Road and any paymen
made to Consultant are compensation solely for such service

14. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party up

15. STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for herei
in Consultant's own way as an independent Contractor and in pursuj
of Consultant's independent calling, and not as an employee of tl
City. Consultant shall be under control of the City only as to t€
result to be accomplished and the personnel assigned to tk
project, but shall consult with the City as provided for in t€
request for proposal.
The Consultant is an independent contractor of the City. T€
payment made to the Consultant pursuant to this contract shall 1:
the full and complete compensation to which the Consultant :
entitled. The City shall not make any Federal or State tz
withholdings on behalf of the Consultant. The City shall not 1:
required to pay any workers' compensation insurance on behalf c
the Consultant. The Consultant agrees to indemnify the City fc
any tax, retirement contribution, social security, overtir
payment, or workers' compensation payment which the City may 1
required to make on behalf of the Consultant or any employee of tl
Consultant for work done under this agreement.
The Consultant shall be aware of the requirements of tl
Immigration Reform and Control Act of 1986 and shall comply wil
those requirements, including, but not limited to, verifying tl
eligibility for employment of all agents, employees, subcontractol
and consultants that are included in this agreement.

16. CONFORMITY TO LEGAL REOUIREMENTS
The Consultant shall cause all drawinqs and specifications t
conform to all applicable requirements of law: Federal, State ar
local. Consultant shall provide all necessary supportir
documents, to be filed with any agencies whose approval i
necessary.
The City will provide copies of the approved plans to ar
other agencies.
17. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, ar
specifications as herein required are the property of the Cit]
whether the work for which they are made to be executed or not
In the event this Contract is terminated, all documents, plans
specifications, drawings, reports, and studies shall be deliverc
forthwith to the City. Consultant shall have the right to mal
one (1) copy of the plans for his/her records.
18. HOLD HARMLESS AGREEMENT
The City, its officers, and employees shall not be liable fc
any claims, liabilities, penalties, fines, or any damage to goods
properties, or effects of any person whatever, nor for personz
injuries or death caused by, or claimed to have been caused by, c
resulting from, any intentional or negligent acts, errors (
omission of Consultant or Consultant's agents, employees, c
representatives. Consultant agrees to defend, indemnify, and sa\
free and harmless the City and its officers and employees again:
any of the foregoing liabilities or claims of any kind and any co!

and expense that is incurred by the City on account of any of th
foregoing liabilities, including liabilities or claims by reasc
of alleged defects in any plans and specifications.
19. ASSIGNMENT OF CONTRACT
The Consultant shall not assign this Contract or any pal
thereof or any monies due thereunder without the prior writtc
consent of the City.
20. SUBCONTRACTING
If the Consultant shall subcontract any of the work to 1:
performed under this Contract by the Consultant, Consultant sha:
be fully responsible to the City for the acts and omissions (
Consultant's subcontractor and of the persons either directly (
indirectly dmployed by the subcontractor, as Consultant is for tl
acts and omissions of persons directly employed by Consultanl
Nothing contained in this Contract shall create any contractu;
relationship between any subcontractor of Consultant and the Cit]
The Consultant shall bind every subcontractor and eve]
subcontractor of a subcontractor by the terms of this Contra(
applicable to Consultant's work unless specifically noted to tl

21. PROHIBITED INTEREST
No official of the City who is authorized in such capacity t

part in negotiating, making, accepting, or approving of a]
architectural, engineering, inspection, construction or materii
supply contractor, or any subcontractor in connection with the

construction of the project, shall become directly or indirect:

or for the City who is authorized in such capacity and on beha

22. VERBALLY AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agen
or employee of the City, either before, during, or after t
execution of this Contract, shall affect or modify any of the ter
or obligations herein contained nor such verbal agreement
conversation entitles the Consultant to any additional payme
whatsoever under the terms of this Contract.
23. SUCCESSORS OR ASSIGNS
Subject to the provisions of Paragraph 18, "Hold Harmle
Agreement," all terms, conditions, and provisions hereof sha
insure to and shall bind each of the parties hereto, and each
their respective heirs, executors, administrators, successors, a
assigns.
24. EFFECTIVE DATE
This agreement shall be effective on and from the day and ye
first above written.

25. CONFLICT OF INTEREST
The Consultant shall file a Conflict of Interest Statemer
with the City Clerk of the City of Carlsbad in accordance with tk
requirements of the City of Carlsbad Conflict of Interest Code.
26. INSURANCE
The Consultant shall obtain and maintain a policy of liabilit
insurance from an insurance company authorized to be in businer
in the State of California, in an insurable amount'of not less th;
one million dollars ($1,000,000). This insurance shall be in forc
during the life of this agreement and shall not be cancellc
without ten (10) days prior notice to the City.
The City shall be named as an additionally insured on th:
pol icy. The Consultant shall furnish a certificate of sa:
insurance to the City upon request.

SCOPE OF WORK
Preliminary Desisn
1. Prepare a detailed schedule of the preliminary design work t
be done by consultant.
2. Prepare topographic strip map (1" - 40' scale) showing a1
existing features and using a 2-foot contour interval. Tf
map should be sufficiently wide to include toe of slor
extensions, drainage, driveway matching and intersectic
designs.
3. Prepare cross-sections at least at 100-foot interval
sufficient to accommodate full right-of-way grading. Closc
intervals may be warranted in some locations.
4. Identify and accurately locate vertically, and horizontal11
all utilities and underground objects which will affec
construction and show on plans. Do not assume utility recorc
are accurate but verify by requesting utility agencies I
pothole as needed.
5. Prepare preliminary design on a screened topo background. Re
line drawings on a print are sufficient for the prelimina~
design.
6. Schedule and attend meetings as needed to review scope at i
early stage with staff. This includes coordination with tl
cities of San Marcos and Vista.
7. Provide recommendations to staff regarding design and a]
additional recommendations you feel should be considered.

ENVIRONMENTAL
A, BASIC SERVICES
EXTENDED INITIAL STUDY
P&D Technologies Environmental Studies Group will prepare an Extended In Study for the proposed Palomar Airport Road project. The City's Initial SI
form will be completed. Technical studies for biology and cultural resources
be appended. The extended Initial Study will be submitted to the 1
Engineering Department for review. Upon acceptance, a copy will be submi
to the City's Planning Department for processing.
TECHNICAL STUDIES
Bioloe
A biological reconnaissance will conducted for an area approximately 300 from the edge of pavement. Biological resources will be mapped on 40-s
maps which will allow the engineers to incorporate constraints into the de
process. A biological technical report will be prepared defining the impacts
requirements for mitigation, if necessary. It is anticipated that some mitiga will be necessary because of potential impacts to wetland habitat adjacent to existing roadway.
CULTURAL RESOURCES
A record search and field reconnaissance will be conducted for the area adjai to the existing road. Should any cultural resources be located, a testing prog
will be recommended. The costs for any testing is not included in this scopl work.
B. ADDITIONAL SERVICES
MITIGATION PLAN/PERMI'ITING
It is anticipated that some fill will be associated with wetland habitat, which likely require Army Corps of Engineers and California Department of Fish
Game involvement. A conceptual mitigation plan will be prepared for subm
to the resources agencies. It is anticipated that the site of the mitigation wil
provided by the City.
