ITEM EXPLANATION: The City Council previously adopted Resolution No. 9614 approv a consultant agreement for the Phase I work for the improveme to the Interstate 5 Interchanges at Palomar Airport Road, La Cc Avenue, and Poinsettia Lane. The Phase I work encompas essential traffic studies, preliminary engineering, preparatior the Project Report for each bridge and related work. In previ years, CALTRANS made significant progress in completing the Ph I work for the Palomar Airport Road Interchange. The remain Phase I work for the Palomar Airport Road Interchange, primar Boyle Engineering, and has been approved by CALTRANS. The pro: is now authorized to advance into Phase 11: formal design preparation of final plans, specifications, and estimates. Negotiations between City staff and Boyle Engineering along 6 recommendations from CALTRANS design personnel, have resultec the assemblage of a detailed scope of work for the design of 1 project consistent with the concepts for improvements previoi identified in the Phase I work and in conformance with CALTRi design procedures and standards. The attached consultant agree] authorizes Boyle Engineering to prepare the final pli specifications, and estimates for the project. This agree] incorporates all elements required for this project including f. survey work, roadway, ramp, bridge, structural, drainage, traffic signal design, traffic striping and marking, coordina of utilities, and landscape services. Also included will be preparation of the necessary documents, legal descriptions, acquisition plats for the required additional private rights way to facilitate the construction of the improvements. S recommends approval of the attached consultant agreement. The proposed improvements to be designed for the Palomar Air Road Interchange include the following features: e The existing bridge structure will be widened 21 feet on westbound side to provide two (2) through lanes plus a L turn lane to the 1-5 southbound loop entrance ramp, and 63 on the eastbound side to provide three (3) through lanes a left turn lane to the 1-5 northbound entrance ramp. the Project Report, has been completed by the City's consulta The bridge will include eight (8) foot shoulders, five (5) sidewalks on both sides, pedestrian railing, and a six (6) wide median. Th signals will be interconnected with the existingtraffic sign at Paseo del Norte and Avenida Encinas. Entrance and exit ramps will be improved to handle present future anticipated traffic volumes, two (2) future lane exie and future outside freeway widening. Ramp metering will provided on entrance ramps. A sound wall is to be constructed for noise attenuation betb the northbound exit ramp and the Allstar Inn. NO significant environmental issues have been identified for t project. A permit from the California Coastal Commission will required prior to construction. The time required to complete final plans, specifications estimates, and obtain CALTRANS review and approval of construction contract documents will require approximately six1 (16) months. FISCAL IMPACT: The consultant agreement provides for a lump sum fee of $605 for all necessary design services, and a not to exceed fee $127,260 for coordination with CALTRANS and the Federal Higl Administration for the submittal and review processes of project plans, specifications, and estimates, and subseq revisions and modifications to the contract documents. The tc contract amount is $733,050. The City Council has previously appropriated $400,000 of Bridge Thoroughfare District Funds and $525,000 of Highway 78 Res Funds identified for the design of this project. The Council also previously approved a Cooperative Agreement between the and CALTRANS for their review and development/coordination c of the Palomar Airport Road bridge improvement project. Consultant possesses the necessary skills and qualificatj to provide the services required by the City; NOW, THEREFORE, in consideration of these recitals and mutual covenants contained herein, City and Consultant agree follows : 1. CHANGES IN WORK If, in the course of this Contract and design, changes s merited by the Consultant or the City, and informal consultati with the other party indicate that a change in the conditions the Contract is warranted, the Consultant or the City may requ a change in Contract. Such changes shall be processed by the C in the following manner: A letter outlining the required chan shall be forwarded to the City by Consultant to inform them of proposed changes along with a statement of estimated changes charges or time schedule. After reaching mutual agreement on proposal, a supplemental agreement shall be prepared by the C 1 e e and approved by the City Council. Such supplemental agreeme shall not render ineffective or invalidate unaffected portions the agreement. Changes requiring immediate action by t Consultant or City shall be ordered by the City Manager who w: inform a principal of the Consultant's firm of the necessity such action and follow up with a supplemental agreement cover: such work. 8. DESIGN STANDARDS The Consultant shall prepare the plans, specifications and, traffic and engineering documents and reports in accordance w the applicable design standards of CALTRANS, the City of Carls! and recognized current design practices. Applicable CALTRANS, C of Carlsbad Standards and Regional Standards shall be used wh appropriate. Copies of such City standards shall be obtained f the City of Carlsbad. 9. COVENANTS AGAINST CONTINGENT FEES The Consultant warrants that their firm has not employed retained any company or person, other than a bona fide emplo working for the Consultant, to solicit or secure this agreeme and that Consultant has not paid or agreed to pay any company person, other than a bona fide employee, any fee, commissi percentage , brokerage fee, gift , or any other considerat contingent upon, or resulting from, the award or making of t agreement. For breach or violation of this warranty, the ( shall have the right to annul this agreement without liability, e -I in its discretion, to deduct from the agreement price consideration, or otherwise recover, the full amount of such f commission, percentage, brokerage fee, gift, or contingent fee 10. NONDISCRIMINATION CLAUSE The Consultant shall comply with the State and Fede Ordinances regarding nondiscrimination. 11. TERMINATION OF CONTRACT In the event of the Consultant's failure to prosecu deliver, or perform the work as provided for in this Contract, City may terminate this Contract for nonperformance by notify the Consultant by certified mail of the termination of Contract. The Consultant, thereupon, has five (5) working days deliver work in progress to the City. The City Manager shall m a determination of fact based upon the documents delivered to C of the percentage of work which the Consultant has performed wh is usable and of worth to the City in having the Contr completed. Based upon that finding as reported to the C Council, the Council shall determine the final payment of Contract. 12. DISPUTES If a dispute should arise regarding the performance of w under this agreement, the following procedure shall be used resolve any question of fact or interpretation not otherw settled by agreement between parties. Such questions, if t become identified as a part of a dispute among persons operat 1 e e under the provisions of this Contract, shall be reduced to writi by the principal of the Consultant or the City Manager. A copy such documented dispute shall be forwarded to both parties invol1 along with recommended methods of resolution which would be benefit to both parties. The City Manager or principal receivj the letter shall reply to the letter along with a recommenc method of resolution within ten (10) days. If the resolution t obtained is unsatisfactory to the aggrieved party, a let outlining the dispute shall be forwarded to the City Council their resolution through the Office of the City Manager. Council may then opt to consider the directed solution to problem. In such cases, the action of the City Council shall binding upon the parties involved, although nothing in t procedure shall prohibit the parties seeking remedies available them at law. The C 13. CONFORMITY TO LEGAL REOUIREMENTS The Consultant shall cause all drawings and specifications conform to all applicable requirements of law: Federal, State a local. CONFLICT OF INTEREST The Consultant shall file a Conflict of Interest Statem€ with the City Clerk of the City of Carlsbad in accordance with t requirements of the City of Carlsbad Conflict of Interest Code. 26. INSURANCE The Consultant shall obtain and maintain a policy of liabilj insurance from an insurance company authorized to be in bush l 0 e 1 in the State of California, in an insurable amount of not less thil one million dollars ($1,000,000). This insurance shall be in forc during the life of this agreement and shall not be cancel16 without ten (10) days prior notice to the City. The City shall be named as an additionally insured on th: policy. The Consultant shall furnish a certificate of sa: insurance to the City upon request. 27. PREPARATION OF CONSTRUCTION ESTIMATES Any opinion of the construction cost prepared by Consultai represents his judgment as a design professional and is supplic for the general guidance of the City. Since Consultant has 1 control over the cost of labor and material, or over cornpetit2 bidding or market conditions, consultant does not guarantee tl accuracy of such opinions as compared to contractors bids or actu cost to the City. INTRODUCTION Professional engineering services are needed by the City of Carlsbad (City) for the design of services, prepared by Boyle Engineering Corporation (Boyle) , is based upon our discussions with the City and Messrs. Tim Allison and Erling Nyhammer, of District 11, State of California, Department of Transportation (Caltrans). The limits of work along Palomar Airport Road are from the westerly side of the Paseo Del Norte intersection, to the easterly side of the existing Palomar Airport Road overcrossing with the Atchison, Topeka and Santa Fe (AT 8t SF) Railroad, including the 1-5 interchange. The limits of work along Interstate Route 5 are from approximately 3000 feet south of the Palomar Airport Road/ld overcrossing to 4000 feet north of the Palomar Airport Road/ld overcrossing. Certain assumptions have been made in preparing this Scope of Services. To the extent possible, they are stated herein, and are reflected in Exhibit B (Fee Breakdown) attached to this Scope of Services. However, if the actual total effort required is different from the assumptions presented herein, both the Client and Boyle agree to revise the Scope and Fee accordingly. the Palomar Airport Road/lnterstate Route 5 (1.5) Interchange Widening Project. This scope of B. ENGINEERING SERVICES FOR ROADWAY DESIGN - LUMP SUM TASKS Task 100 - Preliminary Coordination 101. Complete supplemental field surveying including culture and cross sections at 50 foot intervals along Palomar Airport Road from the easterly edge of the AT & SF overcrossing to Paseo Del Norte, and along all interchange ramps. Provide locations of the existing overcrossing columns, and pavement elevations under the existing structure, and where the new structure is planned. Provide measurements to the soffet of the existing structure at Palomar Airport Road and Poinsettia Lane, and La Costa Avenue. Prepare for and complete a field review of the site with representatives of the City, Caltrans and other interested agencies. Document field observations with field notes and photographs. Graphics workstations have dual 18inch high-resolution screens, digitizer table, and menu tablet.
