I F€M EXHAIU4TlON The City’s Building Department has, since 1980, contracted with ESGIL Corpori both major offsite and minor onsite building plan checks. ESGIL Corporation wo, for government entities and does no work for the private sector, thereby eliminati potential for a conflict of interest. ESGlL provides only building department services, hiring only engineers who are specialists in building department plan ch They employ 22 full-time multi-credentialed plan check staff who average 10 years l in building department experience. ESGIL Corporation has been in operation fc than 10 years, checking plans for more than 60,000 buildings valued at mo $14,000,000,000. At the present 66 cities, counties, and state agencies utilize the s of ESGIL Corporation (Exhibit 2). ESGlL’s contract with the City has allowed considerable flexibility in processing pk has reduced the time necessary for plan checking when compared with the ( providing in-house services. The contract with ESGIL, is based on a fixed formut; pays 80% of the City’s plan check fee to ESGlL while returning the remainder oi to cover the City’s costs. ESGlL Corporation’s contract with the City is due for renewal. Based on ESGlL’s service and expertise in the area of building plan checks, staff is recommending proposed contract be approved, and remain in effect for a three year period. RECITALS WUERMS, City desires to employ the services of Contractor to provide a, experienced, highly qualified staff person to work at the Ciiy Building lnspectior Qepartment a minimum of 32 hours per week. WUEREAS, the City desires to improve public sewice and plan check waiting time: by performing minor plan checks and rwhecks at the Building Department counter usins Contractor’s staff. WHEREAS, the City desires to improve public service and Department efficiencies by using contractor staff to assist the Building Official in perfonning special studies ant repofls, record keeping, analysis of work load statistics, preparation of public informatior, handouts, and related items. WHEREAS, the City desires to avoid the high cost of recruiting and hiring a full- time experienced and highly qualified staff person to assist the Building Official. WHEREAS, the City wishes to avoid conflict of interest problems by contracting with a corporation that provides setvices exclusively to government agencies; and wk/ER&& the city wishes fo contract for setvices with an entity directed by persons experienced and knowledgeable in building code interpretation and application; and e 0 WHEREAS, the two founding directors of the Contractor Corporation are both Professional Engineers (Civil) and have each served more than twenty years in high level regulatory management positions in government related to building inspection and County engineer functions; and - -~ WHfRHs, fhe COnfr'acfor i's willing to accept employment by the City for the Contractor's services in accordance with this contract. NOW, THEREFORE, in consideration of the promises and mutual covenants and agreements herein contained, it is agreed between the parties hereto as follows: SEC77ON 1. DESlGM77ON OF CONlRACTOR City does hereby appoint ESGIL CORPORATION as Contractor, in a contractual capacity, to provide an experienced and high qualified staff person, acceptable to the Building Oflicial, to assist the Building Official a minimum of 32 hours per week in accordance with the terns and conditions hereinafter set forttt. SECTION 2. CONFUCT OF INTEREST The Contractor expressly affirms that neither the Contractor Corporation or any of its officers, directors or employees will perform work or provide services to entities other than government entities during the time this contract is in force in order to ensure the City that the Contractor will not have a conflict of interest in discharging the work covered by this contract. SfC770N 3- DUnES OF COrnCTOR The Contractor shall provide, an experienced and highly qualified staff person satisfactory to the Building official to assist the Building official a minimum of 32 hours per week and minimum 8 hours each day worked. Contractor will pay all salary and wages for the staff person including employee benefits, workman's compensation insurance and general liabiliiy insurance. 2 e e SEC77ON 4. WORK REQUIRED BY CON77WCTOR STAFF a. The staff person will perform administrative tasks for the Building Official including, but not limited to, special studies, preparation of reports, letfer writing, record keeping, analysis of workload statistics and preparation of public information handouts. " 6. Perform over the counter plan checks forpools, patios, garages and similar residential alterations and additions. sEcnoN 5. DECISION AUTUORTTY OF mE cm BUILD~NG OFFIC~AL The Contractor staff will perform all work under direction of and to the satisfaction of the Ciq Building Official and the City Building Official has final decision authorify over all work performed by the staff person. SECnON 6. PERFORMANCE WSON AND CRl77QUE The City Building Official will meet with the Contractor to establish work hour schedules for the staff person. Any scheduled work hour changes shall be agreed to in advance by both the Contractor and the Building Official. Any change in staff person shall be agreed to in advance by both the Contractor and the Building Official. SECTION 7. DUnES OF CITY The ciiy shd provide work space for the Contractor statt person and all materials and supplies necessary to petfotm work assigned by the Building Official- SECTION 8. PERFORMING WORK ABOE ?HE SPECIFIED MINIMUM WORK The designated representative of the City for this contract, with the mutual agreement of the Contractor, may assign work above the minimum work described in Section 9 during period of high workload, staff vacations, staff illness, loss of trained staff or unforseen events adversely impacting service delivery. 3 e 0 SEC77ON 9. COMPENSATION 70 THE CONTRACTOR The compensation to ESGIL CORPORATION for providing the staff person will be $19.00 per hour which will be billed monthly based on a minimum of thirty-two hours per week. " Notwithstanding any language in this agreement to the contrary, no extra work shall be undertaken or compensation for extra work paid, without the prior approval of City. S€C77ON 70. 77M€UlV€SS OF PAYMENTS TO W€ C0N"CTOR The Contractor shall submit on #e first work day of each month an invoice for #e prior month. City shall mail payment of approved invoiced charges prior to the tenth work day of the month the invoice was submitted. sEcnoN 11. HOLD HARMLESS AGREEMENT The City, its agents, officers, and employees shall not be liable for any claims, liabilities, penalties, fines, or any damage to goods, properties, or effects of any person whatever, nor for personal injury or death of any person arising out of or resulting directly or indirectly from any act, error or omission of Contractor or Contractor's agents, employees of representatives. ESGIL CORPORATION, its agents, officets, and employees shall not be liable for any claims, liabilities, penalties, fines or any damage to goods, properties, or effects of any person whatever, nor for personal iniury or death of any person arising out of or resulting directly or indirectly from any act, error or omission of City or City's agents, employees or representatives. 4 e m * SEC77ON 72. INSURANCE Contractor shall obtain and maintain a policy of liability insurance from an insurance company authorized to be in business in the State of California, in an insurable amount not less than one million dollars ($i,~,OOO). This insurance shall be in force during the life of this agreement and shall not be canceled without ten (IO) days prior " notice to City. The City shall be named as an additionally insured on this policy. Contractor shall furnish a certificate of said insurance to the City. SECTION 13. MTRA WORK Contractor, in performing his services, shall not do extra work in excess of this agreement without the written permission of the City or its designated representative. SECEON 14. DURA7lON OF CONTRACT Thee duration of this contract shall be three (3) years or 36 months from the date of City Council approval. Each party to the contract shall express in writing their intention to extend or not to extend the contract ninety days prior to the date of expiration of the contract or the date of expiration to previously agreed extensions of the contract. SECTlON 75. CONTRACT AND STAEMEW OF WORK FOR BUILDING PLAN CHECK SERVICES " - THIS CONTRACT is made by City of Carlsbad a Municipal corporation, herein called Y3y' and ESGlL CORPORATION, a California Corporation, hereinafter called "Contractor". RECITALS WHEREAS, Cify desires to employe the services of Contractor to review and check for correctness the design calculations, plans, and material specifications for certain buildings proposed for construction within the City. WHEREAS, City desires to obtain plan checking Contractor services at no cost to the taxpayer; and WHEREAS, City desires all payments to the Contractor be fully funded by using only a portion of the plan check fee paid by applicants for plan checking proposed building construction; and WHEREAS, City desires to have the cost of the Contractor services be less than the plan check fee paid to the Contractor in order to provide money to offset the cost of City staff performing clerical and administrative duties related to plan approval; and WHEREAS, City wishes to reduce applicant waiting times regarding plan check and plan recheck at the City permit issuance facility; and WHEREAS, the City desires to have design calculations, plans, and material specifications for certain buildings proposed for consttuction reviewed by Contractor within guaranteed time periods equal to or more prompt than present review times; and 8 m a WHEREA-A, City desires to foster uniformity among government agencies by having a single non-governmental agency uniformly apply mandated life-safety regulations; and WHEREAS, the City wishes to avoid conflict of interest problems by contracting with a corporation that provides services exclusively to government agencies; and WHEREAS, the City wishes to have professional-technical regulatory resources available during periods of high workload, staff turnover and loss of trained stae and WHEREAS, the City wishes to contract for sewices with an entity directed by persons experienced and knowledgeable in building code interpretation and application; and WHEREAS, the two founding directors of the Contractor Corporation are both Professional Engineers (Civil) and have each served more than twenty years in high level regulatory management positions in government related to building inspection and County engineer functions; and WHEREAS, the Contractor is willing to accept employment by the City for the Contractor's services in accordance with this contract. SECllON 2. CONFLICT OF INTEREST The Contractor expressly affirms that neither the Contractor Corporation or any of its officers, directors and employees will perform work or provide services to entities other than government entities during the time this contract is in force in order to ensure the City that the Contractor will not have a conflict of interest in discharging the work covered by this contract. SEC77ON 3. DUTlES OF CONTRACTOR The Contractor shall provide, in established workmanlike and professional manner, and at its own cost and expense, all labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities and all analyses, calculations, and all other resources whatsoever, except as herein otherwise expressly specified to be furnished by the City necessary or proper to perform the specified work required by this contract. SEC77ON 4. WORK REQUIRED BY CONTRACTOR a. Review and check for completeness and correctness, based upon the Uniform Building Code, Uniform Mechanical Code, National Electric Code, Uniform Plumbing Code, State Handicapped Requirements, State Noise and Energy Regulations mandated by the State of California, as adopted by the City,. the design of certain designated buildings as defined by the design calculations, drawings, specifications and reports of the designated buildings and perform rechecks of conected plans. 3 e 0 b. Dwelop and maintain written lists of corrections needed to have the plans comply with the specified regulations. c. Transmit such correction lists to, and consult with, the City Building Official as necessary, in order to clariijt the corrections to be made by the designer of the building to achieve conformance with regulations. d. Provide City with a letter indicating that in the Contractor's opinion, the plans have been found to be substantially correct and complete based upon the regulations when the Contractor's plan check, or recheck, confirms that the plans are in conformance. e. The Contractor shall maximize the use of appropriate prose materials, lists of critical code sections, specifications sheets and construction detail sheets for incorporation in the applicant's plans and specifications in order to expedite the plan approval process while ensuring that the approved plans are complete. f. Pickup from the City facility each Monday and Thursday plans to be plan checked and deliver previously plan checked or rechecked plans. SECTION 5. DECISION AWORIW OF THE CrrY BUIWING OFFICIAL The Contractor agrees to perform all work to the satisfaction of the City Building Official and the City Building Official has final decision authority to negate or modi@ any requirements or decisions perceived by the Contractor to be necessary to achieve compliance with the regulations. SECTION 6. PERFORWCE MSON AND CRmQuE 4 * 0 The City Building Official will meet monthly with the Contractor to advise the -. - Contractor of new City or State legislation that might impact the Contractor’s work and to critique the prior work procedures and identiw areas where modifications to the procedures used by the Contractor and Cify are desirable. SEC77ON 7. DU77ES OF CrrY The Ci& shall provide at a designated locatian in the C2y taciMy two sets of building plans for each project to be picked up and checked for compliance by the Contractor, including all calculations, reports and attachments necessary to allow plan checking to commence. City shall prepare receipt for plans picked up or delivered by Contractor on Monday and Thursday of each week. The City shall provide to the Contractor, a supply of all current forms and informational passouts, detail sheets, fee calculation sheets and other printed material normally used by City staff in the plan checking process and as attachments to applicant plans to provide construction or specification details or instructions to the applicant. The City shall be responsible for ensuring compliance with any other laws and ordinances pertinent to proposed building construction except those technical regulations contained in the four model codes and noise, handicapped and energy regulations described and assigned to the Contractor in Section 4 of this document. SECnON 8. ASSIGNMENT OF WORK TO CONlRACTOR The Ciiy and Contractor agree that the amount of work assigned to the Contractor during the life of the contract shall be determined at the discretion of the Building O%;cial. sEcnoN IO. PLAN CHECKS WHERE NO FEE Is ADEQUAELY COVERED IN 7HlS CONlRACT Contractor agrees to provide individual plan check services in specific areas nor herein covered. Fee . shall be based on an hourly rate as listed in ESGlL CORPORATION'S 'Labor Rate Schedule': effective January 1, 1990, attached hereto and made a part hereof. $€WON 11. COMPENSATION TO THE CONTRACTOR The city shall calculate and collect the plan checking fee set fotth in the appropriate State mandated edition of the Uniform Building Code. The valuation multipliers used for fee calculation shall be those valuation modifiers published in the International Conference of Building officials Magazine in their first publication after the 6 e beginning of each " calendar year with the effective date of change in valuation modifiers being July 1st of each calendar year. Valuation modifiers not specifically published in the magazine shall be as agreed upon by the City and Contractof, The Contractor's compensation shall be eighty percent of the plan checking fee collected by the City using the above described criteria for calculating the code specified City plan checking fee. For proposed construction of repetitive buildings, such as in housing tracts, apartment complexes or industrial tracts, the Contractor's compensation will be as stated above for each basic building plan and the Contractor's compensation for additional identical proposed buildings for which plan checking fees are collected at the same time shall be twenty percent of the plan checking fee collected by the City for each building. Notwithstanding any language in this agreement to the contrary, no extra work shall be undertaken or compensation for extra work paid without the prior approval of City. City shall also reimburse Contractor's costs for extra work for outside hired computer services utilized in connection with computer checking of structural calculations upon the presentation of satisfactory evidence regarding these costs and the City shall recover such costs from the applicant prior to permit issuance. Where plans, and reports attendant to the plans, propose unique engineering criteria beyond the qertise of the Contractor or City staff then the Contractor may, upon approval of City, obtain expert advice from recognized experts in the particular area of 7 0 0 concern with &e charges invoiced to the City by the expert to be collected by the City from the applicant prior to permit issuance. The City shall pay the expert. SECTION 12. llMELlNESS OF PAYMENTS TO THE CONTRACTOR The COntfactOf shall submit on the first work day of each month an invoice for the prior month, showing in detail the projects that (7) have been initially plan checked and returned to the City, and (2) data related to other chargeable costs under this contract. The City shall mail or otherwise deliver payment of approved invoiced charges prior to the tenth work day of the month the invoice was submitted. SECTION 13. CONTRACTOR PERFORMANCE DocuMEKTA77ON The Contractor shall note with the return of each plan to the City (7) the day of the week and date it was received by the Cify, (2) the day of the week and date the Contractor was informed it was available for pickup by the Contractor, (3) the day of the week and date it was picked up by the Contractor, (4) the date and day of the week it was first plan checked by the Contractor and returned to the City and (5) repetitive data pertinent to second and third plan reviews. SEC77ON 14. NOTICE OF INlEN7lON TO ERMIMTE CONTRACT Either paw may give Notice of Termination of Contract by giving thiriy (30) days written notice of Intention to Terminate contract. The Contractor shall be compensated in accordance with the terms of this contract, pro rata, for work in process in the event of termination. 8 I. a e -. - SEC77ON 15. HOLD MMLESS AGREEMENT The City, its agents, officers, and employees shall not be liable for any claims, liabilities, penalties, fines, or any damage to goods, properties, or effects of any person whatever, nor for personal injuries or death of any person arising out of or resulting directly or indirectly from any act, error or omission of Contractor or Contractor's agents, employees or representatives. Contractor agrees to indemniw and save free and harmless the City and its authorized agents, officers, and employees against any of the foregoing liabilities or claims of any kind and any cost and expense that is incurred by the City on account of any of the foregoing liabilities, including liabilities or claims by reason of alleged defects in any plans and specifications, unless the liability or claim is due, solely to the City's negligence. SEC770bi 16. INSURANCE Contractor shall obtain and maintain a policy of liability insurance from an insurance company authorized to be in business in the State of California, in an insurable amount not less than one million dollars ($l,OOO,OOO). This insurance shall be in force during the life of this agreement and shall not be canceled without ten (10) day prior notice to City, The City shall be named as an additionally insured on #is policy. MTRA WORK Contractor, in petifonning his services, shall not do work in excess of this agreement without the written permission of the City or its designated representative. 9 0 0 SECTION 18. WORKING DAY DEFINITION -. - For the purpose of measuring plan check performance, the working days specified in Section 8 exclude the work day the Contractor is notified the plans are ready for pickup, but include the day plans are delivered to the City by the Contractor. Work days do not include Saturdays, Sundays, or City holidays. SEC77ON 19. DUFlA7lON OF CONCRACT The duration of this contract shall be three (3) years or 36 months from the date of City Council approval.
