design services for the future improvements to El Camino Real i Palomar Airport Road, Project No. 3166.
ITEM EXPLANATION:
In previous Capital Improvement Program budgets, the City Counc appropriated funds for the future widening of portions of El Cam
Real and Palomar Airport Road. Recently, the development detailed zone plans through the City's Growth Management Prog: indicate the need for future. widening of both El Camino Real 4
turning movements at several key intersections in this corridc Palomar Airport Road to accommodate anticipated traffic volumes ;
The scope of work outlined in the attached consultant agreemc will include the following:
Development of alignment alternatives for El Camino Real i Palomar Airport Road. Please reference attached Exhibit 1 :
a depiction of the project area.
Development of alternatives for the interim and ultimi configuration of the El Camino Real and Palomar Airport Rc intersection.
Identification of right-of-way requirements includ. preparation of acquisition plats, legal descriptions, and otl appropriate documents and reports.
Preparation of formal plans, specifications, and contr<
documents for the construction of improvements which w include :
- All field survey and aerial topographic mapping.
- All hydrology and hydraulic studies and reports.
- Development of preliminary and final grading, slc
stabilization, drainage facilities, traffic contrc signing and striping, intersection control, construct. phasing, and related construction documents.
- Development of a utility extension and relocation plan
- Development of a landscape and irrigation plan.
- All geotechnical services.
- All environmental services and studies.

The alignment alternatives and preparation of the construct
plans and specifications will provide the City with key informat
regarding the ultimate improvement of El Camino Real and Palo: Airport Road in advance of surrounding private development. particular, right-of-way requirements, roadway alignments, intersection configurations will be identified for this corri,
on a more detailed and comprehensive basis so that the ultim development of adjacent private properties will occur consist with the required roadway infrastructure improvemen
Additionally, there is an increasing need to proceed with planning and implementation of a comprehensive roadway
intersection strategy for this corridor of two (2) prime arter streets.
P & D Technologies, currently under contract with the City, previously selected as the most qualified firm to perform ot design work on Palomar Airport Road, west of El Camino R immediately adjacent to this project area. The scope of work this project must be closely coordinated with the design servi already underway on Palomar Airport Road extending through to City of San Marcos. In particular, soils investigatio environmental studies, right-of-way requirements, traffic analys utility alignments, and roadway geometrics must be clos coordinated from one project to the other. For these reaso P & D Technologies is considered to be the most qualified firm provide the design services for this project. Additional staff's ability to oversee and manage the design process will considerably more efficient and economical in dealing with one design firm.
Construction of the ultimate improvements is anticipated to phased to meet the individual zone plan requirements previou
considered by the City's Growth Management Program. As an examp duel left-turns and an additional westbound lane on Palomar Airp Road is the first priority improvement for the intersection. additional priority improvement is the completion of the County San Diego owned frontage on El Camino Real between Faraday Palomar Airport Road. The project will ultimately improve balance of all County of San Diego frontage within the proj area.
FISCAL IMPACT:
The attached consultant agreement provides for a lump sum fee

THIS AGREEMENT, made and entered into as of the
, by and between the CITY OF CARLSBAD, a municipe
corporation, hereinafter referred to as llCity,ll and P b
Technologies, hereinafter referred to as llConsultant.ll
RECITALS
City requires the services of an engineering consultant t
provide the necessary design services for preparation of plans ar
specifications for El Camino Real and Palomar Airport Rol
Widening; and
Consultant possesses the necessary skills and qualificatior
to provide the services required by the City;
NOW, THEREFORE, in consideration of these recitals and tk
mutual covenants contained herein, City and Consultant agree i
follows:
1. CONSULTANT'S OBLIGATIONS
PHASE 1: PRELIMINARY DESIGN
The goal of this study is to evaluate several improvemer
alternatives, identify one which best serves the needs of the Cit]
and prepare an ultimate geometric layout plan. This plan will 1:
used to develop criteria for final design, outside agenc
coordination, and preliminary right-of-way acquisition discussions

A. Field and Aerial Survey Services:
(1) Establish aerial control network, horizontal a1
vertical control grid and calculations.
(2) Fly, aerial photograph and prepare scribed 1 inc
= 40 feet scale base topographic map with 2 foot contour interva:
Area of coverage to be 1,000 feet north, south, east and 4,000 fec
west of intersection and 200 feet wide for each leg.

B. Traffic Enqineerinq Services:
(1) Meet with City staff to identify ultimate traff:
volumes and related criteria. Data required is available .

(3) Prepare up to three alternative configuratic
layouts in sketch form. These may include concepts with free-rig1
turn lane, exclusive right turn bay/lane or urban interchanc
scenarios. Improvements to avoid relocation of the existi]
Pressure Reducing Station at the southeast corner of El Camino Re,
and Palomar Airport Road will be considered.
(4) Present alternatives to City staff for discussil
and selection of a preferred final recommendation.
(5) Prepare a short report identifying methodology us(
and conclusions reached in analysis.

(6) Finalize sketch showing lane configuration, lar
widths, stacking lengths, signal type (standard or bridge) ar
pedestrian/bicycle accommodations.
C. Civil Ensineerins Services:
(1) Research utilities and plot on base topo map.
(2) Calculate and plot existing centerline, right-ol
way and property lines on base map.
(3) Review drainage and recommend necessa~
improvements.
(4) Prepare final geometric layout concept plz
including final geometrics, lanes, islands, medians, etc.

PHASE 2: FINAL DESIGN
Two sets of plans and specifications shall be prepared fc
construction purposes. The first set shall include tl
improvements listed:
(1) Full-width Prime Arterial Improvements on El Camir
Real from Faraday Avenue to Palomar Airport Road. Prelimina~
plans have already been completed for this area. Copies of the:
plans will be provided to the consultant. These improvements mua
be designed to coordinate with the addition of right-turning lanc
as determined in Phase 1 above.
(2) One additional lane on the south side of Palom?
Airport Road from El Camino Real to join improvements 1,000 fee
east of El Camino Real.

leg at the intersection of El Camino Real and Palomar Airport Roac
The second set of plans and specifications shall include tl
improvements listed:
(1) Widening of El Camino Real and Palomar Airport, Roz
to full-width Prime Arterial Standards plus additional right-tu1
lanes. Right-turn lanes will not be required on the southwes
corner I
(2) Widening of Palomar Airport Road from El Camino Ret
to the west to joint existing full-width improvement
(approximately 4,000 feet westerly).
(3) Prepare contract documents, including specit
provisions: provide typed original and disk readable I:
Wordperfect.
(4) Provide time to complete construction contract.
(5) Prepare striping, signing and signal modificatic
plans. Modify traffic signals at El Camino Real and Palam;
Airport Road and at Palomar Airport Road and Yarrow Drive.
(6) Prepare detour, phasing and traffic control plans
(7) Provide preliminary title reports and tit1
searches.
(8) Prepare right-of-way and slope easement plats, leg;
descriptions and deeds for each parcel.
(9) Coordinate with City-selected soils engineer a1

(10) Prepare landscape and irrigation plans. Landscape
medians will be required on El Camino Real and Palomar Airpor
Road.
Plans and specifications shall include the following:
(1) Prepare plans in ink on mylar on screened topo mz
using 1'' = 40' scale and exaggerated vertical scale.
(2) Include in the improvement drawings cross-sectic
sheets showing existing ground and proposed improvements at leas
every 100 feet. In some cases, cross-section drawings may I:
necessary at closer intervals and those should be included. Alsc
include 40 scale right-of-way drawings showing both existing ar
proposed right-of-way and the parcel boundaries abutting the right
of-way.
(3) Prepare detailed quantity calculations fc
excavation and embankment and all other items of work to k
performed in the construction contract. Prepare a mass diagran

2. CITY OBLIGATIONS
The City shall provide:
A. A sufficient number of blank mylar plan and plan/profil
standard drawing sheets with title block.

B. One copy of l1boilerplateV1 standard language for contrac
documents of the contract, bond forms and general provisions c
disk compatible with Wordperfect.
C. The City will hire a soils engineering consultant wk
will prepare a preliminary soils report, take R-value tests a1
recommend a road structural section.
D. The City will provide copies of City studies, drawings
and traffic reports as appropriate and meet with Consultant I
review design.
3. PROGRESS AND COMPLETION
The work under this Contract will begin within five (5). da.1
after receipt of notification to proceed by the City and 1
completed as follows:
Phase 1 Work: 210 calendar days
Phase 2, First Bid Set: 300 calendar days
Phase 2, Second Bid Set: 300 calendar days

4. FEES TO BE PAID TO CONSULTANT

services will be allowed except those items covered by supplement;

5. PAYMENT OF FEES
Payment of fees shall be monthly based upon work completed ar
in accordance with Exhibit A attached, Consultants Fee Schedule

6. FINAL SUBMISSIONS
Within fifteen (15) days of completion and approval of tl
final design, the Consultant shall deliver to the City the iten
prepared as stated in paragraph 1 above.
7. CHANGES IN WORK
If, in the course of this Contract and design, changes se6
merited by the Consultant or the City, and informal consultatior
with the other party indicate that a change in the conditions c
the Contract is warranted, the Consultant or the City may requez
a change in Contract. Such changes shall be processed by the Cil
in the following manner: A letter outlining the required change
shall be forwarded to the City by Consultant to inform them of tl
proposed changes along with a statement of estimated changes i
charges or time schedule. After reaching mutual agreement on tl
proposal, a supplemental agreement shall be prepared by the Cil
and approved by the City Council. Such supplemental agreemel
shall not render ineffective or invalidate unaffected portions (
the agreement. Changes requiring immediate action by tl
Consultant or City shall be ordered by the City Engineer who wi:
inform a principal of the Consultantls firm of the necessity t
such action and follow up with a supplemental agreement coverii
such work.

8. DESIGN STANDARDS
The Consultant shall prepare the plans and specifications i
accordance with the design standards of the City of Carlsbad an
recognized current design practices. Applicable City of Carlsba
Standards and Regional Standards shall be used where appropriate

9. COVENANTS AGAINST CONTINGENT FEES
The Consultant warrants that their firm has not employed c
retained any company or person, other than a bona fide employe
working for the Consultant, to solicit or secure this agreement
and that Consultant has not paid or agreed to pay any company c
person, other than a bona fide employee, any fee, commissior
percentage, brokerage fee, gift, or any other consideratic
contingent upon, or resulting from, the award or making of thi
agreement. For breach or violation of this warranty, the Cit
shall have the right to annul this agreement without liabilitm
or, in its discretion, to deduct from the agreement price c
consideration, or otherwise recover, the full amount of such fee
commission, percentage, brokerage fee, gift, or contingent fee.
10. NONDISCRIMINATION CLAUSE
The Consultant shall comply with the State and Federi
Ordinances regarding nondiscrimination.
11. TERMINATION OF CONTRACT
In the event of the Consultant's failure to prosecutt
deliver, or perform the work as provided for in this Contract, ti
City may terminate this Contract for nonperformance by notifyin5

the Consultant by certified mail of the termination of tk
Contract. The Consultant, thereupon, has five (5) working days t
deliver said documents owned by the City and all work in progre5
to the City Engineer. The City Engineer shall make a determinatic
of fact based upon the documents delivered to City of tl

12. DISPUTES
If a dispute should arise regarding the performance of WOI
under this agreement, the following procedure shall be used 1
resolve any question of fact or interpretation not otherwi:
settled by agreement between parties. Such questions, if tht
become identified as a part of a dispute among persons operati]
under the provisions of this Contract, shall be reduced to writii
by the principal of the Consultant or the City Engineer. A co]
of such documented dispute shall be forwarded to both partic
involved along with recommended methods of resolution which wou:
be of benefit to both parties. The City Engineer or principi
receiving the letter shall reply to the letter along with
recommended method of resolution within ten (10) days. If tl
resolution thus obtained is unsatisfactory to the aggrieved part:
a letter outlining the dispute shall be forwarded to the Cii
Council for their resolution through the Office of the Ci'
Manager. The City Council may then opt to consider the directc
solution to the problem. In such cases, the action of the City

Council shall be binding upon the parties involved, althoug
nothing in this procedure shall prohibit the parties seekin
remedies available to them at law.
13. RESPONSIBILITY OF THE CONSULTANT
The Consultant is hired to render professional services a
designing and drawings for El Camino Real and Palomar Airport Roa
Widening and any payments made to Consultant are compensatio
solely for such services. Consultant shall certify as to th
correctness of all designs and sign all plans, specifications, an
estimates furnished with Registered Civil Engineer's number, (a
Landscape Architectls registration number.)
14. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party up0
tendering thirty (30) days written notice to the other party. I
the event of such suspension or termination, upon request of th
City, the Consultant shall assemble the work product and put Sam
in order for proper filing and closing and deliver said product t
City. In the event of termination, the Consultant shall be pai
for work performed to the termination date: however, the tota
shall not exceed the guaranteed total maximum. The City shall mak
the final determination as to the portions of tasks completed an
the compensation to be made. Compensation to be made in complianc
with the Code of Federal Regulations.
15. STATUS OF THE CONSULTANT
The Consultant shall perform the services provided for herei
in Consultantls own way as an independent Contractor and in pursui
of Consultantls independent calling, and not as an employee of th

City. Consultant shall be under control of the City only as t
the result to be accomplished and the personnel assigned to th
project, but shall consult with the City as provided for in th
request for proposal.
The Consultant is an independent contractor of the City. Th
payment made to the Consultant pursuant to this contract shall b
the full and complete compensation to which the Consultant i
entitled. The City shall not make any Federal or State ta
withholdings on behalf of the Consultant. The City shall not b
required to pay any workers' compensation insurance on behalf o
the Consultant. The Consultant agrees to indemnify the City fa
any tax, retirement contribution, social security, overtim
payment, or workers' compensation payment which the City may b
required to make-on behalf of the Consultant or any employee of th
Consultant for work done under this agreement.
The Consultant shall be aware of the requirements of th
Immigration Reform and Control Act of 1986 and shall comply wit
those requirements, including, but not limited to, verifying th
eligibility for employment of all agents, employees, subcontractor
and consultants that are included in this agreement.
16. CONFORMITY TO LEGAL REQUIREMENTS
The Consultant shall cause all drawings and specifications t
conform to all applicable requirements of law: Federal, State ar
local. Consultant shall provide all necessary supportir
documents, to be filed with any agencies whose approval j
necessary.

17. OWNERSHIP OF DOCUMENTS
All plans, studies, sketches, drawings, reports, an
specifications as herein required are the property of the citm
whether the work for which they are made to be executed or not
In the event this Contract is terminated, all documents, plans
specifications, drawings, reports, and studies shall be delivere
forthwith to the City. Consultant shall have the right to mak
one (1) copy of the plans for his/her records. City shall not us
any of the documents produced by the consultant for any purpos
other than the improvements identified herein.
18. HOLD HARMLESS AGREEMENT
The City, its officers, and employees shall not be liable fo
any claims, liabilities, penalties, fines, or any damage to goods
properties, or effects of any person whatever, nor for persona
injuries or death caused by, or claimed to have been caused by, o
resulting from, any intentional or negligent acts, errors o
omission of Consultant or Consultant's agents, employees, o
representatives. Consultant agrees to defend, indemnify, and sav
free and harmless the City and its officers and employees agains
any of the foregoing liabilities or claims of any kind and any cos'
and expense that is incurred by the City on account of any of thc
foregoing liabilities, including liabilities or claims by reaso:
of alleged defects in any plans and specifications.

19. ASSIGNMENT OF CONTRACT
The Consultant shall not assign this Contract or any par
thereof or any monies due thereunder without the prior writte
consent of the City.
20. SUBCONTRACTING
If the Consultant shall subcontract any of the work to b
performed under this Contract by the Consultant, Consultant shal
be fully responsible to the City for the acts and omissions o
Consultantls subcontractor and of the persons either directly o
indirectly employed by the subcontractor, as Consultant is for th
acts and omissions of persons directly employed by Consultant
Nothing contained in this Contract shall create any contractua
relationship between any subcontractor of Consultant and the City
The Consultant shall bind every subcontractor and ever:
subcontractor of a subcontractor by the terms of this Contrac,
applicable to Consultant's work unless specifically noted to th
contrary in the subcontract in question approved in writing by tht
City.
21. PROHIBITED INTEREST
No official of the City who is authorized in such capacity 01
behalf of the City to negotiate, make, accept, or approve, or taka
part in negotiating, making, accepting, or approving of an:
architectural, engineering, inspection, construction or materia;
supply contractor, or any subcontractor in connection with thc
construction of the project, shall become directly or indirect11
interested personally in this Contract or in any part thereof. Nc
officer, employee, architect, attorney, engineer, or inspector of

or for the city who is authorized in such capacity and on behal
of the City to exercise any executive, supervisory, or othe
similar functions in connection with the performance of this
Contract shall become directly or indirectly interested personall
in this Contract or any part thereof.
22. VERBALLY AGREEMENT OR CONVERSATION
No verbal agreement or conversation with any officer, agent
or employee of the City, either before, during, or after th
execution of this Contract, shall affect or modify any of the term
or obligations herein contained nor such verbal agreement oJ
conversation entitles the Consultant to any additional paymeni
whatsoever under the terms of this Contract.
23. SUCCESSORS OR ASSIGNS
Subject to the provisions of Paragraph 18, "Hold Hannles:
Agreement," all terms, conditions, and provisions hereof shal:
insure to and shall bind each of the parties hereto, and each 0:
their respective heirs, executors, administrators, successors, anc
assigns.
24. EFFECTIVE DATE
This agreement shall be effective on and from the day and yeax
first above written.
25. CONFLICT OF INTEREST
The Consultant shall file a Conflict of Interest Statement
with the City Clerk of the City of Carlsbad in accordance with the
requirements of the City of Carlsbad Conflict of Interest Code.
26. INSURANCE
The Consultant shall obtain and maintain a policy of liability

insurance from an insurance company authorized to be in bushes
in the State of California, in an insurable amount of not less tha
one million dollars ($1,000,000) . This insurance shall be in forc
during the life of this agreement and shall not be cancell€
without ten (10) days prior notice to the City.
The City shall be named as an additionally insured on thi
policy. The Consultant shall furnish a certificate of sai
insurance to the City upon request.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING A CONSULTANT AGREEMENT FOR EL CAMINO REAL AND PALOMAR AIRPORT ROAD, PROJECT NO, 3166
WHEREAS, the City of Carlsbad requires the servic
