The standard states tl segment or intersection in the Zone nor any Circulation Element road intersection out of the Zone which is impacted by development in the Z projected to exceed a Service Level C during off-peak hours, nor Service Le peak hours. Impacted is defined by 20 percent or more of the traffic gene Local Facilities Management Zone using the road segment or intersectior In 1988, the Engineering Department staff completed the consultant selec and selected JHK & Associates to perform the first Traffic Monitoring Pro City of Carlsbad. The consultant agreement was approved by the Ciq January 1989. Winter and summer counts were obtained by JHK & Assoc 1989 and the results were compiled into the 1989 Annual Traffic Monitor report. Staff is recommending that the agreement with JHK & Associates be permit the consultant to obtain traffic data for the 1990 Growth Manag Traffic Monitoring report. Counts will be obtained in 1990 during the sum of July and August. Traffic will continue to be monitored as each indivi is approved through subsequent monitoring programs. The project is a pla with no environmental review required and is exempt under CEQA regul FISCAL, IMPACT: The cost of services under the Consultant Agreement with JHK & Associate and funding is available in the Growth Management Plan Traffic Moniton (Project 3316). RAUTENKRANZ, City Clerk (SEAL) I 0 0 AGREE- FOR CONSULTANT TRAFFIC ENGINEERING SERVICES THIS AGREEMENT, made and entered into as of the day of > by and between the CITY OF CARLSBAD, a municipal corporation, hereinafter referred to as ' and JHK and Associates, hereinafter referred to as "Consultant." REmm City requires the services of JHK and Associates to provide traffic engineering consi services for the 1990 Growth Management Plan Traffic Monitoring Program; and Consultant possesses the necessary skills and qualifications to provide the services req by the City; NOW, THEREFORE, in consideration of these recitals and the mutual covenants conta herein, City and Consultant agrees as follows: 1 @ CONSULTANTS OBLIGATIONS Consultant shall complete the 1990 Growth Management Plan Traffic Monitoring Pro; in conformance with the provisions of its proposal to the City of Carlsbad dated January 12, and attached hereto as Exhibit A, 2. CITY OBLIGATIONS City shall provide all relevant data at its disposal relative to the proposed study and a in obtaining additional data from other agencies to allow the expeditious completion of the SI of services as outlined in Exhibit A. 3. PROGRESS AND COMPLETION The work under this Contract will begin within ten (10) days after receipt of notifica to proceed by the City and be completed within the schedule provided in Exhibit A. Extensior 1 0 e time may be granted if requested by the Consultant and agreed to in writing by the City En$ In consideration of such requests, the City Engineer will give allowance for documented substantiated unforeseeable and unavoidable delays not caused by a lack of foresight on the of the Consultant, or delays caused by City inaction or other agencies' lack of timely action. 4. FEES TO BE PAID TO CONSULTANT The lump sum fee payable according to Paragraph 5, "Payment of Fees," shall be twc seven thousand and seven hundred dollars ($27,700). No other compensation for services wi allowed except those items covered by supplemental agreements per Paragraph 7, "Changc Work." 5. PAYMENT OF FEES Payment of fees shall be within thirty (30) days after approval of the progress estimatc the City Engineer. Progress payment shall be based on the estimated percentage of completic each Phase or Task as presented in the proposed cost estimate. 6. PROJECT STAFFING Mr. William R. Reilly shall be the officer in responsible charge of the study and Bna Shields shall serve as Project Director. No substitution of the project management shall be all0 without written approval of the City Engineer. 7. CHANGES IN WORK If, in the course of this Agreement and design, changes seem merited by the Consultan the City, and informal consultations with the other party indicate that a change in the conditi of the Contract is warranted, the Consultant or the City may request a change in Agreement. S changes shall be processed by the City in the following manner: A letter outlining the requ changes shall be forwarded to the City or Consultant to inform them of the proposed changes al with a statement of estimated changes in charges or time schedule. After reaching mui 2 0 e agreement on the proposal, a supplemental agreement shall be prepared by the City and appr by the City Council. Such supplemental agreement shall not render ineffective or inval: unaffected portions of the agreement. Changes requiring immediate action by the Consulta: City shall be ordered by the City Engineer who will inform a principal of the Consultant's fir the necessity of such action and follow up with a supplemental agreement covering such wo 8. DESIGN STANDARDS The Consultant shall prepare the plans and specifications in accordance with the di standards of the City of Carlsbad and recognized current design practices. Applicable Cii Carlsbad Standards and Regional Standards shall be used where appropriate. Copies of standards shall be obtained from the City of Carlsbad. 9. COVENANTS AGAINST CONTINGENT FEES The Consultant warrants that their firm has not employed or retained any compan person, other than a bona fide employee working for the Consultant, to solicit or secure agreement, and that Consultant has not paid or agreed to pay any company or person, other 1 a bona fide employee, any fee, commission, percentage, brokerage fee, &, or any c consideration contingent upon, or resulting from, the award or making this agreement. For brl or violation of this warranty, the City shall have the right to annul this agreement without liabj or, in its discretion, to deduct from the agreement price or consideration, or otherwise recover full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. 10. NONDISCRIMINATION CLAUSE The Consultant shall comply with the State and Federal Ordinances regarc nondiscrimination. 11. TERMINATION OF CONTRACT In the event of the Consultant's failure to prosecute, deliver, or perform the worE 3 e 0 provided for in this Agreement, the City may terminate this Agreement for nonperforman notifying the Consultant by certified mail of the termination of the Agreement. The Consu thereupon, has five (5) working days to deliver said documents owned by the City and all w( progress to the City Engineer. The City Engineer shall make a determination of fact based the documents delivered to City of the percentage of work which the Consultant has perfo which is usable and of worth to the City in having the Agreement completed. Based upor finding as reported to the City Council, the Council shall determine the final payment c Agreement. Final payment shall be in compliance with the Code of Federal Regulations. 12. DISPUTES If a dispute should arise regarding the performance of work under this agreement following procedure shall be used to resolve any question of fact or interpretation not othei settled by agreement between parties. Such questions, if they become identified as a part dispute among persons operating under the provisions of this Agreement, shall be reducc writing by the principal of the Consultant or the City Engineer. A copy of such documented dis shall be forwarded to both parties involved along with recommended methods of resolution m would be of benefit to both parties. The City Engineer or principal receiving the letter shall 1 to the letter along with a recommended method of resolution within ten (10) days. Ij resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the dispute be forwarded to the City Council for their resolution through the Office of the City Manager. City Council may then opt to consider the directed solution to the problem. In such cases, action of the City Council shall be binding upon the parties involved, although nothing in procedure shall prohibit the parties seeking remedies available to them at law. 13. RESPONSIBILITY OF THE CONSULTANT The Consultant is hired to render professional traffic engineering services and any pap 4 0 0 made to Consultant are compensation solely for such services. Consultant shall cemfy as tl correctness of all traffic engineering studies submitted by stamping and sealing such studies Registered Traffic Engineer. 14. SUSPENSION OR TERMINATION OF SERVICES This Agreement may be terminated by either party upon tendering thirty (30) days wl notice to the other party. In the event of such suspension or termination, upon request of the Consultant shall assemble the work product and put same in order for proper filing and closini deliver said product to City. In the event of termination, the Consultant shall be paid for performed to the termination date; however, the total shall not exceed the guaranteed maximum. The City shall make the final determination as to the portions of tasks complete< the compensation to be made. Compensation to be made in compliance with the Code of Fec Regulations. 15. STATUS OF THE CONSULTANT The Consultant shall perform the services provided for herein in Consultant's own wi an independent contractor and in pursuit of Consultant's hdependent calling, and not a employee of the City. Consultant shall be under control of the City only as to the result t accomplished and the personnel assigned to the project, but shall consult with the City as prov for in the request for proposal. The Consultant is an independent contractor of the City. The payment made to Consultant pursuant to this Agreement shall be the full and complete compensation to whicl consultant is entitled pursuant to this Agreement. The City shall not make any federal or statc withholdings on behalf of the Consultant. The City shall not be required to pay any WOI compensation insurance on behalf of the Consultant. The Consultant agrees to indemnify the for any tax, retirement contn'bution, social security, overtime payment, workers compensa 5 e e payment which the City may be required to make on behalf of Consultant or any emploj Consultant for work done under this Agreement. The Consultant shall be aware of the requirements of the Immigration Reform and CI Act of 1986 and shall comply with those requirements, including but not limited to vee eligibility for employment of all agents, employees, sub-contractors and consultants thi included in this agreement. 16. CONFORMITY TO LEGAL REQUIREMENTS The Consultant shall cause all drawings and specifications to conform to all appl requirements of law: Federal, State and local. Consultant shall provide all necessary suppc documents, to be filed with any agencies whose approval is necessary. The City will provide copies of the approved plans to any other agencies. 17. OWNERSHIP OF DOCUMENTS AU plans, studies, sketches, drawings, reports and specifications as herein required a property of the City, whether the work for which they are made be executed or not. In the this Agreement is terminated, all documents, plans, specifications, drawings, reports and sf shall be delivered forthwith to the City. Consultant shall have the right to make one (1) cc the plans for &/her records. 18. HOLD HARMLESS AGREEMENT The City, its agents, officers and employees shall not be liable for any claims, liabi penalties, fines, or any damage to goods, properties, or effects of any person whatever, nc personal injuries or death caused by, or resulting from, or claimed to have been caused t: resulting from, any act or omission of Consultant or Consultant's agents, employet representatives. Consultant agrees to defend, indemnify, and save free and harmless the Cic its authorized agents, officers and employees against any of the foregoing liabilities or claims c 6 0 0 kind and any cost and expense that is incurred by the City on account of any of the fore8 liabilities, including liabilities or claims by reason of alleged defects in any plans and specificai unless the liability or claim is due, or arises out of, solely to the City's negligence. 19. ASSIGNMENT OF AGREEMENT The Consultant shall not assign this Agreement or any part thereof or any monie! thereunder without the prior written consent of the City. 20. SUBCONTRACTING If the Consultant shall subcontract any of the work to be performed under this Agree by the Consultant, Consultant shall be fully responsible to the City for the acts and omissic Consultant's subcontractor and of the persons either directly or indirectly employed b subcontractor, as Consultant is for the acts and omissions of persons directly employed by Cc tant. Nothing contained in this Agreement shall create any contractual relationship betwee subcontractor of Consultant and the City. The Consultant shall bind every subcontractor and subcontractor of a subcontractor by the terms of this Agreement applicable to Consultant's unless specifically noted to the contrary in the subcontract in question approved in writing 1 City. 21. PROHIBITED INTEREST No official of the City who is authorized in such capacity on behalf of the City to neg( make, accept, or approve, or take part in negotiating, making, accepting, or approving architectural, engineering inspection, construction or material supply contractor, c subcontractor in connection with the construction of the project, shall become directly or inc interested personally in this Contract or in any part thereof. No officer, employee, arc attorney, engineer, or inspector of or for the City who is authorized in such capacity and on of the City to exercise any executive, supervisory, or other similar functions in connection w 7 e 0 performance of this Agreement shall become directly or indirectly interested personally in Agreement or any part thereof. 22. VERBAL AGREEMENT OR CONVERSATION No verbal agreement or conversation with any officer, agent, or employee of the City, e before, during, or after the execution of this Agreement, shall affect or modify any of the ten obligations herein contained nor shall verbal agreement or conversation entitle the Consulta any additional payment whatsoever under the terms of this Agreement. 23. SUCCESSORS OR ASSIGNS Subject to the provisions of Paragraph 18, "Hold Harmless Agreement," all terms, condi and provisions hereof shall insure to and shall bind each of the parties hereto, and each ol respective heirs, executors, administrators, successors, and assigns. 24. EFFECTIVE DATE This Agreement shall be effective on and from the day and year first above written. 25. CONFLICT OF INTEREST The Consultant shall file a Confhct of Interest Statement with the City Clerk of the ( Carlsbad in accordance with the requirements of the City of Carlsbad Conflict of Interest C 26. INSURANCE The Consultant shall obtain and maintain a policy of liability insurance from an ins company authorized to be in business in the State of California, in an insurable amount of r than one million dollars ($1,000,000). This insurance shall be in force during the life agreement and shall not be canceled without ten (10) days prior notice to the City. 8 0 0 The City shall be named as additionally insured on this policy. This estimate is based on the actual cost incurred by JHK t ' complete the 1989 Growth Management Plan Traffic Monitoring Program. TI- project cost reports for this previous work allowed JHK to precisely determin accurate budgets for each of the following items included in this proposal: ' m e e Mileage and Printing Based on our prior experience in completing the 1989 study, the tot; estimate to provide the services described in this proposal is $27,700.00 (see Tab Manhour Estimates for Professional and Support Staff Direct Costs for Temporary Employees 1). William R. Reilly, P.E., will serve as Responsible Officer and lead tt- Executive Review Team. His involvement along with Mr. Joel K. Marcuson, P.E will ensure that the Project Team consistently maintains high levels of qualil control. Mr. Marcuson, a Registered Traffic Engineer, will also sign and seal tk report. Mr. Brian C. Shields will serve as Project Director for JHK and will t responsible for overall project management and production scheduling. H experience with traffic operations and capacity analysis will be useful developing the final report. In addition, Mr. Daniel F. Marum will ensure that ti report addresses any future planning issues relevant to the City. Finally, da. collection and reduction will be coordinated under the supervision of Mr. Steven 1 Garbe. Mr. Garbe's heavy involvement in the preparation of the 1989 Grow Management Plan Traffic Monitoring Program will be invaluable for the 191 Program. The following is a description of the scope of work by task. Task I - Project Orientation and Coordination The initial task of the project is to become familiar with the study area and 2831 Carnino del Rio South * Suite 205 a San Diego. A project orientation meeting will be held to discuss the coordination of intersection counts with mid-block counts. Ai this meeting count schedules for both intersection and mid-block locations will be submitted. Task I1 - Data Collection Data collection will be performed at 37 intersections (Exhibit 1) and 18 mid- block locations (Exhibit 2). A temporary employment agency will be used tc JHK will instruct all temporary personnel on the proper data collection techniques. The data will be collected for the same time periods identified in the 1989 Growtt- Management Plan Traffic Monitoring Program and will consist of three hours for both the morning and evening peaks. The data collection will be supervised by JHK staff. Field sketches will be drawn of intersection geometrics and these geometrics will be used as input for ICU analysis, The data will then be reviewec for accuracy and directional discrepencies. recruit sufficient personnel to complete the data collection for the intersections. Mid-block counts will be performed according to the current standard2 determined in the 1989 Growth Management Plan Traffic Monitoring Program, Two consecutive 24-hour counts will be performed using dual tube set ups. These counts should be completed within four weeks. Intersection turn movement counts will be performed during the first two weeks and recounts, if necessary, conducted during the remaining two weeks. JHK will coordinate the placement of the counters with City staff and monitor and review the data collection at these mid- block locations. With JHK staff responsible for this portion of Task I1 many potential discrepencies will be avoided. Task III - Data Reduction To meet time constraints for the delivery of the final 1990 Growth Management Plan Traffic Monitoring Program in late September, the data reduction will need to be efficiently timed with the data collection. The data reduction for the intersections will conform to the format of the 1989 Growth Management Plan Traffic Monitoring Program with the incorporated changes. Thiz data will be reviewed and checked for directional errors. The ICU will also be reviewed and verified for operational consistency. Intersections operating at or below ICU LOS D will be reviewed and recalculated using the ICU Heavy Demand procedure. The data reduction for mid-block locations is anticipated to be improved with JHK's management of this portion of Task 111. The data will be reviewed by JHK to ensure that directional distribution and peak hour data are accurate. Due to a change in software needed to reduce this information, the format will not conform to the current eight page mid-block summary configuration of the 1989 Growth Management Plan. The final format will be approved by City staff prior to the organization of the Final Report. ___J____ ‘hk cy e * Mr. Lloyd Hubbs January 12, 1990 Page Three Task IV - Final Report Preparation The Final Report will be prepared similar to the 1989 Growth Mangement in three ring binders and one unbound copy. To meet with time constraints the first submittal by JHK will be September 1, 1990 with approximately three weeks to incorporate City staff comments. Task V - HCM Signalized Intersection Capacity Analysis (Optional) Plan Traffic Monitoring Program, Eleven copies will be provided, ten punched and The development of the 1985 HCM software for capacity analysis at signalized intersections has started the slow process of unifying capacity analysis techniques. Although current application has been occassionaly questioned, the method of including phasing, percent green time, and stop time delay has been recognized as the most complete analysis available. It is the opinion of JHK that the conversion to the use of HCM intersection capacity analysis will continue as the program is continually refined by McTrans. With this in mind, JHK offers Task V as an optional task. Task V will consist of the analysis of all intersections that test at level of service C or worse under the ICU procedure by utilizing HCM analysis for that period. Level of Service C was chosen as the threshold for this task based upon work completed in Chula Vista where levels of service comparisons between the two analysis procedures revealed that HCM was generally one level of service worse than ICU. That is to say LOS C in ICU analysis could possibly be LOS D under HCM analysis. Field estimates will be made concerning signal timing, grades, progression and other characteristics, These characteristics will be incorporated into each HCM analysis. The City would need to provide JHK with current signal timing charts for the critical locations. The analysis would be performed and summarized apart from the 1990 Growth Management Plan Traffic Monitoring Program and would be provided to the City in a letter report format. Task V has been included in the proposal on a per intersection basis to allow for the correct number of intersections to be analyzed. JHK is pleased to be considered for the 1990 Growth Management Plan Traffic Monitoring Program. Our previous work with the City staff will make the coordination and operation of the 1990 program more efficient. We look forward to again working with you.
