RECOMMENDED ACTION: Adopt Resolution No.?C -9' k approving a cooperative agree between the City of Carlsbad and the State of California Depart of Transportation (CALTRANS) for State project develoF responsibilities for the proposed Poinsettia Lane and Interst? Interchange. ITEM EXPLANATION: CALTRANS has approved the Project Study Report (PSR) for Poinsettia Lane and Interstate 5 Interchange. The completior approval of this report represents a major step forward in development of the proposed Poinsettia Lane/I-5 Intercl- project. The completed PSR will allow the City to proceed wit1 remaining preliminary engineering and design tasks leading tc identification of a design concept for final construction plans specifications. The attached cooperative agreement between City and CALTRANS defines the responsibilities of each agency the remaining design and development tasks. In accordance CALTRANS' established procedures, the City is required to deF with the State the sum of $225,000 for CALTRANS' review development/coordination costs. The City will take the lead the implementation of the project and be responsible for remaining phases. CALTRANS will provide review for compliance State design standards and regulations. This cooperative agree is identical to one previously approved by the City Council foi Palomar Airport Road and Interstate 5 Interchange. These funds are sufficient to c the required deposit to CALTRANS. The City Council should note that the construction of Poinsettia Lane Interchange is scheduled in the CIP for FY 195 2000. No funding is available for design of this project untj least 1995. The City is also attempting to fund the Poinse Lane Interchange as part of the Mello-Roos District pros Within the Mello-Roos District, the Poinsettia Lane Interchanc scheduled for construction in 1994. Staf currently working with landowners in the Poinsettia Interchange area to secure a means of funding the design of project as early in the schedule as possible. RECITALS 1. STATE and CITY, pursuant to Streets and Highways Cc Section 130 and Government Code Section 14529.12, i authorized to enter into a Cooperative Agreement 1 improvements to State highways within the CITY. CITY desires State highway improvements consisting of widen. the overcrossing and its approaches, signalizing the ri termini, widening and metering the entrance ramps q modifying the freeway, if necessary on Interstate State Roi 5 at Poinsettia Lane, referred to herein as @IPROJECT,l1 and willing to fund one hundred (100) percent of all capi. outlay and staffing costs, except that costs of STAT: oversight of environmental, design and right-of-way activit may be borne by STATE. Understanding (MOU) relating to PROJECT. 4. Construction of said PROJECT will be the subject of a separ future agreement. 5. The parties hereto desire to define herein the terms conditions under which said PROJECT will be developed designed. 2. 3. This Agreement supersedes any prior Memorandum SECTION I CITY AGREES: 1. To permit STATE to monitor and participate in the select of personnel who will prepare the PR, conduct environmen studies and obtain the environmental clearance, prepare PS&E, and perform right-of-way activities. CITY also agre if requested by STATE, to discontinue the services of personnel considered by STATE to be unqualified on the ba of credentials, professional expertise, failure to perform accordance with scope of work and/or other pertinent criter 4. Within thirty (30) days of written notification from STA CITY shall deposit with STATE, cash in the amount of $225,0 which figure represents .the estimated cost of STAT oversight of environmental, design and right-of- activities. Such funds shall be subject to release retention pursuant to Article 2 of Section 111. 2. 3. 5. Personnel who prepared the PS&E will be available to STA' at no cost to STATE, through completion of construction PROJECT to discuss problems which may arise dur construction and/or to make design revisions for contr change orders. 6. If any existing public and/or private utilities conflict w the construction of project, CITY will make all necess arrangements with the owners of such utilities for th protection, relocation, or removal. CITY will inspect protection, relocation, or removal: and if there are costs such protection, relocation, or removal which STATE and, CITY must legally pay, CITY will bear the cost of s PROJECT. 9. 2 a e I. . protection, relocation, or removal, plus cost of engineeri overhead and inspection. If any protection, relocation, removal of utilities is required, such work will be perforn in accordance with STATE policy and procedure for those utilities within STATE'S existing or proposed right of way a in accordance with CITY policy for those utilities outsi STATE'S existing or proposed right of way. 10. To furnish evidence to STATE, in a form acceptable to STAl that arrangements have been made for the protectic relocation, or removal of all conflicting utilities withint STATE'S right of way and that such work will be complet prior to the award of the contract to construct PROJECT or covered in the Special Provisions for said contract. TI evidence shall include a reference to all required Stc Highway Encroachment permits. To relocate utility facilities within STATE'S right of way STATE specifications per STATE'S Encroachment Manual and t Manual on High and Low Risk Underground Facilities Wit1 Highway Rights of Way. 12. To comply with the terms and conditions of the High1 Encroachment Permits, existing California Law, includi Statutory and Case Law, and all existing property rights wk determining liability for utility relocation costs. 13. To perform all right-of-way activities, including eminc domain activities, if necessary, at no cost to STATE, accordance with procedures acceptable to STATE, and compliance with all applicable State and Federal laws i regulations , subj ect to STATE oversight, to assure that 1 completed work is acceptable for incorporation into the St: Highway right of way. To utilize the services of a qualified local public agency all right-of-way acquisition-related matters in accordai with STATE procedures as contained in R/W Procedural Handboc Volume 9. Qualified public agency employees shall adminisl any contract for right of way services. 15. To utilize Generic Forms as contained in Right of I Procedures Handbook, Volume 9. SECTION I1 STATE AGREES: 1. To provide, pursuant to Article 2 of Section 111, oversi of PROJECT and to provide prompt reviews and approvals, appropriate, of submittals by CITY, and to cooperate in tim processing of the PROJECT. 2, TO provide, pursuant to Article 2 of Section 111, oversi of all right-of-way activities undertaken by CITY, or designee, pursuant to this Agreement. 3. To issue, at no cost to CITY, upon proper written applicat by CITY, an encroachment permit to CITY authorizing entry o STATE'S right of way to perform survey and other investigat activities required for preparation of the PR, ED and/or PS SECTION I11 IT IS MUTUALLY AGREED: 1. All obligations of STATE under the terms of this Agreement subject to the appropriation of resources by the Legislat and the allocation of resources by the Califor Transportation Commission. 2. If a construction contract for PROJECT is awarded within f (5) years from the execution date of this Agreement, ST shall return CITY'S deposit, pursuant to Article 4 Section I, without deduction, within thirty (30) days awarding the contract. In the event a construction contr for PROJECT is not awarded within said five (5) years ani time extension has not been granted by STATE, STATE w deduct all oversight costs to date, free of interest, return any unused deposit to CITY within thirty (30) d after said five-year or five-year plus extension period expired. If costs of STATE oversight exceed said depos STATE will bill CITY for any additional amount due ST within thirty (30) days after said five-year or five-year p extension period has expired and CITY will pay said amo within thirty (30) days after receipt of such billing, ST shall not return deducted funds, whether or not PROJECT ultimately constructed. STATE may grant a time extension beyond said five-year per if a finding by STATE is made that reasonable progress being made and that a construction contract is likely 3. 4 I a e result within a reasonable period of time. 4. If STATE charges CITY for oversight pursuant to Article above of this Section 111, the costs to be charged CITY f STATE'S oversight will include all direct and indirect cos (functional and administrative overhead assessmen attributable to such work applied in accordance with STATE standard accounting procedures. 5. It is understood that a separate Cooperative Agreement wi be required to cover responsibilities and funding for t PROJECT construction phase. It is understood and agreed that neither STATE nor any offic or employee thereof is responsible for any damage or liabili occurring by reason of anything done or omitted to be done CITY under or in connection with any work, authority jurisdiction delegated to CITY under this Agreement. It understood and agreed that, pursuant to Government Cc Section 895.4, CITY shall fully defend, indemnify and si harmless the State of California, all officers and employ6 from all claims, suits or actions of every name, kind i description brought for or on account of injury (as defii in Government Code Section 810.8) occurring by reason anything done or omitted to be done by CITY under or connection with any work, authority or jurisdiction delega' to CITY under this Agreement. It is understood and agreed that neither CITY nor any offij or employee thereof is responsible for any damage or liabil occurring by reason of anything done or omitted to be done STATE under or in connection with any work, authority jurisdiction delegated to STATE under this Agreement. The parties hereto will carry out the PROJECT in accorda with the Scope of Work, attached and made a part of t Agreement, which outlines the specific responsibilities of parties hereto. The attached Scope of Work may in the fut be modified to reflect changes in the responsibilities of respective parties. Such modifications shall be concur with by CITY'S Director of Public Works or other offic designated by CITY and STATE'S District Director District 11, o,r his designee, and become a part of t 6. 7. 5 - e Agreement as a su9piement to this Agreement after execut by the respective officials of the parties. Prior to award of a construction contract, CITY may termin PROJECT and this Agreement in writing, provided CITY p STATE for all PROJECT oversight costs incurred by STATE pr to termination. STATE will deduct all oversight costs date, free of interest, and return any unused deposit to C within thirty (30) days of written notice of termination Agreement. If costs of STATE oversight exceed said depos STATE will bill CITY for any additional amount due ST within thirty (30) days after said termination notice; CITY will pay said amount within thirty (30) days af receipt of such billing. 10. CITY will be the Lead Agency for CEQA and STATE will be 1 State Lead Agency for NEPA. The Federal High1 Administration (FHWA) will be the Federal Lead Agency : NEPA. CITY will prepare the Environmental Document (s) (1 to meet the requirements of CEQA and NEPA. The draft i final ED will require STATE review and approval prior public circulation. CITY will provide all data for q prepare drafts of the Project Report (PR) and the Projc Approval Report (PAR). STATE will review and process ' reports and request approval of the PROJECT and ED by ' FHWA. CITY will be responsible for the public hear process. 2. STATE will review, monitor, and approve all proj development reports, studies, and plans, and provide necessary implementation activities through advertising of pro j ect. 5. Existing freeway agreement need not be revised. 6. All phases of the project, from inception thro construction, whether done by CITY or STATE, will be develo in accordance with all policies, procedures, practices, standards that STATE would normally follow. Detailed steps in the project development process are appen to this Scope of Work.
