ENG:MP RECOMMENDED ACTION: Receive a status report regarding the development of the prop05 Lake Calavera Golf Course and adopt Resolution No.?H-&-/D: Approving Amendment No. 1 to an existing agreement with 1 Collett and Associates for additional preliminary des. services ; Approving an agreement with Naegle and Associates, Incorporat to provide design services for the proposed golf cou clubhouse and maintenance facility; Authorizing City staff to file necessary project permits w Authorize proceeding with final design as identified in the appropriate Federal, State, and Local agencies; existing design agreement with Don Collett and Associates; Review options and direct staff regarding temporary access the golf course site; Review options and direct staff regarding water resour including opportunities for reclaimed water and well water; Review options and direct staff regarding inclusion of a tr system within the project site; Review options and direct staff regarding potential private c course facility operators. Appoint one (1) additional member to the Golf Course Steel 0 * Committee. ITEM EXPLANATION: The preliminary development phase of the proposed Lake CalaT Golf Course Project has been recently completed. The exten: preliminary work on the project includes a recommended golf COI routing plan, environmental reconnaissance including identifical and evaluation of impact areas and mitigation alternati.7 geotechnical work, concept landscaping and irrigation pl preliminary engineering of infrastructure improvements inclul roads, drainage crossings, and utility corridors, identificatio water resource opportunities, and a number of other project re1 tasks. At this time, staff wishes to make a status report to City Council regarding the results of the preliminary phase of proposed Lake Calavera Golf Course Project and seek PO direction regarding several key design issues which have di impact upon both the project budget and schedule. -.c w - \* - Page 2 of Agenda Bill No. If,?/? lr Golf Course Routins Plan Mr. Ted Robinson, a highly respected golf course architect ar member of the Don Collett and Associates design team, has completE the preliminary golf course routing plan. Due to severe sit constraints and influenced heavily by a desire to avoid advers environmental impacts, the golf course routing plan has bet revised a total of nine (9) times to date. The golf course routii plan as it currently exists represents a balance between providii a municipal golf course of championship quality on an expensive ai difficult site to develop with extreme sensitivity to potenti; adverse environmental impacts. The course itself is proposed to be a 6,788 yard, par 72 go: course with design features consistent with a quality golf cour: facility. The course layout completely avoids several sensitii environmental corridors, incorporates existing stands of trees ai Lake Calavera itself, and is intended to provide a challenging y very playable layout. In order to avoid several impact areas, t course has been linked by several foot bridges and elevat crossings which minimize impacts into the identified sensiti areas. Additionally, the locations of tees, greens, bunkers, ou of-bounds areas, golf cart paths, maintenance roads, utili corridors, access roads, and related golf course functions ha been placed in particular locations on the course specifically avoid additional adverse impacts. The result of these efforts a proposed course which attempts to strike a balance betwe equally important interests. Access Permanent access to the proposed site will occur when the extensj of Cannon Road from El Camino Real northeasterly to the City Oceanside is constructed by private developers. This is expect to occur within the next five (5) years and well after the propos Lake Calavera Golf Course becomes open for use. In the interj temporary access to the site must be identified, approvz obtained, and construction completed. Because of the location the overall project site in the extreme northeastern portion of -* Carlsbad city limits, temporary access to the site has been pursi in the City of Oceanside which provides the closest and le, expensive to develop opportunities. The design team has identif three (3) potential temporary access points in the City Oceanside to the golf course site. CONSULTANT'S OBLIGATIONS PROJECT DESCRIPTION The design team shall provide complete design services for the proposed clubhouse, parking and site development plans, maintenance facility, and two (2) on-course restrooms. General parameters for the building sizes and uses are included herein for reference. Consultants shall provide limited site planning services and general siting work for a potential triple-wide trailer which may be utilized as a temporary clubhouse facility. SCOPE OF WORK A. Meet with City staff and Golf Steering Committee to develop design parameters and final programming information. B. Prepare and submit for City approval a detailed design schedule including design phases, durations, milestone dates, submittals, agency review time, securing agency permits and approvals, etc. C. Design services shall include the preparation of final plans, specifications and cost estimates for the following: 1) Fine grading for clubhouse, clubhouse parking area, maintenance building, maintenance parking, and course restrooms. 2) Building and site improvement plans for areas and facilities in Item 1 above. This shall include area lighting and all utilities. Main line utilities provided by others shall include sewer, water, gas, cable television, and power installed within the limits of the access roads to the clubhouse and maintenance 2 Rev. 8/27/90 - - a. 1- building areas. Sewer, water, and power service lines will be provided to the general area of the golf course restrooms by others. Landscape and irrigation plans shall be prepared by others. Coordination and planning of this item shall be a part of the contract. D. Improvement plans shall be coordinated with rough grading and utility plans prepared by others. E. Prepare interior design and detailed purchasing specifications for all building furnishings and equipment. City shall competi.tively bid all interior furnishings and equipment based upon architects’ detailed purchasing specifications. Prepare, coordinate, and process all building, grading, special use, or other permits, approvals, and plans. City shall pay for all permit and processing fees where appropriate. Building permit processing and other administrative processing and review for the potential interim trailer clubhouse shall not be included as a part of this agreement. F. G. Site development for the maintenance building shall include underground fuel storage tanks, oil waste storage tanks, pump island for fueling maintenance vehicles and golf carts. Vehicle maintenance areas shall require grease traps to separate grease from storm drain runoff. H. Clubhouse and maintenance buildings shall include security systems, security fencing, and auxiliary power systems where appropriate. 1. Golf cart maintenance areas should be provided. Maintenance shall include mechanical repairs, washing, and minor body repairs for golf carts. 3 Rev. 8/27/90 - T x. J. Prepare displays and exhibits and make several formal project presentations (minimum of 4) to City Council, Planning Commission, City staff, and other community interest groups. A portable, detailed scale-model of the clubhouse and maintenance buildings will be required. K. Review and approve shop drawings, material samples, equipment and product data, progress payments, change orders, and all other submittals during construction. City shall construction manage the project with input and assistance from architect as identified. L. Provide observation and consultation to the City during construction. A minimum of four (4) hours per week on-site observation shall be provided by consultant in addition to City-provided building inspectors. Consultant shall attend preconstruction meeting, construction progress meetings, and other meetings as appropriate. M. Prepare as-built plans based upon information provided to consultant by the City's general contractor for the project. N. Prepare an operations and maintenance manual. PHASE 1.2 - PRELIMINARY DESIGN A. B. C. Prepare an initial analysis of the site. Prepare a draft program for all facilities. With the workbook as a basis, schedule a field trip of selected municipal golf clubs, and possibly some private clubs, to review existing facilities and discuss operations with existing managers. E. Combine information from the field trip with the team's experience to develop a final program for the clubhouse and maintenance facility. F. Analyze an "architectural vocabulary" for the Steering Committee and City staff in the form of a slide show to discuss the theme of the facility in words and pictures. G. In a series of approximately three (3) study sessions with the consultants, City staff and Steering Committee, develop a preliminary site plan, floor plans, elevations and sections. H. I. Define final goals and objectives. Prepare additional sketches and drawings to develop a complete design scheme for all facilities. J. K. L. Prepare a preliminary cost budget. Develop a rough "study model" of the clubhouse. Hold a major review meeting to discuss and confirm the decisions made prior to entering Phase 1.3 (Design Development). PHASE 1.3 - DESIGN DEVELOPMENT A. PROGRESS AND COMPLETION The work under this contract will begin within ten (10) calendar days after receipt of notification to proceed by the City and be completed within the following schedule: b Conultant shall complete and submit to City for building plan check all design documents for the oncourse restroom facilities: March 1, 1991. Consultant shall complete and submit to City for building plan check all design documents for the maintenance facility: March 1, 1991. Consultant shall complete and submit to City for building plan check all design documents for the course clubhouse: July 1, 1991. Extensions of time may be granted if requested by the Consultant and agreed to in writing by the City Project Manager. The City Project Manager will give allowance for documented and substantiated unforeseeable and unavoidable delays not caused by a lack of foresight on the part of the Consultant, or delays caused by City inaction or other agencies' lack of timely action. 12 Rev. 8/27/90 J. . e e 4. FEES TO BE PAID TO CONSULTANT The lump sum fee payable according to Paragraph 6, "Payment of Fees," shall be $249,300. No other Compensation for services will be allowed except those items covered by supplemental agreements per Paragraph 7, "Changes in Work." 5. DURATION OF CONTRACT This agreement shall extend for a period of one (1) year from date thereof. The contract may be extended for one (1) additional one (1) year periods or parts thereof, based upon satisfactory performance and the City's needs. 6. PAYMENT OF FEES Payment of fees shall be monthly in accordance with the progress of work as approved by the City. Consultant shall be paid based on the percentage of work completed in accordance with attached Exhibit A. Consultant shall submit to the City a monthly invoice for services performed under this Agreement as well as the percentage of work that has been completed to the date of the invoice. The City agrees to pay for the progress of work as approved by the City within thirty (30) days of the date of the invoice. 7. FINAL SUBMISSIONS Within five (5) days of completion and approval of the final design, the Consultant shall deliver to the City the following items: 13 Rev. 8/27/90 e e .. A. Original mylars at scale of the drawings reproducible on standard 24" by 36" sheets. Blank mylars will be provided by the City. B. All final engineering certifications and documents. The plans shall be signed by a Registered Civil Engineer and/or Registered Landscape Architect, as appropriate. 8. CHANGES IN WORK If, in the course of the contract, changes seem merited by the Consultant or the City, and informal consultations with the other party indicate that a change in the conditions of the contract is warranted, the Consultant or the City may request a change in contract. Such changes shall be processed by the Citf in the following manner: A letter outlining the required changes shall be forwarded to the City by Consultant to inform them of the proposed changes along with a statement of estimated changes in charges or time schedule. A supplemental agreement shall be prepared by the City and approved by the City according to the procedures described in Carlsbad Municipal Code Section 3.28.1 72. Such supplemental agreement shall not render ineffective or invalidate unaffected portions of the agreement. 9. COVENANTS AGAINST CONTINGENT FEES The Consultant warrants that their firm has not employed or retained any company or person, other a bona fide employee working for the Consultant, to 14 Rev. 8/27/90 *. m e .* . solicit or secure this agreeme:nt, and that Consultant has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or making of this agreement. For breach or violation of this warranty, the City shall have the right to annul this agreement without liability, or, in its discretion, to deduct from the agreement price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fees, gift, or contingent fee. 10. NONDISCRIMINATION CLAUSE The Consultant shall comply with the state and federal laws regarding nondiscrimination. 11. TERMINATION OF CONTRACT in the event of the Consultant’s failure to prosecute, deliver, or perform the work as provided for in this contract, the City may terminate this contract for nonperformance by notifying the Consultant by certified mail of the termination of the Consultant. The Consultant, thereupon, has five (5) working days to deliver said documents owned by the City and all work in progress to the City Project Manager. The City Project Manager shall make a determination of fact based upon the documents delivered to City of the percentage of work which the Consultant has performed which is usable and of worth to the City in having the contract 15 Rev. 8/27/90 -. ,. 0 a .. . completed. Based upon that finding as reported to the City Manager, the Manager shall determine the final payment of the contract, 12. DISPUTES If a dispute should arise regarding the performance of work under this agreement, the following procedure shall be used to resolve any question of fact or interpretation not otherwise settled by agreement between parties. Such questions, if they become identified as a part of a dispute among persons operating under the provisions of this contract, shall be reduced to writing by the principal of the Consultant or the City Project Manager. A copy of such documented dispute shall be forwarded to both parties involved along with recommended methods of resolution which would be of benefit to both parties. The City Project Manager or principal receiving the letter shall reply to the letter along with a recommended method of resolution within ten (10) days. If the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the dispute shall be forwarded to the City Council for their resolution through the Office of the City Manager. The City Council may then opt to consider the directed solution to the problem. In such cases, the action of the City Council shall be binding upon the parties involved, although nothing in this procedure shall prohibit the parties seeking remedies available to them at law. 16 Rev. 8/27/90 0 a * IU .. .I .. 13. SUSPENSION OR TERMINATION OF SERVICES This agreement may be terminated by either party upon tendering thirty (30) days written notice to the other party. In the event of such suspension or termination, upon request of the City, the Consultant shall assemble the work product and put same in order for proper filing and closing and deliver said product to City. In the event of termination, the Consultant shall be paid for work performed to the termination date; however, the total shall not exceed the lump sum fee payable under paragraph 4. The City shall make the final determination as to the portions of tasks completed and the compensation to be made. 14. STATUS OF THE CONSULTANT The Consultant shall perform the services provided for herein in Consultant’s own way as an independent contractor and in pursuit of Consultant’s independent calling, and not as an employee of the City. Consultant shall be under control of the City only as to the result to be accomplished, but shall consult with the City as provided for in the request for proposal. The Consultant is an independent contractor of the City. The payment made to the Consultant pursuant to the contract shall be the full and complete compensation to which the Consultant is entitled. The City shall not make any federal or state tax withholdings on behalf of the Consultant. The City shall not be required to pay any workers’ compensation insurance on behalf of the Consultant. The Consultant agrees to indemnify the City for any tax, retirement contribution, 17 Rev. 8/27/90 .. I IC L 0 m .. .. social security, overtime payment, or workers’ compensation payment which the City may be required to make on behalf of the Consultant or any employee of the Consultant for work done under this agreement. The Consultant shall be aware of the requirements of the Immigration Reform and Control Act of 1986 and shall comply with those requirements, including, but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants that are included in this agreement. 15. CONFORMITY TO LEGAL REOUIREMENTS The Consultant shall cause all drawings and specifications to conform to all applicable requirements of law: federal, state and local. Consultant shall provide all necessary supporting documents, to be filed with any agencies whose approval is necessary. The City will provide copies of the approved plans to any other agencies. 16. OWNERSHlP OF DOCUMENTS All plans, studies, sketches, drawings, reports, and specifications as herein required are the property of the City, whether the work for which they are made be executed or not. In the event this contract is terminated, all documents, plans, specifications, drawings, reports, and studies shall be delivered forthwith to the City. Consultant shall have the right to make one (I) copy of the plans for his/her records. City shall not reuse, sell, modify, alter, transfer, or otherwise provide to 18 Rev. 8/27/90 -- .. , 4, I 0 a / other public agencies or private parties copies of the documents specified herein without prior written approval of the Consultant. 17. REPRODUCIION RIGHTS The Consultant agrees that all copyrights which arise from creation of the work pursuant to this contract shall be vested in City and hereby agrees to relinquish all claims to such copyrights in favor of City. Consultant shall add the following notation to each and every drawing, plan, sheet, and other document pursuant to this agreement: "Copyright 1991, City of Carlsbad." 18. HOLD HARMLESS AGREEMENT The City, its officers, and employees shall not be liable for any claims, liabilities, penalties, fines, or any damage to goods, properties, or effects of any person whatever, not for personal injuries or death caused by, or resulting from, any intentional or negligent acts, errors or omission of Consultant or Consultant's agents, employees, or representatives. Consultant agrees to defend, indemnify, and save free and harmless the City and its officers and employees against any of the foregoing liabilities or claims of any kind and any cost and expense that is incurred by the City on account of any of the foregoing liabilities, including liabilities or claims by reason of alleged defects in any plans and specifications. ASSIGNMENT OF CONTRACT The Consultant shall not assign this contract or any part thereof or any monies due thereunder without the prior written consent of the City. 20. SUBCONTRACTING If the Consultant shall subcontract any of the work to be performed under this contract by the Consultant, Consultant shall be fully responsible to the City for the acts and omissions of Consultant’s subcontractor and of the persons either directly or indirectly employed by the subcontractor, as Consultant is for the acts and omissions of persons directly employed by consultant. Nothing contained in this contract shall create any contractual relationship between any subcontractor of Consultant and the City. The Consultant shall bind every subcontractor and every subcontractor of a subcontractor by the terms of this contract applicable to Consultant’s work unless specifically noted to the contrary in the subcontract in question approved in writing by the City. 21. PROHIBITED INTENST No official of the City who is authorized in such capacity on behalf of the City to negotiate, make, accept, or approve, or take part in negotiating, making, accepting, or approving of this agreement, shall become directly or indirectly interested personally in this contract or in any part thereof. No officer or employee of the City who is authorized in such capacity and on behalf of the City to exercise 20 Rev. 8/27/90 0 e , I, * .. -. - any executive, supervisory, or similar functions in connection with the performance of this contract shall become directly or indirectly interested personally in this contract or any part thereof. 22. VERBAL AGREEMENT OR CONVERSATION No verbal agreement or: conversation with any officer, agent, or employee of the City, either before, during or after the execution of this contract, shall affect or modify any of the terms or obligations herein contained nor entitle the Consultant to any additional payment whatsoever under the terms of this contract. 23. SUCCESSORS OR ASSIGNS Subject to the provisions of Paragraph 18, "Hold Harmless Agreement," all terms, conditions, and provisions hereof shall insure to and shall bind each of the parties hereto, and each of their respective heirs, executors, administrators, successors, and assigns. 24. CONFUCT OF rmmsT The Consultant shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. INSURANCE The Consultant shall obtain and maintain policies of general liability insurance, automobile liability insurance, and a combined policy of worker's compensation and employers liability insurance from an insurance company authorized to do business in the State of California which meets the requirements of City Council Resolution No. 90-96 in an insurable amount of not less than one million dollars ($1,000,000) each, unless a lower amount is approved by the City Attorney or the City Manager. This insurance shall be in force during the life of this agreement and shall not be canceled without thirty (30) days prior written notice to the City sent by certified mail. The City shall be named as an additional insured on these policies. I1 & ,_ r.. .- EXHIBIT r~A" AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF CARLSBAI) AM) DON COLLETT AND ASSOCIATES FOR ADDITIONAL DESIGN SERVICES A. PROJECT UNDERSTANDING AND BASIS FOR PROPOSAL 1. This proposal is in response to the letter from Dan Clar of the City of Carlsbad to DCA, dated July 17, 1990 ar. titled "Expand Scope of Work for Lake Calavera Go1 Course - Project No. 3342". That letter lists severa additional civil engineering work items for which lum sum fee estimates are requested. This proposal addresse those items that have been requested by the City. It is understood that the existing 100 '-scale topographil map has been determined to be inadequate for use in 50' scale design plans by the City staff and that a ne: topographic survey and map has been determined to bt necessary. Reference is made to the proposal letter fror Crosby Mead Benton & Associates to DCA dated July 5, 1990, in which the Scope of Work and Basic Fee for thi: new 50I-scale topographic survey and map were described. Since to date only verbal authorizations have beer; received for the work described in that proposal, the Scope of Work and Basic Fee for that work item are repeated here in this proposal on the assumption that DCA will find it more convenient to have all additional work items consolidated into one large proposal. The site to be covered by the aerial topographic survey is known as Assessor's Parcel Nos. 168-040-22 and 168-020-12, 13 & 19, being approximately 251 acres in area. 3. The original proposal for engineering services for the subject project was based in part on the assumption that access points for street, sewer and water connections were available at the boundary of the Golf Course site. Subsequent disclosures have shown that those connections may not be available when necessary, so alternative connection 1-ocations have been suggested. a. It is assumed that the potable water connection will be made to an existing 21" diameter Carlsbad Municipal Water District (CMWD) water main where it lies offsite and southerly of the golf course site along the westerly line of a property covered by Tentative Map No. CT 82-12 (Carlsbad Highlands) and that a new water main will be constructed from that connection to the southerly line of the Golf Course site and thence onsite to a junction with the main southerly access road to the clubhouse. There it will connect to the waterline design covered by the original proposal. 2. In summary: c- .. ' It I 0 a -> c 2 It is assumed that a temporary road access is to be designed from the original and official future access point, located on the southerly line of the Golf Course site, easterly along the southerly line alternatively, northeasterly to Cannon Road. It is understood that the originally proposed sewer line from the clubhouse to Lake Boulevard will still be designed and built, but only as an interim and temporary solution. It is assumed that the permanent solution will be a gravity sewer main running from the clubhouse to the west, along the northern edge of Lake Calavera and around the western end of the Lake to terminate near the most southwesterly corner of the subject property. It is assumed that this line will be designed to be plugged at this downstream terminus, as there ie not yet a downstream sewer main to which it coulc be connected. It is assumed that the downstreaT connection will be made at some unspecified future time and that the line will remain dry and unusec until the connection is made. b. and southeasterly to Mystra Drive or I c. 4. It is understood that it has been decided to convert the existing CMWD water tank, known as Tank C, to use foi reclaimed and other secondary water supplies. It i assumed that no changes to the existing facilities wil be required to make Tank C available for the storage o secondary water. It is understood that DCA will providf engineering services necessary to connect new lines t the existing facilities. It is understood that reclaimed water main is to be constructed from connection with this tank, northerly across severa intervening ownerships to a point on the southerly lin of the Golf Course site and thence roughly parallel t the southerly line to a terminus at a centra distribution point near the official South Access Poin to the site. 5. It is understood that, in order to supplement th reclaimed and other secondary water supplies to be store in offsite Tank C, an offsite potable water main is to 1 constructed from a connection with the existing 21" CMI pipeline mentioned in Item 3.a.! above, to Tank C whei a connection across an air gap is needed. 6. It is assumed that the arrangements for easement ai access rights for all offsite improvements will be ma< by the City. 0 e C I1 I .. >- '.. .. .F 7. It is understood that the proposed alternative onsit sewer and offsite water and reclaimed water improvement are to be public, designed and constructed in accordanc with the standards of the Carlsbad Municipal Wate District and the City of Carlsbad. Water syste hydraulic analyses and sewer system analyses are no anticipated and are not a part of this proposal. It is understood that San Diego Gas and Electric Compan (SDG&E) maintains major power transmission lines on pole and a natural gas pipeline in its easement across thl Golf Course site. The Golf Course plans call for mino encroachments into the SDG&E easement. It is understooc that SDG&E will require field location of line and gradc for both sets of existing facilities before it will consider granting permission for the encroachment. Thc location of the gas line will require that potholes bc opened before the survey can be performed. 8. Bo BASIC SCOPE OF WORK AND FEES Based upon the above project understanding, DCA proposes tc provide the following services for preliminary off ice engineering and design surveys: 1. Onsite ToDographic Survey: Set aerial control points ir. the field. Establish coordinates for each control point using a coordinates system provided by the City. Prepare 50I-scale aerial topographic maps. Prepare photographic reductions of topographic maps to 1001-scale. See Exhibit llBll s attached, for specifications and procedures to be followed in the completion of the above items. - FEE $30,690000 2. Desian Suwevs and Offsite Aerial Toposraphic Maminq: Set aerial control points in the field. Establish coordinates for each control point using a coordinates system provided by the City. Prepare 50'-scale aerial topographic maps of 400-foot-wide strips approximately centered on the proposed offsite access road alignment and the proposed offsite water line and reclaimed water line alignments. See Exhibit IrAtl, attached, for specifications and procedures to be followed in the completion afthe above items. Consultant shall establish aerial control for the development of aerial photography on approximately 251 acres. Consultant shall provide a plat of illustration for the aerial control with coordinates, elevations and ties to selected found points (to aid in the orientation of the subject boundary) for use by the client and the aerial photogrammetrist. Control shall be tied to coordinates and found points provided by Rick Engineering company in conjunction with their work to provide the City of Carlsbad with a record of survey on the ownership boundary. 3. Provide coordination and supervision in connection with the preparation of a scribed topographic map at a scale of one inch equals 50 feet with 2 foot contours and deliver to client a finished topographic map on reproducible film within the fee structure of this proposal. On boundary surveys requiring the establishment of Lambert coordinates client shall so stipulate in advance of the commencement of work..
